4. TERMINATION F AGREEMENT
A. Termination by CITY for Convenience
CITY may, at any time, terminate the Agreement for CITY's convenience and without cause.
Upon receipt of written notice from CITY of such termination for CITY's convenience, CONSULTANT will:
1 2
cease operations as directed by CITY in the notice,
take actions necessary, or that CITY may direct, for the protection and preservation of the work; and
except for work directed to be performed prior to the
effective date of termination stated in the notice, terminate all existing subcontracts and purchase orders and enter into no further subcontracts and purchase orders.
ln case of termination for CITY's convenience, CONSULTANT will be entitled to receive payment for work executed, together with costs incurred by reason of the termination, along with reasonable overhead and profit on work not executed.
B. Termination for Cause
lf either party fails to perform any term, covenant or condition in this Agreement and that failure continues for 15 calendar days after the nondefaulting parly gives the defaulting party written notice of the failure to perform, this Agreement may be terminated for cause; provided, however, that if during the notice period the defaulting party has promptly commenced and continues diligent efforts to remedy the default, the defaulting party will have such additional time as is reasonably necessary to remedy the default,
ln the event this Agreement is terminated for cause by the default of CONSULTANT, CITY may, at the expense of CONSULTANT

7 forfeited to and remain the property of the CITY. All moneys due CONSULTANT under the terms of this Agreement will be retained by CITY, but the retention will not release CONSULTANT and its surety from liability for the default. Under these circumstances, however, CONSULTANT and its surety will be credited with the amount of money retained, toward any amount by which the cost of completion exceeds the Agreement Sum and any amount
authorized for extra services.
Termination for cause will not affect or terminate any of the rights of CITY as against CONSULTANT or its surety then existing, or that may thereafter accrue because of the default; this provision is in addition to all other rights and remedies available to the CITY under law.
C. Termination for Breach of Law
ln the event CONSULTANT or any of its officers, directors, shareholders, employees, agents, subsidiaries or affiliates is convicted (i) of a criminal offense as an incident to obtaining or attempting to obtain a public or private contract or subcontract, or in the performance of a contract or subcontract; (ii) under state or federal statutes of embezzlement, theft, forgery, bribery, falsification or destruction of records, receiving stolen property, or any other offense indicating a lack of business integrity or business honesty that currently, seriously, and directly affects responsibility as a public consultant or CONSULTANT; (iii) under state or federal antitrust statutes arising out of the submission of bids or proposals; or (iv) of violation of Paragraph 19 of this Agreement; or for any other cause Clry determines to be so serious and compelling as to affect CONSULTANT's responsibility as a public consultant or CONSULTANT including but not limited to, debarment by another governmental agency, then CITY reserves the unilateral right to terminate this Agreement or to impose such other sanctions (which may include financial sanctions, temporary suspensions or any other condition deemed appropriate short of termination) as it deems proper. CITY will not take action until CONSULTANT has been given notice and an opportunity to present evidence in mitigation.
FORCE MAJEURE
lf any party fails to perform its obligations because of strikes, lockouts, labor disputes, embargoes, acts of God, inability to obtain labor or materials or reasonable substitutes for labor or materials, governmental restrictions, governmental regulations, governmental control, judicial orders, enemy or hostile governmental action, civil commotion, fire or other casualty, or other causes beyond the reasonable control of the party obligated to perform, then that pafiy's performance will be excused for a period equal to the period of that cause for failure to perform.

Description of experience with Federal legislative project acquisition:
Describe your key strategic opportunities for local government in the next five years and how you would best maximize those opportunities.
Over the next five years, the City of Torrance will have several strategic opportunities in Washington. They will come both in the form of working with the Congress on legislation, earmarks, and program funding, and at the federal agencies with grant funding and administrative actions that can benefit Torrance. Van Scoyoc Associates has relationships with a wide range of key congressional leaders who fund programs critical to Torrance, in areas such as transportation and specifically transit, stormwater and water recycling infrastructure, public safety, and community services. Similarly, we work regularly with federal agencies that are important to Torrance, including the Bureau of Reclamation, Department of Justice, Department of Transportation, Department of Housing and Urban Development, and Department of Defense, among others.
Looking ahead, there are a number of opportunities for advocacy by the City of Torrance and its federal advocates.
Success will require a strong bipartisan team, capable of working with both parties in the Congress and the Biden Administration. Van Scoyoc Associates brings a proven record of success in working on a bipartisan basis. Outlined below are those legislative opportunities.
Infrastructure. VSA will pursue funding opportunities over the next five years for the City's infrastructure needs. For example, VSA will help the City pursue the funding provided through the Infrastructure Investment and Jobs Act (IIJA), also know as the Bipartisan Infrastructure Law. IIJA represents a once in a generation federal investment of more than $1 trillion that crosses virtually every sector of our economy. During the next five years, IIJA will make available unprecedented levels of competitively awarded funding from a myriad of agencies throughout the federal government.
VSA is closely tracking these opportunities and can provide a real-time competitive advantage to best position the City of Torrance - and time and resources - to successfully compete for these federal funds. Identifying new IIJA grant opportunities that range from street improvements to environmental programs will utilize the VSA team's breadth and depth of knowledge with respect to federal funding. IIJA will provide opportunities that should be considered by the City for funding for improvements to the Pacific Coast Highway/Crenshaw Boulevard intersection and the Beach Cities Green Streets project.
Transoortation VSA was actively engaged in the surface transportation bill that was reauthorized in November and advocated for Tonance Transit's priorities in the bill such as the solvency of the Highway Trust Fund, which helps fund Torrance Transit, and road and bridge improvements in the City. We will continue our dialogue with congressional leaders and the Department of Transportation to help ensure implementation of Torrance priorities as federal agencies work to implement the reauthorization bill. Congress will also hold hearings to provide oversight on the implementation of the transportation bill which will provide opportunities to highlight City priorities. Furthermore, VSA will help the City pursue funding from the IIJA bill that can address transportation needs and advance projects such as Torrance to Florence and bikeways/walkways through the City.
Water Infrastructure. A priority for the City has been the need to secure grant funds for the Torrance Airport Storm Water Infiltration project. Upon completion, this will be the first of its kind project that will demonstrate the feasibility of using deep dry wells to divert stormwater and create a sustainable water resource. While federal funding is coming for this project through the FY 2022 appropriations bill, the City's needs will continue for additional projects such as the On- Site Recycled Water Retrofits project, Van Ness Well Field Project and the South High Storm Drain Channel.
Additionally, the City and its advocates need to secure funds for a proposed water recycling facility. Toward that end, legislation has been introduced in this Congress that would establish a new grant program for water re-use and recycling projects. The Water Recycling Investment and Improvement Act would help communities to plan, design and build water recycling facilities. Finally, Congress is once again tackling the next Water Resources Development Act (WRDA), which 5 52
authorizes project funding by the Army Corps of Engineers. This may be an opportunity for the City to engage the Corps of Engineers on its extensive water infrastructure needs.
Aopropriøtions ønd Grants. The fiscal year 2023 appropriations process will quickly be underway and Congress will being the process of drafting, or "marking up" their respective funding bills. VSA works regularly with the House and Senate Appropriations Committees and we will continue to articulate the City's priorities, as the Committees develop their funding bills for the next fiscal year and in future years. Once the appropriations are completed and the City submits applications for competitive grant program funds, VSA will continue to work with Senators Feinstein and Padilla, as well as Representatives Waters and Lieu to secure letters of support. For the most important grant programs, VSA will seek telephone calls from the City's delegation to agency heads as another step to highlight the importance of that grant application.
Eørmarks. The opportunity to pursue earmarks in fiscal year 2023 is a tremendous opportunity for your federal lobbyists to use the appropriations process to secure funds for Torrance. VSA has been a leader in helping clients secure funding through the annual appropriations process and was successful again this past year as Congress returned to a limited process of Congressionally-directed spending projects. VSA's proposed team has had years of experience working with not only the Appropriations Committee, but several of the authorizing committees, and will use that advocacy experience to help the City. In the House and Senate, the City's delegation is in the majority and in a position to further secure federal funding and legislative priorities for the City on projects such as the Torrance Transit Park and Ride Regional Terminal Parking Structure, railroad walking paths, South High Storm Drain Channel, and other needs.
Non-Fundine Opportunities. The City's federal advocates must consider not only those opportunities that produce critically needed funding opportunities, but also those that help enhance the City's standing and reputation in Washington.
For example, VSA previously worked with the City to secure high-level representation by one of the armed services at the annual Armed Forces Day Parade. Similarly, VSA also worked to ensure the delegation was aware of the importance of the impact of the FCC's 2019 Franchise Fee Order that redefined the federal Cable Act's SVo franchise fee, as well as the need to restore net neutrality and local governmental rights as it relates to the deployment of 5G technologies and the installation of small cells.

Summary of past projects/ funding awards:
ln the space below, please provide a summary of past projects and/or awarded funding through legislature and relevant agencies.
Van Scoyoc Associates has served as the federal advocates for a significant number of municipal clients, helping them capture federal funds and addressing policy and regulatory initiatives. VSA will aggressively and creatively advocate for the City of Torrance to achieve its legislative and funding goals. While VSA is confident in our ability to represent Torrance on any issue that may arise, there are specific areas in which we have particularly strong expertise.
We meet regularly with senior officials at the Departments of Housing and Urban Development, Transportation, Justice, Commerce, and Agriculture, and other agencies including the Environmental Protection Agency, Corps of Engineers, and the Federal Emergency Management Agency, to ensure we understand their priorities and objectives with each grant program. We also closely monitor grant announcements from each federal agency, including funding opportunities coming from the Infrastructure Investment and Jobs Act, and will work with the City to help build support for grant applications.
These are examples of our work for counties and cities.
Public Søfetv. Public safety and criminal justice programs are critically important to Torrance and its citizens. Whether it is identifying federal sources of funding for violence prevention and reduction programs, taking advantage of Department of Justice grant opportunities, or enhancing emergency preparedness, we will help the City secure funds to maintain and improve public safety services.
VSA has helped its clients obtain public safety and disaster response funding through the Department of Justice and other federal safety agencies. We will use our expertise and relationships with agency officials to help secure public safety funds for Torrance and help ensure that the Attorney General does not withhold federal public safety funds over unrelated policy issues. Listed below are several successes that VSA has had with our client municipalities.
VSA works closely with the Department of Justice's Community Oriented Policing Services program, the Byrne Local Law Enforcement Assistance program, the Juvenile Justice grant program, and the Justice Assistance Grant program, all of which will help in securing competitive grant funds to reinforce safer neighborhoods. VSA has been successful in helping to secure these grant funds: $2 million for the City of Elk Grove, CA from the COPS Hiring program to hire eight police officers; $53,31 I for the City of East Point, Georgia for its body-worn camera program; and $1.25 million for El Paso County, in Texas to hire 10 additional police officers. a
a 'We have demonstrated creative ways to secure funding for municipalities with their crime prevention efforts by targeting education and recreation funding. These include $500,000 for the City of South Salt Lake in Utah to improve after-school programs targeted at youth susceptible to joining gangs. We also helped a California non- profit secure $476,000 to provide free afterschool tutoring and recreation programs for at-risk youth.
Transportøtion ønd Infrastructure. One of the VSA team's strengths is in helping secure funds for transportation projects. VSA's David Haines, Steve Palmer, and Jim Crum have advocated for municipalities, counties, and local transportation agencies for 45 cumulative years. Mr. Palmer also served as USDOT Assistant Secretary for Governmental Affairs for five years, giving our team, the experience needed to help the City of Torrance secure transportation and I
55 transportation alternatives funding. VSA will bring extensive experience to help secure funds for the City's trails, bike/pedestrian, and streetscaping projects, as well as other transportation needs. These are a few of VSA examples of successfully advocating for our clients on transportation issues.
VSA helped Washington County secure a TIGER VI grant award of $10.1 million to build an Active Traffic Management project. We helped the County secure Federal Highway Administration (FHWA) funding for Highway 217 corridor improvements.
VSA has helped secure a FHWA grant of $128 million to widen l-215 in the County of San Bernardino, in Southern California, as well as a $33.8 million DOT TIGER II grant for grade separation project. In addition, our research into the eligibility of federal grant programs helped the County transportation agency win an FHWA grant for an Interstate project that the local transportation agency did not know it was eligible.
VSA successfully advocated for $75 million for the City of Tempe's Streetcar project from the Department of Transportation and the appropriations by Congress.

Housing qnd Economic Development VSA has the experience needed to help the City with housing and economic development programs, supporting the City's efforts to ensure the availability of low-income housing. On an annual basis, we actively advocate for increased funding in the Community Development Block Grants (CDBG) program, the HOME Partnership program, and the Promise Zone program. We will use our experience in economic development projects to find funding opportunities that will assist the City. VSA has been successful in securing housing and economic development grants for our clients, including:
Secured $2 million in a TIGER II HUD Planning grant funds for Washington County, which was used to help develop plans to connect housing, employment, and economic development with transportation improvements.
On behalf of San Diego County, VSA advocated for increased funding for HUD's Continuum of Care homeless funding, as well as an update to the formula to fairly represent California's homeless needs. VSA works regularly with HUD's Assistant Secretary for Community Development on housing and economic development issues.
Assisted in securing Economic Development Administration grants and Section 108 (HUD) loans for numerous projects in California and Utah, including downtown revitalization in Stockton, brownfields cleanup in Seattle, and establishment of an industrial park in West Valley City. This expertise with brownfields cleanup and development is important for the City and we will work proactively with the City to secure Federal funds to complete these projects.
VSA helped San Diego County secure over $3 million in Veterans Transportation and Community Living Initiative grants from the Federal Transit Administration. a
a
a
Water and Environment VSA has been active in helping communities with public utility issues, including water quality monitoring, flood control, storm water management, and improvement of wastewater treatment systems. VSA has extensive experience working closely with the Army Corps of Engineers, the Bureau of Reclamation, the U.S. Fish and Wildlife Service, and EPA.
Working with the County of Orange, VSA helped secure congressional authorization for the Westminster East Garden Grove flood control project. Similarly, we worked with Representative Ken Calvert to secure an agreement with Congress and Corps of Engineers that has provided hundreds of millions of dollars for the Santa Ana River Mainstem flood control project.
For the City of Palo Alto, VSA worked with the Army Corps of Engineers and we were able to secure $646,000 for the San Francisquito Creek project. This enabled moving towards completion of the feasibility study phase of the project.
VSA has represented Clean Water Services (CWS), located outside of Portland, Oregon for a decade, working primarily on the seismic improvements and additional water storage capacity of Scoggins Dam, which the Bureau I
56 of Reclamation has called one of the most at-risk facilities in their inventory. VSA helped CWS obtain joint project authority language in the FY 2016 Omnibus appropriations bill that enabled the Bureau to increase water capacity at Scoggins Dam. In FY 2017, Congress appropriated $2 million to continue the environmental review process.
Appropriations ønd Reauthorization For more than 30 years, VSA has been one of Washington D.C.'s premier appropriations firms. This has included helping municipalities to secure congressional earmarks and also helping to ensure funding for programmatic priorities for our municipal clients. With earmarks now back in FY 2022 and FY 2023, we will help maximize the opportunity for funding and garnering the strong support of the City's delegation.
Once Congress has completed its annual appropriations work, VSA will help the City compete for discretionary grants at each of the Executive Branch departments and agencies. We track grant opportunities and talk regularly with agency officials to understand their priorities in deciding which applicants should receive funding. We will help match the City's highest priority needs with funding opportunities, striving to ensure the greatest opportunities for success. We will also work with Representatives Lieu and Waters and Senators Padilla and Feinstein to build support for grant applications, in the form of letters and calls to senior Cabinet decision makers.
The VSA team proposed for the City has worked extensively to secure provisions in various infrastructure, transportation, and housing authorization bills and we will do so for the City VSA advised the City of Torrance, CA on FY 2022 appropriations and earmarks. The City was able to secure $938,000 through the Environmental Protection Agency's STAG program for the Torrance Airport Storm Water Basin project. The City was also able to secure $1,000,000 through the Department of Housing and Urban Development's Community Development Fund to help the Torrance Homelessness Response project. In addition to providing analysis and updates to the City on FY 2022 earmarks, VSA advocated for these projects to the Congressional delegation on behalf of the City.

VSA has helped the City of Rancho Cucamonga pursue various opportunities through the Institute for Museum and Library Services and National Endowment for the Arts to grow the City's Second Story and Beyond project.
In FY 2022,VSA helped the City of Rancho Cucamonga, CA secure $1 million for STEM-related museum exhibits and educational programming for the Second Story and Beyond project.
As efforts continue around the country on police reform, the City of Palo Alto, CA has pursued federal funding to help create a Crisis Assistance Helping Out on the Streets (CAHOOTS) program to rely on public health professionals rather than police for certain emergency calls. VSA helped the City of Palo Alto secure $2 million to advance the program.
VSA helped the City of Modesto, CA secure $500,000 in the FY 2022 appropriations bill for their Camp2Home project. The project is a comprehensive pilot response to homelessness that includes moving homeless into employment and permanent housing.

Summary of proposed plan to meet City's objective:
In the space below, please describe in detail the methodology you will be utilizing to conduct for each objective.
VSA Team Oualifications
Given the constantly shifting legislative landscape, the City's advocacy cannot hinge on any one program or funding source or be limited to a handful of federal officials. VSA is committed to continuing to help the City engage with Executive Branch officials, Members of the Torrance and California congressional delegations, and key leadership and committee contacts to ensure that the City is pursuing every available option to advance its federal agenda in both the long and short term. VSA will continue to work closely with the Mayor, Council Members, and the City Manager's team to ensure that we understand your priorities, continue to track and monitor these issues in the Congress and the Administration, and help to develop a plan to address those priorities.
The VSA team who will work with the City of Torrance is outlined in detail below and will be led by Associate Vice President David Haines, who will lead all advocacy efforts and will report directly to City officials. Mr. Haines will be responsible for coordinating all lobbying and utilizing the relationships and knowledge of all 60 people at VSA, if needed to help in our advocacy for the City. You will know exactly who is in charge of your federal advocacy and will have direct accountability for the work being performed. A key part of the VSA team for Torrance will continue to be Steve Palmer, VSA Vice President, and we will also add to the team VSA Vice President Jim Crum. Mr. Palmer has worked on the City's federal priorities for more than six years and understands the City's needs. Jim Crum works extensively with local governments with a focus on water projects and emergency response.
All the work proposed by VSA will be performed by our principals and legislative staff. We do not intend to utilize subcontractors. Regardless of who is in control of the White House and Congress, VSA has the relationships to ensure that Torrance has access to leaders in both parties.
The following are biographical summaries of the team members of Van Scoyoc Associates David Haines, Associate Vice President, will serve as the team leader and a primary consultant for City of Torrance. Mr. Haines understands the needs of cities as he not only advocates for the City of Torrance, but also the California cities of lrvine, Rancho Cucamonga, Palo Alto, and Modesto on legislative initiatives, appropriations, competitive grants, and administrative actions.
Prior to joining VSA in2013, he spent almost five years working in the Senate and House of Representatives. After working almost two years with a Republican Congressman who was a senior Member of the House Ways and Means Committee, Mr. Haines served as Legislative Assistant to former Republican Senator, Kay Bailey Hutchison, a senior member of the Senate Appropriations Committee. He was the policy adviser on a variety of issues, including appropriations.
Mr. Haines works extensively with the municipal and county clients at VSA, including the City of Torance. During his nine years at VSA, he has worked with clients to successfully secure earmarks, carry their message to Capitol Hill, analyze legislation, draft letters of support for competitive grant applications, draft statements for hearings, and brief client board members.
Mr. Haines is a graduate of Texas A&M University with a B.A. in Communication and a certificate in Security Studies from the National Defense University.

VSA Proposed PIan for Torrance
Washington, D.C. has seen significant changes in advocacy in recent years. Securing federal funding or affecting legislation and regulations now requires an understanding of the environment and an ability to work with the Biden Administration, federal agency staff, and flexibility to work with the Congress no matter what party is in control. Your federal advocates need to understand every aspect of working with your congressional delegation, the leadership of congressional committees, and federal agency staff. They need to have the ability to access a Senator's office, understand program requirements, prepare detailed legislative submissions, and be aware of how policy proposals will affect the City, For these reasons, securing the federal resources needed to advance City of Torrance's priorities will require vigilance, expeftise, and a coordinated and sustained effort. During the next several years, there is an unprecedented amount of 13 60
federal funding that has been authorized through the Infrastructure Investment and Jobs Act. Securing these opportunities are based on both an agency program level of expertise but also a complementary legislative strategy that will support your eligibility and funding goals. VSA has the expertise needed to succeed in the current environment.
The City of Torance's proposed VSA team is very attuned to the City's priorities and well-positioned to continue to help define federal goals and objectives, develop strategies to achieve those objectives, and undertake the work necessary to be successful. Outlined below is the approach that VSA will take in assisting the City to secure federal project funding and policy initiatives.
Advocate
Through more than seven years of federal advocacy for the City, we understand many of the key issues facing Torrance and we hope to continue to work on the City's federal agenda. VSA will assist the City in developing and continuing the strong relations with the City's congressional delegation, congressional leaders, the Biden administration, and federal agencies.
Through our work with the City and other California clients, VSA has strong relationships with the offices of Senator Dianne Feinstein, Senator Alex Padilla, and Representatives Ted Lieu and Maxine Waters. We will provide liaison services as needed to the congressional committees to implement the City's legislative strategy. We will also reach out to other congressional offices in the broader California congressional delegation on issues of regional significance such as transportation, emergency response, veterans and the Armed Forces Day Parade, climate change, public safety, and housing.
VSA's principals also have extensive experience working with Executive Branch departments and agencies, having either worked at them in senior staff positions or with them to help clients resolve policy or regulatory issues. We know how to help the City navigate the policy, budgetary, and legislative processes to secure grants and address changes in regulations.
We have worked issues from the lowest levels of an agency through the Office of Management and Budget and the White House.
Deliverable: VSA will keep Representatives Waters and Lieu and the California Senators abreast of the City's funding and legislative priorities. In addition, VSA will help raise the City's profile among the congressional committees and federal agencies, making the City more competitive for grant funding and ensuring that legislation addresses the City's needs. We will work with the City leadership team to identify and aggressively pursue funding opportunities in the upcoming appropriations bills and the Infrastructure Investment and Jobs Act.
The proposed VSA team will advocate for a comprehensive set of issues on behalf of Torrance. Over the last seven years, VSA has advocated on behalf of the City of Torrance on issues such as transportation and infrastructure, stormwater and wastewater, COVID-19 response and recovery, public safety, Armed Forces Day, and community services.
a
o
Transporta.tion ønd Infrastructør¿. VSA has actively sought funding for projects such as the Torrance Transit Park and Ride Regional Terminal, Torrance to Florence, and the funding for zero-emission battery-electric buses. We also strongly advocated for the City on the reauthorization of the FAST Act and continuation of the Highway Trust Fund.
Wqter. VSA has worked with the City and the Public Works Department to improve and create opportunities for the City regarding water projects. VSA has worked with the City's congressional delegation, Bureau of Reclamation, and the Environmental Protection Agency to try to identify funding opportunities for the City to address the Torrance Airport Storm Water Infiltration Project, the Anza Laferal On-Site Retrofit Project, the South High Storm Drain Channel, and Van Ness Well Field. After extensive work to address the stormwater basin at the Torrance Airport, City was able to secure almost $1 million for the project in fiscal year 2022 but there is still work to be done across the City.
COVID-I9 Response and Recovery. VSA will continue to advocate for funding to support the City's COVID-19 response and recovery. Recently, VSA's team blocked efforts to pull funding from the American Rescue Plan Act's State and Local Funding Coronavirus Fiscal Recovery Fund. The City of Torrance will receive over 524 million from the Fund and VSA will continue to protect any federal efforts to divert that funding. Furthermore, during the pandemic, VSA provided almost daily updates to the City on the constantly shifting federal landscape and response to COVID-19. 14 o
61 o Public Søfety. VSA will continue to advocate on various public safety issues for the City of Torrance.
VSA has worked with Torrance Police Department on issues ranging from Armed Forces Day to implementation of the City's Unmanned Aerial Vehicles (UAVs) program. As the City has continued to be a national leader on UAVs, the VSA team has worked with the Congress and the Department of Transportation to advance guidance for local governments and UAV usage. VSA has also advocated for issues such as improved training opportunities for fair and impartial training for Torrance PD. o Armed Forces Døy. As Torrance is one of the few cities nationwide sanctioned by the Department of Defense to honor our Armed Forces through an annual Armed Forces Day, VSA has had the privilege to support the City's efforts. VSA has advocated for military support, personnel, flyovers, and exhibits for the Armed Forces Day Parade and Celebration. Through our advocacy, we have worked with the United States Army, United States Marine Corps, and the United States Cost Guard to help facilitate communication and gamer congressional and Department of Defense support for Armed Forces Day.
While the Department of Defense has shifted effofts for Armed Forces Day to regional support, VSA's team is prepared to help with communication and other needs for the special event. o Community Services. As the City of Torrance continues to expand the City's farmers market, VSA worked with the City's Congressional delegation, the Senate Committee on Agriculture, and the Torrance Community Services Department to maintain and improve the Local Agriculture Market Program in the Farm Bill as House Republicans hoped to eliminate the language and program. VSA has also worked with the Appropriations Committees to help improve opportunities for the City to advance the Torrance Park Renovation and community walkways.
C ommunícatio n and Strate gic Intelligenc e
With the resources of 60 legislative experts who are working daily with the Congress and federal departments of agencies, VSA has the resources and commitment to provide up-to-the-minute information and analysis to City staff and elected officials. We will identify and define short and long-term funding trends well before they become apparent and identify the intersection of the City's priorities and federal opportunities. We will work with the City's congressional delegation and their staff, key authorizing committees, and officials at the federal departments and agencies to emphasize your budget and policy priorities, and in that context, help shape your legislative strategy.
Communication is critical to the success of any relationship. VSA prides itself on ensuring that the client has the most up- to-date information available and that opportunities and progress toward achieving them are well understood. VSA will continue communication with City staff, including regular emails and calls with the City Manager's Office. We are committed to visit the City of Torrance at least once each year to meet with the City Manager, Mayor, and Councilmembers to discuss the status of the City's federal goals and objectives, as well as what can be expected from the federal government during the next year. Additional visits are possible on a more targeted basis.
Deliverable: VSA will continue work with the City to draft and implement a federal advocacy and action plan VSA will prepare and submit regular reports on activities and meetings, as well as time-sensitive reports on federal activities that affect each part of this process. This will include summaries of congressional hearings, committee meetings, floor debates, regulatory and rulemaking actions, budgetary proposals, and third-party analysis of issues of concern. VSA will also draft legislation as needed, analyze relevant federal proposals, and prepare briefings and updates for dissemination to City elected officials and staff.
Strategíc Partnershíp s
VSA will work with the City to build and communicate local grassroots support for each project to demonstrate local needs and benefits. VSA will work with local partners to communicate their support of City of Torrance's priorities to the City's congressional delegation. VSA will also work to mobilize the support of regional and national coalitions. VSA currently coordinates with organizations such as the National League of Cities and U.S. Conference of Mayors.
Deliverable: VSA will advocate for City of Torrance's interests with relevant national organizations and other interested parties to ensure that the City's interests are reflected in the broader efforts of these associations.
VSA's activities with these partnerships will be reported as part of the regular updates to the City. a

Coordínation of Washington, D.C. Lobby Trip
VSA will handle all aspects of the City's Washington, D.C. lobby trips, including possible organization of digital meetings as the COVID-19 pandemic continues to impact some in-person meetings. Prior to the City's arrival in Washington, D.C., VSA will prepare a list of potential meetings for City staff and elected officials to attend. Once the City has reviewed and approved the potential meeting list, VSA will schedule all meetings on Capitol Hill as well as with the federal agencies. Upon arrival in Washington, D.C., VSA will brief City officials prior to our meetings to ensure that the proper message and tone is conveyed in each meeting. We will attend all meetings and complete all follow-up items resulting from the meetings.
Deliverable: VSA will organize, schedule, and attend to all aspects of the City's federal advocacy trips, including potential digital advocacy meetings, and will accompany City officials to each meeting. While COVID- 19 has upended the traditional client visits over the last two years, VSA will also attend or digitally attend meetings with or on behalf of the City at federal offices or other locations, as appropriate. VSA will provide City elected officials and staff visiting Washington, D.C. with talking points, briefing materials, workspace, phone/fax, Internet/email, temporary storage, and access to ground transportation.
Grønt and Earmark Support
VSA is well-positioned to help the City navigate an environment in Washington, D.C. where federal agencies have discretion to award most of the available federal grant funds. We can help the City manage the policy, budgetary and legislative processes to secure grants. VSA is prepared to provide appropriate counsel about grant applications and to engage the support of congressional offices for the City's grant applications. We can also explore new initiatives with federal agencies, allowing the City to develop programs and projects consistent with federal objectives. Should the City submit a grant application and is unsuccessful, VSA can also ariange a debriefing with the respective federal agency to ascertain how the City can submit a more competitive application in the future. VSA is frequently in contact with grant- making agencies and we are often made aware of new funding opportunities before they are publicly released. VSA will share this information with the City.
An example of new funding that VSA will help the City pursue is the funding provided through the Infrastructure Investment and Jobs Act (IIJA), also know as the Bipartisan Infrastructure Law. IIJA represents a once in a generation federal investment of more than $1 trillion that crosses virtually every sector of our economy. During the next five years, IIJA will make available unprecedented levels of competitively awarded funding from a myriad of agencies throughout the federal government. VSA is closely tracking these opportunities. Coupled with analysis from the proposed team and firm-wide policy experts, VSA can provide a real-time competitive advantage to best position the City of Torrance - and its time and resources - to successfully compete for these federal funds. Identifying new IIJA grant opportunities that range from street improvements to environmental programs will utilize the VSA team's breadth and depth of knowledge with respect to federal funding. Our team will:
r Pulse our networks to ensure we are among the first to know about agency announcements; o Provide insight and analysis about overarching administration and agency objectives, the pace of funding opportunity announcements, eligibility, levels of funding, and match requirements; and o Monitor Congressional action and oversight for additional information about these opportunities.
Our knowledge of IIJA, network of contacts, federal experience, policy expertise, and analytical ability, will help the City identify opportunities and where the City is likely to be most competitive, Congressionally directed spending, or earmark spending, is another way to secure federal funding that Torrance and other municipalities utilized in fiscal year 2022 appropriations. We were proud to advise City officials on earmarks that will provide Torrance with almost $2 million to help address homelessness and stormwater needs. VSA is well-positioned to help the City pursue earmarks in fiscal year 2023 through Senators Feinstein and Padilla, as well as Representatives Waters and Lieu.
Deliverable: VSA will provide the City with a forecast of grant announcements allowing adequate time for consideration and developing grant capturing strategies. Additionally, VSA will provide support to the City on federal grant applications, including reviewing grant applications for appropriate references that will help increase their competitiveness and will work to secure congressional letters of support. VSA will also closely track new 16 a
a
63 funding in the new Infrastructure Investment and Jobs Act to help the City pursue these new federal opportunities.
Furthermore, VSA will continue to work with the City to secure federal earmarks for City priorities such as the Van Ness Well Field Project or other funding needs.
Legislation and Reguløtíons Resedrch and Tracking
VSA will monitor all legislation and federal agency actions important to the City. Based on City priorities, VSA will track the progress of legislation and advocate the City's position on pending legislation, seeking to introduce, revise, or halt bills that adversely affect the City. Similar to the full engagement in the legislative process, VSA will monitor regulations and policies developed in the federal agencies. We will confer with agency officials to ensure that the City's concerns are addressed. We have drafted comments for our clients and otherwise influenced federal actions in such diverse matters as floodplain management, stormwater, law enforcement, emergency response and preparedness, transportation, airport noise, and the environment.
VSA will also provide research for City of Tonance on new or pending legislation, policies, and regulations that impact City of Torrance. Currently, VSA provides the City with regular research on federal bills, congressional hearings, regulations, and other research as requested by City officials.
Deliverable: VSA will research and monitor the status of all federal legislation and regulatory actions important to City of Torrance. VSA will send updates to the City when legislation or regulations that could impact the City is moving on Capitol Hill and report on meetings, we have had to influence these initiatives. We will draft and review letters, official comments, briefing papers, amendments, and legislative report language to address the City's concerns.

Recently, the Federal Transit Administration announced that Torrance Transit would receive $6,280,000 through the Bus and Bus Facility program to purchase zero-emission battery-electric buses. Additionally, VSA successfully advocated for two grants from the Department of Justice under the Byrne Memorial Justice Assistance Grant program for over $30,000. VSA also helped the City secure $115,513 in funding through a grant for the Torrance Certified Farmers' Market through USDA's Farmers' Market Promotion Program. These were for Drug Courts and the Sexual Assault Kit Initiative.
San Diego County, California. In2017, VSA helped San Diego County secure more than $484,000 from the Department of Justice for its Smart Prosecution Program, as well as $218,000 for County's Sheriff Department's Capacity Enhancement and Backlog Reduction Program.
Orange County, California. VSA helped the County of Orange, CA secure $7,000,000 in the FY 2022 appropriations bills for the County's Be Well South project and a Coordinated Reentry Center. The Coordinated Reentry Center will provide post-custody behavioral health services, residential treatment programs, public assistance support, job skills training/placement, basic needs classes, and linkages to additional community-based 19 66
support programs to facilitate reintegration back into the local community. We also helped the County to secure an agreement with Congress and Corps of Engineers that has provided hundreds of millions of dollars for the Santa Ana River Mainstem flood control project.
Sonoma-Marin Area Rail Transit. VSA worked with the Trump Administration, which awarded $20 million in 2018 for a two-mile extension of the SMART rail line. VSA also helped SMART secure a $5,000,000 grant from DOT for the installation of positive train control along its 43-mile operational segment.
Dallas Area Rapid Transit. VSA has advocated for DART for over 20 years. In 2018, we helped DART secure a $9.5 million grant from DOT for the installation of positive train control. Late in 2018, VSA successfully helped DART secure approval of a $908 million Railroad Rehabilitation and Improvement Financing loan for the Cotton Belt commuter rail line.
