DISCUSSION
Established in 2016, the City of Torrance Coyote Management Program provides education on urban coyote behavior and safety as well as tools for residents and business-owners to minimize nuisance coyote interactions. Program activities are guided by the Coyote Management Plan. The Plan aims to conduct sound, safe, and responsive coyote management to reduce human-coyote conflicts, as well as conduct coyote control activities in accordance with federal, state, and local laws and regulations. In response to resident concerns, the City implemented a communication infrastructure to report coyote activity. The wide range of methods enables the City to collect data and provide coyote safety information to members of the community. The plan also includes the use of year-round coyote abatement services.

ONGOING ACTIVITIES & PRACTICES:
•Manage coyote abatement vendor services in compliance with the California Department of Fish and Wildlife laws and guidelines.
•Compile, manage, and organize reports from the coyote abatement vendor and those submitted by residents via official City communication channels, including the coyote management portal, 24-hour coyote hotline, Animal Control, and public safety dispatch. •Produce weekly and monthly Coyote Activity Reports, as well as publish and archive reports on the City website.
•Follow-up with residents to provide education tailored to their specific coyote encounter. •Produce GIS maps to analyze coyote encounters by season, location, and type; create and publish coyote fact sheets & educational displays highlighting seasonal coyote 1 10F

• Attend California Department of Fish and Wildlife urban coyote trainings. Share educational materials created in-house with neighboring South Bay cities. • Update the Coyote Management Plan with updated and improved wildlife management best practices and protocols.

PROGRAM ENHANCEMENTS:
• Coyote Reporting and Tracking Update: Information Technology (IT) Department exploring in-house data platforms to manage public reporting to replace 3 rd party vendor.

The update would include reporting of coyote related community matters via Torrance City Website and MyTorrance App.
• Host the South Bay Regional Agency Coyote Management Meeting • Collaborate with Communications Division to produce Public Service Announcements • Develop presentations tailored to specific audiences and topics, including Hazing Coyotes Workshop and a Coyote 101 Wildlife Safety presentation for youth • Add a map of the reported coyote activity to the City website • Increase collaboration and information sharing with Animal Control and Park Rangers It is the recommendation of the Community Services Director that Your Honorable Body accept and file the Coyote Management Plan update and provide direction on continuing coyote abatement services.

CONTRACTOR has submitted a Quote ( the " Quote") in response to the RFQ. ln its Quote, CONTRACTOR represents that it is qualified to perform those services requested in the RFQ. A true and correct copy of the Quote is attached herein as Exhibit B.

Based upon its review of all quotes submitted in response to the RFQ, CITY now wishes to award this Agreement to CONTRACTOR.

AGREEMENT:

SERVICES TO BE PERFORMED BY CONTRACTOR
CONTRACTOR will provide the services and installthose materials listed in CONTRACTOR' s Quote submitted in response to the RFQ. A true and correct copy of the RFQ is attached herein as Exhibit A. A true and correct copy of the Quote is attached herein as Exhibit B. CONTRACTOR warrants that all work and services set forth in the Quote will be performed in a competent, professional and satisfactory manner.

3. COMPENSATIONA. CONTRACTOR' s Fee
For services rendered pursuant to this Agreement, CONTRACTOR will be paid in accordance with the prices set forth in the Quote; provided, however, that in no event will the total amount of money paid CONTRACTOR, for services initially contemplated by this Agreement, exceed the sum of $ 79, 200 (" Agreement Sum"), unless othenryise first approved in writing by CITY.

B. Schedule of Payment.

Provided that CONTRACTOR is not in default under the terms of this Agreement, upon presentation of an invoice, CONTRACTOR will be paid the fees described in Paragraph 3. A. above, according to the Compensation Schedule. Payment will be due within 30 days after the date of the invoice.

4. TERMINATION OF AGREEMENT
A. Termination by CITY for Convenience
CITY may, at any time, terminate the Agreement for CITY' s convenience and without cause.
2 Upon receipt of written notice from CITY of such termination for CITY' s convenience, CONTRACTOR will:
cease operations as directed by CITY in the notice;
take actions necessary, or that CITY may direct, for the protection and preservation of the work; and
except for work directed to be performed prior to the
effective date of termination stated in the notice, terminate all existing subcontracts and purchase orders and enter into no further subcontracts and purchase orders.
ln case of termination for CITY' s convenience, CONTRACTOR will be entitled to receive payment for work executed, together with costs incurred by reason of the termination, along with reasonable overhead and profit on work not executed.

B. Termination for Cause
lf either party fails to perform any term, covenant or condition in this Agreement and that failure continues for 15 calendar days after the nondefaulting party gives the defaulting party written notice of the failure to perform, this Agreement may be terminated for cause; provided, however, that if during the notice period the defaulting party has promptly commenced and continues diligent efforts to 1 a

29 remedy the default, the defaulting party will have such additional time as is reasonably necessary to remedy the default.
ln the event this Agreement is terminated for cause by the default of CONTRACTOR, CITY may, at the expense of CONTRACTOR
and its surety, complete this Agreement or cause it to be completed. Any check or bond delivered to the CITY in connection with this Agreement, and the money payable thereon, will be forfeited to and remain the property of the CITY. All moneys due CONTRACTOR under the terms of this Agreement will be retained by CITY, but the retention will not release CONTRACTOR and its surety from liability for the default. Under these circumstances, however, CONTRACTOR and its surety will be credited with the amount of money retained, toward any amount by which the cost of completion exceeds the Agreement Sum and any amount
authorized for extra services.

Termination for cause will not affect or terminate any of the rights of CITY as against CONTRACTOR or its surety then existing, or that may thereafter accrue because of the default; this provision is in addition to all other rights and remedies available to the CITY under law.

C. Termination for Breach of Law
ln the event CONTRACTOR or any of its officers, directors, shareholders, employees, agents, subsidiaries or affiliates is convicted ( i) of a criminal offense as an incident to obtaining or attempting to obtain a public or private contract or subcontract, or in the performance of a contract or subcontract; ( ii) under state or federal statutes of embezzlement, theft, forgery, bribery, falsification or destruction of records, receiving stolen property, or any other offense indicating a lack of business integrity or business honesty that currently, seriously, and directly affects responsibility as a public consultant or contractor; ( iii) under state or federal antitrust statutes arising out of the submission of bids or proposals; or ( iv) of violation of Paragraph 19 of this Agreement; or for any other cause CITY determines to be so serious and compelling as to affect CONTRACTOR' s responsibility as a public consultant or contractor, including but not limited to, debarment by another governmental agency, then CITY reserves the unilateral right to terminate this Agreement or to impose such other sanctions ( which may include financial sanctions, temporary suspensions or any other condition deemed appropriate short of termination) as it deems proper. CITY will not take action until CONTRACTOR has been given notice and an opportunity to present evidence in mitigation.

30 5. FORCE iIAJEURE
lf any party fails to perform its obligations because of strikes, lockouts, labor disputes, embargoes, acts of God, inability to obtain labor or materials or reasonable substitutes for labor or materials, governmental restrictions, governmental regulations, governmental control, judicial orders, enemy or hostile governmental action, civil commotion, fire or other casualty, or other causes beyond the reasonable control of the party obligated to perform, then that party' s performance will be excused for a period equal to the period of that cause for failure to perform.

RETENTTON OF FUNDS
CONTRACTOR authorizes CITY to deduct from any amount payable to CONTRACTOR ( whether or not arising out of this Agreement) any amounts the payment of which may be in dispute or that are necessary to compensate CITY for any losses, costs, liabilities, or damages suffered by CITY, and all amounts for which CITY may be liable to third parties, by reason of CONTRACTOR' s acts or omissions in performing or failing to perform CONTRACTOR' s obligations under this Agreement. ln the event that any claim is made by a third party, the amount or validity of which is disputed by CONTRACTOR, or any indebtedness exists that appears to be the basis for a claim of lien, CITY may withhold from any payment due, without liability for interest because of the withholding, an amount sufficient to cover the claim. The failure of CITY to exercise the right to deduct or to withhold will not, however, affect the obligations of CONTRACTOR to insure, indemnify, and protect CITY as elsewhere provided in this Agreement.

7. CITY REPRESENTATIVE
Vic Arevalo, Ranger Supervisor, and John La Rock, Community Services Director, are both designated as the " City Representative", authorized to act in its behalf with respect to the work and services specified in this Agreement and to make all decisions in connection with this Agreement. The City Manager has the right to designate another City Representative at any time, by providing notice to CONTRACTOR.

The following principal( s) of CONTRACTOR are designated as being the principal( s) and representative( s) of CONTRACTOR authorized to act in its behalf with respect to the work specified in this Agreement and make all decisions in connection with this Agreement:

9. CONTRACTOR is, and at all times will remain as to CITY, a wholly independent contractor. Neither CITY nor any of its agents will have control over the conduct of CONTRACTOR or any of CONTRACTOR' s employees, except as otherwise set forth in this Agreement. CONTRAGTOR' s agents and employees are not and 100a772741 4

CONTRACTOR may not, at any time or in any manner, represent that it or any of its agents or employees are in any manner agents or employees of CITY. CITY has no duty, obligation, or responsibility to CONTRACTOR' s agents or employees under the Affordable Care Act. CONTRACTOR is solely responsible for any tax penalties associated with the failure to offer affordable coverage to its agents and employees under the Affordable Care Act and any other liabilities, claims and obligations regarding compliance with the Affordable Care Act with respect to CONTRACTOR' s agents and employees. CITY is not responsible and shall not be held liable for CONTRACTOR' s failure to comply with CONTRACTOR' s duties, obligations, and responsibilities under the Affordable Care Act. FAMILIARITY WITH WORK
By executing this Agreement, CONTRACTOR warrants that CONTRACTOR ( a) has thoroughly investigated and considered the scope of services to be performed, ( b) has carefully considered how the services should be performed, and ( c) fully understands the facilities, difficulties and restrictions attending performance of the services required under this Agreement. lf the services involve work upon any site, CONTRACTOR warrants that CONTRACTOR has or will investigate the site and is or will be fully acquainted with the conditions there existing, prior to commencement of the services set forth in this Agreement.

Should CONTRACTOR discover any latent or unknown conditions that will materially affect the performance of the services set forth in this Agreement, CONTRACTOR must immediately inform Clry of that fact and may not proceed except at CONTRACTOR' s risk until written instructions are received from CITY.

I3. CARE OF WORK
CONTRACTOR must adopt reasonable methods during the term of the Agreement to furnish continuous protection to the work, and the equipment, materials, papers, documents, plans, studies and other components to prevent losses or damages, and will be responsible for all damages to persons or property, until acceptance of the work by CITY, except those losses or damages as may be caused by CITY' s own negligence.

Payment by CITY is not a condition precedent to enforcement of this indemnity. ln the event of any dispute between CONTRACTOR and CITY, as to whether liability arises from the sole negligence of City Affiliates, CONTRACTOR will be obligated to pay for the defense of City Affiliates until such time as a finaljudgment has been entered adjudicating City Affiliates as solely negligent. Project Background:

The Community Services Department currently contracts a vendor for coyote trapping services to mitigate potential human- coyote conflict and curb potential dangers caused by coyotes for the sake of increasing public safety. Since 2015, the City has experienced an increase in reported urban coyote activities within its boundaries affecting residents and their pets. These activities include observations of coyotes in neighborhoods, along public streets, in residential yard areas, parks, and green spaces. Coyote sightings and attacks have been raised as a serious issue of concern by residents. To help resolve this issue, the City created its first Coyote Management Plan ( Plan) in 2016, which remains in effect updated in 2019).

The stated goal of the Plan is to conduct sound, safe, and responsive coyote management to assist the City in resolving human- coyote conflicts, as well as to conduct coyote control activities in accordance with applicable federal, state, and local laws and regulations. The Plan focuses on providing tools and education for residents, business- owners, and the community to understand what to do if they encounter a coyote and how to minimize nuisance coyote interactions.
