B. Schedule of Payment.
Provided that CONSULTANT is not in default under the terms of this Agreement, upon presentation of an invoice, CONSULTANT will be paid the fees described in Paragraph 3.4. above, according to the Compensation Schedule. Payment will be due within 30 days after the date of the invoice.
TERMINAT¡ON OF AGREEMENT
A. Termination by Clry for Convenience
CITY may, at any time, terminate the Agreement for CITY's convenience and without cause.
2 Upon receipt of written notice from CITY of such termination for CITY's convenience, CONSULTANT will:
cease operations as directed by CITY in the notice;
take actions necessary, or that CITY may direct, for the protection and preservation of the work; and
except for work directed to be performed prior to the
effective date of termination stated in the notice, terminate all existing subcontracts and purchase orders and enter into no further subcontracts and purchase orders.
ln case of termination for CITY's convenience, CONSULTANT will be entitled to receive payment for work executed, together with costs incurred by reason of the termination, along with reasonable overhead and profit on work not executed.
B. Termination for Cause
lf either party fails to perform any term, covenant or condition in this Agreement and that failure continues for 15 calendar days after the nondefaulting party gives the defaulting party written notice of the failure to perform, this Agreement may be terminated for cause; provided, however, that if during the notice period the defaulting party has promptly commenced and continues diligent efforts to remedy the default, the defaulting party will have such additional time as is reasonably necessary to remedy the default.
ln the event this Agreement is terminated for cause by the default of CONSULTANT, Clry may, at the expense of CONSULTANT
and its surety, complete this Agreement or cause it to be 1 a.

completed. Any check or bond delivered to the CITY in connection with this Agreement, and the money payable thereon, will be forfeited to and remain the property of the CITY. All moneys due CONSULTANT under the terms of this Agreement will be retained by CITY, but the retention will not release CONSULTANT and its surety from liability for the default. Under these circumstances, however, CONSULTANT and its surety will be credited with the amount of money retained, toward any amount by which the cost of completion exceeds the Agreement Sum and any amount
authorized for extra services.
Termination for cause will not affect or terminate any of the rights of CITY as against CONSULTANT or its surety then existing, or that may thereafter accrue because of the default; this provision is in addition to all other rights and remedies available to the CITY under law.
C. Termination for Breach of Law.
ln the event CONSULTANT or any of its officers, directors, shareholders, employees, agents, subsidiaries or affiliates is convicted (i) of a criminal offense as an incident to obtaining or attempting to obtain a public or private contract or subcontract, or in the performance of a contract or subcontract; (ii) under state or federal statutes of embezzlement, theft, forgery, bribery, falsification or destruction of records, receiving stolen property, or any other offense indicating a lack of business integrity or business honesty that currently, seriously, and directly affects responsibility as a public consultant or CONSULTANT; (iii) under state or federal antitrust statutes arising out of the submission of bids or Quotes; or (iv) of violation of Paragraph 19 of this Agreement; or for any other cause CITY determines to be so serious and compelling as to affect CONSULTANT's responsibility as a public consultant or CONSULTANT, including but not limited to, debarment by another governmental agency, then CITY reserves the unilateral right to terminate this Agreement or to impose such other sanctions (which may include financial sanctions, temporary suspensions or any other condition deemed appropriate short of termination) as it deems proper. CITY will not take action until CONSULTANT has been given notice and an opportunity to present evidence in mitigation.
FORCE MAJEURE
lf any party fails to perform its obligations because of strikes, lockouts, labor disputes, embargoes, acts of God, inability to obtain labor or materials or reasonable substitutes for labor or materials, governmental restrictions, governmental regulations, governmental control, judicial orders, enemy or hostile governmental action, civil commotion, fire or other casualty, or other causes beyond the reasonable control of the party obligated to perform, then that party's 3 5

performance will be excused for a period equal to the period of that cause for failure to perform.
6. RETENTION OF FUNDS
CONSULTANT authorizes CITY to deduct from any amount payable to CONSULTANT (whether or not arising out of this Agreement) any amounts the payment of which may be in dispute or that are necessary to compensate CITY for any losses, costs, liabilities, or damages suffered by CITY, and all amounts for which CITY may be liable to third parties, by reason of CONSULTANT's acts or omissions in performing or failing to perform CONSULTANT's obligations under this Agreement. ln the event that any claim is made by a third party, the amount or validity of which is disputed by CONSULTANT, or any indebtedness exists that appears to be the basis for a claim of lien, CITY may withhold from any payment due, without liability for interest because of the withholding, an amount sufficient to cover the claim. The failure of CITY to exercise the right to deduct or to withhold will not, however, affect the obligations of CONSULTANT to insure, indemnify, and protect CITY as elsewhere provided in this Agreement.
7. CITY REPRESENTATIVE
The General Services Director is designated as the "City Representative," authorized to act in its behalf with respect to the work and services specified in this Agreement and to make all decisions in connection with this Agreement.

CONSULTANT may not, at any time or in any manner, represent that it or any of its agents or employees are in any manner agents or employees of CITY. facilities. AWuGS also has extensive experience in san Pedro, cA renovation projects for the purpose of repair and

Since 1956, AWuGS has been designing government facilities for a variety of public clients, including federal, military, state, county, and municipal governments; and school districts. While deadlines, budgets, and quality control are of primary concern to the client and the architect, each project affords AWuGS another opportunity to improve the synthesis of function, space, and a esthetícs.
Understanding that all government facilities must balance individuality and function, AWuGS strives to provide innovative, specialized solutions to the design issues facing the clients and user groups, architects and engineers. We pride ourselves on being problem solvers and helping to resolve the design problems unique to each project.
The Principal and staff at AWuGS each take a responsive, active part in every project designed.
AWuGS is small enough to offer a direct, personalized service to our clients yet large enough to undertake any sized project. The Principal Architect (Anthony Wu) participates in each phase of every AWuGS project, constantly contributing his own special skills, talents and experience.
Consistent with our philosophy of personalized service, the Principal is directly responsible for all phases of the project.
The entire technical staff at AWuGS (personnel that will be involved in the design and production of your project)are experienced professionalsthat have been employed and workingtogetherfor a minimum of 3 years. The Senior Project Architect has been employed at AWuGS for a minimum of 10 years. The resultant teamwork has increased production efficiency, and an excellent record for meeting schedules and budget parameters. Clients should not rely on a firm's portfolio alone, but rather the firm's proven competence in the design of not only government facility projects but other building types, and the commitment of the firm's Principal to a given project. 377

Change Orders: $857,730.32
One of hundreds of past LAUSD / AWUGS projects, this design-bid-build campuswide HVAC project was done by a previous MPE design firm which was terminated at the end of design phase. During construction, many problems and issues arose that AWuGS was contracted to provide construction administration and solve issues during which only 2 phases were completed. Total change orders amounted to $857,730.32 based on the plans from the previous design firm that AWuGS was again contracted to redo the design work for phases 3-8 and provide construction administration.
Most of the existing campus did not have HVAC units. Air conditioning was provided to every single classroom and other occupied spaces on the campus. There were a total of over 130 HVAC units.
Construction to be done over I phases during a 5 year period and was completed 2017. 406

Construction Cost: $8,022,7 41 .01
Change Orders: $3,109,253.18
One of hundreds of past LAUSD / AWuGS projects, this design-bid-build campuswide was to replace the plumbing lines on this 1930s historic school site. Over the decades, some of the plumbing lines were repaired and replaced, but this patchwork of repairs.became so extensive a problem, the District decided to replace all the plumbing lines on this campus. Due to missing as-built drawings and the huge patchwork of rerouted lines, it was difficult to assess all the conditions and locations of hidden plumbing lines. However, the work was completed, due to the difficulties of several complex situations.
The work included modernization of nearly all restrooms on the campus with new plumbing fixtures and made accessible. This also included replacing all the water supply lines, sewer, and storm drain lines in the thousands of feet with some large 24" sewer lines. Nearly the entire campus had new asphalt paving.

This gigantic 1.3M square foot facility in South Los Angeles was suffering from inconsistent conditioned air at the north end of the facility. AWuGS was brought in to investigate the situation, prepare a report outlining solutions to the issues, which required the replacement of all the rooftop HVAC units. With a huge facility, this required huge replacement HVAC units to be designed and selected. The HVAC units were installed using huge cranes. The interior temperatures were back to normal after the HVAC replacement.

On-Call Design and Construction Administration Services Subsection 1r Historv of AWU Governrnent Services
AWuGS and its staff have extensive experience on municipal projects. Our first municipal project was with Los Angeles County in 1960 with Peck Park Recreation Center in San Pedro. From our early beginnings, our firm has continued providing service to our municipal clients to today and have done hundreds of civic-type projects. We are very experienced in the procedures in providing a successful municipal project. We also have extensive experience with city submissions and what they are looking for.
Subsection 2: Technical Approach and Schedules
AWuGS's project management approach is based upon our extensive past experience in preparing comprehensive construction documents for projects using a Multi-Discipline Design Team. The Design Team comprises of specialists in the fields of architecture, plumbing and mechanical engineering, lighting design, facilities repair, landscape architecture, cost estimating, needs analysis, site accessibility, ADA Compliance, space planning, structural design, sustainable LEED designed projects, and Value Engineering, led by Project Managers. AWUGS will provide leadership to the Design Team under your direction.
TECHNICAL APPROACH
AWuGS, through an extensive history of renovation, repair and maintenance projects, has continued to develop and refine its management philosophy to better address its future projects. As Architect for your project, AWuGS will implement our most advanced management techniques in the undertaking of this project.
The goal of our management philosophy is to accomplish a well-designed project that exceeds client expectations, meets its budget, and is deliverable on-time. Our techniques of management encompass the ideals by which these goals are achieved. Our project management approach is characterized by the followi n g considerations:
Desi g niMan agem ent I nteg ration
Successful projects require the fusion of the
design disciplines with those of management.
They must have common goals and an
integrated process. This is best achieved by
appointing leaders with mutual respect and
extensive relevant experience on similar
projects. AWUGS will have Anthony Wu as
the Contract Project Manager on a full{ime
basis. lt is the Contract Project Manager's
task to help establish the appropriate vision
and see it through its successful realization.

On-Call Design and Construction Administration Services Client Participation
Design goals cannot be realized without the thorough understanding of the client's needs. The early involvement of the client and users will be continued throughout the construction process.
The Project Manager will ensure that the efforts of the team are always addressed to the specific client. The understanding and involvement of the client will extend to client appointed representatives in a mutually productive partnership.
The Design Team is much experienced with renovation / upgrade i repair projects. Teamwork and close coordination among staff, consultants, and the Clients are essential to having a successful project. ln the case of your project, the timely participation and response of the Client are critical if the project is to be successful. The Design Team will be responsible for ensuring that a high degree of coordination occurs and that high standards of construction quality are met. A priority of the Design Team will be to establish a continuing dialogue with the users, government plancheck/inspection, and representatives of interested parties so that our products reflect community goals and your organizational policies.
Specialist Expertise
lf a project is to be designed and constructed to exceed conventional standards and to meet the needs of the future, the involvement of specialists, as either permanent members of the team such as Engineering Consultant or intermittent advisors is essential. Our consultants have extensive resources.
We propose to have the following firms as our subconsultants. They have extensive experience in public type projects.
The management of the design process encourages the participation of such specialists and plans for the appropriate timing of their contribution. Our firm and our consultants have done a lot of the following activities in the past:
. Program Development (Architectural and/or Facilities Services) . Feasibility and special studies (e.9., energy-efficiency, space planning studies) . Building assessments and evaluations

An understanding of the project requirements and the resultant design goals must be maintained throughout the project's duration. ln construction phases, it is necessary to make certain that the original intent of the client and designer are realized in the final built product. The key members of the team, under the leadership of the Contract Project Manager will be responsible for the direction of the project throughout the construction phase. Similarly, programming and planning members will participate in construction administration to ensure continuity of design intent.
Technological ResoLJrces I Work Proclucts
AWUGS has for the last 30 years, utilized Computer Aided Drafting (CAD) in its production of both design and
construction documents. 100% of our drawings are CAD
produced, and REVIT drawings and 3-D renderings can be
produced upon request. AWuGS has been in the forefront
of CAD produced drawings and we provide consultation to other architecture / engineering firms on CAD standards.
All of our architectural staff are proficient in CAD / REVIT. 416

On-Call Design and Construction Administration Services Qualitv Assr.¡rance / Control
Quality assurance begins with the commitment, experience and abilities of the team members.
AWUGS and its consultants are collectively dedicated to the concept of personalized client service, professionalism, excellence in design, cost-effectiveness, and timely delivery. All of the firm's personnel contain many specialists versed in the complexities of the individual phases of the design and construction process. Also, with the seniority and experience of our personnel, we can quickly spot potential issues and rectify them.
The quality assurance program for the project will draw on these skills to assist the team in obtaining its goals for a design of vision that delivers the maximum functional solution to the user that addresses the needs of the client and does so with the most efficient construction process. ln addition to the team's internal quality control process, peer specialists will review and test the construction design solution to ensure an optimum solution that also addresses applicable codes and standards. The following describes the quality control and coordination methods utilized by AWuGS and related consultants to ensure project success:
AWuGS has an established Quality Control and Coordination program that is based on three mechanisms:
The Quaf ity Control Manual
The manual documents, activities, tasks, and deliverables are to be achieved in each phase of work. Checklists are included and, atthe completion of each phase, are signed off bythe Project Manager. The manual also includes exemplary forecasts for meetings, programs, schedules and agendas.
Quaf ity Control Reviews
Quality Control Reviews occur prior to Submittals 'ií,,:; and at key points in the project schedule. During .'.1 ..,.:. ,, these reviews, documents (e.9., construction detail, ',í::,;,,i clarifications sketch) are checked by an
experienced, licensed architect who has had major
experience in the design of similar projects to
ensure a "questioning character" in this process. :

Process
ln application to the implementation of the Construction Administration Phases, AWUGS will utilize electronic documents, Currently 100o/o of the firm's construction documents are electronically generated, and we demand that our consultants also have the same dedication and proficiency. This has resulted in new and higher standards of coordination and document quality. The development has also evolved simultaneously with a managemenVdesign process that exploits video documents greatest potential. The result is the precise documentation of existing conditions at an early stage, providing greater opportunity for quality control involvement. The Quality Control program has resulted in an outstanding bid record of projects being at or under budget, meeting the original project schedules and having a record of excellent construction success that reflects our document quality and understanding of the construction process.
WORK PLAN I PROPOSEÐ PROCEDURES
The following Work Plan outlines our understanding of the necessary steps anticipated for your project. Time frames depend on project size, but we are committed to providing prompt services.
Below is a work plan for larger projects.
Pre-Design
Prior to any design work, AWuGS will meet with the Project Managers that will be involved in the project along with other client staff. We will seek information on proposed programs, design parameters, scope of work, etc. AWuGS places a greater emphasis on the Pre-Design Phase to allow greater Client and User input. Client and User should be the "driving force" for architectural design in this project. lt is only through meetings and personal contact that we can know what the Client wants. One can expect numerous Client and User meetings with the Architect during the Pre-Design Phase.
We will also collect available data on Planning and Building Code restrictions, future expansion issues, easements, utilities, structures, safety hazards, programs, maintenance issues, access, paths of travel and information relevant to existing conditions of the existing facility. We will perform field investigations for site opportunities, building addition/expansion opportunities, constraints, and potential construction problems. We will also review all existing drawings, as-builts and project requirements for plan check and approvals as well as obtain current building code standards, goals for ongoing operations during the construction phase preferred materials and equipment. Evaluate existing structures, conditions, programs, maintenance practices, appurtenances, etc. at the existing site. Upon completion of the Pre-Design Phase, AWUGS will compile its findings into a written Work Plan/Scope of Work from which your project will be designed and design evaluations will be based. The following is an outline of the Pre-Design Phase. 'Þt,Â-/\

Construction Administration (Assistance for the CIient) The fifth component in our approach is the most important. AWUGS understands the importance of efficient construction administration. To ensure that the design and technical intent are conveyed to the contractor and that the project knowledge is available throughout this phase, the construction administration is led by the Project Manager. Ben Heidemann, Project Manager/Architect will 422
City of Torrance
On-Call Design and Construction Administration Services personally review shop drawings as well as attend job site meetings. A Senior Project Manager from each of our consultants will be assigned to assist the Project Manager and ensure that the highest standard, procedures and methods of construction are employed.
AWuGS will assist the client in the development of a Construction Phasing Plan to ensure that on- going operations of your facilities will have minimum disruptions. AWUGS is well aware of the need for the need to remain operational during construction. We have had good results recently assisting the Postal Service, Cities of Long Beach, Torrance, Manhattan Beach, and the Los Angeles Unified School District on renovation projects that require facilities to remain open during construction. The primary reason for AWuGS's success is that on-going operation of the building was an important goal initiated prior to the start of construction.

The consultants play a very critical and active role in all phases of the work. The Project Manager leads in coordinating the efforts of consultants with the help of:
. Frequent coordination meetings or phone conversation and email correspondence . Clearly defined scopes of work which define separation of responsibilities and eliminate grey areas
. Milestone Outline, prepared specifically for each project which clearly defines consultant performance expectations for the construction phase.
. Project Schedule coordinated with a milestone outline, reviewed and signed off by all consultants
. Frequent use of photos and video camera in construction with sub-consultants
PROJECT DOCUMENTATIAN
Project Documentation is a result of systems set up in AWUGS 's Project Management Manual. This guide on how to run a construction project effectively and efficiently, developed more than fifty years of architectural practice, is firm, but flexible; responsive to the specific dynamics of specific projects, but unyielding in its insistence on full documentation, responsiveness, and performance. Key elements include:
Meeting Minutes
Regular meetings with all members of the team including the client, are essential to good communications. Full meeting minutes document the result of those meetings and are used to keep all Construction Team members and the Client Team posted regarding decisions.
Project Checklist
This is initiated at the beginning of each project, before the start of construction and serves as a guide of all elements of the project to be completed, and as a central index for all project related material. lt is continually updated and reviewed during regular project audits.
Product File and Technical Project Checklist
lnitiated at the commencement of design and before the start of construction, this checklist serves to record all considerations and decisions regarding building materials and methods to be used in construction. lt also becomes a comprehensive guide for construction administration.
424
City of Torrance
On-Call Desiqn and Construction Administration Services Methodology
AWuGS utilizes a sophisticated construction administration process which invests a greater level of development than normal in the early stages. This will result in a complete statement of design requirements and intent prior to commencement of the construction. This is achieved by a carefully structured work plan complemented by 100% utilization of electronic documentation.
All documents are produced on electronic files from initial phases to construction completion.
The ability of electronic files to quickly convey information is fundamental to the efficiency of this process. Our consultants share this commitment capability. 425
