To: Honorable Mayor and Members of the City Council
From: Ted Stevens, Community Services Director

By: Brent Rivas, Administrative Analyst | [email protected] Jamie Le, Assistant to the City Manager | [email protected] Subject: Community Services and City Manager – Approve First Amendment to Contract Services Agreement for Unarmed Security Guard Services. Expenditure:

Not-to-Exceed $137,796.34 (General Fund).

RECOMMENDATION
Recommendation of the Community Services Director and City Manager that City Council approve a first amendment to the contract services agreement with Citiguard, Inc. of West Hills, CA (C2024-099), in the amount of $137,796.34, for a new total not-to-exceed amount of $684,211.78, for unarmed security guard services.

FUNDING
Funding is available in the fiscal year 2025-26 General Fund Community Services Department Operating Budget and is anticipated to be available in subsequent fiscal years.

DISCUSSION
On June 18, 2024, City Council awarded a contract services agreement to Citiguard, Inc. of West Hills, CA (Attachment 1), in the amount of $546,415.44 to provide unarmed security guard services at City Hall, the Torrance Certified Farmers’ Market, and Katy Geissert Civic Center Library for a three-year term beginning July 1, 2024 and ending June 30, 2027.

Upon review of the agreement, staff identified that the maximum annual service hours allocated for the Torrance Certified Farmers’ Market and the Katy Geissert Civic Center Library were underestimated. As a result, revisions to the maximum annual hours and associated costs are necessary to accurately reflect operational needs.

The revised maximum annual hours, compared to the originally approved allocations, and the associated costs are summarized as follows:

FIRST AMENDMENT TO CONTRACT SERVICES AGREEMENT (C2024-099)

This First Amendment to Contract Services Agreement C2024-099 (the “First Amendment”) is made and entered into as of May 1, 2026, by and between the CITY OF TORRANCE, a municipal corporation (“CITY”), and Citiguard, Inc., a California Corporation (“CONTRACTOR”).

RECITALS:

A. The CITY previously circulated a Request for Proposal (“RFP”) for Security Guard Services, RFP No. B2024-04 (the “RFP”).

B. CONTRACTOR submitted a Proposal in response to the RFP. In its Proposal, the CONTRACTOR represented that it was qualified to perform those services requested in the RFP. Based upon its review of all Proposals submitted in response to the RFP, the CITY awarded the Agreement to CONTRACTOR.

C. On July 1, 2024, the CITY and CONTRACTOR entered into Contract Services Agreement C2024-099 (the "Agreement"), to perform those services in an amount not to exceed $546,415.44 through June 30, 2027, with two (2) separate options to extend the term for one (1) year per option exercised.

D. Upon review of the Agreement, the maximum annual number of hours for the Torrance Certified Farmer’s Market and Katy Geissert Civic Center Library were not accurately accounted for and an additional security guard position to be shared between the Katy Geissert Civic Center Library and classroom/museum area at the Cultural Arts Center was needed. The Updated Maximum Annual Number of Hours, Additional Services, and Associated Costs are set forth in Exhibit C attached here.

E. The CITY is satisfied with the level of service provided by CONTRACTOR.

F. CITY and CONTRACTOR now wish to amend the Agreement increasing the CONTRACTOR’s compensation by $137,796.34 for a new not-to-exceed sum of $684,211.78.

AGREEMENT:

1. Paragraph 1, entitled “Service to be Performed by Contractor”, is amended to read in its entirety as follows:

“1. SERVICES TO BE PERFORMED BY CONTRACTOR
CONTRACTOR will provide the services and install those materials listed in CONTRACTOR’s Proposal submitted in response to the RFP. A copy of the RFP is attached as Exhibit A. A copy of the Proposal is attached as Exhibit B. CONTRACTOR will also provide the additional services listed in Exhibit C.”

“3. COMPENSATION.

A. CONTRACTOR’s Fee.

For services rendered pursuant to this Agreement, CONTRACTOR will be paid in accordance with the compensation schedule set forth in the Proposal, provided, however, that in no event will the total amount of money paid CONTRACTOR, for services initially contemplated by this Agreement, exceed the sum of $684,211.78 (“Agreement Sum”), unless otherwise first approved in writing by CITY.”

3. Except as expressly amended by this First Amendment, in all other respects, the Agreement is ratified, reaffirmed and remains in full force and effect.
