7. RIGHT TO APPEAL DECISION
Persons who are dissatisfied with a decision of the City Council may have the right to a review of that decision by a court. The City has adopted Section 1094.6 of the California Code of Civil Procedure, which generally limits to ninety days (90) the time within which the decision of the City Boards and Agencies may be judicially challenged.

Summary: The Mayor will present selected employees with Exceptional Employee Recognition awards.

Background: As noted in the City Council's Strategic Plan, the City of Ukiah prioritizes the retention and attraction of outstanding employees and recognizes their role in our goal of providing exceptional customer service. The City is excited to bring back the Exceptional Employee Program which recognizes (through a nomination process) and awards those employees or teams of employees who have truly gone above and beyond.

Once each quarter, nominations are considered from the categories of field crews, public safety and administration.

Discussion: The recipients for the last quarter of 2023 are as follows:

Officer Daniel Parker, Ukiah PD: On 12/21/23, Ukiah PD received a "be-on-the-lookout" (BOLO) from Pacifica PD regarding a murder suspect, including details from the FLOCK camera system, having spotted the vehicle in Blue Lakes. Officer Parker, hearing the alert on the Sheriff’s channel and knowing that time was of the essence, took immediate action on Hwy. 101, spotting a matching vehicle two cars behind him. He informed Dispatch, confirmed the suspect's identity, and, with CHP's assistance, executed a traffic stop near Perkins Street exit. Officer Parker's commendable initiative and keen observation skills contributed to the successful interception. Throughout the incident, he maintained composure, communicated effectively, and directed traffic. Post-incident evaluation highlighted Officer Parker's tactical prowess, exemplifying the Department’s values of Safety, Professionalism, and Community Service.

Alyssa Boge, Museum Curator of Education and Exhibits, Grace Hudson Museum: Alyssa joined the Museum in 2020 and worked with reduced staffing all through the pandemic. As we emerged from the pandemic, Alyssa was quick to take on additional work helping the Recreation and Parks teams set up and open a new Interpretive Center at Observatory Park. With the support of Museum Director David Burton, Alyssa interviewed local subject matter experts and did online research to develop the material that would be presented at the Interpretive Center. She then developed an exhibit and curricula for the Center. With the plan in place, she then solicited help from Parks, Recreation, and Facilities team members to clean and prepare the site, create exhibits, and coordinate the grand opening of the Center. Following the Grand Opening, Alyssa immediately set about developing a volunteer docent program to allow for public access to the Center.

Isabelle Grieve, Community Development Technician II, Community Development Department: Isabelle joined the City approximately two years ago as a “counter tech." Isabelle’s friendly and courteous demeanor

and knowledgeable and accurate permitting guidance quickly earned her appreciation among the builder community. Through sustained commitment to this level of service, she single-handedly achieved the goal of outstanding customer service. Examples of this commitment are Isabelle’s issuing of an ADU building permit in one business day and the issuance of a building permit for Acorn Valley Apartments in two months. Both of these are processing records that qualified the City to earn its ProHousing Designation.

Isabelle has become indispensable to the Community Development Department and the glue that holds the team together. Recently, Isabelle completed the renewal of 350 business licenses in one week. She frequently cheers on fellow team members through thoughtful and creative gifts, the funny skeletons around the office, and her positive, proactive, solution-oriented, and helpful attitude.

Recommended Action: Receive a presentation of the Exceptional Employee Recognition Awards.

Black History Month, which traces its roots back to 1926, has been designated as a national observance in the United States since 1976, with every American president endorsing a specific theme for the month of February. The City of Ukiah invites the community to join in the celebration and recognition of Black History Month.

February 2024 as “Black History Month” in the City of Ukiah Whereas, Black History Month is observed in February of each year and is a national annual celebration and recognition of achievements by African Americans; and Whereas, Black History Month seeks to recognize the central role that African Americans have played in our nation’s history and to honor the many achievements and contributions African Americans have made and continue to make in our society; and
Whereas, Black History Month can be traced back to 1926. Designed to coincide with Abraham Lincoln and Frederick Douglas' celebratory birthdays, Woodson launched Negro History Week in February of 1926 as a coordinated effort to develop lessons and encourage the teaching of Black history across the nation's communities and public schools. Woodson, the son of former slaves who became the second African American to earn a Ph.D. from Harvard University, recognized the importance of establishing an initiative that could be celebrated annually and on a national scale. The writer and scholar Dr. Carter G. Woodson, the “Father of Black History Month,” initiated the celebration. The celebration has expanded to include the entire month of February; and Whereas, since 1976, every American president has designated February as Black History Month and has endorsed a specific theme; and
Whereas, the Black History Month 2024 theme, ‘The Art of Resistance”, African American art is infused with African, Caribbean, and the Black American lived experiences. In the fields of visual and performing arts, literature, fashion, folklore, language, film, music, architecture, culinary and other forms of cultural expression, the African American influence has been paramount. African American artists have used art to preserve history and community memory as well as for empowerment. Artistic and cultural movements such as the New Negro, Black Arts, Black Renaissance, hip-hop, and Afrofuturism, have been led by people of African descent and set the standard for popular trends around the world; and
Whereas, Black History Month reminds us of the suffering of those in bondage who gave birth to the spirituals, the nation’s first contribution to music. Blues musicians such as Robert Johnson, McKinley ‘Muddy Waters’ Morganfield and Riley “BB” B. King created and nurtured a style of music that became the bedrock for gospel, soul, and other still popular (and evolving) forms of music. Black contributions to literature include works by poets like Phillis Wheatley, essays, autobiographies, and novels by writers such as David Walker and Maria Stewart. Black aesthetics have also been manifested through sculptors like Edmonia Lewis and painters like Henry O. Tanner; and Whereas, Black History Month celebrates the many achievements and contributions made by African Americans, including our local heroes; and
Whereas, we welcome the community to participate in the celebration and recognition of Black History Month. Information can be found on the Mendo Black Lives Matter Facebook page or by visiting https://www.mendoblm.com, the Association for the Study of African American Life and History (ASALH) 2024 Virtual Black History Month Festival at http://www.asalh.org/festival, and the Smithsonian National Museum of African American History & Culture at http://www.nmaahc.si.edu/events.

Summary: Council will consider approving the Public Spaces Commission 2024 Community Outreach Plan, and an activity timeline for this calendar year.

Background: The Public Spaces Commission (PSC) was formed in late 2021 as a merger of the Parks Recreation and Golf Commission (PRGC) and the Paths, Open Space and Creeks Commission (POSC). The Public Spaces Commission charter outlined in Division 1, Chapter 4 of the Ukiah City Code defines the duties and powers of the Public Spaces Commission. Item D of the Duties and Powers section states the work of the Commission “shall be guided by the Community Outreach Plan” and that the Commission “shall prepare and annually update a Community Outreach Plan” to be approved by City Council. Further, “the Community Outreach Plan will guide the methodology, scheduling, and tracking of the Commission’s community engagement.”

Community Outreach plans were adopted for 2022 and 2023 with few changes from the original document. As the Public Spaces Commission enters its third year, it is now time to review, consider updates, and approve a Community Outreach plan for 2024. The Duties and Powers section of the Commission’s charter requires a minimum of six regular meeting per year. No changes to the plan are required, but may be made at the PSC’s discretion.

Discussion: The Public Spaces Commission has been meeting regularly since its inception in 2021. All scheduled meetings were appropriately noticed and prepared this last year. Staff presented between three to five staff reports per meeting on subjects including, Todd Grove Playground, the Western Hills Management Plan, the Great Redwood Trail along Mason Street, McGarvey Park, a potential park at Norgard Lane, Observatory Park Strategic Plan, Observatory Park landscape improvements, Riverside Park, Non-motorized Urban Trails, and the Orr Creek Greenway.

Although only two community forums were required by the outreach plan, three forums were held. The additional forum was added to assist in moving updated landscaping plans for McGarvey Park forward in a timely manner. Two commissioners resigned, and two new commissioners were appointed, which may have contributed to a lack of a quorum for three meetings.

To ensure community opportunity for engagement and input, the Recreation team makes frequent Facebook posts and sends frequent emails regarding upcoming events, and to a lesser extent park improvements.

These posts and videos helped to meet the requirements of the 2023 PSC Community Outreach Plan.

PSC members have not convened any “working group” projects this year, though Staff is on hand to provide support should they choose to do so.

The information in this report was presented to the Public Spaces Commission on January 9, 2024.

Additionally, a draft updated Community Outreach Plan (Attachment 1) and a draft 2024 updated Gantt timeline (Attachment 2) were presented to commissioners for review and consideration. Minor edits were made, and the two documents were approved by the PSC.

Staff recommends adopting the attached PSC approved 2024 Community Outreach Plan and Gantt timeline for use in the upcoming year.

Public Spaces Commission Community Outreach Plan 1/2024 The Mission of the Public Spaces Commission (PSC) is to foster a culture of informed community participation in the planning and implementation of the wise use of public spaces. The seven-member PSC shall have the power and duty to solicit, collate, and analyze public input on the wise use of public spaces and; provide recommendations and advice to both staff and the City Council based on said input. Additionally, PSC members in collaboration with staff may choose to form “working groups” to explore and formulate advice or recommendations on specific areas regarding the wise use of public spaces.

In support of the PSC mission, City staff will;

1. Convene Biannual Community Input Forums

2. Prepare a Public Spaces E-Newsletter for off meeting months (6x per year)

3. Convene four time per year Public Input Forum planning meetings.

4. Provide staff support to working groups on mutually agreed upon topics.

5. Assist the PSC in an annual update to this plan.

Public Spaces Biannual Community Input Forums
The Public Spaces Biannual Community Input Forums will be held as hybrid in-person and online events. Meetings will be planned to cover two to four prearranged topics with time available for discussion of an unplanned topic at attendee consensus request. The PSC will work with staff to decide upon topics and presenters. City staff will prepare presentations that will include Q&A sessions after the presentations. Forums will be recorded and available on the City You Tube Channel
Prepare a Public Spaces E-Newsletter for off meeting months (6x per year) E-Newsletter will cover the same topics as Community Input Forum to allow for an additional medium for distribution. Summary: In order to incorporate inadvertently omitted attachments when originally approved on December 6, 2023, Council will consider adoption of a Resolution to rescind and replace Resolution 2023-42, approving the application to LAFCo for annexation of Western Hills Property, to include Exhibits A & B. This is an administrative correction to add the referenced exhibits and there are no substantive changes to the original action approved by the City Council.

Background: In June of 2022, the City of Ukiah submitted an application for annexation to Mendocino County Local Agency Formation Commission (LAFCo) for annexation of the Western Hills Annexation Area (LAFCo No. A-2022-02). The City proposed to amend the Western Hills Annexation Area to include one additional City-owned 40-acre parcel, and 44 acres of privately-owned parcels referred to herein as the “clean up parcels” to rectify jurisdictional issues as requested by LAFCo. This resulted in 792 acres of total annexation acreage. At the Ukiah City Council meeting on December 6, 2023, Resolution 2023-42, encompassing this item was approved.

Discussion: It came to the attention of Staff that Exhibits A and B to Resolution 2023-42 were inadvertently omitted in the agenda packet when the resolution was originally adopted on December 6, 2023. While there were maps and parcels lists included in the agenda packet they were not attached specifically to the draft resolution. This amended ordinance is to be adopted to include Exhibits A, the draft legal descriptions, and B, the draft maps of the affected territories, as attachments to the resolution. The Amended Resolution 2023-42 is included as Attachment 1.

Staff is recommending that Council adopt the Amended Resolution to incorporate Exhibits A & B, for the Western Hills Annexation Area, Prezoning, and adopt an Addendum to the Previously Certified Mitigated Negative Declaration for the Ukiah Western Hills Open Land Acquisition and Limited Development Agreement Project, with instructions to the City Clerk to make the needed notations and adjustments to the re-filing of the resolution.

AMENDED RESOLUTION NO. 2023-42

AMENDED RESOLUTION OF APPLICATION OF THE CITY COUNCIL OF THE CITY OF UKIAH FOR

THE WESTERN HILLS ANNEXATION AREA, PREZONING, AND ADOPTION OF AN ADDENDUM TO

THE PREVIOUSLY CERTIFIED MITIGATED NEGATIVE DECLARATION FOR THE UKIAH WESTERN

HILLS OPEN LAND ACQUISITION AND LIMITED DEVELOPMENT AGREEMENT PROJECT WHEREAS:

1. On January 16, 2020, the Ukiah City Council adopted an Annexation Policy (Resolution No. 2020-06) that states that the City will pursue, apply for, and support the annexation of unincorporated areas to the City to avoid the negative consequences of continued urban sprawl and to ensure the efficient provision of municipal services to unincorporated areas without placing an undue financial burden on the City or its residents; and

2. On September 15, 2021, the City Council introduced Ordinance No. 1217, approving the Ukiah Western Hills Open Land Acquisition & Limited Development Project (“2021 Western Hills Project”) for acquisition, annexation and prezoning of approximately 707 acres, and the associated Initial Study and Mitigated Negative Declaration (ISMND; SCH No.2021040428) via Ordinance No. 1217; and

3. On March 2, 2022, the City Council approved the Limited Development Agreement and Property Exchange (COU-No.2122-201), and a Road, Access and Maintenance Agreement (COU-No. 2122-200) associated with the 2021 Western Hills Project; and

4. On June 8, 2022, the City of Ukiah submitted application number A-2022-02 for annexation of the 2021 Western Hills Project parcels to the Mendocino County Local Agency Formation Commission (LAFCo). The application also included several privately-owned parcels (±44 acres total; referred to as the “clean up parcels”) located in between the 2021 Western Hills Project parcels and the County’s jurisdictional boundary, to inform the deliberate and appropriate boundaries for the City of Ukiah. Some of these parcels also span both City and County jurisdiction and the City proposes to annex them to rectify this jurisdictional issue; and

5. On December 7, 2022, the City Council adopted Resolution No. 2022-78 and Resolution No. 79, adopting the City’s 2040 General Plan and certifying the associated Environmental Impact Report (EIR; SCH No. 2022050556). The 2040 General Plan and EIR identify the Western Hills Annexation Area as one of the three areas the City intends to pursue for annexation. The 44 acres of privately owned parcels intended to rectify jurisdictional issues (“clean up parcels”) were included in the Western Hills Annexation Area within the General Plan and EIR, bringing the total Western Hills Annexation Area to 752 acres; and

6. On December 19, 2022, LAFCo approved the City’s Ukiah Municipal Service Review (MSR) and Sphere of Influence (SOI) Update. The updated SOI includes the entire Western Hills Annexation Area (752 acres) identified within the General Plan; and

7. In early 2023, an additional 40-acre parcel (APN 003-190-11) directly adjacent (south) to the Western Hills Annexation Area and City’s western City limit became available for purchase;

8. The City of Ukiah desires to continue a proceeding for the adjustment of boundaries specified herein by seeking acquisition of the parcel for open space and access opportunities in connection with the Western Hills open space parcels.; and

9. Pursuant to Government Code Section 56654(a), the City must approve a resolution of application in order to initiate annexation proceedings; and

10. Pursuant to Government Code Section 65859 and Ukiah City Code Section 9267, the City may prezone unincorporated territory adjoining the City for the purpose of determining the ATTACHMENT #1

zoning which will apply to such property in the event of subsequent annexation to the City; and;

11. Pursuant to Section 15164 of the CEQA Guidelines, an Addendum to an adopted MND may be prepared by a lead agency or a responsible agency if minor changes or additions are necessary and none of the conditions described in Section 15162 of the CEQA Guidelines calling for the preparation of a subsequent EIR or subsequent MND have occurred.

12. Exhibits A and B to Resolution 2023-42 were inadvertently omitted when the resolution was originally adopted on December 6, 2023. This amended ordinance is adopted to include Exhibits A and B as attachments to the resolution.

NOW, THEREFORE, BE IT RESOLVED AND ORDERED that:

1. This proposal is made, and it is requested that proceedings be taken, pursuant to the Cortese/Knox/Hertzberg Local Government Reorganization Act of 2000, commencing with section 56000 of the California Government Code, specifically Government Code § 56654(a).

2. This proposal is an annexation to the City of Ukiah.

3. Legal descriptions of the affected territories are set forth in Exhibit A, and maps of the affected territories are set forth in Exhibit B, attached hereto and by reference incorporated herein.

4. The additional parcel to be annexed is a 40-acre uninhabited parcel that is contiguous to the existing Western Hills Annexation Area and City limits, resulting in a total annexation area of approximately 792 acres.

5. The 40-acre parcel is not located within the City’s Sphere of Influence, but is included in the City’s Planning Area (as identified in the 2040 General Plan). The proposal to include this parcel complies with Government Code Section 56742 in that the property is 1) less than 300 acres and located in Mendocino County where the City is situated; 2) is contiguous to the existing City limits and Western Hills Annexation Area; and 3) will be owned by the City and used for municipal purposes at the time these commission proceedings are initiated.

6. 25 acres of the 40-acre parcel would be owned by the City and maintained for open space and municipal purposes, while 15 acres would be transferred to the private property owner (Hull) via a Purchase Agreement between the City and Hull would allow Hull to retain one +/- 15-acre parcel after annexation for limited residential development, as specified in the Purchase Agreement.

7. The City proposes to prezone the property(ies) Public Facilities (PF) and Single-Family Residential-Hillside Overlay (R1-H), as depicted on the prezoning map in Exhibit B.

8. In accordance with CEQA Guidelines Sections 15162 through 15164, an Addendum to the 2021 Western Hills Project ISMND (SCH No: 2021040428) has been prepared by the City of Ukiah Community Development Department, Planning Division.

9. As discussed in the Planning Commission Staff Report and Addendum, none of the criteria noted in CEQA Guidelines 15162 have occurred, and only minor changes are necessary in order to deem the Addendum to the certified MND adequate. Specifically, there are no substantial changes proposed that require major revisions of the 2021 MND due to the involvement of new significant environmental effects or a substantial increase in the severity of previously identified significant effects. The Addendum incorporates mitigation identified in the 2021 MND to reduce all impacts to a less than significant level. No new impacts that were not previously discussed in the 2021 MND have been identified.

10. As discussed throughout the Addendum, staff reports and associated documents, the proposal and associated actions are consistent with the City’s General Plan, Zoning Code, as well as the Government Code and LAFCo policies related to annexation.

11. The City Council approves the Western Hills Annexation Area amendment, prezoning and associated actions.

12. The City Council adopts the Addendum (and associated Mitigation Monitoring Reporting Program) to the 2021 Western Hills Project ISMND (SCH No: 2021040428), based on the findings described in Attachment 2 and the Conditions of Approval in Attachment 3.

13. Once the territory is annexed by the City, it will no longer be subject to property taxes.

Moreover, the use of the property for governmental purposes will not generate any other tax revenues, such as sales tax. As such, this reorganization will not result in any taxes that could be shared by the City and County pursuant to a tax sharing agreement.

Summary: Council will consider the approval of the renewal of ESRI Geographic Information System (GIS) Software Licensing Agreement for a three year term in the amount of $85,200.

Background: ESRI's Geographical Information System is the City's department's primary mapping and GIS software. The software provides centralized and standardized maps throughout the organization. The Engineering and Electric Utility Departartments are the primary users of this software.

Discussion: These ESRI maps include, but are not limited to: mapping of assets and infrastructure, visual representation of statistical data, area-based noticing and alerting, real time tracking of City equipment, and incident management. This information is used by street, sewer, water and electric departments to locate utilities and other infrastructure under the roads, generate maps for staff use as well as general information on the City website.

Staff requests authorization to renew the mapping software licensing agreement (Attachment 1) for a total amount of $85,200.00 plus applicable taxes and fees for a three-year term. The City is to be billed annually in the amount of $28,400.00

Services to operate according to the Documentation
where such failure substantially impacts operational

"Technical Support" means the technical
assistance for attempting resolution of a reported
Case through error correction, patches, hot fixes,
workarounds, replacement deliveries, or any other
type of Product corrections or modifications.
"Tier 1 Help Desk" means Customer's point of
contact(s) to provide all Tier 1 Support within
Customer's organization(s).
"Tier 1 Support" means the Technical Support
provided by the Tier 1 Help Desk.
"Tier 2 Support" means the Esri Technical Support
provided to the Tier 1 Help Desk when a Case
cannot be resolved through Tier 1 Support.

2.0—ADDITIONAL GRANT OF LICENSE

2.1 Grant of License. Subject to the terms and
conditions of this Agreement, Esri grants to
Customer a personal, nonexclusive,
nontransferable license solely to use, copy, and
Deploy quantities of the Products listed in
Table A—List of Products for the Term of
Agreement (i) for the applicable Fee and (ii) in
accordance with the Master Agreement.

2.2 Consultant Access. Esri grants Customer the
right to permit Customer's consultants or
contractors to use the Products exclusively for
Customer's benefit. Customer will be solely
responsible for compliance by consultants and
contractors with this Agreement and will ensure
that the consultant or contractor discontinues
use of Products upon completion of work for
Customer. Access to or use of Products by
consultants or contractors not exclusively for
Customer's benefit is prohibited. Customer may
not permit its consultants or contractors to install
Software or Data on consultant, contractor, or
third-party computers or remove Software or
Data from Customer locations, except for the
purpose of hosting the Software or Data on
Contractor servers for the benefit of Customer.

3.0—TERM, TERMINATION, AND EXPIRATION

3.1 Term. This Agreement and all licenses
hereunder will commence on the Effective Date
and continue for the duration identified in the
Term of Agreement, unless this Agreement is
terminated earlier as provided herein. Customer
is only authorized to use Products during the
Term of Agreement. For an Agreement with a
limited term, Esri does not grant Customer an
indefinite or a perpetual license to Products.

3.2 No Use upon Agreement Expiration or
Termination. All Product licenses, all
Maintenance, and Esri User Conference
registrations terminate upon expiration or
termination of this Agreement.

3.3 Termination for a Material Breach. Either party
may terminate this Agreement for a material
breach by the other party. The breaching party
will have thirty (30) days from the date of written
notice to cure any material breach.

3.4 Termination for Lack of Funds. For an
Agreement with government or government-Page 43 of 599

owned entities, either party may terminate this
Agreement before any subsequent year if
Customer is unable to secure funding through
the legislative or governing body's approval
process.

3.5 Follow-on Term. If the parties enter into
another agreement substantially similar to this
Agreement for an additional term, the effective
date of the follow-on agreement will be the day
after the expiration date of this Agreement.

4.0—PRODUCT UPDATES

4.1 Future Updates. Esri reserves the right to
update the list of Products in Table A—List of
Products by providing written notice to
Customer. Customer may continue to use all
Products that have been Deployed, but support
and upgrades for deleted items may not be
available. As new Products are incorporated into
the standard program, they will be offered to
Customer via written notice for incorporation into
the Products schedule at no additional charge.

Customer's use of new or updated Products
requires Customer to adhere to applicable
additional or revised terms and conditions in the
Master Agreement.

4.2 Product Life Cycle. During the Term of
Agreement, some Products may be retired or
may no longer be available to Deploy in the
identified quantities. Maintenance will be subject
to the individual Product Life Cycle Support
Status and Product Life Cycle Support Policy,
which can be found at
https://support.esri.com/en/other-resources/product-life-cycle. Updates for Products in the mature and retired phases may
not be available. Customer may continue to use
Products already Deployed, but Customer will
not be able to Deploy retired Products.

5.0—MAINTENANCE
The Fee includes standard maintenance benefits
during the Term of Agreement as specified in the
most current applicable Esri Maintenance and
Support Program document (found at
https://www.esri.com/en-us/legal/terms/maintenance). At Esri's sole discretion, Esri may make patches, hot fixes, or
updates available for download. No Software other
than the defined Products will receive Maintenance.

Customer may acquire maintenance for other
Software outside this Agreement.
a. Tier 1 Support

1. Customer will provide Tier 1 Support
through the Tier 1 Help Desk to all
Customer's authorized users.

2. The Tier 1 Help Desk will be fully trained in
the Products.

3. At a minimum, Tier 1 Support will include
those activities that assist the user in
resolving how-to and operational questions
as well as questions on installation and
troubleshooting procedures.

4. The Tier 1 Help Desk will be the initial point
of contact for all questions and reporting of a
Case. The Tier 1 Help Desk will obtain a full
description of each reported Case and the
system configuration from the user. This
may include obtaining any customizations,
code samples, or data involved in the Case.

5. If the Tier 1 Help Desk cannot resolve the
Case, an authorized Tier 1 Help Desk
individual may contact Tier 2 Support. The
Tier 1 Help Desk will provide support in such
a way as to minimize repeat calls and make
solutions to problems available to
Customer’s organization.

6. Tier 1 Help Desk individuals are the only
individuals authorized to contact Tier 2
Support. Customer may change the Tier 1
Help Desk individuals by written notice to
Esri.
b. Tier 2 Support

1. Tier 2 Support will log the calls received
from Tier 1 Help Desk.

2. Tier 2 Support will review all information
collected by and received from the Tier 1
Help Desk including preliminary documented
troubleshooting provided by the Tier 1 Help
Desk when Tier 2 Support is required.

3. Tier 2 Support may request that Tier 1 Help
Desk individuals provide verification of
information, additional information, or
answers to additional questions to

supplement any preliminary information
gathering or troubleshooting performed by
Tier 1 Help Desk.

4. Tier 2 Support will attempt to resolve the
Case submitted by Tier 1 Help Desk.

5. When the Case is resolved, Tier 2 Support
will communicate the information to Tier 1
Help Desk, and Tier 1 Help Desk will
disseminate the resolution to the user(s).

6.0—ENDORSEMENT AND PUBLICITY
This Agreement will not be construed or interpreted
as an exclusive dealings agreement or Customer's
endorsement of Products. Either party may publicize
the existence of this Agreement.

7.0—ADMINISTRATIVE REQUIREMENTS

7.1 OEM Licenses. Under Esri's OEM or Solution
OEM programs, OEM partners are authorized to
embed or bundle portions of Esri products and
services with their application or service. OEM
partners' business model, licensing terms and
conditions, and pricing are independent of this
Agreement. Customer will not seek any discount
from the OEM partner or Esri based on the
availability of Products under this Agreement.

Customer will not decouple Esri products or
services from the OEM partners' application or
service.

7.2 Annual Report of Deployments. At each
anniversary date and ninety (90) calendar days
prior to the expiration of this Agreement,
Customer will provide Esri with a written report
detailing all Deployments. Upon request,
Customer will provide records sufficient to verify
the accuracy of the annual report.

8.0—ORDERING, ADMINISTRATIVE

PROCEDURES, DELIVERY, AND

DEPLOYMENT

8.1 Orders, Delivery, and Deployment
a. Upon the Effective Date, Esri will invoice
Customer and provide Authorization Codes to
activate the nondestructive copy protection
program that enables Customer to download,
operate, or allow access to the Products. If this
is a multi-year Agreement, Esri may invoice the
Fee up to thirty (30) calendar days before the
annual anniversary date for each year.
b. Undisputed invoices will be due and payable
within thirty (30) calendar days from the date of
invoice. Esri reserves the right to suspend
Customer's access to and use of Products if
Customer fails to pay any undisputed amount
owed on or before its due date. Esri may charge
Customer interest at a monthly rate equal to the
lesser of one percent (1.0%) per month or the
maximum rate permitted by applicable law on
any overdue fees plus all expenses of collection
for any overdue balance that remains unpaid
ten (10) days after Esri has notified Customer of
the past-due balance.
c. Esri's federal ID number is 95-2775-732.
d. If requested, Esri will ship backup media to the
ship-to address identified on the Ordering
Document, FOB Destination, with shipping
charges prepaid. Customer acknowledges that
should sales or use taxes become due as a
result of any shipments of tangible media, Esri
has a right to invoice and Customer will pay any
such sales or use tax associated with the receipt
of tangible media.

8.2 Order Requirements. Esri does not require
Customer to issue a purchase order. Customer
may submit a purchase order in accordance with
its own process requirements, provided that if
Customer issues a purchase order, Customer
will submit its initial purchase order on the
Effective Date. If this is a multi-year Agreement,
Customer will submit subsequent purchase
orders to Esri at least thirty (30) calendar days
before the annual anniversary date for each
year.
a. All orders pertaining to this Agreement will be
processed through Customer's centralized point
of contact.
b. The following information will be included in
each Ordering Document:
(1) Customer name; Esri customer number, if
known; and bill-to and ship-to addresses
(2) Order number
(3) Applicable annual payment due

9.0—MERGERS, ACQUISITIONS, OR

DIVESTITURES
If Customer is a commercial entity, Customer will
notify Esri in writing in the event of (i) a
consolidation, merger, or reorganization of Customer
with or into another corporation or entity;
(ii) Customer's acquisition of another entity; or (iii) a transfer or sale of all or part of Customer's
organization (subsections i, ii, and iii, collectively
referred to as "Ownership Change"). There will be
no decrease in Fee as a result of any Ownership
Change.

9.1 If an Ownership Change increases the
cumulative program count beyond the maximum
level for this Agreement, Esri reserves the right
to increase the Fee or terminate this Agreement
and the parties will negotiate a new agreement.

9.2 If an Ownership Change results in transfer or
sale of a portion of Customer's organization, that
portion of Customer's organization will transfer
the Products to Customer or uninstall, remove,
and destroy all copies of the Products.

9.3 This Agreement may not be assigned to a
successor entity as a result of an Ownership
Change unless approved by Esri in writing in
advance. If the assignment to the new entity is
not approved, Customer will require any
successor entity to uninstall, remove, and
destroy the Products. This Agreement will
terminate upon such Ownership Change.

Summary: Council will consider awarding a three-year contract for Electric Utility line tree trimming throughout the City of Ukiah's Electric Utility system to Sierra Tree Company, Inc.

Background: A Request for Bid (See Attachment 1) was released on December 20, 2023, for the Electric Utility Line Tree Trimming Project. This project consists of trimming trees in proximity to the power lines and is required by the California Public Utilities Commission's General Order No.95, to maintain the safety and reliability of service. Additionally, the work will reduce potential ignition sources and provide fire mitigation in accordance with the Utility's Wildfire Mitigation plan. In 2023, branches and foliage were directly responsible for 35% of all power outages within the city. The scope of work for this project adheres to the City's most recent Tree Management Guidelines for the preservation, maintenance and enhancement of Ukiah's urban forest, and addresses Resolution 2022-44 (Climate Initiatives), 10a, "Protect from Dangerous Emission by Preventing Fires."
The work was posted on the City's website, sent to City's qualified bidders list, advertised in the Ukiah Daily Journal, and sent to multiple builder's exchanges.

Discussion: Bids were opened on January 18, 2024, with eight (8) bidders responding. A copy of the Bid Tabulation (See Attachment 2) is attached for Council's review. Sierra Tree Company, Inc was the lowest responsible bidder (See Attachment 3). Sierra Tree Company, Inc bid an hourly rate, per person, of $115.00, which includes all labor and equipment.

The budgeted amount for the first year (2023/2024) is $250,000. The amount for subsequent years of the contract will depend on the level of tree trimming requested, and will be included in the budget for each year.

Staff recommends Council award a three-year contract to Sierra Tree Company, Inc.
