ITEM NS-110 DIRECTIONAL BORING

DESCRIPTION
110-1.1 Work under this section shall require the contractor to install pipeline by the directional boring method.
110-1.2 Directional boring shall be defined as the ability to steer and electronically monitor the location and depth of the cutting bit.
110-1.3 Boring accuracy shall be within six (6) inches. 110-1.4 Mechanical, pneumatic or water-jetting methods will not be considered or paid for as directional boring.

MATERIALS
110-2.1 Materials are defined as pipe or conduit that becomes the installed product. 110-2.2 Use materials that are appropriate for the stresses generated by the selected equipment and field conditions but shall not be less than 2-inch high density polyethylene pipe with dimension ratio of SDR 9. 110-2.3 Ensure that the appropriate material is used to retain compliance once it is installed.

CONSTRUCTION METHODS
110-3.1 The contractor shall provide work reference for whom similar work has been conducted. A minimum of five-year directional boring experience is required. A contact name and telephone number are required for each reference.
110-3.2 Maintain drilling logs that accurately provide drill bit location (horizontally and vertically) at least six (6) inch along the drill path. In addition, keep logs that record, as a minimum the following, every 15 minutes throughout each drill pass, back ream, or pipe installation:
a. Drilling Fluid Pressure
b. Drilling Fluid Flow Rate
c. Drilling Thrust Pressure
d. Drilling Pullback Pressure
e. Drilling Head Torque
Make all instrumentation, readings, and logs available to the Engineer at all times during operation and provide a copy to the Engineer after installation is complete. 110-3.3 Boring shall be performed by a fluid-cutting process utilizing a liquid clay/Bentonite. 110-3.4 The liquid clay shall maintain boring stability and provide lubrication while the pipe is being installed:

a. Liquid clay must be totally inert and contain no environmental risk. 110-3.5 After an initial bore hole is completed, a reamer shall be installed at the termination pit and the reamer with the pipe shall be pulled back to the starting pit. 110-3.6 The reamer shall be capable of discharging liquid clay to facilitate the installation of the pipe into a stabilized and lubricated boring.
110-3.7 The timing of all boring processes is critical. Install a product into a borehole within the same day that the pre-bore is completed to ensure necessary support exits. 110-3.8 Sump pits are required to contain drilling fluids if vacuum devices are not operated throughout the drilling operation, unless approved by the engineer. Upon completion of the boring and pipe installation, the contractor shall remove all spoils from the boring pits and restore the pits and all areas disturbed by the boring operation to their original condition. All drilling spoils and excess material shall be removed and disposed of off-site in accordance with local, state, and federal regulations and required permitting. Offsite disposal of spoils and excess material is incidental and shall not be paid for separately. 110-3.9 Ensure that entry and exit pits are of sufficient size to contain the expected return of drilling fluids and soil cuttings. Ensure that all drilling fluids are disposed of or recycled in a manner acceptable to the appropriate local, state or federal regulatory agencies. 110-3.10 When drilling in suspected contaminated ground, test the drilling fluid for contamination and appropriately dispose of it at an offsite location in accordance with local, state, and federal regulations.

Remove any excess material upon completion of the bore and dispose of offsite. If in the drilling process it becomes evident that the soil is contaminated, contact the Engineer immediately. Do not continue drilling without the Engineer's approval.
110-3.11 Pipe tie-ins shall not be made for a minimum of twenty-four (24) hours after the pull to allow the pipe to recover from the pulling stress.
110-3.12 The contractor shall be responsible for repairing any damage resulting in heaving, settlement, separation of pavement, escaping drilling fluid (frac-out), or any other damage caused by the drilling operation, at no cost to the airport.
110-3.13 When required by the Engineer, provide detailed plans which show how damage to any runway or taxiway pavement will be remedied. When remediation plans are required, they must be approved by the engineer before any work proceeds.
110-3.14 If an obstruction is encountered during boring which prevents completion of the installation in accordance with the design location and specification, the pipe may be taken out of service and left in place at the discretion of the Engineer. Immediately fill the product left in place with excavatable flowable fill.

Submit a new installation procedure and revised plans to the engineer for approval before resuming work at another location. If damage is observed to an existing airport facility, cease all work until resolution to minimize further damage and a plan of action for restoration is obtained and approved by the Engineer. 276

This memorandum presents the results of a geotechnical exploration performed by LACO Associates (LACO) for the planned rehabilitation and taxiway realignment of Runway 15-33 at the Ukiah Airport in Ukiah, California (the Runway). A Site Vicinity Map and Site Map are presented in Figures 1 and 2 respectively.

The rehabilitation and taxiway realignment effort will consist of reducing the width of 4,415 foot long runway from 150 feet to 75 feet, demolishing taxiways B and D, constructing new taxiways A2 and A4.

Rehabilitation is anticipated to consist of cold-in-place recycling with a 2-inch asphalt top lift. The import of additional aggregate base (AB) material to supplement the recycled material may be required depending on the existing structural section.

LACO’s scope of services was limited to performing a subsurface investigation, laboratory testing, engineering evaluations, and preparing a report that summarized the results of our services. 2 . 0 F I E L D E X P L O R AT I O N
On May 1, 2017, LACO explored subsurface conditions along the Runway by drilling ten test borings (B1- B10), 4.5 to 6 feet deep, at the approximate locations shown in Figure 2. Test borings were drilled by Pearson Drilling of Forestville, California, using a drill rig equipped with an 8-inch diameter solid flight auger.

A LACO geologist logged the soils in general accordance with the American Society for Testing and Materials (ASTM) Test Procedure D2488, and obtained both disturbed and relatively undisturbed soil samples for laboratory testing. Boring logs are presented in Appendix 1. Composite samples were collected from the following: B2 at 1.5 to 6 feet, B6 at 1.5 to 6 feet, B8 from 1 to 5 feet, and B10 from 1 to 5 feet.

Soil samples were transported to LACO’s materials testing laboratory in Santa Rosa, California, where they were observed to confirm field classifications and to select samples for laboratory testing. The following laboratory tests were performed on selected soil samples; test results are presented in Appendix 2.  Moisture Content and Unit Weight (ATSM D2216 and 2937);  Particle Size Analysis (ASTM D422);
 Atterberg Limits (ASTM D4318);
 Maximum Density of Soil using Standard Effort (ASTM D-698); and  California Bearing Ratio (ASTM D1883).

California Bearing Ratio (CBR) tests were performed on the four composite samples to provide the necessary bearing ratio for pavement design. CBR tests performed on composite samples from borings B2 and B6 were compacted in the CBR mold to match the in-place densities derived from unit weight test results. This was performed to assess the bearing ratio of the in-situ soils for consideration of not reworking the subgrade soils. CBR tests performed on composite samples from B8 and B10 were compacted to approximately 95% relative compaction from the maximum dry density using standard effort (ASTM D698) test results.

3.1.1 Surface Conditions
Runway 15-33 is 4,415 feet long, 150 feet wide, asphalt concrete (AC) paved, and oriented in the northwest direction. The ground surface slopes gently in a southeast direction with elevations ranging from 615 to 593 feet above mean sea level.

3.1.2 Subsurface Conditions
Site Geology
The site is located on the west side of the Russian River Valley, in the Mendocino Mountain Range which forms part of the Coast Ranges Geomorphic Province of Northern California (CGS, 2006). According to 284

published geologic maps (Jennings, 1960) the site is underlain by recent alluvial deposits associated with the Russian River floodplain. These deposits are described as unconsolidated lenticular deposits of clay, sand, and gravel, of moderate to high permeability. The area west of the site is mapped as underlain by Quaternary (approximately 11,700 to 2.6 million years old) non-marine terrace deposits. These deposits are described as unconsolidated silty sand and gravel, silt, and clay, of moderate to low permeability.

Pavement Section
The results of our exploration indicate that the Runway surface consists of AC paving that is underlain by AB. Pavement section component thicknesses at our boring locations are summarized in Table 1 and presented in the borings logs (Appendix 2).

Below pavement section in B5 we encountered 2.5 feet of olive, medium stiff, sandy lean clay (CL) overlying 2 feet of yellowish brown, dense, silty sand with gravel (SM). Beneath pavement section in B6 we encountered 1.5 feet of olive, medium stiff, sandy lean clay (CL), underlain by approximately 2 feet of yellowish brown, very stiff, sandy lean clay with grave. (CL). Beneath the pavement in B7, we encountered approximately 3 feet of yellowish brown, stiff, sandy lean clay (CL). In B8, we encountered 5 feet of yellowish brown, medium dense, silty sand. Beneath the pavement in B9, we encountered approximately 3 feet of yellowish brown, very dense clayey sand with gravel. Lastly, in B9 we encountered 2 feet of yellowish brown, medium dense, silty sand (SM), overlying 3 feet of yellowish brown, medium dense, silty sand with gravel (SM).

Groundwater Conditions
Free groundwater was not encountered in our borings during our field exploration. 285

4 . 0 C O N C L U S I O N S
Our exploration indicates the project is feasible from a geotechnical engineering standpoint. On the basis of the above observations and our experience, we conclude that the rehabilitation of the Runway can proceed as planned.
5 . 0 R E C O M M E N D AT I O N S

5.1 Runway Rehabilitation
As described above, the existing pavement section will be pulverized in place. This effort will result in a blend of pulverized AC and the underlying AB material. We recommend that the resulting blend be moisture conditioned, either wetted or dried back, to near the optimum moisture content and compacted to at least 95 percent relative compaction or per Federal Aviation Administration (FAA) requirements (FAA, 2009). The resulting subgrade surface should be kept wet until covered with hot mix asphalt.

Pavement should be designed using a CBR value of 14 for recycled soils compacted to 95% relative compaction of the maximum dry density using standard effort (ASTM D698). If soils are not reworked and compacted, we recommend designing the pavement using a CBR value of 1.

5.2 Subgrade Preparation
New pavement and/or shoulder areas should be cleared and stripped to remove vegetation and surface soil containing organic matter. This material is unsuitable for use in compacted fill by may be stockpiled for later use in landscape areas. We estimate the required depth of stripping in areas with topsoil will generally be about 3 inches.

The exposed subgrade soils should be scarified to a minimum depth of 6 inches, moisture conditioned to wet of the optimum moisture content and compacted at least 95 percent relative compaction of maximum dry density using standard effort (ASTM D698) or per FAA requirements (FAA, 2009).

In areas of heavy deflection or pumping, we recommend over-excavation and replacement of soil with select fill placed and compacted as recommended below. As an alternative, the application of a geotextile fabric (such as Tensar® TX170, or equivalent) may be placed over the affected area in accordance with the manufacturer’s recommendations.

The soil subgrade should be observed by the Geotechnical Engineer (or qualified representative) and density test performed to check that it is smooth and unyielding prior to placement of AB. Site grading work should be performed during the summer months to avoid complications related to potential perched groundwater and saturated soils.

5.3 Fill Placement
If fill material is needed to achieve planned subgrade elevations, it should meet or exceed the requirements for select fill. Select fill should be free of organic material and satisfy the following criteria:
286

Runway Rehabilitation Project
Project No. 7403.05; October 19, 2017

Page 5 of 6 ends

Liquid Limit 40 percent or less
Plasticity Index 15 percent or less
Material passing No. 200 sieve 10 to 60 Percent
Maximum rock size 2 inches
Select fill should be placed in layers not exceeding 8 inches in loose thickness, moisture conditioned to wet of the optimum moisture content and compacted to a least 95 percent relative compaction of maximum dry density using standard effort (ASTM D698) or per FAA requirements (FAA, 2009).

5.4 Aggregate Base Quality and Compaction Standard
Aggregate base (for use in constructing new shoulders or to supplement the AC-AB blend described above) should be free of organic matter, and other deleterious material, and conform to the requirements described in Item P-209 (FAA, 2014). It should be spread in loose lifts of 6 to 8 inches thick, moisture conditioned to near optimum moisture content, and compacted to at least 100 percent relative compaction or per FAA requirements (FAA, 2009). The resulting subgrade should be maintained near its optimum moisture contents until covered by asphalt.
6 . 0 F U T U R E G E O T E C H N I C A L S E R V I C E S During the design phase, we recommend that LACO review the construction drawings and specifications, to check that they conform to the intent of the recommendations presented in this report. During construction, LACO should observe subgrade preparation, observe fill placement and compaction, and perform field and laboratory tests to check that the work is performed in accordance with the project construction drawings and specifications.

CERTIFICATION REGARDING FOREIGN TRADE RESTRICTIONS
The contractor or subcontractor, by submission of an offer and/or execution of a contract, certifies that it:
a. is not owned or controlled by one or more citizens of a foreign country included in the list of countries that discriminate against U.S. firms published by the Office of the United States Trade Representative (USTR);
b. has not knowingly entered into any contract or subcontract for this project with a person that is a citizen or national of a foreign country on said list, or is owned or controlled directly or indirectly by one or more citizens or nationals of a foreign country on said list; c. has not procured any product nor subcontracted for the supply of any product for use on the project that is produced in a foreign country on said list.

Unless the restrictions of this clause are waived by the Secretary of Transportation in accordance with 49 CFR 30.17, no contract shall be awarded to a contractor or subcontractor who is unable to certify to the above. If the contractor knowingly procures or subcontracts for the supply of any product or service of a foreign country on said list for use on the project, the Federal Aviation Administration may direct through the Sponsor cancellation of the contract at no cost to the Government.

Further, the contractor agrees that, if awarded a contract resulting from this solicitation, it will incorporate this provision for certification without modification in each contract and in all lower tier subcontracts. The contractor may rely on the certification of a prospective subcontractor unless it has knowledge that the certification is erroneous.

The contractor shall provide immediate written notice to the sponsor if the contractor learns that its certification or that of a subcontractor was erroneous when submitted or has become erroneous by reason of changed circumstances. The subcontractor agrees to provide written notice to the contractor if at any time it learns that its certification was erroneous by reason of changed circumstances.

This certification is a material representation of fact upon which reliance was placed when making the award. If it is later determined that the contractor or subcontractor knowingly rendered an erroneous certification, the Federal Aviation Administration may direct through the Sponsor cancellation of the contract or subcontract for default at no cost to the Government.

Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by this provision. The knowledge and information of a contractor is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

This certification concerns a matter within the jurisdiction of an agency of the United States of America and the making of a false, fictitious, or fraudulent certification may render the maker subject to prosecution under Title 18, United States Code, Section 1001.

AIRPORT NAME:

AIP NUMBER:

This solicitation and any resulting contract(s) are subject to the Buy America requirements of 49 U.S.C.

Section 50101. The bidder certifies it and all associated subcontractors will comply with the Buy American preferences established under Title 49 U.S.C. Section 50101 as follows:

U.S.C. Section 50101 - Buying goods produced in the United States The contractor agrees to comply with 49 USC § 50101, which provides that Federal funds may not be obligated unless all steel and manufactured goods used in AIP-funded projects are produced in the United States, unless the FAA has issued a waiver for the product; the product is listed as an Excepted Article, Material Or Supply in Federal Acquisition Regulation subpart 25.108; or is included in the FAA Nationwide Buy American Waivers Issued list.

A bidder or offeror must submit the appropriate Buy America certification (below) with all bids or offers on AIP funded projects. Bids or offers that are not accompanied by a completed Buy America certification must be rejected as nonresponsive.

Type of Certification is based on Type of Project:

There are two types of Buy American certifications.
• For projects for a facility, the Certificate of Compliance Based on Total Facility (Terminal or Building Project) must be submitted.
• For all other projects, the Certificate of Compliance Based on Equipment and Materials Used on the Project (Non-building construction projects such as runway or roadway construction; or equipment acquisition projects) must be submitted.

As a matter of bid responsiveness, the bidder or offeror must complete, sign, date, and submit this certification statement with their proposal. The bidder or offeror must indicate how they intend to comply with 49 USC § 50101 by selecting one on the following certification statements. These statements are mutually exclusive. Bidder must select one or the other (not both) by inserting a checkmark (✓) or the letter “X”.
 Bidder or offeror hereby certifies that it will comply with 49 USC § 50101 by:
a) Only installing steel and manufactured products produced in the United States, or; b) Installing manufactured products for which the FAA has issued a waiver as indicated by inclusion on the current FAA Nationwide Buy American Waivers Issued listing, or; c) Installing products listed as an Excepted Article, Material or Supply in Federal Acquisition Regulation Subpart 25.108.

By selecting this certification statement, the bidder or offeror agrees:

1. To provide to the Owner evidence that documents the source and origin of the steel and manufactured product.

2. To faithfully comply with providing US domestic product

3. To furnish US domestic product for any waiver request that the FAA rejects

4. To refrain from seeking a waiver request after establishment of the contract, unless extenuating circumstances emerge that the FAA determines justified.  The bidder or offeror hereby certifies it cannot comply with the 100% Buy American Preferences of 49 USC § 50101(a) but may qualify for either a Type 3 or Type 4 waiver under 341

1. To the submit to the Owner within 15 calendar days of the bid opening, a formal waiver request and required documentation that support the type of waiver being requested.

2. That failure to submit the required documentation within the specified timeframe is cause for a non-responsive determination may result in rejection of the proposal.

3. To faithfully comply with providing US domestic products at or above the approved US domestic content percentage as approved by the FAA.

4. To refrain from seeking a waiver request after establishment of the contract, unless extenuating circumstances emerge that the FAA determines justified.

Required Documentation
Type 3 Waiver - The cost of the item components and subcomponents produced in the United States is more that 60% of the cost of all components and subcomponents of the “item”. The required documentation for a type 3 waiver is:
a) Listing of all product components and subcomponents that are not comprised of 100% US domestic content (Excludes products listed on the FAA Nationwide Buy American Waivers Issued listing and products excluded by Federal Acquisition Regulation Subpart

25.108; products of unknown origin must be considered as non-domestic products in their entirety)
b) Cost of non-domestic components and subcomponents, excluding labor costs associated with final assembly at place of manufacture.
c) Percentage of non-domestic component and subcomponent cost as compared to total “item” component and subcomponent costs, excluding labor costs associated with final assembly at place of manufacture.

Type 4 Waiver – Total cost of project using US domestic source product exceeds the total project cost using non-domestic product by 25%. The required documentation for a type 4 of waiver is:
a) Detailed cost information for total project using US domestic product b) Detailed cost information for total project using non-domestic product False Statements: Per 49 USC § 47126, this certification concerns a matter within the jurisdiction of the Federal Aviation Administration and the making of a false, fictitious or fraudulent certification may render the maker subject to prosecution under Title 18, United States Code.

Agenda Item No: 14.a.

MEETING DATE/TIME: 11/6/2024

ITEM NO: 2024-760

AGENDA SUMMARY REPORT
SUBJECT: Consideration and Approval of Revised Water Interconnection, Wheeling, and Mutual Aid Agreements Between the City of Ukiah and Millview County Water District and Between the City of Ukiah and Willow County Water District.

DEPARTMENT: Water Resources PREPARED BY: Sean White, Water Resources Director PRESENTER: Sean White, Water Resources Director
ATTACHMENTS:

1. Millview Agreement

2. Willow Agreement
Summary: Council will consider approval of revised interconnection agreements with Millview County Water District and with Willow County Water District.

Background: The City of Ukiah has had agreements in place with Millview since 1993 and with Willow since 2002 to allow the entities to connect their water systems and provide water to each other under urgent or emergency conditions. These prior agreements, however, were largely restricted to wheeling water each had under contract from the Russian River Flood Control District. Furthermore, these agreements incorrectly assumed the parties' abilities to provide other sources of water to each other based on other rights to water.

For example, the last iterations of this arrangement, the Millview agreement from 2010 and the Willow agreement from 2002, make reference to the State Water Board and the need to amend the City's place of use to accomplish the purposes of the agreement. The language in the agreement not only unduly restricts the City's rights but, as importantly, reflects a time when the parties were, the interconnection arrangement aside, not working closely together to realize a shared future.

Discussion: Revising the Agreements to reflect current circumstances between the Parties and to make clear that drought and water shortage are included in the definition of what constitutes an "urgent and emergency condition" is appropriate and timely. The revised Agreements make more clear the authorities for sharing water through the Parties' interconnection. The revised Millview Agreement is included as Attachment 1. The revised Willow Agreement is included as Attachment 2. These authorities include not only previouslyarticulated abilities to wheel Flood Control Water, but now include reference to powers in the Joint Exercise of Powers Act (Gov. Code sections 6500, et seq.) and the Emergency Services Act (Gov. Code sections 8550, et seq.).

All three parties have recently joined the Ukiah Valley Water Authority, a Joint Exercise of Powers Agency under the Joint Exercise of Powers Act ("JEPA"). JEPA provides in part that two or more public agencies may by agreement jointly exercise any powers common to the parties to the agreement and provides independent statutory authority exempting the Parties' otherwise extraterritorial supply of water from Mendocino LAFCo approval. JEPA further provides that parties to a Joint Exercise of Powers Agreement (a "JPA"), such as the Water Authority JPA, may exercise those powers they have in common across the footprints of both those parties.

Furthermore, the Emergency Services Act calls for local jurisdictions to enter into mutual aid agreements to plan for emergencies. Under the Emergency Services Act, “emergency” explicitly includes a drought. The

Page 632 of 653 ends
Page 2 of 2 ends

intent of the existing arrangement has always been to share water in times of urgent or emergency conditions, and the revisions to the Agreements simply make clear that the arrangement is also properly understood as mutual aid agreements.

Finally, the Agreements make clear that “urgent or emergency conditions” explicitly includes conditions of drought or water shortage. Since the inception of the arrangement between the parties, the effects of climate change have been more apparent and are anticipated to present increased periods of drought or water shortage. The revisions to the Agreements simply look to reflect this reality.

The Agreements only require the Parties to provide water under certain circumstances, all of which implicate an emergency of some kind (e.g., drought or water shortage, fire, critical maintenance, and contamination).

They each provide that each Party may, but is not required to, provide water for more than fousrteen consecutive days or more than twenty days in a calendar quarter. Each Party is entitled to reasonable remuneration for the expenses incurred in providing the water. The Parties shall share the costs of maintenance of the connection of their water distribution systems.

The Agreements provide for dispute resolution, including non-binding arbitration. Should any Party litigate an issue implicated by the Agreement, the prevailing Party shall recover its costs from the losing Party in that litigation.

Water Interconnection, Wheeling, and Mutual Aid Agreement November 1, 2024 Between the City of Ukiah and Millview County Water District 1 WATER INTERCONNECTION, WHEELING, AND

MUTUAL AID AGREEMENT
This WATER INTERCONNECTION, WHEELING, AND MUTUAL AID
AGREEMENT (this “Agreement”) is made and entered in Ukiah, California, and is effective as of November 1, 2024, (the “Effective Date”) by and between the City of Ukiah ("Ukiah"), a general law municipal corporation, and Millview County Water District ("Millview"), a county water district formed and operated in accordance with the provisions of California Water Code sections 30000 et seq. (collectively, the “Parties”).

RECITALS
Ukiah and Millview Witnesseth That:

1. Millview and Ukiah operate water systems that serve contiguous territory, and each is within the environs of the other. Water mains belonging to the two agencies lie in close proximity to each other.

2. Urgent or Emergency Conditions may from time to time interrupt the water service that Millview and Ukiah provide their respective customers. The reliability of water service Millview and Ukiah provide to their respective customers is improved when the water mains of both systems are physically connected by valves that can be opened during urgent or emergency conditions.

3. "Urgent or Emergency Conditions" in this Agreement means a sudden or unexpected occurrence or combination of occurrences causing the domestic water supply to be temporarily interrupted or lessened, and includes a state of drought or water shortage, whatever the reason(s), whether man-made, natural, or an act of God, as determined by Millview’s Board of Directors or Ukiah’s City Council or their designated representatives.

4. To improve the reliability of the water systems serving Millview and Ukiah, the Parties first entered an emergency interconnection agreement in 1993 (the “1993 Agreement”), renewed and extended the agreement in 2002, renewed it again in 2010, and physically interconnected their respective water systems in accordance with the terms of those agreements.

5. When the Parties first entered the 1993 Agreement, the effects of climate change, including water shortage and drought, were not understood or recognized; such effects have since become one of the most prevalent urgent or emergency conditions that require water transfers to ensure continued service to residents, businesses, and customers.

6. The service of providing water under urgent or emergency conditions has been available, each to the other Party, since before January 1, 2001, and therefore the Parties are exempted from ATTACHMENT 1

Page 634 of 653 ends

Water Interconnection, Wheeling, and Mutual Aid Agreement November 1, 2024 Between the City of Ukiah and Millview County Water District 2 approval of this Agreement by the Mendocino Local Agency Formation Commission in accordance with Government Code section 56133(e)(4).

7. Ukiah holds a pre-1914 water right and rights to divert groundwater under California law that are not subject to the place of use restrictions imposed upon junior water rights in the California Water Code. Ukiah’s water right under Permit 12952 describes the place of use as “the City of Ukiah and environs.” Ukiah also has substantial access to groundwater resources and exercises its right to divert groundwater within and under its boundaries.

8. In addition to other water rights, and as of the Effective Date, Millview has a Water Supply Agreement with the Mendocino County Russian River Flood Control and Water Conservation Improvement District (the "Flood Control District") under which it has contracted to use water subject to the Flood Control District's Water Right License 13898. This License authorizes the Flood Control District and its contractors to divert and re-divert up to 7,940 acrefeet per year of water stored in Lake Mendocino. The areas currently served by the Millview and Ukiah water systems are within the place of use authorized by the Flood Control District's Water Right License.

9. The Joint Exercise of Powers Act (Gov. Code sections 6500, et seq.) provides in part that two or more public agencies may by agreement jointly exercise any powers common to the parties to the agreement. The Joint Exercise of Powers Act provides independent statutory authority exempting the Parties’ otherwise extraterritorial supply of water from Mendo LAFCo approval. Under Government Code section 6502, it shall not be necessary that any power common to the contracting parties be exercisable by each such contracting party with respect to the geographical area in which such power is to be jointly exercised.

10. Millview and Ukiah are both parties to the Amended and Restated Joint Exercise of Powers Agreement creating the Ukiah Valley Water Authority (the “Water Authority JPA”). The Water Authority JPA is formed and operated in accordance with the Joint Exercise of Powers Act and provides in part that the parties enter the Water Authority JPA to permit the joint exercise of powers common to the parties and specifically includes those for water service. Millview and Ukiah each have the power to provide water and related services.

11. The California Emergency Services Act (Gov. Code sections 8550, et seq.) and the Standardized Emergency Services System established pursuant to California Government Code section 8607 and Title 19 of the California Code of Regulations (“CCR”), section 2400, et seq., provide that local jurisdictions within an individual county may enter mutual aid agreements to prepare for emergencies. Title 19, CCR section 2402(f), defines an “emergency” to include drought.

Page 635 of 653 ends

Water Interconnection, Wheeling, and Mutual Aid Agreement November 1, 2024 Between the City of Ukiah and Millview County Water District 3 12. Each Party has an interest in achieving mutual aid assistance from the other in response to an emergency, including a drought, and each Party has the personnel, equipment, and knowledge required to provide such assistance.

13. Previous interconnection agreements, including the 1993 Agreement, between Ukiah and Millview were intended to provide for the kind of mutual aid called for by the California Emergency Services Act and implementing regulations, including mutual aid agreements, and the Parties intend this Agreement to serve as such a Mutual Aid Agreement in the case of an emergency, including an emergency caused by a drought.

14. In light of the Parties entering the Water Authority JPA and the change in their relationship that agreement reflects, the purposes of this Agreement are to acknowledge their mutual support for the other; to reconfirm the terms and conditions under which the systems can remain physically connected; to ensure that connection can continue to be properly maintained; and to continue to provide water to the neighboring system.

AGREEMENT
Wherefore, in consideration of the above Recitals, and on the terms and conditions as stated herein, the Parties hereby agree as follows.

1. Incorporation of Recitals. The Parties agree the above Recitals are true and correct and are hereby incorporated in this Agreement.

2. Interconnection. The Parties confirm that the two systems have been interconnected in accordance with the 1993, 2002, and 2010 interconnection agreements.

3. Ukiah's Provision of Water Service to Millview. Ukiah shall provide water to Millview under this Agreement upon written or verbal request from Millview's General Manager or his duly authorized delegate. The request shall include a representation that urgent or emergency conditions exist within Millview.

Millview shall account to the Flood Control District for the amount of water the City wheels to Millview pursuant to this Agreement.

3.2 Ukiah’s provision of water to Millview, including any wheeling of Flood Control District Water, shall, unless otherwise agreed to, only occur under the following terms and conditions:

Ukiah may request the information and accounting analysis performed to compute the per gallon price. Any dispute over the calculation shall be resolved as provided in Paragraph 12.

5.2 Millview shall bill Ukiah for requested service within fifteen (15) days after said service ends, or within thirty (30) days of beginning service, whichever comes first, and each thirty (30) days thereafter until the charges for service have been paid in full. Payment of each bill shall be due no later than thirty (30) days from the billing date.

7. Mutual Aid. Each Party agrees to provide aid to the other by providing water service in the case of an emergency as currently defined in Title 19 CCR section 2402(f) to include a drought. Nothing in this Agreement shall preclude either Party from providing such mutual aid for however long the emergency shall continue; provided, however, that the requesting Party makes clear it is requesting such aid pursuant to this Paragraph 7.

8. Maintenance of Interconnection. The Parties agree to share equally the cost of servicing and maintaining the interconnection between their respective water systems in good working order and repair. Whenever either Party believes that maintenance or repairs are required, including the replacement of parts, it shall notify the other Party. Upon the giving of such notice, the Parties through their respective managers or designees shall confer on the manner of providing the required maintenance or repairs. Except in an emergency, if the Parties fail to agree within thirty (30) days after notice has been given, either Party may provide the maintenance or repair and seek reimbursement from the other Party. It shall be considered an emergency, if a repair is required in order to safely transmit and measure water through the interconnection during an urgent or emergency condition. In an emergency either Party may make the repair immediately and seek reimbursement from the other Party. Any dispute arising under this Paragraph 8 shall be resolved as provided for in Paragraph 12.

9. Waiver. Failure to enforce any breach of a provision of this Agreement shall not be deemed a waiver of any subsequent breach of the same or a different provision of the Agreement.

10. Compliance with Law. This Agreement shall not obligate either Party to furnish water to the other, if the provision of such water would violate any provision of state or federal law or any term or condition of any permit, license, contract, or other approval held by either Party in connection with its public water system.

11. Limits on Flow. Ukiah and Millview mutually agree to limit the provision of water under this Agreement to a rate of flow that will not adversely affect the distribution system or customer service levels of either system. If the City Manager of Ukiah or the General Manager of Millview determines that such an adverse impact will occur, the manager or authorized

If they are unable to resolve the dispute to the mutual satisfaction of both parties within a period of fifteen (15) days after one party gives notice to the other party of the dispute, the Millview Board of Directors and the Ukiah City Council shall meet in a joint session in an effort to resolve the dispute. If the parties remain dissatisfied forty-five (45) days after the notice of the dispute was first given, either party may request non-binding arbitration of the dispute. The arbitrator shall be selected and the arbitration conducted and enforced in accordance with Part 3, Division 9 of the California Code of Civil Procedure, commencing with Section 1280. Should either Party seek to enforce any provision of this Agreement through court order and prevail, it shall be entitled to its reasonable attorney and expert witness fees and costs of litigation from the other Party.

13. Entire Agreement. This Agreement contains the entire agreement between the parties concerning its subject matter and supersedes any prior statements, agreements or understandings between the parties concerning the same subject matter. Any such prior statements, agreements or understandings are hereby declared null and void and of no further force or effect. Water Interconnection, Wheeling, and Mutual Aid Agreement November 1, 2024 Between the City of Ukiah and Willow County Water District 1 WATER INTERCONNECTION, WHEELING, AND

MUTUAL AID AGREEMENT
This WATER INTERCONNECTION, WHEELING, AND MUTUAL AID
AGREEMENT (this “Agreement”) is made and entered in Ukiah, California, and is effective as of November 1, 2024, (the “Effective Date”) by and between the City of Ukiah ("Ukiah"), a general law municipal corporation, and Willow County Water District ("Willow"), a county water district formed and operated in accordance with the provisions of California Water Code sections 30000 et seq. (collectively, the “Parties”).

RECITALS
Ukiah and Willow Witnesseth That:

1. Willow and Willow operate water systems that serve contiguous territory, and each is within the environs of the other. Water mains belonging to the two agencies lie in close proximity to each other.

2. Urgent or Emergency Conditions may from time to time interrupt the water service that Willow and Ukiah provide their respective customers. The reliability of water service Willow and Ukiah provide to their respective customers is improved when the water mains of both systems are physically connected by valves that can be opened during urgent or emergency conditions.

3. "Urgent or Emergency Conditions" in this Agreement means a sudden or unexpected occurrence or combination of occurrences causing the domestic water supply to be temporarily interrupted or lessened, and includes a state of drought or water shortage, whatever the reason(s), whether man-made, natural, or an act of God, as determined by Willow’s Board of Directors or Ukiah’s City Council or their designated representatives.

4. To improve the reliability of the water systems serving Willow and Ukiah, the Parties entered an emergency interconnection agreement in 2002 (the “2002 Agreement”) and physically interconnected their respective water systems in accordance with the terms of the 2002 Agreement.

5. When the Parties first entered the 2002 Agreement, the effects of climate change, including water shortage and drought, were not understood or recognized; such effects have since become one of the most prevalent urgent or emergency conditions that require water transfers to ensure continued service to residents, businesses, and customers.

6. Ukiah holds a pre-1914 water right and rights to divert groundwater under California law that are not subject to the place of use restrictions imposed upon junior water rights in the ATTACHMENT 2

Page 642 of 653 ends

Water Interconnection, Wheeling, and Mutual Aid Agreement November 1, 2024 Between the City of Ukiah and Willow County Water District 2 California Water Code. Ukiah’s water right under Permit 12952 describes the place of use as “the City of Ukiah and environs.” Ukiah also has substantial access to groundwater resources and exercises its right to divert groundwater within and under its boundaries.

7. In addition to other water rights, and as of the Effective Date, Willow has a Water Supply Agreement with the Mendocino County Russian River Flood Control and Water Conservation Improvement District (the "Flood Control District") under which it has contracted to use water subject to the Flood Control District's Water Right License 13898. This License authorizes the Flood Control District and its contractors to divert and re-divert up to 7,940 acre-feet per year of water stored in Lake Mendocino. The areas currently served by the Willow and Ukiah water systems are within the place of use authorized by the Flood Control District's Water Right License.

9. Willow and Ukiah are both parties to the Amended and Restated Joint Exercise of Powers Agreement creating the Ukiah Valley Water Authority (the “Water Authority JPA”). The Water Authority JPA is formed and operated in accordance with the Joint Exercise of Powers Act and provides in part that the parties enter the Water Authority JPA to permit the joint exercise of powers common to the parties and specifically includes those for water service. Willow and Ukiah each have the power to provide water and related services.

10. The California Emergency Services Act (Gov. Code sections 8550 – 8668) and the Standardized Emergency Services System established pursuant to California Government Code section 8607 and Title 19 of the California Code of Regulations (“CCR”), section 2400, et seq., provide that local jurisdictions within an individual county may enter mutual aid agreements to prepare for emergencies. Title 19, CCR section 2402(f), defines an “emergency” to include drought.

11. Each Party has an interest in achieving mutual aid assistance from the other in response to an emergency, including a drought, and each Party has the personnel, equipment, and knowledge required to provide such assistance.

12. The 2002 Agreement was intended by the Parties to provide for the kind of mutual aid called for by the California Emergency Services Act and implementing regulations, including

Page 643 of 653 ends

Water Interconnection, Wheeling, and Mutual Aid Agreement November 1, 2024 Between the City of Ukiah and Willow County Water District 3 mutual aid agreements, and the Parties intend this Agreement to serve as such a Mutual Aid Agreement in the case of an emergency, including an emergency caused by a drought.

13. In light of the Parties entering the Water Authority JPA and the change in their relationship that agreement reflects, the purposes of this Agreement are to acknowledge their mutual support for the other; to reconfirm the terms and conditions under which the systems can remain physically connected; to ensure that connection can continue to be properly maintained; and to continue to provide water to the neighboring system under certain conditions.

The Parties confirm that the two systems have been interconnected in accordance with the 2002 Agreement.

3. Ukiah's Provision of Water Service to Willow. Ukiah shall provide water to Willow under this Agreement upon written or verbal request from Willow's General Manager or his duly authorized delegate. The request shall include a representation that urgent or emergency conditions exist within Willow.

3.1 To the extent Ukiah is wheeling water from the Flood Control District, Willow shall use such water in accordance with the terms of its Water Supply Agreement with the Flood Control District and warrants and represents to Ukiah that such use is compliance with those terms, including the prohibition against using the water outside the allowed place of use under the Flood Control District's Water Right License or for a purpose that is not authorized by that License. Willow shall account to the Flood Control District for the amount of water the City wheels to Willow pursuant to this Agreement.

3.2 Ukiah’s provision of water to Willow, including any wheeling of Flood Control District Water, shall, unless otherwise agreed to, only occur under the following terms and conditions:
a. If practicable, Willow shall give Ukiah at least 24 (twenty-four) hours advance notice to provide water service. In its request for service Willow shall indicate the time when it wants the service to begin and the time when it wants or expects that service to end. Unless earlier notified of a different termination date, Ukiah shall end service on the date indicated in the notice from Willow. In any event, Ukiah may, but need not, end service when the limits of service imposed by subparagraph b have been reached.

Willow may request the information and accounting analysis performed to compute the per gallon price. Any dispute over the calculation shall be resolved as provided in Paragraph 12.

4.2 Ukiah shall bill Willow for requested service within fifteen (15) days after said service ends, or within thirty (30) days of beginning service, whichever comes first, and each thirty (30) days thereafter until the charges for service have been paid in full. 1. 2024 City Council Special Assignments and Ad Hocs
Summary: City Council members will provide reports and updates on their committee and ad hoc assignments. If necessary, the Council may consider modifications.

Background: City Council members are assigned to a number of committees and ad hoc activities. These assignments are included as Attachment 1.

Discussion: Previously, the City Council discussed having more time allocated to reporting on committee and ad hoc activities. Often, the Council Reports section of the regular agenda is rushed due to impending business (i.e., public hearings), and not enough time is afforded for reports beyond community activities.

In an effort to foster regular updates on committee and ad hoc assignments, this item is being placed on the agenda to provide the City Council members an expanded opportunity to report on assignments and modify assignments as necessary.
