FIRST AMENDMENT TO THE
CONSULTING SERVICES AGREEMENT WITH
TOWNSEND PUBLIC AFFAIRS, INC. FOR
LEGISLATIVE ADVOCACY AND GRANT FUNDING RESEARCH
SERVICES
THIS FIRST AMENDMENT (“the First Amendment”) is effective as of this 1st day of October, 2025 by and between THE CITY OF UNION CITY, a municipal corporation, (“City”), and TOWNSEND PUBLIC AFFAIRS, INC., (“Consultant”), collectively referred to as the “Parties.”
WITNESSETH:
WHEREAS, on September 12, 2023, the City Council adopted Resolution No. 6200-23, authorizing the City to enter into a Consulting Services Agreement with Townsend Public Affairs, Inc. (TPA) for legislative advocacy and grant funding research services, for an established term from October 1, 2023 to September 30, 2024; and WHEREAS, on November 26, 2024, the City Council adopted Resolution No. 6394-24, authorizing a new consulting services agreement with TPA for an established term from October 1, 2024 to September 30, 2025; and
WHEREAS, the Parties desire to amend the Agreement to exercise the option to extend the agreement for an additional one-year period and to increase the agreement amount by an additional $96,000; and
WHEREAS, the City and the Consultant desire to enter into this First Amendment.
NOW, THEREFORE, the Parties hereto do mutually agree as follows:
1. The “TERMS OF SERVICES,” as set forth in the first sentence of Section 1.1 of the Agreement, is hereby extended to September 30, 2026.
2. The “COMPENSATION,” as set forth by the first sentence of Section 2 of the Agreement, is hereby amended to reflect payment based upon a sum increase of Ninety-Six Thousand Dollars ($96,000). The total compensation under the Agreement including this Amendment shall not exceed a total contract amount of One Hundred Ninety-Two Thousand Dollars ($192,000). The first sentence shall now read:
City hereby agrees to pay Consultant a sum not to exceed eight thousand dollars ($8,000) per month, for a total amount not-to-exceed One Hundred Ninety-Two Thousand Dollars ($192,000) for the period of October 1, 2024 through September 30, 2026, notwithstanding any contrary indications that may be contained in Consultant’s proposal for services to be performed and reimbursable costs incurred under this Agreement.

3. All other provisions of the Agreement remain unchanged except as modified by this First Amendment.
IN WITNESS WHEREOF, the City and the Consultant have executed this Amendment effect as of the date hereinabove written.
