RESOLUTION NO. 2026-XXX
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF UNION CITY
AUTHORIZING THE CITY MANAGER TO EXECUTE AN OPERATING
AND MANAGEMENT AGREEMENT WITH THE UNION LANDING
PROPERTY OWNERS’ ASSOCIATION
WHEREAS, the Union Landing shopping center is the City’s primary regional shopping center and a significant source of sales tax revenue; and WHEREAS, on July 8, 2025, the City Council adopted Resolution No. 2025- 095 declaring the results of an assessment ballot proceeding for the Union Landing Property and Business Improvement District ("District") and also adopted Resolution No. 2025-096 to renew the District and to levy and collect assessments for Fiscal Year 2025-2026 in accordance with the provisions of the Property and Business Improvement District Law of 1994, California Streets and Highways Code Section 36600 et seq. ("1994 Law"); and
WHEREAS, the Management District Plan (“MDP’), herein incorporated by reference, identified the Union Landing Property Owners’ Association (“ULPOA”) as the owners’ association for the ULPBID and established the duties and responsibilities of the ULPOA with regard to management of the ULPBID; and
WHEREAS, the mission of the ULPOA is to create and promote a high-quality entertainment and shopping environment in the Union Landing center, to protect the safety of its visitors, and provide businesses within the shopping center with valuable marketing efforts; and
WHEREAS, Streets and Highways Code Section 36651 authorizes the City to contract with an owners' association to provide the improvements, maintenance, and activities specified in the MDP; and
WHEREAS, the City Council desires to enter into an agreement with the ULPOA to provide certain services for the District per the terms and conditions set forth in the agreement; and
WHEREAS, the term of the agreement shall be the same as the renewal term for the District; and
WHEREAS, pursuant to the agreement, the City shall provide the proceeds of the District’s assessments to the ULPOA to fund the services specified in the MDP, including administrative costs incurred by the City.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Union City hereby approves the Operating and Management Agreement, labeled Exhibit A and attached hereto and made a part hereof, with the Union Landing Property Owners’ Association for the Union Landing Property and Business Improvement District.
BE IT FURTHER RESOLVED that the City Manager is authorized to execute the Agreement in a form approved by the City Attorney.
