RESOLUTION OF THE CITY COUNCIL OF THE CITY OF UNION CITY
RATIFYING PRIOR SERVICES RENDERED, IN THE AMOUNT OF
$36,000, VOIDING A CONSULTING SERVICES AGREEMENT WITH
RUGGERI-JENSEN-AZAR (C6089), IN THE AMOUNT OF $26,000, AND
APPROVING THE SECOND AMENDMENT TO THE CONSULTING
SERVICES AGREEMENT WITH RUGGERI-JENSEN-AZAR (C5782), IN THE AMOUNT OF $62,000, FOR A TOTAL NOT-TO-EXCEED
CONTRACT AMOUNT OF $126,000, FOR MAPPING AND PLAN
REVIEW SERVICES FOR THE STATION EAST PHASE 1
DEVELOPMENT
WHEREAS, on June 8, 2021, the City Council adopted Resolution No. 5777-21 approving Tentative Tract Map No. 8251 (TTM-20-001) for the Station East Residential Mixed-Use Project; and
WHEREAS, following approval of TTM-20-001, the developer submitted Final Tract Map No. 8251, grading plans, improvement plans, utility plans, and other technical documents associated with the Station East Phase 1 development for City review; and WHEREAS, due to the complexity and scale of the project, the City retained RJA to provide engineering plan review and mapping services to support City staff; and WHEREAS, on August 13, 2021, the City entered into a Consulting Services Agreement with RJA (C5782, hereafter referred to as the “Original Agreement”), in an amount not-to-exceed $59,500; and
WHEREAS, on March 8, 2024, the First Amendment to the Original Agreement was executed, increasing the contract amount by $4,500, for a total not-to-exceed amount of $64,000, and extending the term through December 31, 2026; and WHEREAS, on April 8, 2024, the City entered into a Consulting Services Agreement with RJA (C6089, hereafter referred to as the “Subsequent Agreement”), in an amount not-to-exceed $26,000, to provide additional engineering plan review and mapping services associated with the Station East Phase 1 development; and WHEREAS, project review activities have continued beyond the originally authorized contract amounts, resulting in RJA providing services in excess of the authorized contract amounts; and
WHEREAS, the City has received the benefit of such services and finds that ratification of payment for services previously rendered is in the best interest of the City; and
WHEREAS, staff recommends voiding the Subsequent Agreement, consolidating all services under the Original Agreement, and approving a Second Amendment to the Original Agreement, in the amount of $62,000, for a total not-to-exceed contract amount of $126,000; and

WHEREAS, pursuant to a Reimbursement Agreement between the City and the project developer, Lennar, all costs associated with the consultant services are reimbursable by the developer and will not result in a fiscal impact to the City’s General Fund.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Union City does hereby ratify payment for engineering plan review and mapping services previously rendered by RJA in support of the Station East Phase 1 development project.
BE IT FURTHER RESOLVED that the City Council hereby voids the Consulting Services Agreement between the City and RJA (C6089) and directs that services performed under that agreement be consolidated under the Consulting Services Agreement between the City and RJA (C5782).
BE IT FURTHER RESOLVED that the City Council hereby approves the Second Amendment to the Consulting Services Agreement between the City and RJA (C5782), in the amount of $62,000, for a total not-to-exceed contract amount of $126,000.
BE IT FURTHER RESOLVED that the City Council hereby authorizes the City Manager to execute the Second Amendment to the Consulting Services Agreement between the City and RJA (C5782) and any related documents, in a form approved by the City Attorney.
