between City of Union City and Bay Area Tree Specialists
SECOND AMENDMENT
TO THE SERVICE AGREEMENT (C25PW0074)
WITH BAY AREA TREE SPECIALISTS
FOR TREE PRUNING AND REMOVAL
THIS SECOND AMENDMENT (the “Second Amendment”) is effective as of this 1st day of July, 2026 by and between THE CITY OF UNION CITY, a municipal corporation, (“City”) and BAY AREA TREE SPECIALISTS, ("Consultant"), collectively referred to as the "Parties."
W I T N E S S E T H:
WHEREAS, on September 24, 2024, Parties entered into a Services Agreement (C25PW0074) (“Agreement”) wherein the Contractor will provide the City with services related to Tree Pruning and Removal, in the amount of $272,200; and WHEREAS, on July 1, 2025, the Parties entered into a First Amendment to the Agreement (“First Amendment”), C25PW0074-1A, to extend the term of services and increase the compensation; and
WHEREAS, the Parties desire to further amend the Agreement to extend the term and increase the compensation; and
WHEREAS, the City and the Consultant desire to enter into this Second Amendment.
NOW, THEREFORE, the Parties hereto do mutually agree as follows:
1. The “TERM OF SERVICES,” as set forth in the first sentence of Section 1.1 of the Agreement, is hereby extended to September 30, 2026.
2. The “COST PROPOSAL” as set forth in EXHIBIT B of the Agreement, is hereby amended to include the information contained in Exhibit B of this Second Amendment, attached hereto and incorporated herein by reference.
3. Section 2 “COMPENSATION” of the Agreement is hereby amended to increase the total amount of compensation by Sixty-Eight Thousand Fifty Dollars ($68,050) The total compensation under the agreement shall not exceed a total contract amount of Seven Hundred Five Thousand Two Hundred Fifty Dollars ($705,250). The first sentence shall now read:
City hereby agrees to pay Consultant a sum not to Seven Hundred Five Thousand Two Hundred Fifty Dollars ($705,250)
notwithstanding any contrary indications that may be contained in Consultant’s proposal for services to be performed and reimbursable costs incurred under this Agreement.

5. All other provisions of the Agreement, remain unchanged except as modified by this Second Amendment.
IN WITNESS WHEREOF, the City and the Consultant have executed this Amendment effective as of the date hereinabove written.
