FIRST AMENDMENT
TO THE CONSULTING SERVICES AGREEMENT (C26PW1329)
BETWEEN THE CITY OF UNION CITY AND ROMA COLLABORATIVE
FOR QUARRY LAKES PARKWAY URBAN AND LANDSCAPE DESIGN REVIEW QUARRY LAKES PARKWAY, CITY PROJECT NO. 18-04
This First Amendment (the “First Amendment”) is effective as of this 8th day of September, 2026, by and between the City of Union City, a municipal corporation, (“City”) and ROMA Collaborative, ("Consultant"), collectively referred to as the "Parties." W I T N E S S E T H:
WHEREAS, on April 1, 2026, the Parties entered into a Consulting Services Agreement (C26PW1329) (“Agreement”) wherein the Consultant will provide the City with consulting services related to Quarry Lakes Parkway Urban and Landscape Design Review of the Quarry Lakes Parkway, City Project No. 18-04, in the amount of $74,809; and WHEREAS, the Parties desire to amend the Agreement to extend the term and expand the scope of services to be provided by the Consultant, and increase the compensation to be provided to the Consultant; and
WHEREAS, the City and the Consultant desire to enter into this First Amendment.
NOW, THEREFORE, the Parties hereto do mutually agree as follows:
1. The “SCOPE OF SERVICES”, as set forth in EXHIBIT A of the Agreement, is hereby amended to include the services contained in Exhibit A of this First Amendment, attached hereto and incorporated herein by reference.
2. The “TERM OF SERVICES,” as set forth in the first sentence of Section 1.1 of the Agreement, is hereby extended to December 31, 2027.
3. The first sentence of Section 2 “COMPENSATION” of the Agreement is hereby amended to reflect payment based upon a sum increase of One Hundred Two Thousand Nine Hundred Thirty-Two Dollars ($102,932), as set forth in Exhibit B of this First Amendment. The total compensation under the Agreement including this Amendment shall not exceed a total contract amount of One Hundred Seventy-Seven Thousand Seven Hundred Forty-One Dollars ($177,741). The first sentence shall now read:
City hereby agrees to pay Consultant a sum not to exceed One Hundred Seventy-Seven Thousand Seven Hundred Forty-One Dollars
($177,741), notwithstanding any contrary indications that may be contained in Consultant's proposal, for services to be performed and reimbursable costs incurred under this Agreement.

Exhibit A
Scope of Services
This scope of work is related to the continuing Urban and Landscape Design Review services provided by ROMA Collaborative during the Quarry Lakes Parkway Project Final Design phase. The work will be developed based on and in coordination with the engineering drawings prepared by the Mark Thomas team as the Consultant to the City of Union City on the Final Engineering Design for Phase 1 and Phase 2 of the Quarry Lakes Parkway Project, City Project No. 18-04, as well as the previous concepts prepared by ROMA Collaborative, with input from the City.
The work effort will be undertaken in five separate tasks.
In Task 1, ROMA will review the proposed grading for Parcel B, west of Alvarado Niles Road and between Quarry Lakes Parkway and Osprey Drive, and provide recommendations for the grading conceptual approach integrated with potential development concept.
In Task 2, ROMA will continue to be involved in the Final Design and implementation of the QLP Phase 2 by reviewing and providing comments on how concepts illustrated in previous tasks are being incorporated by Mark Thomas team into the Final Drawings and brought forward to construction. Among others, areas of particular focus will be the proposed connections to Arroyo Park, improvements to Osprey Drive and integration with other edge conditions, such as the Quarry Lakes Regional Recreation Area.
In Task 3, ROMA will provide follow-up design review services for the Phase 1 of the Quarry Lakes Parkway Project. After the Mark Thomas team incorporates previously provided ROMA comments to the 65% documents, we will review the 95% drawings and provide additional streetscape and landscape comments as appropriate and as needed.
In Task 4, ROMA will continue to provide design review services for the Phase 1 of the Quarry Lakes Parkway Project. After the Mark Thomas team incorporates comments to 95% documents that will be provided by ROMA under previous task, we will review the 100% drawings and provide additional comments as appropriate and as needed, for the completion of Final Drawings and for project implementation.
In Task 5, Roma will further develop, if needed, design sketches, concept plans and potential land use development evaluation that address the key areas of the Phase 1 improvements, such as the QLP - 7th Street intersection area, with adjoining Drigon Dog Park, the City Corporate Yard frontage and the new parking lot.
