FOURTH AMENDMENT
TO THE CONSULTING SERVICES AGREEMENT (C5909)
BETWEEN THE CITY OF UNION CITY AND ADVANCED MOBILITY GROUP
FOR ON-CALL SIGNAL SYSTEM SUPPORT
This Fourth Amendment (the “Fourth Amendment”) is effective as of this 8th day of September, 2026, by and between the City of Union City, a municipal corporation, (“City”) and Advanced Mobility Group, ("Consultant"), collectively referred to as the "Parties."
W I T N E S S E T H:
WHEREAS, on September 26, 2022, the Parties entered into a Consulting Services Agreement (C5909) (“Agreement”) wherein the Consultant will provide the City with consulting services related to On-Call Traffic Signal System Support, City Project No. 22- 14, in the not-to-exceed amount of $56,000; and
WHEREAS, on October 1, 2023, the Parties entered into a First Amendment to the Consulting Services Agreement (C5909b) (“First Amendment”) to expand the scope of services, extend the term, and increase the compensation by $18,950, for a total not-toexceed contract amount of $74,950; and WHEREAS, on April 9, 2024, the Parties entered into a Second Amendment to the Agreement (“Second Amendment”), C5909c, to extend the term of services to be provided by the Consultant to June 30, 2026, and to increase the compensation to be paid to the consultant in the amount of $72,000, for a total not-to-exceed contract amount of $146,950; and
WHEREAS, on July 1, 2026, the City and AMG executed the Third Amendment to the Consulting Services Agreement to extend the term of services through June 30, 2027; and
WHEREAS, the Parties desire to further amend the Agreement to increase the compensation to be provided by the Consultant; and
WHEREAS, the City and the Consultant desire to enter into this Fourth Amendment.
NOW, THEREFORE, the Parties hereto do mutually agree as follows:
1. Section 2 “COMPENSATION” of the Agreement is hereby amended to increase the total amount of compensation by Forty Thousand Dollars ($40,000). The total compensation under the agreement shall not exceed a total contract amount of One Hundred Eighty-Six Thousand Nine Hundred Fifty Dollars ($186,950).
The first sentence shall now read:

City hereby agrees to pay Consultant a sum not to exceed One Hundred Eighty-Six Thousand Nine Hundred Fifty Dollars ($186,950) notwithstanding any contrary indications that may be contained in Consultant’s proposal for services to be performed and reimbursable costs incurred under this Agreement.
2. All other provisions of the Agreement, remain unchanged except as modified by this Fourth Amendment.
IN WITNESS WHEREOF, the City and the Consultant have executed this Amendment effective as of the date hereinabove written.
