RESOLUTION NO. 2026-XXX
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF UNION CITY
ESTABLISHING AUTHORITY TO OPEN AND MAINTAIN ACCOUNTS,
ESTABLISHING SIGNATURE AUTHORITY, AND ESTABLISHING
AUTHORIZATION TO TRANSFER FUNDS USING ONLINE BANKING
SERVICES FOR THE CITY’S ACCOUNTS AT FREMONT BANK
WHEREAS, the undersigned are representatives of the governing body of the City of Union City; and
WHEREAS, the following is a true and correct copy of this resolution duly adopted by the governing body of the City of Union City, which is authorized to act to bind the City, and that such resolution is in full force and effect and has not been amended, modified, or repealed; and
WHEREAS, the City Council has identified those officials authorized to open and maintain accounts contemplated on Fremont Bank’s signature cards and the Deposit and Account Agreement and Disclosure, copies of which have been presented to the City, and to open additional accounts and enter into additional agreements on behalf of the City for other services to be provided by Fremont Bank (whether relating to the accounts or otherwise), and to agree to the terms and conditions of the same, all for and on behalf of the City; and
WHEREAS, the City Council has identified those officials authorized as signers on the City’s bank accounts or authorized to transfer funds via online banking; and WHEREAS, Fremont Bank requires formal authorization to verify the accuracy of the existing authorized officials and the officials’ signatures; and WHEREAS, the City would also like to formally notify Fremont Bank of those officials authorized to transfer funds between City accounts and other institutions.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Union City that the following positions and individuals identified in Exhibit “A” are authorized to open and maintain accounts contemplated on Fremont Bank’s signature cards and the Deposit and Account Agreement and Disclosure, copies of which have been presented to the City, and are also authorized to open additional accounts and enter into additional agreements on behalf of the City for other services to be provided by Fremont Bank (whether relating to the accounts or otherwise), and to agree to the terms and conditions of the same, all for and on behalf of the City; and
BE IT FURTHER RESOLVED by the City Council of the City of Union City that the following positions and individuals identified in Exhibit “B” are given signature authority on the City’s bank accounts; and

BE IT FURTHER RESOLVED by the City Council of the City of Union City that the positions and individuals identified in Exhibit “B” are authorized to endorse, on behalf of the City, any checks or other items payable to the City or its order, to deposit such checks and other items in the accounts with or without such endorsement, to direct withdrawals from, write checks on, and give other instructions with reference to the accounts; and BE IT FURTHER RESOLVED by the City Council of the City of Union City that the following positions and individuals identified in Exhibit “C” are authorized to transfer funds via online banking; and
BE IT FURTHER RESOLVED by the City Council of the City of Union City that employee access to online banking services for routine general ledger accounting, accounts payable, and payroll processing be handled administratively by the Finance Director; and
BE IT FURTHER RESOLVED by the City Council of the City of Union City that this resolution supersede any other authorizations in effect and shall remain in full force and effect until Fremont Bank receives written notice of its revocation, including, but not limited to, the ability or inability of any authorized signer to give Fremont Bank instructions on the accounts or on future deposit accounts, at the office of account or at any other address specified by Fremont Bank.
