FIRST AMENDMENT
TO THE CONSULTING SERVICES AGREEMENT (C25PW1127)
BETWEEN THE CITY OF UNION CITY AND GATES STUDIO
FOR COMPREHENSIVE REVISION AND UPDATE
PARKS AND RECREATION MASTER PLAN, CITY PROJECT NO. 24-20 This First Amendment (the “First Amendment”) is effective as of this 22nd day of September, 2026 by and between the City of Union City, a municipal corporation, (“City”), Gates + Associates, Inc. (“Original Consultant”) and Gates Studio, ("Successor Consultant"), collectively referred to as the "Parties." W I T N E S S E T H:
WHEREAS, on May 13, 2025, the Parties entered into a Consulting Services Agreement (C25PW1127) (“Agreement”) wherein the Consultant will provide the City with consulting services related to the Parks and Recreation Master Plan, City Project No. 24-20, in the amount of $299,010; and
WHEREAS, the Parties desire to amend the Agreement due to consolidation of legal entities of the Original Consultant and the Successor Consultant, on June 29, 2026; and WHEREAS, the Parties desire to amend the Agreement to extend the term of services to be provided by the Consultant, expand the scope of services to be provided by the Consultant, and increase the compensation to the Consultant; and WHEREAS, the City, the Original Consultant and the Successor Consultant desire to enter into this First Amendment.
NOW, THEREFORE, the Parties hereto do mutually agree as follows:
1. All references to Gates + Associates, Inc., in the Agreement dated May 13, 2025, shall be understood to be replaced with Gates Studio.
2. Gates Studio shall provide new certificates of insurance per Section 4 of the original agreement.

4. The “SCOPE OF SERVICES”, as set forth in EXHIBIT A of the Agreement, is hereby amended to include the services contained in Exhibit A of this First Amendment, attached hereto and incorporated herein by reference.
5. The “TERM OF SERVICES,” as set forth in the first sentence of Section 1.1 of the Agreement, is hereby extended to 12/31/2027.
6. The first sentence of Section 2 “COMPENSATION” of the Agreement is hereby amended to reflect payment based upon a sum increase of Forty-One Thousand Nine Hundred Thirty Dollars ($41,930), as set forth in Exhibit B of this First Amendment. The total compensation under the Agreement including this Amendment shall not exceed a total contract amount of Three Hundred Forty Thousand Nine Hundred Forty Dollars ($340,940). The first sentence shall now read:
City hereby agrees to pay Consultant a sum not to exceed Three Hundred Forty Thousand Nine Hundred Forty Dollars ($340,940), notwithstanding any contrary indications that may be contained in Consultant's proposal, for services to be performed and reimbursable costs incurred under this Agreement.
7. The “COST PROPOSAL” as set forth in EXHIBIT B of the Agreement, is hereby amended to include the information contained in Exhibit B of this First Amendment, attached hereto and incorporated herein by reference.
8. All other provisions of the Agreement, remain unchanged except as modified by this First Amendment.
IN WITNESS WHEREOF, the City and the Consultant have executed this Amendment effective as of the date hereinabove written.

Scope of Services
As part of the Union City Parks and Recreation Master Plan, the following tasks are requested to be incorporated into the project scope of work:
Task H: Project Management
The project has been requested to extend to 2027, with a proposed adoption date in Spring 2027. The project extension includes an additional 8 coordination meetings, with budget allocated to producing meeting agendas and minutes as well as coordination time spent from January 2027 through May 2027 under TASK H, SUBTASK H.1:
