CITY COUNCIL
STAFF REPORT
Agenda Item No. 3.5
DATE: October 13, 2026
TO: Honorable Mayor and Members of the City Council
FROM: Joan Malloy, City Manager
SUBJECT: Adopt a Resolution Ratifying the City Manager's Execution of Amendment Nos. 10 and 11 to the Dispatch Service Agreement with the City of Fremont Extending the Term Through December 31, 2026
EXECUTIVE SUMMARY
Staff recommends that the City Council ratify the City Manager's execution of Amendments Nos. 10 and 11 to the Dispatch Service Agreement (the “Agreement”) with the City of Fremont (the “Amendments”). The Amendments extend the term of the Agreement through December 31, 2026, with no changes to the scope of work or services and with the existing fee structure continuing while the cities finalize a successor agreement. Fremont provides the City with police dispatch services, including answering 911 police calls and dispatching officers under the Agreement.
The Agreement's original termination date was June 30, 2026. Amendment No. 10 extended the termination date to September 30, 2026, and Amendment No. 11 provided for a further extension to December 31, 2026. The proposed action addresses the combined extension period from July 1, 2026 through December 31, 2026.
While the Agreement was originally approved by the City Council, the Amendments were not brought before the City Council because the City expected to have a successor agreement prepared for Council consideration prior to the Agreement's expiration. To provide additional time for the City to negotiate the successor agreement, the City Manager executed Amendment No. 10 on June 25, 2026, and Amendment No. 11 on September 29, 2026. The City Council is now being asked to ratify those actions, as they would result in the City incurring ongoing costs under the Agreement's existing cost structure.
The Amendments will allow the City to maintain police dispatch services during negotiations. The successor agreement being worked on will be based on an updated scope of work, the allocation of calls of service between the cities of Fremont and Union City, and the billing methodology. updated calls-for-service data will likely increase the City’s costs under the successor agreement by $200,000 to $400,000.
STRATEGIC PLAN ALIGNMENT
Goal C: Economic, Community Development and Public Safety.
The extensions support continued answering of 911 calls and police radio dispatch while the City works with Fremont to finalize a successor agreement.
BACKGROUND
On March 25, 2014, the City Council authorized a Dispatch Service Agreement and an Interim and Limited Dispatch Service Agreement with the City of Fremont to begin consolidating police dispatch services. These interim agreements were entered into on October 23, 2014, and began the consolidation of police dispatch services at Fremont's dispatch center to improve coordination and provide shared dispatch technology at a lower cost for Union City. A ten-year Agreement for Dispatch Services was finalized in 2016 with an ending date of June 30, 2026.
Under the Agreement, Fremont answers Union City's 911 police calls 24 hours a day, monitors and answers Union City police radio traffic, dispatches Union City officers, hosts and maintains the computer-aided dispatch (CAD) and records management system (RMS), maintains the network connection between the two cities, and maintains the mapping data used to locate calls. The City remains responsible for its own records functions, its mobile data computers, and the accuracy of the data it provides to Fremont.
The City pays dispatch services costs and a technology fee under the Agreement.
Dispatch charges reflect the number of calls for service and a per-call rate. The technology fee includes maintenance costs and a ten-year repayment of start-up costs.
The following table summarizes the Agreement and annual cost amendments; these historical amounts do not establish the cost of the extension period.

Amendment No. 9 to the Agreement also requires Fremont to calculate the actual Fiscal Year 2025-26 costs after the fiscal year closes and to bill or reimburse Union City for any difference by December 2026. That reconciliation is separate from the extension addressed here.
Amendment No. 10, fully executed on June 25, 2026, extended the termination date to September 30, 2026. Amendment No. 11, signed by the City Manager on September 29, 2026, provides for an extension through December 31, 2026. Neither amendment establishes a new compensation schedule.
DISCUSSION
The Amendments extend the termination date from June 30, 2026, to September 30, 2026, and then to December 31, 2026. All other terms and conditions of the Agreement remain in full force and effect. The Amendments do not set new compensation or change the scope of services in Exhibit A of the Agreement. The City Manager executed the Amendments in order to maintain contractual obligations for dispatch services while the cities finalize a successor agreement. Staff is seeking City Council ratification of these actions through the adoption of the attached resolution.
FISCAL IMPACT
Dispatch service costs are based on a formula for calls for service. Extending the term continues Union City's obligation to pay Fremont for dispatch services and the associated technology fee through December 31, 2026. The table below shows the dispatch services' annual costs for the past five fiscal years.
Fiscal Year Dispatch Cost
FY 2021-22 $1,645,516
FY 2022-23 $1,536,011 (adjusted to $1,570,280.06)
FY 2023-24 $1,345,134 (adjusted to $1,586,844.36)
FY 2024-25 $1,772,819
FY 2025-26 $1,514,600 (budgeted)
The successor agreement being worked on will be based on an updated scope of work, the allocation of service calls between the cities of Fremont and Union City, and the billing methodology. The City of Fremont’s recent labor agreements and updated calls-forservice data will likely increase Union City’s costs by $200,000 to $400,000, starting in FY 2026-27.
RECOMMENDATION
Staff recommends that the City Council adopt a resolution ratifying the City Manager's execution of Amendments Nos. 10 and 11 to the Dispatch Service Agreement with the City of Fremont, extending the agreement through December 31, 2026, and approving the continuation of dispatch services under the agreement, as amended, from July 1 through December 31, 2026.
