RESOLUTION OF THE CITY COUNCIL OF THE CITY OF UNION CITY
RATIFYING THE CITY MANAGER'S EXECUTION OF AMENDMENTS
NOS. 10 AND 11 TO THE DISPATCH SERVICE AGREEMENT WITH THE
CITY OF FREMONT, EXTENDING THE TERM THROUGH DECEMBER
31, 2026
WHEREAS, on March 25, 2014, the City Council approved a Dispatch Service Agreement and an Interim and Limited Dispatch Service Agreement with the City of Fremontto initiate the consolidation of police dispatch services; and WHEREAS, on October 23, 2014, the City of Union City and the City of Fremont entered into a Dispatch Service Agreement, under which the City of Fremont provides police dispatch services to Union City, including answering Union City's 911 police calls, monitoring and answering Union City police radio traffic, dispatching Union City police officers, and hosting and maintaining the computer-aided dispatch and records management systems (the “Agreement”); and
WHEREAS, the Agreement established a ten-year term commencing when the City of Fremont began providing the dispatch services, and the Termination Date of the Agreement was June 30, 2026; and
WHEREAS, the parties entered into Amendment No. 1 through Amendment No. 9 to the Agreement, each of which established the dispatch services costs and technology fee payable by Union City for a contract year, and Amendment No. 9 established total costs of $1,514,600 for the year ending June 30, 2026; and WHEREAS, the parties have not completed negotiating and executing a successor agreement, and the City of Fremont is willing to continue providing dispatch services to Union City while a successor agreement is negotiated; and WHEREAS, Amendment No. 10 to the Agreement, attached hereto as Exhibit A, was signed by the City Manager and fully executed on June 25, 2026, and extended the Termination Date to September 30, 2026; and
WHEREAS, the City Manager signed Amendment No. 11 to the Agreement, attached hereto as Exhibit B, on September 29, 2026, providing for an extension of the Termination Date to December 31, 2026; and
WHEREAS, each amendment extends the term of the Agreement only and sets no new compensation, and all other terms and conditions of the Agreement, as amended, remain in full force and effect; and
WHEREAS, the extensions are intended to maintain police dispatch services while the parties finalize a successor agreement; and

Ratifying Amendments Nos. 10 and 11 - Fremont Dispatch
WHEREAS, the City Council desires to ratify the City Manager's execution of Amendments Nos. 10 and 11 and approve the continuation of dispatch services for the extension period ending December 31, 2026.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Union City as follows:
Section 1. The foregoing recitals are true and correct and are incorporated herein by reference.
Section 2. The City Council hereby ratifies, confirms, and approves the City Manager's June 25, 2026 execution of Amendment No. 10, attached as Exhibit A, and September 29, 2026 execution of Amendment No. 11, attached as Exhibit B, to the Dispatch Service Agreement with the City of Fremont, extending the Termination Date through December 31, 2026, and approves the continuation of dispatch services under the Agreement, as amended, from July 1 through December 31, 2026.
Section 3. Except as expressly modified by Amendment No. 10 and Amendment No. 11, all other terms and conditions of the Dispatch Service Agreement, as previously amended, shall remain in full force and effect.
Section 4. The City Manager, or her designee, is authorized to take the administrative actions necessary to implement Amendments Nos. 10 and 11, including obtaining fully executed copies. This resolution does not authorize a successor agreement, an extension beyond December 31, 2026, or a new compensation schedule.
Section 5. This resolution shall take effect immediately upon its adoption.
