AMENDMENT NO. 11 TO SERVICE AGREEMENT

CITY ATTORNEY CONTRACT NO. 14-0475
This Amendment No. 11 to the above-titled Agreement (Agreement) is made by and between the City of Fremont, a municipal corporation (City) and the City of Union City, a municipal corporation, who are referenced herein individually as “Union City”.
RECITALS
A. On October 23, 2014, City and Union City entered into a Dispatch Service Agreement (hereinafter “Agreement”) for City to provide Dispatch Services to Union City for ten years after the services were implemented with the year 1 costs being $1,659,067. On September 21, 2017, City and Union City entered into Amendment No. 1 for City to provide Dispatch Services to Union City with the year 2 costs being $1,651,952. On May 17, 2019, City and Union City entered into Amendment No. 2 for City to provide Dispatch Services to Union City with the year 3 costs being $1,555,575. On October 24, 2019, City and Union City entered into Amendment No. 3 for City to provide Dispatch Services to Union City with the year 4 costs being $1,583,791. On October 27, 2020, City and Union City entered into Amendment No. 4 for City to provide Dispatch Services to Union City with the year 5 costs being $1,681,222. On October 13, 2021, City and Union City entered into Amendment No. 5 for City to provide Dispatch Services to Union City with the year 6 costs being $1,645,516. On September 29, 2022, City and Union City entered into Amendment No. 6 for City to provide Dispatch Services to Union City with the year 7 costs being $1,536,011, subsequently adjusted to $1,570,280.06. On October 24, 2023, City and Union City entered into Amendment No. 7 for City to provide Dispatch Services to Union City with the year 8 costs being $1,345,134, subsequently adjusted to $1,586,844.36. On July 22, 2025, City and Union City entered into Amendment No. 8 for City to provide Dispatch Services to Union City with year 9 costs being $1,772,819.
On February 2, 2026, City and Union City entered into Amendment No. 9 for City to provide Dispatch Services to Union City with year 10 costs being $1,514,600.
B. The parties previously amended the Agreement and have executed the following Amendments: Amendment No. 1, Amendment No. 2, Amendment No. 3, Amendment No. 4, Amendment No. 5, Amendment No. 6, Amendment No. 7, Amendment No. 8, and Amendment No. 9 are collectively referred to as “previous Amendments”.
C. The Agreement Termination Date was June 30, 2026. As the parties anticipated the process of negotiating and executing a new contract would be completed by September 30, 2026, they agreed to Amendment No. 10, extending the Termination Date to September 30, 2026.
D. The parties have not completed negotiating and executing a new contract by September 30, 2026.

NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS AND CONDITIONS IDENTIFIED HEREIN, THE PARTIES AGREE AS FOLLOWS:
1. TERM. As City is willing to continue providing Dispatch Services to Union City while a new contract is negotiated, the Termination Date as defined in Paragraph 3 of the Agreement is extended to December 31, 2026 (“Extended Term”).
2. LEGAL EFFECT. Except as expressly modified by this Amendment, all the terms and conditions of the Agreement, as amended, shall remain in full force and effect.
3. COUNTERPARTS. This Amendment may be signed in counterparts, each of which shall be deemed to be an original. The parties agree that their digital signatures on this Amendment are intended to authenticate this writing and to have the same force and effect as manual signatures. Any digital signature shall have the same legal validity and enforceability as a manually executed signature or use of a paper-based record keeping system to the fullest extent permitted by applicable law.
4. SIGNATURES. The signatories represent and warrant that they have the right, legal capacity, and authority to execute this Amendment on behalf of their respective legal entities. This Amendment shall inure to the benefit of and be binding upon the parties hereto and their respective successors and assigns and is effective on the date last signed by the parties.
