KNOW ALL PERSONS BY THESE PRESENTS:

THAT WHEREAS, the CITY OF UPLAND, with its principal place of business at 460 N. WHEREAS, the work to be performed by the Contractor is more particularly set forth in the Contract Documents for the Project dated , (hereinafter referred to as "Contract Documents"), the terms and conditions of which are expressly incorporated herein by reference; and
WHEREAS, the Contractor is required by said Contract Documents to perform the terms thereof and to furnish a bond for the faithful performance of said Contract Documents.

NOW, THEREFORE, we, Century Communities of California, LLC, the undersigned Contractor and Arch Insurance Company as Surety, a corporation organized and duly authorized to transact business under the laws of the State of California, are held and firmly bound unto the City in the sum of Two Million Five Hundred Seven Thousand and 00/100 DOLLARS, ($2,507,000.00), said sum being not less than one hundred percent (100%)of the total amount of the Contract, for which amount well and truly to be made, we bind ourselves, our heirs, executors and administrators, successors and assigns, jointly and severally, firmly by these presents.

THE CONDITION OF THIS OBLIGATION IS SUCH, that, if the Contractor, his or its heirs, executors, administrators, successors or assigns, shall in all things stand to and abide by, and well and truly keep and perform the covenants, conditions and agreements in the Contract Documents and any alteration thereof made as therein provided, on its part, to be kept and performed at the time and in the manner therein specified, and in all respects according to their intent and meaning; and shall faithfully fulfill all obligations including the one (1) year guarantee of all materials and workmanship; and shall indemnify and save harmless the City, its officials, officers, employees, and authorized volunteers, as stipulated in said Contract Documents, then this obligation shall become null and void; otherwise it shall be and remain in full force and effect.

As a part of the obligation secured hereby and in addition to the face amount specified therefore, there shall be included costs and reasonable expenses and fees including reasonable attorney's fees, incurred by the City in enforcing such obligation.

As a condition precedent to the satisfactory completion of the Contract Documents, unless otherwise provided for in the Contract Documents, the above obligation shall hold good for a period of one (1)year after the acceptance of the work by the City, during which time if Contractor shall fail to make full, complete, and satisfactory repair and replacements and totally protect the City from loss or damage resulting from or caused by defective materials or faulty workmanship. The obligations of Surety hereunder shall continue so long as any obligation of Contractor remains. Nothing herein shall limit the City's rights or the Contractor or Surety's

obligations under the Contract, law or equity, including, but not limited to, California Code of Civil Procedure Section 337.15.

Whenever Contractor shall be, and is declared by the City to be, in default under the Contract Documents, the Surety shall remedy the default pursuant to the Contract Documents, or shall promptly, at the City's option:

Take over and complete the Project in accordance with all terms and conditions in the Contract Documents; or
Obtain a bid or bids for completing the Project in accordance with all terms and conditions in the Contract Documents and upon determination by Surety of the lowest responsive and responsible bidder, arrange for a Contract between such bidder, the Surety and the City, and make available as work progresses sufficient funds to pay the cost of completion of the Project, less the balance of the contract price, including other costs and damages for which Surety may be liable. The term "balance of the contract price" as used in this paragraph shall mean the total amount payable to Contractor by the City under the Contract and any modification thereto, less any amount previously paid by the City to the Contractor and any other set offs pursuant to the Contract Documents.

Permit the City to complete the Project in any manner consistent with California law and make available as work progresses sufficient funds to pay the cost of completion of the Project, less the balance of the contract price, including other costs and damages for which Surety may be liable. The term "balance of the contract price" as used in this paragraph shall mean the total amount payable to Contractor by the City under the Contract and any modification thereto, less any amount previously paid by the City to the Contractor and any other set offs pursuant to the Contract Documents.

Surety expressly agrees that the City may reject any contractor or subcontractor which may be proposed by Surety in fulfillment of its obligations in the event of default by the Contractor.

Surety shall not utilize Contractor in completing the Project nor shall Surety accept a bid from Contractor for completion of the Project if the City, when declaring the Contractor in default, notifies Surety of the City's objection to Contractor's further participation in the completion of the Project.

The Surety, for value received, hereby stipulates and agrees that no change, extension of time, alteration or addition to the terms of the Contract Documents or to the Project to be performed thereunder shall in any way affect its obligations on this bond, and it does hereby waive notice of any such change, extension of time, alteration or addition to the terms of the Contract Documents or to the Project.

DATE: November 27,2023
TO: MAYOR AND CITY COUNCIL
FROM: MICHAEL BLAY,CITY MANAGER
PREPARED BY:ROBERT DALQUEST,DEVELOPMENT SERVICES DIRECTOR

DIANE COTTO,HOUSING MANAGER
SUBJECT: CONSIDER REAL PROPERTY PURCHASE OF 650 DIAMOND COURT RECOMMENDED ACTION:

It is recommended that the City Council approve the proposed purchase and sale agreement for real property acquisition and rehabilitation of 650 Diamond Court,Upland and if approved, authorize the City Manager to execute all related documents to effectuate the acquisition and rehabilitation of the property.

GOAL STATEMENT
The proposed action supports the City's Housing Element goal of providing housing opportunities for lower- and moderate-income residents and households with special needs to rent, purchase, or maintain adequate housing in the community.

BACKGROUND
In the late 1990's to early 2000's the Upland Community Redevelopment Agency (Agency), utilized Low And Moderate Income Housing twenty percent Set-Aside funds to initiate an extensive property acquisition and rehabilitation campaign at the Magnolia Colony Apartments. The project was developed in the early 1960's and comprises thirty-seven(37) fourplexes where each fourplex is on its own individual parcel. This initiative provided the Agency the ability to substantially augment affordable housing in Upland, as well as address crime and blighting conditions in this development. By 2011 when the dissolution of redevelopment in California happened, the Agency had acquired and rehabilitated eighteen(18)of the thirty-seven(37) fourplexes in this development and provided an additional seventy-two(72)affordable housing units at the 80%household income level of the Area Median Income (AMI). This resulted in the City becoming the majority property owner in this development and substantially halted neighborhood decay. Ultimately, ownership of all Agency affordable housing assets was transferred to the City. In light of the State's current affordable housing crisis, the City continues to promote and support efforts to expand its affordable housing goals and this latest acquisition and rehabilitation continues the City's efforts to provide residents with affordable, descent and sanitary housing options.

As demonstrated above, the City has had long-standing interest in acquiring additional buildings located within the Magnolia Colony Apartment complex for the purpose of revitalizing the area and expanding its affordable housing portfolio. Typically, staff sends annual interest letters to private property owners in the Magnolia Colony Apartment complex to determine if they have an interest in selling. This most recent mailing resulted in the property owner of 650 Diamond Court expressing his interest in selling his property to the City. If acquired, the property will be included in the City-owned Magnolia Colony Apartments portfolio and managed by the City's property management firm RPM.

Staff obtained the services of a real property appraiser to determine fair market value of the property and to negotiate a purchase price for the property. The property owner quoted an initial sales price of$1,500,000. The appraisal determined that fair market value of the subject property was $1,150,000. Given the amount of rehabilitation work that will be required, the City countered at$995,000 and the property owner subsequently countered at$998,000 and requested a close of escrow date of November 30,2023,which was negotiated to a mid-December closing date.

Below are specific details of the 650 Diamond Court Property:
• Assessor's Parcel Number: 1048-351-12-000

ISSUES AND ANALYSIS
General Plan Conformance Determination
On November 15,2023, staff presented a resolution containing findings of General Plan conformity to the Planning Commission for the acquisition of the subject property, pursuant to Section 65402 of the State Planning and Zoning laws. The Planning Commission unanimously adopted Resolution No. 4993 and found that acquisition of 650 Diamond Court by the City was in conformance with the City's General Plan.

Relocation
The units at 650 Diamond Court are currently 100%occupied. Prior to initiating rehabilitation of the units, the current residents and their belongings will be temporarily housed in vacant units within the Magnolia Colony Apartments.

The City will provide assistance to the residents to ensure a smooth transition from one living quarter to another. It is the intent of the City to rehabilitate the units as quickly as possible and provide accommodations consistent with 49 CFR Part 24 Uniform Relocation Assistance requirements,as applicable.

ENVIRONMENTAL DETERMINATION
There are no anticipated environmental impacts from the approval of this purchase and sale agreement of an existing fourplex.Approval of the purchase and sale agreement and rehabilitation of an existing fourplex has been determined to be exempt under the California Environmental Quality Act(CEQA)pursuant to Section 15301 (Existing Facilities) of the CEQA Guidelines. In the event approval of the purchase and sale agreement does constitute a project, it is Statutorily exempt under§§ 15061(b)(3) of the CEQA Guidelines, which is the general rule that CEQA applies only to projects which have the potential for causing a significant effect on the environment. Further, none of the exceptions to the exemptions found in State CEQA Guidelines section 15300.2 apply.

FISCAL IMPACTS
The Housing Authority(Fund 201)unreserved fund balance will be used to purchase and rehabilitate 650 Diamond Court. As of June 30, 2023,unreserved, available fund balance was $4,035,790. Approximately$998,000 will be used to purchase 650 Diamond Court and$552,000 will be used to rehabilitate the property for a total of$1,550,000.
