SUBJECT: CONSIDER APPROVAL OF PARK DEVELOPMENT IMPACT FEES FOR THE CITRUS
PARK SCOREBOARD INSTALLATION
RECOMMENDED ACTION:
It is recommended that the City Council approve the appropriation of$15,000 from Park Development Impact Fee funds for the installation of a new baseball scoreboard at Citrus Park.
GOAL STATEMENT
The proposed action supports the City's goal of providing a high quality of life by assuring that all City park amenities and sports field equipment are operational at the highest standard.
BACKGROUND
A Development Impact Fee(DIF)is a monetary exaction charged by a local government to a developer in connection with the implementation of an approved development project. DIF's can vary widely between jurisdictions because of differing facility needs. With the passage of Assembly Bill (AB) 1600, known as the 1987 Mitigation Fee Act (Government Code Section 66000 and following), the State recognized the burden on local governments from the rising costs associated with needed infrastructure and population increases associated with new development. The Mitigation Fee Act secured a system for identifying and collecting specific fees, dedications, reservations, and other exactions that local jurisdictions could regularly impose when properties are developed.
On December 7, 1987,using the authority of the Mitigation Fee Act,the City Council adopted Ordinance No. 1414 which provided for park acquisition and development, street and traffic facilities development and storm drain DIF to be established to mitigate impacts of development on the community and its infrastructure.
On September 25, 2006, the City Council adopted Resolution No. 5792 which established impact fees based on a Public Facilities Fee Study which calculated fees that represented future development's share of public facilities and capital improvements. In addition to the three existing DIF (Park, Traffic and Storm Drain), fees for General,Fire, Police,Water and Sewer were established. These fees took effect January 1,2007.
On October 28,2024,the City Council adopted a Development Impact Fee Nexus Study in accordance with Assembly Bill 1600 and adopted the Public Facilities Development Impact Fee Schedule.
On December 9, 2024, the City Council adopted the Five-Year Development Impact Fee Report ("Report") in accordance with Assembly Bill 1600 for Fiscal Year 2024-25. Included in the Report was$30,000 identified in Fiscal Year 2024-25 in the Park DIF for Citrus Park Ballfield Expansion.
ISSUES AND ANALYSIS
$30,000 of Park Development Impact Fee(DIF) funds were originally identified for the purchase and installation of a new baseball scoreboard for Citrus Park Sports Field. The existing scoreboard is aged, intermittently operational, and is at the end of its useful service life. The new scoreboard has been purchased and delivered; however, the cost for installation was underestimated.Three quotes have been obtained for installation, and it has been determined that an additional amount of$15,000 in DIF funds are necessary for the remainder of the project for a total project cost of $45,000.
ENVIRONMENTAL DETERMINATION
The proposed action is not subject to the California Environmental Quality Act(CEQA). Section 15378 of the CEQA Guidelines defines a project subject to CEQA. The proposed action is not included within the definition of a"project" and thus is exempt.
FISCAL IMPACTS
The total project cost is estimated at$45,000. Once the appropriation of$15,000 is approved, there will be available funds in the Park DIF Capital Improvement Projects Account No.4247500-5540-87001.

DATE: June 23,2025
TO: MAYOR AND CITY COUNCIL
FROM: MICHAEL BLAY,CITY MANAGER
PREPARED BY:DAMIEN ARRULA,ASSISTANT CITY MANAGER
NORBERTO FERREIRA,ACTING UTILITIES MANAGER
SUBJECT: CONSIDER APPROVAL OF FISCAL YEAR 2025-26 ANNUAL PURCHASE ORDERS FOR
PUBLIC WORKS UTILITIES DIVISION
RECOMMENDED ACTION:
It is recommended that the City Council approve purchase orders for Fiscal Year 2025-26 with various vendors for the Public Works Utilities Division.
GOAL STATEMENT
The proposed action supports the City's goal to maintain asset protection and management to ensure that infrastructure is effectively renewed, replaced, and maintained in a timely manner.
BACKGROUND
The Public Works Department maintains a wide range of City infrastructure including, but not limited to, streets, sidewalks, parks, park playground structures, park lighting, park restroom facilities, citywide signage, trees, water, and sewer lines, and building facilities. In order to properly maintain this infrastructure on a timely basis,Public Works staff regularly purchase general hardware, materials, and equipment. Staff utilizes several vendors for these purchases throughout the year, resulting in multiple purchases in small dollar amounts. However, the cumulative amount of these purchases may exceed the City Manager's annual purchasing authority for each vendor of$50,000.
This issue has been previously resolved through the use of City Council-approved annual Blanket Purchase Orders ("BPOs"). Section 9.2 Blanket Purchase Orders of the City's Purchasing Policy allows the City to contract with a vendor to provide equipment or supplies on an as needed and often over-the-counter basis. Blanket Purchase Orders provide a mechanism whereby items which are uneconomical to stock may be purchased in a manner that allows field operations timely access to necessary materials.
ISSUES AND ANALYSIS
It remains imperative that the Public Works Department have the ability to effectively purchase hardware supplies and/or tools, etc. from local vendors on a regular basis. BPOs provide efficient control of the purchases of supplies and facilitates the acquisition of small dollar items ($10,000 or less per item) needed for daily operations that are otherwise uneconomical to store or to procure through formal bidding processes. The BPOs in the amounts requested exceed the$50,000 signing authority of the City Manager as prescribed in the City's Purchasing Policy and Procedure Manual. Therefore, staff is requesting that the City Council approve the following vendor BPOs to ensure citywide operational efficiency and continuity.
Section 6 of the City's Purchasing Policy outlines "Purchasing Exemptions". This includes purchases that are not readily adaptable to the informal and formal bidding process. These purchases are generally for items where the competitive bid process is not applicable or where a check is required to accompany the order, which include"General Supply Stores". The following vendors meet the requirements of a"General Supply Store" and staff are requesting approval of a BPO for these vendors.
• Holliday Rock Co. Inc.: Holliday Rock is a reliable and dependable supply company that provides the necessary road materials for our water department's operations. They offer quick service, and materials are always readily available. Conveniently located at 1499 N. Benson Ave., across from the Public Works facility, they also provide efficient delivery of materials.
• Holliday Rock Trucking: This BPO is for lease payments for land that City Well 15 is located on,property owned by Holliday Trucking, Inc. City Well 15 is one of the City's most important groundwater resources, consistently producing 1600 to 1900 gallons per minute of drinking water. • Hubbell Lenoir City, Inc.: This vendor offers meter lids, boxes, and vaults pertaining to our City specifications.
• Jones Chemical Incorporated (JCI): Used to provide potable water that meets all State and Federal Drinking Water Standards.Gas chlorine is used as a major disinfectant for City,West End Water Company, and San Antonio Water Company well sources to maintain adequate mandated chlorination within the City's water distribution system.
• Matt Chlor Inc.: Accu-Tab calcium hypochlorite tablets are used as a disinfectant, and chlorine regulators are used to control the injection of chlorine gas into the City water supply for City well sources to maintain adequate mandated chlorination within the City's water distribution system. A preventative maintenance schedule is required to prevent regulator or injector failure. Matt-Chlor Inc, is a distributor of Accu-Tab,
12.5%sodium hypochlorite, and provides maintenance services for chlorine regulators and injectors. • S&J Supply Company, Inc.: S&J Supply is a wholesale waterworks distributor located in Southern California, with facilities in Santa Fe Springs and Temecula. S&J Supply has been supplying pipeline materials to the City for over ten years, and Southern California municipalities and the construction industry since 1987.
Section 6 of the City's Purchasing Policy also addresses "Purchasing Exemptions" for payments to "Other Governmental Agencies" and "Utilities". The following vendors meet the requirements of a "Other Governmental Agencies"or"Utilities"and staff are requesting approval of a BPO for these vendors. • Chino Basin Watermaster: The City of Upland owns production rights in the Chino Basin Groundwater Basin and accounts for approximately 11%of the City's water supply annually. The Chino Basin is one of the largest groundwater basins in Southern California and covers about 230 square miles of the upper Santa Ana River Watershed. Chino Basin Watermaster levies assessments upon agencies that have entitlements to water in the basin, which are used for replenishment costs and to ensure fair and equitable treatment for all agencies who have access to Chino Basin entitlements.
• Inland Empire Utility Agency(IEUA): IEUA provides water(imported and recycled water) services and wastewater treatment services to seven cities in the Inland Empire: Chino,Chino Hills,Fontana,Montclair, Ontario, Rancho Cucamonga, and Upland. Under federal and state law, and the Regional Sewer Service Contract,Inland Empire Utilities Agency is under a legal obligation to provide service for sewer treatment, disposal, conveyance, the purchase of recycled water for direct use and ground water recharge. These regulations ensure that the IEUA is able to meet wastewater discharge requirements for the operation and the provision of such services.
• San Antonio Water Company(SAWCo): The San Antonio Water Company is a non-profit mutual water company providing water to its shareholders and the City of Upland is its largest shareholder, owning approximately 70% of the total SAWCo shares. This allows the City to purchase water supplies through SAWCo various water sources including groundwater from the Cucamonga, Chino and Six Basins; and Canyon water through the Cities San Antonio Water Treatment Plant. It is a very important source of supply accounting for approximately 45%of the Cities total water supply. • Six Basins Watermaster: Six Basins Watermaster levies assessments upon agencies that have entitlements to water in the basin, which are used for replenishment costs and to ensure fair and equitable treatment for all agencies who have access to Six Basin entitlements. • SWRCB:Under federal and state law,the State Water Resources Control Board has legal authority to enforce the provisions of the Federal National Pollutant Discharge Elimination System (NPDES) regulations and additional requirements of the Clean Water Act that local jurisdictions must comply with. • Water Facilities Authority: The Water Facilities Authority is a Joint Powers Authority governed by its member agencies: Chino, Chino Hills, Monte Vista Water District, Ontario, and Upland. Its service area covers approximately 135 square miles within the upper Santa Ana River watershed. The WFA owns and operates a surface water treatment plant called Agua de Lejos Treatment Plant, which began operations in 1988 and is located in the City of Upland. This treatment plant treats imported water supplies, primarily state project water, purchased from Metropolitan Water District to supplement local groundwater supplies.
Imported Water from the WFA account for approximately 27%of the City's annual total water supply. • West End Consolidated Water Company(WECWC): The City of Upland owns approximately 91% of the total WECWC shares, and accounts for approximately 12%of the City's total annual water supply. This
allows the City to purchase water supplies through WECWC various water sources including groundwater from the Cucamonga,Chino and Six Basins.
Section 11.3 of the City's Purchasing Policy outlines sole source procurements. In this section, commodities, and services, which can be obtained from only one vendor are exempt from competition bidding. Sole source purchases may include proprietary items sold directly from the manufacture; items that have only one distributor authorized to sell in this area; or a certain product that has been proven to be the only product acceptable(including items that the City has standardized upon). The City has standardized the following vendors'equipment,and/or services and staff is requesting approval of a BPO for these vendors as sole source vendors. • Badger Meter:Software support for the Badger Meters Beacon AMI software. The City of Upland currently uses a large number of Badger meters to register the amount of water used throughout commercial and residential services.
• Eurofins: UCMR 5 mandates nationwide water sampling from 2023 to 2025 to analyze 30 contaminants using EPA-approved methods, crucial for public health protection and regulatory decision-making.
Additional funding is needed to expand sampling, procure equipment, and enhance lab capabilities.Securing this funding will ensure compliance with UCMR 5 requirements, support national drinking water safety, and provide essential data for stakeholders, advancing public health and environmental stewardship goals. • Ferguson Enterprises,LLC: Ferguson distributes Neptune meters which are a more cost-efficient meter to register the amount of water used throughout commercial and residential services while still maintaining and adhering to City water meter specification.
• Metron Farnier, LLC: The City has standardized on Metron-Farnier for meter registers, which uses a cellular network to obtain meter data wirelessly. On October 25,2021,the City Council approved a purchase order for Metron-Farnier and the new meters have provided the City with 100%signal reliability and no dead spots.
ENVIRONMENTAL DETERMINATION
These Blanket Purchase Orders are not considered a project under the California Environmental Quality Act(CEQA) and are Exempt from CEQA.
FISCAL IMPACTS
Funding for each of the Blanket Purchase Orders requested is already included in the approved Fiscal Year 2025-26 operating budget.Total allocations for the following vendors are shown below,as well in the attached purchase order request that shows the designated accounts that cover the cost of the service:

As a part of the obligation secured hereby and in addition to the face amount specified therefore, there shall be included costs and reasonable expenses and fees including reasonable attorney's fees, incurred by the City in enforcing such obligation.
As a condition precedent to the satisfactory completion of the Contract Documents, unless otherwise provided for in the Contract Documents, the above obligation shall hold good for a period of one (1)year after the acceptance of the work by the City, during which time if Contractor shall fail to make full, complete, and satisfactory repair and replacements and totally protect the City from loss or damage resulting from or caused by defective materials or faulty workmanship.
The obligations of Surety hereunder shall continue so long as any obligation of Contractor remains. Nothing herein shall limit the City's rights or the Contractor or Surety's obligations under FOOTHILL BLVD. PAVEMENT REHABILITATION& - 6 - CONTRACT FOR CONSTRUCTION UTILITY IMPROVEMENTS ADDENDUM 4

the Contract, law or equity, including, but not limited to, California Code of Civil Procedure Section 337.15.
Whenever Contractor shall be, and is declared by the City to be, in default under the Contract Documents, the Surety shall remedy the default pursuant to the Contract Documents, or shall promptly, at the City's option:
Take over and complete the Project in accordance with all terms and conditions in the Contract Documents; or
ii. Obtain a bid or bids for completing the Project in accordance with all terms and conditions in the Contract Documents and upon determination by Surety of the lowest responsive and responsible bidder, arrange for a Contract between such bidder, the Surety and the City, and make available as work progresses sufficient funds to pay the cost of completion of the Project, less the balance of the contract price, including other costs and damages for which Surety may be liable. The term "balance of the contract price" as used in this paragraph shall mean the total amount payable to Contractor by the City under the Contract and any modification thereto, less any amount previously paid by the City to the Contractor and any other set offs pursuant to the Contract Documents.
iii. Permit the City to complete the Project in any manner consistent with California law and make available as work progresses sufficient funds to pay the cost of completion of the Project, less the balance of the contract price, including other costs and damages for which Surety may be liable. The term "balance of the contract price" as used in this paragraph shall mean the total amount payable to Contractor by the City under the Contract and any modification thereto, less any amount previously paid by the City to the Contractor and any other set offs pursuant to the Contract Documents.
Surety expressly agrees that the City may reject any contractor or subcontractor which may be proposed by Surety in fulfillment of its obligations in the event of default by the Contractor.
Surety shall not utilize Contractor in completing the Project nor shall Surety accept a bid from Contractor for completion of the Project if the City, when declaring the Contractor in default, notifies Surety of the City's objection to Contractor's further participation in the completion of the Project.
The Surety, for value received, hereby stipulates and agrees that no change, extension of time, alteration or addition to the terms of the Contract Documents or to the Project to be performed thereunder shall in any way affect its obligations on this bond, and it does hereby waive notice of any such change, extension of time, alteration or addition to the terms of the Contract Documents or to the Project.

DATE: June 23,2025
TO: MAYOR AND CITY COUNCIL
FROM: MICHAEL BLAY,CITY MANAGER
PREPARED BY:STEPHEN P.DEITSCH,CITY ATTORNEY
STEPHEN PARKER,ASSISTANT CITY MANAGER
SUBJECT: CONSIDER APPROVAL OF A FIFTH AMENDMENT TO THE CITY MANAGER
EMPLOYMENT AGREEMENT
RECOMMENDED ACTION:
It is recommended that the City Council approve the Fifth Amendment to the City of Upland City Manager Employment Agreement with Michael Blay, providing him with a 3%COLA with an effective date of June 22,2025, as previously approved by the City Council and identified in the Executive Management Compensation and Benefit Plan.
GOAL STATEMENT
The proposed action supports the City's goal of ensuring stability and consistency in City management.
BACKGROUND
In October 2021,the Upland City Council approved an Employment Agreement with Michael Blay to serve as City Manager("Employment Agreement"). The City Manager's first date of employment was November 9,2021.
The Employment Agreement was subsequently amended four times, on June 12, 2023, January 22, 2024, July 24, 2024 and October 28,2024.
ISSUES AND ANALYSIS
On June 12, 2023,the City Council approved the Executive Management Compensation and Benefit Plan("Plan").
In Section 2.b.of Article 3—Compensation it says"Effective June 22,2025,all employees in this unit shall receive a three percent(3%)COLA increase in base salary. Appendix A of the Plan lists the Classifications in the Plan as City Manager,Assistant City Manager,Chief of Police,Public Works Director and Development Services Director.
The proposed Fifth Amendment to the Employment Agreement would increase the City's contribution to the City Manager's salary by$8,535.50,effective June 22,2025,as previously approved by City Council. This increase is not subject to the Public Employment Retirement System benefit calculation based on salary following any future retirement of the City Manager, as the 2% at 62 formula the City Manager is a member of currently has a cap of $181,734,which is more than$110,000 below the City Manager's existing salary.
ENVIRONMENTAL DETERMINATION
The proposed action is not subject to the California Environmental Quality Act(CEQA). Section 15378 of the CEQA Guidelines defines a project subject to CEQA. The proposed action is not included within the definition of a"project" and, thus,is exempt.
FISCAL IMPACTS
With this action, the annual compensation paid to the City Manager will increase by$10,300,with the General Fund's portion being$3,605.
ALTERNATIVES
Provide alternative direction to staff.
CEQA:Not a Project.
