This endorsement modifies insurance provided under the following:
BUSINESS AUTO COVERAGE FORM
To the extent that the provisions of this endorsement provide broader benefits to the "insured" than other provisions of the Coverage Form, the provisions of this endorsement apply.
1. BROAD FORM INSURED
A. Subsidiaries and Newly Acquired or
Formed Organizations
The Named Insured shown in the Declarations
is amended to include:
( 1) Any legal business entity other than a
partnership or joint venture, formed as a
subsidiary in which you have an
ownership interest of more than 50% on
the effective date of the Coverage Form.
However, the Named Insured does not
include any subsidiary that is an "insured"
under any other automobile policy or
would be an "insured" under such a policy
but for its termination or the exhaustion of
its Limit of Insurance.
(2) Any organization that is acquired or
formed by you and over which you
maintain majority ownership. However,
the Named Insured does not include any
newly formed or acquired organization:
(a) That is a partnership or joint venture,
(b) That is an "insured" under any other
policy,
(c) That has exhausted its Limit of
Insurance under any other policy, or
(d) 180 days or more after its acquisition
or formation by you, unless you have
given us notice of the acquisition or
formation.
Coverage does not apply to "bodily injury"
or "property damage" that results from an
"accident" that occurred before you
formed or acquired the organization.

"auto" is leased to you under a written
agreement if:
(1) The agreement requires you to

the lessor and
(2) The "auto" is leased without a driver.
Such a leased "auto" will be considered a
covered "auto" you own and not a covered

ACTION ITEM 9.C.
DATE: October 22, 2024
TO: Mayor and Members of the City Council
FROM: Andrew Murray, City Manager
SUBJECT: DISCUSSION AND DIRECTION ON CITY COUNCIL REFERRALS
RECOMMENDATION
Receive the scopes of work that City staff developed for four City Council referrals and provide direction to staff on whether or not to implement the referrals.
REASONS FOR RECOMMENDATION
City staff needs direction from Council on whether or not to implement four Council referrals that City staff recently scoped.
BACKGROUND AND DISCUSSION
City Council referrals are projects that the City Council directs City staff to research and possibly implement in addition to projects required by other City work planning processes, such as the strategic plan and the budget processes. In Vallejo, the City Council requests and provides direction to staff on referrals through a process that is referred to as “two step,” although there are actually more steps. The steps in the current process are as follows:
• A Council Member requests, during the Report of the Presiding Officer and Members of the City Council portion of a Council Meeting, that the City Council consider at a future meeting whether to direct staff to develop a scope (tasks, schedule, and budget) to implement a project regarding a particular issue (Step 0).
• City staff agendizes Council discussion and action (majority, via minute order) on whether to direct staff to scope a project regarding the issue (Step 1). The Council Member that originally requested the referral describes the issue and objective.
• If approved in Step 1, City staff prepares a scope and agendizes Council discussion and action on whether City staff shall implement the scope (Step 2).
• If approved in Step 2, City staff implements the project and completes the work (Step 3).
This process is similar to that used by many other jurisdictions.
At the City Council meeting on September 10, 2024, City staff presented information on the 31 referrals that Council recently requested. The 31 include two referrals that have been completed; seven that have been approved for implementation and are awaiting completion; four that were awaiting scoping from staff; and eighteen that were pending a Council decision on whether to direct staff to scope. At the September 10, 2024 meeting, City Council provided updated direction to staff on the referrals. The updated list of referrals, sorted by request date and current status, is shown in Attachment 1. At that meeting, Council directed staff to present, at a Council meeting in October 2024, scopes that the City Council had previously requested for four referrals. The four referrals are shown in the table below.

Potential schedule: Begin work in April 2025, complete work in June 2025 Responsible department(s): City Manager, City Clerk, City Attorney Main tasks: City Council adoption of resolution establishing committee and determination of ad-hoc committee members; staff liaison facilitation of and research for the committee; committee recommendation to the City Council
Budget/resources: City staff time (City Manager’s department: 10 hours; City Clerk’s division: 10 hours; City Attorney’s department: 30 hours). If the City Council decided to pursue a Charter amendment, which would go to the voters, additional resources would be required.

Note that there are two other related Council referrals, one to create a Public Safety Committee and another to create a Public Safety Task Force, scopes for which will be presented to Council in November 2024. A Public Safety Committee may be able to address collaborative reform as well as other police issues.
Consideration of increasing fines, penalties, impoundment rules and other deterrents related to sideshows
Potential schedule: Begin work in January 2025, complete work in March 2025 Responsible department(s): Police Department, City Attorney; City Manager Main tasks: Police Department and City Attorney research on updated State law, local control, and best practices, and recommendation to City Council

FISCAL IMPACT
The only fiscal impact of implementing the four Council referrals under consideration is the City staff time that would be required, which is already in the FY 2024-2025 adopted budget.

5 ACTION ITEM 9.D.
DATE: October 22, 2024
TO: Mayor and Members of the City Council
FROM: Jason Ta, Interim Chief of Police
SUBJECT: CONSIDERATION OF AND FINDING TO CONTINUE THE STATE OF LOCAL
EMERGENCY RELATING TO PUBLIC SAFETY STAFFING AND UPDATE ON ACTIONS
TAKEN TO DATE
RECOMMENDATION
Receive the update and confirm the continued existance of the conditions leading to the declaration of a state of local emergency.
REASONS FOR RECOMMENDATION
As presented at the July 25, 2023 City Council meeting, the City of Vallejo Police Department is facing a significant staffing crisis and the number of sworn staff continues to decline. When presented with this information, City Council unanimously agreed to approve a Proclamation of Emergency. The proclamation allows the City Manager to quickly implement changes related to police staffing and the continuation of providing police services to Vallejo.
State law requires that it be reaffirmed every 60 days. The 60th day since the last confirmation of the proclamation is September 21, 2024.
BACKGROUND AND DISCUSSION
On July 25, 2023, the City Council unanimously voted to approve a Proclamation of Emergency due to the critical staffing levels at the City of Vallejo Police Department. Below is an update on the items previously discussed when the local emergency was declared:
Status of the 4 Phases (as of September 10, 2024):
Phase #1 – Service Model Reduction
This phase has been partially implemented.
Phase #2 & #3 – Rotation of Officers to Patrol Shifts & Completely Collapsing Traffic Division Phase #2 is completed.
Phase #3 is in progress with the Traffic Division collapsed as of July 2023. Due to returning VPD officers, detectives are no longer filling patrol vacancies.
Phase #4 – Modifying All Patrol Shifts to 12-hour Shifts or Another Staffing Model It does not appear that the department will be entering into Phase 4.
Current Staffing Numbers (as of September 10, 2024):
Total Sworn Staffing: 73
Number of Officers Working Patrol: 34
Date: October 22, 2024
Subject: CONSIDERATION OF AND FINDING TO CONTINUE THE STATE OF LOCAL

ACTIONS TAKEN TO DATE
Outside Agency Assistance:
On March 12, 2024, the City Council unanimously adopted a resolution notifying the Solano County Board of Supervisors of the City's desire to receive law enforcement services from the Solano County Sheriff. On April 12, the City of Vallejo provided county counsel with requested data. SB 1379, which would allow the Solano County Sheriff's Office an exemption for retired annuitants to assist the City of Vallejo during its staffing crisis, has been approved by Governor Newsom in September. The county and city leadership are discussing next steps.
The City Manager has concluded a Request for Proposal (RFP) for uniformed unarmed and armed security guards. Several companies have applied. The City Manager's office, the City Attorney's office, and the police department are considering various deployment strategies.
Emergency Conditions Remain:
As stated above on July 23, 2023, the City Council adopted a proclamation declaring a state of local emergency pursuant to Government Code Section 8550 et. seq. Pursuant to California Government Code Section 8630(c) the City Council is required to review the need for continuing the local emergency at least once every 60 days until the City Council terminates the local emergency. Council last reaffirmed the emergency at its September 10, 2024, meeting.
In May 2024, the Mayor and City Manager sent letters requesting assistance to Senator Dodd's office and Governor Newsome's office.
Based upon the continuing staffing conditions outlined above, staff requests that the City Council reaffirm the existence of the state of local emergency.
FISCAL IMPACT
There is no immediate financial impact associated with this item. Any potential impact will be brought back to City Council with related costs.

ACTION ITEM 9.E.
DATE: October 22, 2024
TO: Mayor and Members of the City Council
FROM: Michael Nimon, Economic Development Director
SUBJECT: ADOPT A RESOLUTION AUTHORIZING THE CITY TO PARTICIPATE IN THE GREEN
EMPOWERMENT ZONE (GEZ) AND DESIGNATING A COUNCIL MEMBER AND AN
ALTERNATE TO REPRESENT THE CITY ON THE GEZ GOVERNING BOARD FOR A
TWO-YEAR TERM
RECOMMENDATION
It is recommended that the City Council receive the presentation and adopt a resolution authorizing the City to participate in the Green Empowerment Zone and appoint a Council Member and an alternate to represent the City on the GEZ Governing Board for a two-year term.
REASONS FOR RECOMMENDATION
Adopting this resolution will allow the City to occupy one seat on the GEZ Governing Board for the duration of GEZ’s existence. The purpose of the GEZ is to build upon the comparative advantage provided by the regional concentration of highly skilled energy industry workers by prioritizing access to tax incentives, grants, loan programs, workforce training programs and private investment in the renewable energy sector. The City's participation will support its regional economic development position efforts through potential attraction of new investment, policy enhancements, and creation of jobs in renewable energy.
BACKGROUND AND DISCUSSION
California State Assembly Member Tim Grayson authored AB 844, which was signed into law on September 28, 2021. AB 844 shall remain in effect until January 1, 2028 as Chapter 34, Division 7 of Title 1 of the Government Code.
AB 844 established the Green Empowerment Zone (“GEZ”) for the Northern Waterfront area of Contra Costa County. The geography of the GEZ extends to the territory of the City of Vallejo, as well as the cities of Pittsburgh, Antioch, Benicia, Brentwood, Concord, Hercules, Martinez and Oakley, and the unincorporated areas of Contra Costa County north of State Route 4. The intent of the GEZ is to attract tax incentives, grants, loan programs, workforce training programs and private sector investment in the renewable energy sector. Participation will allow the pooling of regional resources and encourage deeper collaboration among various stakeholders to seek new funding. The City's participation will support its economic development efforts through potential attraction of new investment, policy enhancements, and creation of jobs in renewable energy.
AB 844 defines the governing structure as a 40-member board of directors with seven stakeholder groups serving as voting directors. The stakeholder groups and number of voting representatives allocated to each are as follows:
1. Local government – 10
2. Large employers – 5
3. State government – 5

5. Universities, laboratories & foundations with green energy expertise – 5
6. Private sector organized labor organizations – 5
7. Workforce development, public & private educational entities – 5
Each city and the county shall select one representative who serves a two-year term on the board of directors. An executive board of directors shall also be established that consists of the chair, two deputy chairs and up to seven members of the board of directors.
The duties of the GEZ are:
1. To identify projects and programs that best utilize public dollars and most quickly improve the economic vitality of the clean energy economy in a coordinated manner.
2. To work with members of the state’s congressional delegation and federal officials to gain critical federal support.
3. To partner with research and educational institutions and private foundations in support of studies of interest and importance to the energy industry in the Northern Waterfront area of Contra Costa and Solano counties.
4. To review state policies and regulations to ensure they are fair and appropriate and determine whether alternative approaches can accomplish goals in less costly ways.
5. To make recommendations to the Governor that improve the economic well-being of the region and the quality of life of residents.
6. To create and maintain a website that is managed and updated by an entity designated by the board of directors.
At this time, it is requested that the Vallejo City Council consider the City’s intent to participate in the GEZ and select one representative and one alternate to serve on the governing board of directors. The meetings are held in Martinez every other month.
