Full policy copies shall be provided only to the extent reasonably necessary and subject to confidentiality protections.
12.10 Failure to maintain required insurance throughout the term of this Agreement shall constitute a material breach. In such event, Contractor shall be provided a reasonable period to cure such failure following written notice from the City.
The Agreement shall terminate unless such breach is cured before the effective date of termination stated in such notice, which date shall be no sooner than ten (10) days after the date of the notice. During such cure period, Contractor shall use commercially reasonable efforts to maintain coverage. If the City is required to self-insure the risk during Contractor’s lapse in insurance coverage, all damages and costs incurred by judgment, settlement, or otherwise, including attorney’s fees and costs, shall be collectible from Contractor, by way or set off or recoupment from any sums due to Contractor. City’s remedies shall be limited to those available under this Agreement and applicable law. ENTRUST anticipates that Sam Hollenbaugh and Tarek Abour will serve as the primary technical contributors for the duration of this project. By aligning these key personnel, we ensure technical continuity and a seamless extension of the support previously provided to VPU gas division personnel.
Below is the proposed preliminary project team that will be finalized upon award of contract:
Sam Hollenbaugh will serve as the senior technical lead. Mr. Hollenbaugh specializes in PSMS, investigations, regulatory compliance consulting, audit support, and training based on Code of Federal Regulations requirements for liquid and natural gas pipeline systems. Sam has over 15 years of pipeline safety experience as a State of Ohio Public Utilities Commission Investigator, PHMSA Training and Qualifications Instructor, and Director of Compliance for distribution and transmission systems. This all followed a distinguished 12-year military career as a criminal investigator, where he received specialized training in interviewing, forensic photography, evidence processing, and investigation techniques. He has over 25 years of leadership and regulatory enforcement experience and is a frequent lecturer at state and industry pipeline safety seminars.
Tarek Abour will provide engineering support. Mr. Abour is an engineer in the integrity team within the Utilities business unit and is a graduate of the University of Illinois at Urbana-Champaign. He is a mechanical engineer with 10 years of project experience, carrying a major focus in MAOP validation alongside a deep expertise in executing comprehensive pipeline safety compliance programs. His extensive project portfolio includes driving ENTRUST's three-year compliance support for the City of Vernon, CA gas division, where he performed full reviews and maintenance of their O&M, OQ, Emergency Response, Damage Prevention, and Public Awareness Plans, while supporting transmission and distribution integrity management plan (IMP) execution
through two successful CPUC audits with zero enforcement actions. Additionally, Mr.
Abour delivers comprehensive compliance support for the United States Gypsum Company (USG), providing OQ support, emergency response drills, and IMP execution— including threat and risk development, class location studies, and HCA/MCA analyses— while driving end-to-end regulatory audit preparation to mitigate enforcement risks.
Benjamin Thomson will be the project manager. In July 2024, Mr. Thomson stepped into a vital leadership role at ENTRUST, heading an engineering team to deliver comprehensive compliance and integrity management support for USG by balancing team leadership with the hands-on execution of Integrity Management Program (IMP) assessments, cathodic protection evaluations, and end-to-end regulatory audit preparation to eliminate enforcement risks. He originally joined ENTRUST in June 2022, managing a diverse portfolio of natural gas initiatives across the WGL footprint, including service replacement programs, new business developments, and main replacement projects. Prior to this, he spent five years as an engineer for CenterPoint Energy (CNP) and Summit Utilities (SUA) in Little Rock, AR, where he became an expert in utility design and flow modeling, utilizing budget forecasting and spend analysis to hit annual targets while effectively communicating critical project updates to upper management.
Chuck Kanoy will provide executive oversight. Mr. Kanoy has over thirty years of experience in the natural gas industry specializing in asset integrity management, risk management, stakeholder relations, safety oversight, regulatory compliance, and contract negotiations. Prior to joining ENTRUST, he held roles at various distribution companies.
Please see the key personnel resumes in the Appendix.
Team Qualifications
With a multi-year contract ENTRUST plans to execute the project in the most costeffective manner. ENTRUST understands the expectation that VPU does not want to “train” new personnel. ENTRUST personnel to be utilized on this project will have experience in code compliance, interpretation, and program development. All junior engineering positions will be overseen and reviewed by senior, qualified staff- led by Sam Hollenbaugh and Tarek Abour as the primary technical contributors continuing their previous work with VPU.
Based on the size and expertise of ENTRUST workforce, we do not have a concern with staffing individuals meeting the requirements necessary to perform the scope of work stated above. ENTRUST will make efforts to maintain consistent resources throughout the execution of the project. As is the nature of any extended project; there may be needs for more resources at times and less at other times. With the dynamic nature of project work, the same individuals may not always be available. Additional considerations are those around individual employee’s vacations, holidays, promotions, or other reasons to modify the staff assigned to a project.
