As used herein, "extra work" means any work that is determined by City to be necessary for the proper completion of the Project, but which is not included within the Scope of Services and which the parties did not reasonably anticipate would be necessary at the time of execution of this Agreement. Compensation for any authorized extra work shall be paid in accordance with the payment schedule as set forth in Exhibit "B," if the extra work has been approved by the City.

5.6 Licenses, Permits, Fees, and Assessments. Contractor shall obtain, at Contractor's sole cost and expense, such licenses, permits, and approvals as may be required by law for the performance of the services required by this Agreement.

9.0 INDEMNITY. Contractor agrees to indemnify City, its officers, elected officials, employees and agents against, and will hold and save each of them harmless from, any and all actions, suits, claims, damages to persons or property, losses, costs, penalties, obligations, errors, omissions or liabilities (herein "claims or liabilities"), including but not limited to professional negligence, that may be asserted or claimed by any person, firm or entity arising out of or in connection with the work, operations or activities of Contractor, its agents, employees, subcontractors, or invitees, provided for herein, or arising from the acts or omissions of Contractor hereunder, or arising from Contractor's performance of or failure to perform any term, provision, covenant or condition of this Agreement, except to the extent such claims or liabilities arise from the gross negligence or willful misconduct of City, its officers, elected officials, agents or employees.

10.0 INSURANCE. Contractor shall procure and maintain for the duration of the Agreement insurance against claims for injuries to persons or damage to property that may arise from or in connection with the performance of the work hereunder by the Contractor, its agents, representative, or employees. The policies shall state that they afford primary coverage.

10.6.2 Secure and maintain in force a policy of workers' compensation insurance with statutory limits and Employer's Liability Insurance with a limit of one million dollars ($1,000,000) per accident. The policy shall be endorsed to waive all rights of subrogation against City, its directors, commissioners, officers, employees, and volunteers for losses arising from performance of this Agreement or

10.6.3 If Contractor has no employees, it may certify or warrant to the City that it does not currently have any employees or individuals who are defined as "employees" under the Labor Code, and the 1155 Infrastructure Solutions, LLC

requirement for Workers' Compensation coverage will be waived by completing the waiver form provided by the City.

10.7 If Contractor maintains broader coverage and/or higher limits than the minimums shown above, City requires and shall be entitled to the broader coverage and/or the higher limits maintained by the Contractor. Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to the City.

10.8 Each insurance policy included in this clause shall be endorsed to state that coverage shall not be cancelled except after thirty (30) days prior written notice to City.

10.9 Insurance shall be placed with insurers with an A.M. Best rating of no less than A-VIII. Any self-insured retention or deductible in excess of $25,000 must be approved in advance by the City. Any policies written on a claims-based basis must include a minimum of a 3-year tail.

10.10 Prior to the commencement of performance, Contractor shall furnish City with a certificate of insurance for each policy. Each certificate is to be signed by a person authorized by that insurer to evidence coverage on its behalf. The certificate(s) must be in a form approved by City. City may require complete, certified copies of any or all policies upon request.

10.11 Failure to maintain required insurance at all times shall constitute a default and material breach. In such event, Contractor shall immediately notify City and cease all performance under this Agreement until further directed by the City. In the absence of satisfactory insurance coverage, City may, at its option: (a) procure insurance with collection rights for premiums, attorney's fees, and costs against Contractor by way of set-off or recoupment from sums due to Contractor, at City's option; (b) immediately terminate this Agreement and seek damages from the Agreement resulting from said breach; or (c) self-insure the risk, with all damages and costs incurred, by judgment, settlement or otherwise, including attorney's fees and costs, being collectible from Contractor, by way of set-off or recoupment from any sums due to Contractor.

11.4 CORRECTION OF WORK. Contractor shall promptly correct any defective, inaccurate or incomplete tasks, deliverables, goods, services and other work, without additional cost to the City. The performance or acceptance of services furnished by Contractor shall not relieve the Contractor from the obligation to correct subsequently discovered defects, inaccuracy, or incompleteness.

Any unauthorized assignment or transfer shall be null and void and shall constitute a material breach by the Contractor of its obligations under this Agreement. No assignment shall release the original parties from their obligations or otherwise constitute a novation.

11.9 COMPLIANCE WITH LAWS. Contractor shall comply with all Federal, State, County and City laws, ordinances, rules and regulations, which are, as amended from time to time, incorporated herein and applicable to the performance hereof. Violation of any law material to performance of this Agreement shall entitle the City to terminate the Agreement and otherwise pursue its remedies. 11.11.5 Order of Precedence. In case of conflict between the terms of this Agreement and the terms contained in any document attached as an Exhibit or otherwise incorporated by reference, the terms of this Agreement shall strictly prevail. The terms of the City's Request for Proposals shall control over the Contractor's Proposal.

55 1155 Infrastructure Solutions | Proposal to City of Vernon C. Introduction
1155 Infrastructure Solutions understands that the City of Vernon is seeking one or more qualified contractors to provide on-call design, construction, and emergency repair support for VPU's six-inch polyethylene (PE) distribution system, ten-inch high-pressure steel transmission system, two regulator stations, service laterals, and related natural gas infrastructure, under a three-year as-needed services agreement.

VPU operates as a lean, highly efficient municipal gas utility (one of the largest in the U.S. by volume, served by only six full-time employees) and relies on outside contractors to provide design, construction, and operator-qualified field expertise without carrying redundant full-time staff. 1155IS is structured to support exactly this model: we scale crews and engineering support up or down to match each service order, so the City pays only for the work performed, when it is needed.

Our approach to this assignment is built around three priorities that we understand matter most to VPU and the City:
• Responsiveness - rapid acknowledgment of service requests and dispatch of qualified crews, including for emergency and after-hours events. • Compliance and Safety - all field personnel are Operator Qualified (OQ) under PHMSA requirements.
• Documentation - complete construction packages (as-builts, test records, OQ records) delivered at project closeout to support VPU's regulatory recordkeeping. 1155IS is prepared to deliver quality results within the time frames and budgets established for each individual service order, consistent with the work order process described in Section 4 of the RFP.

D. General Scope of Work
1155IS proposes to support VPU across the full range of services identified in the RFP, including:
• Project design services for the natural gas distribution and transmission system, as needed.
• Preparation of construction plans and as-built drawings for VPU natural gas infrastructure and projects.
• Delivery of complete construction packages at project closeout, including test documentation, as-builts, and other materials requested by City staff. • Collaborative engineering support to address complex distribution and transmission issues as they arise.
• Construction and repair services performed by operator-qualified personnel, including welding of high-pressure steel pipe, fusion of PE distribution line, pressure testing with documentation, excavation and installation of steel or PE

Page 3 ends

55 1155 Infrastructure Solutions | Proposal to City of Veron pipe, trench shoring, regulator station technical/maintenance support, and management of encroachment permits and traffic control. • Emergency and disaster recovery support, including response to major events such as earthquakes, and supplemental operator-qualified staffing when VPU resources are insufficient.
• Operator Qualification (OQ) management through Veriforce as 1155lS's third- party OQ provider, ensuring all field personnel remain qualified for the tasks they perform on City projects. OQ records are actively maintained and updated to refiect each employee's current qualification status. In addition, 1155IS utilizes ISN (Integrity Staffing Network) as a safety compliance monitoring platform, providing an added layer of contractor safety oversight, incident tracking, and documentation management that supports our ongoing commitment to a safe and compliant workforce.
1155IS is prepared to structure its services flexibly, scaling from small, short-duration tasks (such as a three-person crew completing a single gas service connection over two days) up to larger design-and-construction projects, consistent with VPU's operational needs.

E. Work Plan
Service Order Process
1155IS will support VPU's work order process exactly as described in Section 4 of the RFP. For each service order, 1155IS will:
• Meet with City/PU staff to develop a detailed scope of work, including procedures and, where appropriate, sketches, plans, and as-builts. • Provide a fixed cost of work, or an estimate of man-hours and equipment costs based on the predetermined hourly rates and equipment costs established in the base contract.
• Propose a schedule for commencement and completion of the work, sized to the urgency and complexity of the order.
• Mobilize an operator-qualified crew and any required engineering support upon mutual agreement and City authorization.

Interrelationship of Projects and Quality Control
Because VPU may issue multiple concurrent or sequential service orders across design, construction, and emergency response, 1155IS will assign a single point of contact to the Vernon account to maintain continuity, track open work orders, and ensure as-built documentation and OQ records are consolidated consistently across all projects performed under the contract.

Emergency Response and Local Presence

Page 4 ends

55 1155 Infrastructure Solutions | Proposal to City of Vernon 1155IS maintains a corporate office in Santa Fe Springs, California, approximately 11 miles (roughly 20 minutes) from Vernon, and a construction yard stocked with crew equipment and supplies in Chino, California, approximately 35 miles (roughly an hour's drive under normal traffic conditions) from Vernon. Together, these locations place both administrative staff and operator-qualified crews and equipment well within range for rapid response to scheduled work orders and emergency call-outs.

Staffing for Representative Project Sizes
To illustrate scalability, the table below shows how 1155IS would typically staff two representative service order sizes referenced in the RFP.

Representative Service Order Typical Crew Typical
Duration
Single gas service connection (small 3-person crew (foreman, 2 days project) laborer, pipefitter)
Regulator station maintenance 3-person crew (foreman, 2 1-2 days support laborers)
Emergency repair / disaster 4-person crew (foreman, As Needed response operator, laborer, welder)
F. Fees and Costs
Consistent with Vernon Municipal Code Section 3.32.090, 1155IS understands that cost will not be a factor in the initial determination of the most qualified proposer, and that a sealed price bid is being submitted separately for consideration after the qualifications- based selection is complete.
1155IS's sealed price proposal reflects not-to-exceed hourly rates for crew labor, non- crew (salaried/supervisory) labor, and equipment typically required for this scope of work. As a condition of this proposal, 1155IS proposes that all rates below increase by three percent (3%) annually, effective each year at the end of July, for the term of the Agreement. Regardless of this escalation schedule, 1155IS will at all times pay not less than the prevailing wage rate then in effect for each prevailing-wage-covered classification, per California Labor Code Section 1770 et seq.

General Conditions & Clarifications
1155 Infrastructure Solutions is a union contractor and is bound by labor agreements that have a meaningful impact on how we staff, schedule, and execute work. In some instances, union labor rules and California prevailing wage requirements may come into conflict with one another. In those cases, 1155IS will defer to whichever requirement produces the more favorable outcome for its field employees. The following clarifications are intended to provide the City of Vernon with a clear understanding of

Page 5 ends

55 1155 Infrastructure Solutions | Proposal to City of Vernon these conditions so that both parties can plan effectively and work together efficiently under this contract.

1. Working a 4-10 schedule (four 10-hour days) will result in eight (8) hours billed at the straight time (ST) rate and two (2) hours billed at the overtime (OT) rate each day.

2. Anytime more than one (1) FTE is requested for a work ticket, a Foreman must be utilized.

3. All travel and expense (T&E) work will be billed portal to portal, starting and returning from 1155IS's construction yard in Chino, California.

4. T&E rates include basic hand tools and basic safety cones for equipment protection.

Traffic control is not included in T&E rates and will be billed separately per the rate schedule.

5. All rates are subject to a minimum of four (4) hours per day, unless otherwise agreed upon in writing by both the City of Vernon and 1155IS.

6. Equipment utilized by the crew is assumed to be working for the entirety of the work day. No standby costs are provided for equipment.

7. The City of Vernon is responsible for obtaining all permits and paying all associated permitting costs as they relate to a project performed under this contract.

8. All supplies required for soft or hard restoration will be passed through to the City at actual cost plus ten percent (10%), in accordance with City of Vernon standards.

Regardless of this escalation schedule, 1155lS will at all times pay not less than the prevailing wage rate then in effect for each prevailing-wage-covered classification, per California Labor Code Section 1770 et seq.

General Conditions & Clarifications

In those cases, 1155IS will defer to whichever requirement produces the more favorable outcome for its field employees. The following clarifications are intended to provide the City of Vernon with a clear understanding of
