AMENDMENT NUMBER: THREE
TO
GENERAL SERVICES PROVIDER STANDARD AGREEMENT
BY AND BETWEEN
THE CITY OF VICTORVILLE
AND
ROBERT HALF INTERNATIONAL INC.
FOR
TEMPORARY STAFFING, DIRECT-HIRE, AND OTHER EMPLOYER SERVICES, PROJECT ESC23-069
THIS AMENDMENT (the Amendment) is made and entered into this ____ day of _______ 202_, by and between the City of Victorville, a municipal corporation, located in the County of San Bernardino under and by virtue of the laws of the State of California (hereinafter referred to as City), and Robert Half International Inc., a Delaware corporation, hereinafter referred to as Service Provider. The City and Service Provider are sometimes hereinafter referred to individually as a Party and collectively referred to as the Parties. Recitals
1. WHEREAS, the City has a General Services Provider Standard Agreement (hereinafter referred to as the Original Agreement) with the Service Provider to provide Temporary Staffing, Direct-hire, and other Employer Services; and
2. WHEREAS, on or about May 24, 2023, Amendment One (1) was issued to the Original Agreement to increase Section 3., Compensation by $95,000.00, thereby revising the total annual not to exceed sum from $123,000.00 to $218,000.00; and
3. WHEREAS, on or about January 29, 2024, Amendment Two (2) was issued to the Original Agreement to exercise Option 1 of 4, additional one-year option periods, amending the term of the Agreement to commence January 25, 2024, and expire January 24, 2025. Section 3, Compensation, annual not to exceed sum of $218,000.00 remained unchanged; and
4. WHEREAS, it is the desire of the Parties to issue Amendment Three (3) to the Original Agreement to increase Section 3, Compensation by $190,000.00, thereby amending the annual not to exceed sum from $218,000.00 to $408,000.00; and
5. NOW THEREFORE, in consideration of the covenants, conditions, and promises contained herein and for such other good and valuable consideration, receipt of which is hereby acknowledged, the Parties are willing to amend the Original Agreement as stated below.

Contract Amendment
Section 3. COMPENSATION - is amended as follows:
The City shall pay a total amount not to exceed Four Hundred Eight Thousand and 00/100 Dollars ($408,000.00) (Up-to-but-Not-to-Exceed Amount) for the serviced rendered by Service Provider pursuant to this Agreement, subject to the provisions of Section 4
.
Except as amended herein, the terms and conditions of the Original Agreement and all previous amendments remain in full force and effect.
