LPA, INC.
FOR
DESIGN SERVICES FOR NEW POLICE DEPARTMENT STATION,
PHASE I AND PHASE II, PROJECT CC23-004
THIS AMENDMENT (the “Amendment”) is made and entered into this ____ day of _______, 2024, by and between the City of Victorville, a municipal corporation, organized and existing in the County of San Bernardino under and by virtue of the laws of the State of California (hereinafter referred to as “City”), and LPA, Inc., a California corporation , hereinafter referred to as “Consultant”, City and Consultant are sometimes hereinafter referred to individually as a “Party” and collectively referred to as the “Parties”.
Recitals
1. WHEREAS, the City has a Consultant/Professional Services Provider Agreement (hereinafter referred to as the “Original Agreement”) with the Consultant to provide Design Services for New Police Department Station, Phase I; and
2. WHEREAS, on or about November 8, 2023, Amendment One (1) was issued to the Original Agreement to amend the expiration date to June 30 , 2024 . Section 3., Compensation, cumulative not to exceed amount of $382,126.00, remained unchanged; and
3. WHEREAS, it is the desire of the Parties to issue Amendment Two (2) to the Original Agreement to revise Section 2, Scope of Services to add Phase II services; revise Section 3, Compensation from $382,126.00 to $1,318,419.00; revise Section 4, Cost Proposal to include Phase II services; and amend Section 6, Term of Agreement to revise the expiration date to June 30, 2025; and
4. NOW THEREFORE , in consideration of the covenants, conditions, and promises contained herein and for such other good and valuable consideration, receipt of which is hereby acknowledged, the Parties are willing to amend the Original Agreement as stated below.

Contract Amendment
Section 2. – SCOPE OF SERVICES - is amended as follows:
“Consultant shall provide to the City those additional Phase I and Phase II services as set forth in Consultant’s Proposal dated July 21, 2024, attached hereto as Exhibit A and hereby incorporated as part of this agreement by this reference.”
Section 3. – COMPENSATION – is amended as follows:
“The City shall pay to Consultant a sum not to exceed One Million Three Hundred Eighteen Thousand Four Hundred Nineteen and 00/100 dollars ($ 1,318,419.00) for faithful performance of the services to be rendered under this Agreement, subject to the Fee Schedule provisions of Section 4, below.”
Section 4. – COST PROPOSAL – PHASE II – is amended as follows:
“The City shall pay Consultant for those additional services set forth in Consultant’s Proposal dated July 21, 2024, attached hereto as Exhibit A and hereby incorporated as part of this agreement by this reference.”
Section 6. – TERM OF AGREEMENT - is amended as follows:
“The City hereby amends the Term of Agreement to expire on June 30, 2025 (the “Termination Date”).”
Except as amended herein, t he terms and conditions of the O riginal Agreement and all previous amendments remain in full force and effect.
