Strategic Plan Goal:
Goal E. Invest in Infrastructure: This Project provided long-term roofing solutions to multiple revenue generating assets at the airport.
Background:
The existing metal roof structures and drainage troughs atop Buildings 682 and 685 were installed in 1963 when the buildings were built. The drainage troughs were deteriorated and leaked whenever precipitation was present. The temperature variances between the summer and winter seasons of the Mojave Desert caused the metal roofs to expand and contract with the weather. The continued expansion and contraction of the metal roofs over nearly 60 years caused small gaps to develop between the metal roof and the roofing screws that allowed rainwater and wind-blown dust to intrude into the buildings.
The roof structure atop Building 867A is approximately 4,000 square feet and was composed of a patchwork of three different roofing materials; coated metal, rubber, and rolled asphalt shingle. Harsh weather conditions deteriorated the rubber and shingle surfaces which allowed water to infiltrate the roof membrane and produce multiple roof leaks. Staff installed additional roof drains to extend the life of the roof and prevent leakage, with limited success.
The existing roof materials atop Buildings 732/733/738/739/744 were deteriorated and in need of consistent repair over the last few years. These five buildings were built in 1942 and have had several different roofs installed since their construction. One roof had five layers of roofing materials, and the other four roofs were composed of at least three layers of roofing materials. Harsh weather conditions deteriorated the fascia boards and flashing, which allowed water to infiltrate beneath the roof membrane and produce multiple leaks. In addition, multiple obsolete evaporative cooler stands and other abandoned apparatus existed on these roofs, which added unnecessary weight and obstructions to the flow of water.
Staff exercised every known repair option to extend the life of these roofs and prevent leakage, with limited success. Staff determined that the best option for the renewal of these roofs was full-scale roof replacement.
On June 06, 2023, following a formal solicitation process, the Southern California Logistics Airport Authority (“SCLAA”) Board of Directors awarded a construction contract to Universal Coatings, Inc., (“Universal”) with a total compensation amount not to exceed $768,000. Construction commenced on November 14, 2023, following the issuance of the Notice to Proceed on November 06, 2023.
Discussion:
The Building 682 and 685 portions of the Project involved cleaning, inspecting, repairing, priming, coating, and sealing roughly 57,000 square feet of metal roof decking and ridge vents. Three existing deteriorated drainage troughs were retrofitted with approximately 425 feet of new drainage pipes and fittings. Multiple obsolete protrusions were removed from the roofs, thereby decluttering the roofs and removing obstacles to proper drainage. 3 8
4 6
The new drainage systems were tested and the persistent leaks that plagued the roof have been resolved, to the delight of staff and tenants.
The Building 867A portion of the Project involved the removal and proper disposal of approximately 4,000 square feet of asphalt, rubber, and coated metal roofing material. The existing roof decking was cleaned, inspected, repaired where necessary, primed, and Spray Polyurethane Foam (“SPF”) was applied to the entire roof. Lastly, an Elastomeric Acrylic Coating was applied over the top of the SPF to provide a waterproof layer and protection from UV rays. Additional rain gutters were installed to provide appropriate avenues to channel water away from the building.
The Building 732/733/738/739/744 portion of the Project involved the removal of approximately 7,000 square feet of roofing materials located on five buildings. Several buildings required the removal and proper disposal of multiple layers of asphalt roll roofing, shingles, and felt paper. Approximately 660 linear feet of metal flashing and rotted fascia board was replaced. Various roof protrusions, multiple non-functional swamp coolers and stands, and obsolete ducting and roof dormers were also removed. After the roofs were cleared of old materials and the roof decking inspected, repaired and cleaned where necessary, an SPF roofing system consisting of primer, SPF, and elastomeric topcoats was installed.
On September 23, 2024, the Project was substantially completed and inspected to the satisfaction of staff, with final documentation submitted by Universal the following day.
Significant delays in the winter, spring, and summer months due to multiple rain, wind, and extreme heat events delayed the completion of the project. Despite the climate caused delays, the Project was completed below budget for a total cost of $766,500.
Therefore, staff recommends that the SCLAA Board of Directors approve the issuance of the Notice of Completion for the Multiple Roof Replacement Project #CC23-104 and authorize its execution by the Executive Director. Upon execution, the NOC will be filed with the San Bernardino County Recorder’s office to offer an opportunity for sub- contractors to make a claim for any work performed that remains unpaid. Thirty-five days after the NOC filing, should no claims be made, the SCLAA will release the retention currently held and owed to Universal Coatings, Inc. in the amount of $38,325.
Staff remains available for any questions or comments you may have.

Approval of the Amendment No. 2 to the Renewable Power Purchase and Sale Agreement with AM Wind Repower LLC
Recommendation:
That the Honorable City Council approve Amendment No. 2 to the Renewable Power Purchase and Sale Agreement (PPA) with AM Wind Repower LLC.
Fiscal Impact:
Amendment No. 2 to the PPA extends the Commercial Operation Date (COD) Termination Deadline to May 31, 2025 and continues the Daily Delay Damages of $3,055.56/day until the earlier of the COD or May 31, 2025 (for a potential total of $473,611,80). These Daily Delay Damages would be paid by AM Wind Repower LLC to VMUS. If COD is not achieved by May 31, 2025, VMUS would receive an additional lump sum payment of $473,611.80 and effective June 1, 2025, the Daily Delay Damage payment would increase from $3,055.56 to $6,111.12/day.
Strategic Plan Goal:
This item aligns with our strategic plan goal towards fiscal sustainability. Once operating, the Alta Mesa wind project will provide a source of lower cost, renewable power for VMUS.
In the interim, this Amendment will provide funds to offset the cost of replacement power and provide additional incentive for accelerating the COD of the project.
Background:
The Alta Mesa wind project is a 27 megawatts (MW) repowering of an existing wind energy facility in North Palm Springs, California, referred to as the San Gorgonia Pass.
The re-powering project included the removal of 156 existing legacy wind turbines that were commissioned in 1988. The legacy turbines were replaced with seven 4.2 MW capacity turbines. The expected commercial operation date was January 1, 2022. 3 0
9 4
On June 24, 2020, the Victorville City Council reviewed and approved the PPA with AM Wind Repower LLC (Seller) for the purchase of 40.74% of the electric capacity and energy output, environmental attributes, and local resource adequacy (Attachment A). The City of Corona and Industry Public Utilities purchased the remaining 59.26%. VMUS staff presented a report outlining the benefits that VMUS would receive by procuring energy available through the PPA including the following:
1) The energy procured will provide a significant amount of electricity from an eligible renewable energy resource and contribute towards VMUS’ compliance with the State’s Renewable Portfolio Standard (RPS) Requirements. 2) The associated capacity secured through the PPA will also move VMUS closer to meeting Resource Adequacy (RA) Requirements. These requirements were established to ensure that utilities possess adequate generating capacity to serve their customers during periods of peak demand, thereby reducing the potential of outages.
3) The 11 MW capacity provided in the PPA will produce approximately 54,800 megawatt-hours (MWh) of energy at a cost of $40.00 per MWh.
The PPA provides that VMUS will collect “Daily Damages” of $3,055.56 up to $550,000 from the delay in achieving the Guaranteed Commercial Operation Date (GCOD). The Adjusted GCOD was December 26, 2022, and VMUS collected $550,000. VMUS and the City of Corona and Industry Public Utilities (Buyers) also had the option to terminate their PPAs 180 days after the Adjusted GCOD (June 23, 2023).
On July 18, 2023, the Victorville City Council reviewed and approved Amendment 1 to the PPA (Attachment B). Amendment 1 increased the Contract Price to $44.00 per MWh; extended VMUS’ agreement to not pursue any rights or remedy to terminate the PPA due to the Facility not having achieved Commercial Operation (COD Termination Deadline) prior to December 27, 2024; and increased the Seller obligation to pay Additional COD Extension Delay Damages of $3,055.56 for each day from June 24, 2023 to August 31, 2023, from March 22, 2024 to July 1, 2024, and from July 1 2024 until the earlier of the date that the Commercial Operation is achieved or the extended COD Termination Deadline. On November 30, 2023, the Seller extended VMUS’ COD Termination Deadline to September 30, 2024. On August 9, 2024, the Seller extended VMUS’ COD Termination Deadline to December 27, 2024.
Discussion:
The AM Wind generation will be delivered to the California Independent System Operator (CAISO) grid through the Southern California Edison’s (SCE) Seawind Substation. There continues to be delays in designing, procuring, and constructing the required protection equipment at the SCE Seawind Substation for the AM Wind transformer, and the Seller does not anticipate achieving COD prior to December 27, 2024. 3 0
9 4
To secure the project funding, the project financing parties require that VMUS agree to not pursue any rights or remedy to terminate the PPA due to the Facility not having achieved Commercial Operation prior to December 27, 2024.
Amendment 2 extends the COD Termination Deadline to May 31, 2025, and the Seller agrees to make the following payments to VMUS:
(i) the Daily Delay Damage payment of $3,055.56/day would continue until the earlier of COD or May 31, 2025;
(ii) if COD is not achieved by May 31, 2025, VMUS would receive an additional lump sum payment of $473,611.80; and
(iii) if the COD is not achieved by May 31, 2025, effective June 1, 2025, the Daily Delay Damage payment would increase from $3,055.56/ day to $6,111.12/day.

Runway 17/35 Reconstruction Bidding Support, Construction Management & Inspection Services, Project CC21-015
Recommendation:
That the Southern California Logistics Airport Authority Board of Directors:
(1) Approve Amendment Three to the Consultant/Professional Services Provider Agreement to Burns & McDonnell Engineering Company, Inc., for Bidding Support, Construction Management & Inspection Services, Project CC21-015, increasing the total not to exceed compensation by $142,872.52 to $1,180,236.35; and (2) Extending the Term of the Agreement to June 30, 2025.
Fiscal Impact:
This Amendment requires no additional budget appropriation. Sufficient funding for the proposed Amendment has been appropriated in the 457 Federal Grants Fund and the 450 SCLA Grant Matching Fund. The budget is outlined below:
Current Budget
Balance
4571301A-55320-95125 FAA Grant #32 $184,125.51
4501301A-55320-95125 SCLA Grant #32 Match $28,784.49
Strategic Plan Goal:
Goal E. Invest in Infrastructure: Project CC21-015 invests in airfield infrastructure by providing quality control, construction management, and inspection services related to Phase V of Runway 17/35 Reconstruction Project.
Background:
The Southern California Logistics Airport Authority (“SCLAA”) is required to meet stringent FAA design and construction management standards as a condition of accepting FAA Grant funding for the Project. The construction management and inspection services 3 8
4 7
require highly specialized and technical services customarily performed by engineering firms with specific training and experience regarding FAA standards, specifications, and customary protocol. In 2020, to procure a qualified airport engineering services firm for the multiple phases of the Runway 17/35 Reconstruction project over several years, staff conducted a formal, competitive Request for Qualifications for Airport Engineering Services, Project #CC21-015 in compliance with City Municipal Code §2.28.280 and applicable FAA standards. The SCLAA Board of Directors approved the selection of Burns & McDonnell Engineering Company Inc. (“Burns & McDonnell”) as the qualified airport engineering services firm on December 15, 2020. This approval enabled staff to engage Burns & McDonnell for airport engineering consultant services for the projects contained on its Federally approved Aviation Capital Improvement Program (“ACIP”) for a period of up to five years.
Staff leveraged the Airport engineering expertise of Burns & McDonnell, the qualified engineering firm for the SCLAA, to design plans and specifications for Runway 17/35 Reconstruction – Phase V (“Phase V”). When completed, Phase V will remedy pavement issues in several places and further prepare the Airport for future growth.
The Southern California Logistics Airport (“SCLA”) airfield consists of two commercial- length runways and nine taxiways. The main runway, Runway 17/35, consists of aged asphalt and newer concrete pavement sections. The asphalt sections have been of particular concern for Airport users since asphalt rutting, pitting, cracking, and breaking are major safety concerns as these conditions create foreign object debris that collect on the runway and taxiways, becoming major hazards to aircraft. Several asphalt sections have been replaced with concrete pavement in previous Runway 17/35 Reconstruction phases as FAA funding has become available. Phase V will continue the asphalt reconstruction efforts on Runway 17/35 to improve the runway pavement and overall safety for aircraft operations. Ancillary to the runway pavement reconstruction, certain runway shoulders and a blast pad, which are exhibiting signs of distress, will be reconstructed. Furthermore, drainage improvements to the southern portion of Runway 17/35 will be installed as part of Phase V. Lastly, a portion of a taxiway that connects several large hangars to the airfield has experienced rapid deterioration and will be replaced.
The SCLAA Board of Directors approved the award of a Construction Contract to Pave Tech, Inc, to facilitate Runway 17/35 Reconstruction – Phase V, Project CC24-126, on October 15, 2024.
Discussion:
A project of this size and importance to the SCLAA necessitates construction management and inspection expertise by engineers with aviation experience. To procure these services, SCLAA staff requested a proposal from Burns & McDonnell for the construction management and inspection services associated with Phase V, as per City Municipal Code §2.28.110. Staff received the attached proposal (“Proposal”) for construction management and inspection services for Phase V in the amount of $142,872.52. Staff reviewed the Proposal and found the costs to be in line with previous 3 8
4 7
submissions. Staff is ebullient that Burns & McDonnell’s Proposal contains an overall Disadvantaged Business Enterprise (“DBE”) award percentage of 33.1%, far surpassing the 14% goal for this project. Certain construction management tasks required for Phase V align with the skillset of two DBE firms, thus allowing Burns & McDonnell to propose their utilization.
As part of their good faith efforts to achieve established DBE inclusion goal percentages, prime contractors are solely responsible for reaching out to properly certified DBE firms.
Although not required, most prime contractors will first seek local subcontractors to avoid costly logistical challenges associated with the need to travel great distances. Prime contractors must verify that any proposed DBE firm is properly certified by either the California Unified Certification Program or the Department of General Services. Burns & McDonnell’s broad experience with Federally funded projects enables them to utilize properly certified DBE’s with specific skillsets as needed, and the DBE inclusion noted in their Phase V Proposal is evidence of their commitment to the SCLAA DBE program.
The current Consultant/Professional Services Provider Agreement (“Agreement”) with Burns & McDonnell was entered into on December 15, 2020, for the not to exceed amount of $902,243.34, which was sufficient for Phases I, II, and III of the Runway 17/35 Reconstruction project. Amendment One was issued on September 26, 2022, to extend the Term of the Agreement to June 30, 2023. To utilize Burns & McDonnell for Construction Management and Inspection Services for Phases IIIB and IV, Amendment Two was issued on December 06, 2023, to extend the Term of the Agreement to June 30, 2024, and increase the not to exceed compensation amount to $1,037,363.83. The commencement of Phase V requires additional expenses and time for engineering and construction management services.
Approval of Amendment Three to the existing Agreement will allow Burns & McDonnell to continue to provide the necessary Construction Management and Inspection Services for Phase V of the Runway 17/35 Reconstruction.
Therefore, staff requests and recommends that the SCLAA Board of Directors approve Amendment Three to the Consultant/Professional Services Provider Agreement by and between the SCLAA and Burns & McDonnell, increasing the total not to exceed compensation by $142,872.52 to $1,180,236.35, for Bidding Support, Construction Management and Inspection Services for Runway 17/35 Rehabilitation, Project #CC21- 015, and extend the Term of the Agreement to June 30, 2025.
Staff remains available for any questions or comments you may have.
