CONSTRUCTION AGREEMENT
BY AND BETWEEN
THE SOUTHERN CALIFORNIA LOGISTICS AIRPORT AUTHORITY
AND
VERTEX, LLC
FOR
BUILDING 701 DEMOLITION, CC25-134
THIS AMENDMENT (the “Amendment”) is made and entered into this ____ day of _______ 2025, by and between the Southern California Logistics Airport Authority , a joint powers authority, organized and existing in the County of San Bernardino under and by virtue of the laws of the State of California (hereinafter referred to as “SCLAA”), and Vertex Civil, LLC, a Limited Liability Company formed in Delaware, hereinafter referred to as “Contractor.” The SCLAA and Contractor are sometimes hereinafter referred to individually as a “Party” and collectively referred to as the “Parties”.
Recitals
1. WHEREAS, SCLAA has a Construction Agreement (hereinafter referred to as the “Original Agreement”) with the Contractor to provide Building 701 Demolition, Project CC25-134; and
2. WHEREAS, it is the desire of the Parties to issue Amendment One (1) to the Original Agreement to revise Section 2, Term of Agreement to add an additional 30 days; increase Section 6. Compensation by $207,850.00, thereby revising the total cumulative sum from $355,360.00 to $563,210.00; and Section 7., Contractor’s Bid Proposal Form is amended to include additional services as set forth in Contractors Bid Proposal; and
3. NOW THEREFORE , in consideration of the covenants, conditions, and promises contained herein and for such other good and valuable consideration, receipt of which is hereby acknowledged, the Parties are willing to amend the Original Agreement as stated below.
Contract Amendment
Section 2. – TERM OF AGREEMENT – is amended as follows:
“This Agreement shall terminate upon completion of the Project, Seventy-five (75) Calendar Days after the Commencement Date (the “Termination Date”), unless sooner terminated in accordance with the provisions of this Agreement (the “Term)…”

Section 6. – COMPENSATION – is amended as follows:
“The Contractor agrees to receive and accept the following amount, cumulative, not to exceed Five Hundred Sixty -three Thousand Two Hundred Ten and 00/100 Dollars, ($563,210.00), as full compensation for furnishing; all materials, doing all the work contemplated and embraced in this contract,…”
Section 7. – BID PROPOSAL FORM – is amended as follows:
“The SCLAA shall pay Contractor, as provided in Amendment One (1), Bid Proposal Form #5M25-361 dated September 26, 2025, attached hereto as Exhibit B-1 and incorporated herein by this reference as though set forth in full, subject to the approval of the SCLAA, when applicable.”
Except as amended herein, t he terms and conditions of the O riginal Agreement and all previous amendments remain in full force and effect.
