BETWEEN THE CITY OF VICTORVILLE AND SYMBA CENTER
FOR
WELLNESS CENTER
WRAPAROUND, SHELTER OPERATOR, AND ERF-3 SERVICES
PROJECT NO. JM23-065-1 ("CONSOLIDATED PROJECT")
THIS CONSUL TANT/PROFESSIONAL SERVICES PROVIDER AGREEMENT (hereinafter "Agreement"), dated this 26th day of June, 2025 for reference purposes only, is made and entered into by and between the CITY OF VICTORVILLE, a California municipal corporation and charter city located in the County of San Bernardino, State of California, hereinafter referred to as the "City" or "Victorvil le", and SYMBA CENTER, a California non-profit corporation, hereinafter referred to as "Consultant". City and Consultant are sometimes hereinafter referred to hereinafter individually as a "Party" and collectively as the "Parties."
RECITALS:
WHEREAS, or about January 16. 2023, the City issued a Request for Proposals ("RFP") seeking a Consultant/Professional Services Provider to provide Wraparound Services (as hereinafter defined) at its soon to be opened Wellness Center, as more fully described in the RFP issued for Project No. JM23- 065 (hereinafter the "WS Project"); and
WHEREAS, on or about February 21, 2023, the City also issued an RFP seeking a Consultant/Professional Services Provider to provide homeless Shelter Operator Services at said Wellness Center, as more fully described in the RFP for Project No. JM23-090 (hereinafter the "SO Project"); and
WHEREAS, Consultant provided a response to the RFP for the WS Project, and following an evaluation process was selected by the City to provide the Wraparound Services; and WHEREAS, the City subsequently entered into a Consultant/Professional Services Provider Agreement with Consultant dated June 6, 2023 (the "WCWS Agreement"), which agreement included provisions for options to extend the initial twenty-three (23) month term for three (3) additional years and for Consultant to perform Extra Services (as defined in Section 29 of the WCWS Agreement) if requested to do so by the City; and
WHEREAS, Hope the Mission, a California non-profit corporation ("HTM") provided a response to the RFP for the SO Project, and following an evaluation process was selected by the City to provide the Shelter Operator Services at the Wellness Center; and
WHEREAS, the City subsequently entered into a Consultant/Professional Services Provider Agreement with HTM, dated June 6, 2023 (the "SO Agreement"), which agreement included provisions for options to extend the initial twenty-three (23) month term for three (3) additional years or permitting the City to terminate said SO Agreement at the end of the initial twenty-three (23) month term; and WHEREAS, to assist the City in resolving the experience of unsheltered homelessness for people residing in encampments in accordance with the City's Encampment Resolution Funding (ERF-3) Program grant, which grant is described and incorporated in Section 14.d of this Agreement, on or about December 17, 2024, City and Consultant entered into Amendment No. 1 to the WCWS Agreement (hereinafter the "Amended WCWS Agreement") to expand Consultant's scope of services to include providing additional case management, medical, housing navigation, outreach, and rapid rehousing services {the "ERF-3 Services"), which ERF-3 Services were funded by said ERF-3 Program grant; and 1 ConsultanVPSA /Symba Center/ Wellness Center Consol.
