b. That, except as provided in subparagraph 23.2.b, the entire landing area, as defined in Section 101 of the Federal Aviation Act of 1958, as amended, and Federal Aviation Regulations pertaining thereto, and all structures, improvements, facilities and equipment in which this instrument transfers any interest, shall be maintained for the use and benefit of the public at all times in safe and serviceable condition, so as to ensure its efficient operation and use provided, however, that such maintenance shall be required as to structures, improvements, facilities and equipment only during the useful life thereof, as determined by the Administrator of the FAA or successor in function (the "Administrator"). In the event materials are required to rehabilitate or repair certain of the aforementioned structures, improvements, facilities or equipment, they may be procured by demolition of other structures, improvements, facilities or equipment transferred hereby and located on the above land, which have outlived their usefulness as airport property in the opinion of the Administrator. Notwithstanding any other provision of this Lease: (i) with the prior written approval of the FAA, the Lessee may close or otherwise limit use or access to any portion of the Airport that it deems appropriate if such closure or use limitation is related to airport operating considerations or is based upon insufficient demand for such portion of the Airport; and (ii) with respect to any such portion of the Airport, the Lessee shall be under no obligation to maintain the same other than as may be required to maintain adequate public safety conditions.
23.2. Further, by acceptance of this Lease or any rights hereunder, the Lessee for itself, its successors and assigns, assumes the obligation of, covenants to abide by and agree to, and this Lease is made subject to, the following reservations and restrictions set forth below in subparagraphs 23.2.a to 23.2.n, inclusive, of this Condition 23.2 provided, that the property transferred hereby may be successively transferred or assigned only with the prior written consent of the Administrator of the FAA, or his successor, to successors and assigns of the Lessee only with the provision that any such subsequent transferee assumes all the obligations imposed upon the Lessee by the provisions of this Lease.

There is hereby reserved to the Lessor, its successors and assigns, for the use and benefit of the public, a right of flight for the passage of aircraft in the airspace above the surface of the above described real property, together with the right to cause in said airspace such noise as may be inherent in the operation of aircraft, now known or hereafter used for navigation of or flight in the said airspace, and for use of said airspace for landing on, taking off from, or operating on the former Base.
b. No property included in the Airport shall be used, leased, sold, salvaged, or disposed of by the Lessee for other than airport purposes without the written consent of the Administrator. This consent shall be granted only if the Administrator determines that the property can be used, leased, sold, salvaged, or disposed of for other than airport purposes without materially and adversely affecting the development, improvement, operation, or maintenance of the Airport. The term "property" as used herein, is deemed to include revenues or proceeds (including any insurance proceeds) derived from the Airport.
c. Property transferred for the development, improvement, operation or maintenance of the Airport shall be used and maintained for the use and benefit of the public on fair and reasonable terms, without unjust discrimination. In furtherance of this covenant (but without limiting its general applicability and effect), the Lessee specifically agrees: (1) that it will keep the Airport open to all types, kinds, and classes of aeronautical use without discrimination between such types, kinds and classes; provided, that the Lessee may establish such fair, equal, and not unjustly discriminatory conditions to be met by all users of the Airport as may be necessary for the safe and efficient operation of the Airport and provided, that the Lessee may prohibit or limit any given type, kind, or class of aeronautical use of the Airport if such action is necessary for the safe operation of the Airport or necessary to serve the civil aviation needs of the public; (2) that, in its operation and the operation of facilities on the Airport, neither it nor any person or organization occupying space or facilities thereupon, will discriminate against any person or class of persons by reason of race, color, creed, disability, age, sex, or national origin in the use of any of the facilities provided for the public at the Airport;(3) that, in any agreement, contract, lease, or other arrangement under which a right or privilege at the Airport is granted to any person, firm or corporation to conduct or engage in any aeronautical "!

d. The Lessee will not grant or permit any exclusive right for the use of the Airport which is forbidden by Section 308 of the Federal Aviation Act of 1958, as amended, by any person or persons to the exclusion of others in the same class and will otherwise comply with all applicable laws. In furtherance of this covenant (but without limiting its general applicability and effect), the Lessee specifically agrees that, unless authorized by the Administrator it will not, either directly or indirectly, grant or permit any person, firm or corporation the exclusive right to conduct any aeronautical activity on the Airport, including but not limited to, charter flights, pilot training, aircraft rental and sight-seeing, aerial photography, crop dusting, aerial advertising and surveying, air carrier operations, aircraft sales and services, sale of aviation petroleum products whether or not conducted in conjunction with other aeronautical activity, repair and maintenance of aircraft, sale of aircraft parts, and any other activities which because of their direct relationship to the operation of aircraft can be regarded as an aeronautical activity. The Lessee further agrees that it will terminate as soon as possible and no later than the earliest renewal, cancellation, or expiration date applicable thereof, any exclusive right existing at any Airport owned or controlled by the Lessee or hereinafter acquired and that, thereafter, no such right shall be granted. e. The Lessee shall, insofar as it is within its powers and to the extent reasonable, adequately clear and protect the aerial approaches to the Airport. The Lessee will, either by the acquisition and retention of easements or other interests in or rights for the use of land airspace, or by the adoption and enforcement of zoning regulations, prevent the construction, erection, alteration, or growth of any structure, tree, or other object in the approach areas of the runways of the Airport which would constitute an obstruction to air navigation according to the criteria or standards prescribed in Part 77 of the Federal Aviation Regulations, as applicable, according to the currently approved airport layout plan. In addition, the Lessee will not erect or permit the erection of any permanent structure or facility which would interfere materially with the use, operation, or future development of the airport, in any portion of a runway approach area in which the Lessee has acquired, or may hereafter acquire, a property interest permitting it to so control the use made of the surface of the land. Insofar as is within its power and to the extent reasonable, the Lessee will take action to restrict the use of the land adjacent to or in the immediate vicinity of the Airport to activities and purposes compatible with normal airport operations, including landing and takeoff of aircraft.
f. The Lessee will operate and maintain in a safe and serviceable condition, as deemed reasonably necessary by the Administrator, the Airport and all facilities thereon and connected therewith which are necessary to service the aeronautical users of the Airport, other than facilities owned or controlled by the United States, and will not permit any activity thereon which would interfere with its use for airport purposes. Nothing contained herein shall be construed to require that the Airport be operated for aeronautical uses during: (i) temporary periods when snow, flood, or other climatic conditions interfere with such operation and maintenance; or (ii) repair, restoration or replacement of any structure or facility which is substantially damaged or destroyed due to an act of God or other condition or circumstance beyond the control of the Lessee in compliance with Condition 15.6.

Unless otherwise determined by the FAA, or otherwise agreed to by the Lessee and the using Federal agency, substantial use of an airport by United States aircraft will be considered to exist when operations of such aircraft are in excess of those which, in the opinion of the FAA, would unduly interfere with use of the landing area by other authorized aircraft or, that during any calendar month either: (i) five (5) or more aircraft of any agency of the United States are regularly based at the airport or on land adjacent thereto; or (ii) the total number of movements (counting each landing as a movement and each take-off as a movement) of aircraft of any agency of the United States is three hundred (300) or more; or (iii) the gross accumulative weight of aircraft of any agency of the United States using the airport (the total movements of such federal aircraft multiplied by gross certified weights thereof) is in excess of five million (5,000,000) pounds.

However, the United States shall be responsible for the entire cost of maintaining such part of the Airport as it may use exclusively, or over which it may have exclusive possession or control, during the period of such use, possession or control and shall be obligated to contribute a reasonable share, commensurate with the use made by it, of the cost of maintenance of such property as it may use nonexclusively or over which it may have nonexclusive control and possession. SPECIAL PROVISIONS
24.1. The Lessee acknowledges, understands, and accepts that the AFCEC/CIB mission on the former George AFB has priority and primacy over all other activities and operations on this former base. 25.8. Headings or Titles. The brief headings or titles preceding each condition are merely for purposes of identification, convenience, and ease of reference, and will be completely disregarded in the construction of this Lease.

CONDITION 26
RESTRICTIONS ON USE OF LEASED PREMISES
26.1. Groundwater. The Lessee shall not install (nor permit its sublessees or licensees to install) any type of well at any location within the Leased Premises. Notwithstanding the foregoing, qualified employees of Lessee (or any sublessee or licensee) or their environmental consultants may install groundwater monitoring wells in support of environmental site assessments or investigations in locations shown in Exhibit G-1, Page 1 of 2 (data current as of the end of 2017), which depicts the groundwater plumes beneath the Leased Premises, upon prior notice and written approval of the Air Force, EPA and State Regulators appointed under the FFA.
a. The Lessee (its sublessees or licensees) shall not construct or create any continuously filled surface impoundments for collecting and storing water on the Leased Premises without prior Air Force review and approval. Unlined catchment or detention basins to manage stormwater runoff are excluded, so long as such basins are not intended and constructed to collect and continuously store the runoff between major storm events.
b. Lessee (its sublessees or licensees) shall not undertake any activities that allow the continuous infiltration of surface water into the groundwater on the Leased Premises; normal watering to support grounds maintenance and existing landscaping is excluded from this restriction.

c. The Lessee (its sublessees or licensees) shall not to disturb, move, damage, tamper with, interfere with any groundwater monitoring wells (some of which are used for free product removal) or associated infrastructure. See Exhibit G-1, Page 2 of 2 for locations of the monitoring wells.
d. The Lessee (its sublessees or licensees) shall not limit Air Force access to any monitoring wells (some of which are used for free product removal) or associated infrastructure, provided the Air Force or its contractors meet the access requirements of the Lessee’s Airport Security Plan, which may be modified from time to time after the Air Force is allowed fourteen (14) calendars days to review and comment on any proposed modifications.
Notwithstanding Condition 26.1.d. immediately above, the Lessee shall be authorized, at Lessee’s sole expense and discretion, to construct or place physical barrier protection outside of the protective bollards on the traffic side of the groundwater monitoring wells to protect, yet maintain appropriate access as contemplated in this Condition 26.1. The Lessee shall coordinate any such construction or placement of physical barriers with the SM.
26.2. Surface and Shallow Soils. The Lessee shall not conduct (or permit its sublessees or licensees to conduct) any subsurface excavation, digging, drilling or other disturbance of the surface soils on the Leased Premises without the providing notice to the Air Force in accordance with Condition 10.22.
a. The following restriction on use of the Leased Premises apply to the seven (7) sites with contaiminants in the shallow soil/vadose zone that are Areas of Special Notice, specifically FT082, SS0831, FT019A, FT019C, ST054, ST057, and SS084 (as depicted on Exhibit G-2, Page 1 of 2; the Air Force will separatedly provide plats with the legal description

The SVE does not have an independent power source and therefore shares a power drop as well as the cost of power with the occupants/tenant of a nearby building. The Government and Lessee shall execute a power reimbursement agreement, underwhich the Air Force will pay a reasonable share of the power bill when its SVE system is operating. The Lessee will have no financial liability to the Air Force for power outages to the SVE system, unless it intentionally or negligently cuts-off power to the Air Force’s SVE system. This is the Parties’ intended meaning for the language in restriction 26.2.a.1 as it relates to disturbing the “power lines” at SS083. If the Lessee intends to terminate power to the building because it becomes vacant, the Lessee will notify the SM ten (10) business days in advance. "!

This prohibition also precludes any activity or Alteration that affects surface water drainage patterns by damaging/destroying/ altering the storm drainage channels/system in the vicinity of a LF/DP’s fenced area.
b. Aside from an emergency, only the Air Force will access a LF/DP’s fenced area. Otherwise, the Lessee must notify the Air Force if it (its sublessees or licensees) has a need to access a LF/DP’s fenced area. If emergency access is required, the Lessee must notify the Air Force within twenty-four (24) hours after accessing a LF/DP’s fenced area caused by such an emergency.
c. The Lessee (its sublessees or licensees) shall protect all Air Force groundwater monitoring wells associated with any LF/DPs, whether currently installed or installed in the future, and preserve Air Force access to them (as depicted on the plats with the legal description of the boundaries for each of these LF/DPs).
26.5. The Lessee will minimize the destruction, loss, or degradation of wetlands found in the Leased Premises and identified in Exhibit G-2, Page 2 of 2 ("Sensitive Habitats") hereto.
Before locating new construction in jurisdictional wetlands, the Lessee shall find in writing that there is no practicable alternative for such new construction and that the construction includes all practicable measures to minimize harm to the wetlands from such use. In making that finding, the Lessee may take into account economic, environmental and other pertinent factors. In addition, the Lessee shall provide an opportunity for early public review of any plan or proposal for new construction in jurisdictional wetlands. Before locating new construction in the jurisdictional wetlands, the Lessee shall contact the United States Army Corps of Engineers and obtain a permit or waiver under Section 404 of the Clean Water Act. 26.6. The Lessee will consult with the Department of Agriculture, U.S. Fish and Wildlife Service ("USFWS") to determine if a mitigation/compensation package for endangered species habitat losses resulting from Lessee's development and operations is required. Pursuant to Section 7 of the Endangered Species Act, the Air Force will consult with the USFWS on the compensation package. The Lessee shall implement any mitigation/compensation package approved by the USFWS. Endangered or threatened species, and their habitats, located on the Leased Premises are identified in Exhibit G-2, Page 2 of 2.
26.7. The National Historic Preservation Act ("NHPA") is the primary law governing actions affecting cultural resources. In compliance with NHPA, the Air Force conducted an architectural inventory and evaluation of George AFB, including the Leased Premises. The Air Force has completed its consultation with the California Historic Preservation Officer ("SHPO").
The California SHPO has concurred with the finding that there are no structures on George AFB eligible for listing in the National Register for Historic Places. As prior studies indicated there are no significant properties or paleontological resources on George AFB, reuse activities will not impact protected cultural resources. If such resources are identified in the future, the Lessee shall comply will all applicable laws regarding the impact of its activities on such resources.

SENSITIVE HABITATS
THREATENED AND ENDANGERED SPECIES
The primary species of concern in the lease area are the desert tortoise ( Gopherus agassizii) and the Mojave ground squirrel (Spermophilus mohavenis). Undeveloped areas to the north and east of the crosswind runway and areas to the south and southwest of the main runway are known to be desert tortoise habitat, see attached excerpt from the George Air Force Base Final Environmental Impact Statement, March 1992. The desert tortoise is federally listed. All undeveloped portions of the installation are considered to be Mojave ground squirrel habitat by the California Department of Fish and Game. The Mojave ground squirrel is listed by the State as threatened and is a Category 2 candidate for Federal listing. Habitats associated with these species are presumed sensitive in the lease area.

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time, City of Victorville (we, us or Company) may be required by law to provide to you certain written notices or disclosures. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system.
Please read the information below carefully and thoroughly, and if you can access this information electronically to your satisfaction and agree to this Electronic Record and Signature Disclosure (ERSD), please confirm your agreement by selecting the check-box next to ‘I agree to use electronic records and signatures’ before clicking ‘CONTINUE’ within the DocuSign system.
Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. You will have the ability to download and print documents we send to you through the DocuSign system during and immediately after the signing session and, if you elect to create a DocuSign account, you may access the documents for a limited period of time (usually 30 days) after such documents are first sent to you. After such time, if you wish for us to send you paper copies of any such documents from our office to you, you will be charged a $0.00 per-page fee. You may request delivery of such paper copies from us by following the procedure described below.
Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time change your mind and tell us that thereafter you want to receive required notices and disclosures only in paper format. How you must inform us of your decision to receive future notices and disclosure in paper format and withdraw your consent to receive notices and disclosures electronically is described below.
Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us.
All notices and disclosures will be sent to you electronically
!
!
#
"#
!
Unless you tell us otherwise in accordance with the procedures described herein, we will provide electronically to you through the DocuSign system all required notices, disclosures, authorizations, acknowledgements, and other documents that are required to be provided or made available to you during the course of our relationship with you. To reduce the chance of you inadvertently not receiving any notice or disclosure, we prefer to provide all of the required notices and disclosures to you by the same method and to the same address that you have given us. Thus, you can receive all the disclosures and notices electronically or in paper format through the paper mail delivery system. If you do not agree with this process, please let us know as described below. Please also see the paragraph immediately above that describes the consequences of your electing not to receive delivery of the notices and disclosures electronically from us.
How to contact City of Victorville:
You may contact us to let us know of your changes as to how we may contact you electronically, to request paper copies of certain information from us, and to withdraw your prior consent to receive notices and disclosures electronically as follows:
To contact us by email send messages to: [email protected]
To advise City of Victorville of your new email address To let us know of a change in your email address where we should send notices and disclosures electronically to you, you must send an email message to us at [email protected] and in the body of such request you must state: your previous email address, your new email address. We do not require any other information from you to change your email address.
If you created a DocuSign account, you may update it with your new email address through your account preferences.
To request paper copies from City of Victorville
To request delivery from us of paper copies of the notices and disclosures previously provided by us to you electronically, you must send us an email to [email protected] and in the body of such request you must state your email address, full name, mailing address, and telephone number. We will bill you for any fees at that time, if any.
To withdraw your consent with City of Victorville
To inform us that you no longer wish to receive future notices and disclosures in electronic format you may:
!
i. decline to sign a document from within your signing session, and on the subsequent page, select the check-box indicating you wish to withdraw your consent, or you may; ii. send us an email to [email protected] and in the body of such request you must state your email, full name, mailing address, and telephone number. We do not need any other information from you to withdraw consent.. The consequences of your withdrawing consent for online documents will be that transactions may take a longer time to process..

We do not require any other information from you to change your email address.
If you created a DocuSign account, you may update it with your new email address through your account preferences.

To request delivery from us of paper copies of the notices and disclosures previously provided by us to you electronically, you must send us an email to [email protected] and in the body of such request you must state your email address, full name, mailing address, and telephone number. i. decline to sign a document from within your signing session, and on the subsequent page, select the check-box indicating you wish to withdraw your consent, or you may; ii. send us an email to [email protected] and in the body of such request you must state your email, full name, mailing address, and telephone number. We do not need any other information from you to withdraw consent.. The consequences of your withdrawing consent for online documents will be that transactions may take a longer time to process..
Required hardware and software
The minimum system requirements for using the DocuSign system may change over time. The current system requirements are found here: https://support.docusign.com/guides/signer-guide- signing-system-requirements.

Further, if you consent to receiving notices and disclosures exclusively in electronic format as described herein, then select the check-box next to ‘I agree to use electronic records and signatures’ before clicking ‘CONTINUE’ within the DocuSign system.
