GRIFFIN STRUCTURES FEE PROPOSAL
November 17, 2022
Griffin Structures’ Fee Proposal is based on all reasonable costs necessary to perform Construction Management services for the City of Visalia’s Civic Center Phase 2 project. For these requisite services, Griffin Structures proposes the following Time & Materials Not to Exceed Fee:
Construction Management $1,097,820
Reimbursable Costs $82,180
Total $1,180,000
Add AlTERNATE: Inspections $340,000
All proposed hourly rates are fully burdened and include overhead profit, taxes, and benefits. The hours identified for each individual employee and task are estimates only and are not to be construed as not to exceed hours for any individual task, phase, or time-period. We reserve the right to reallocate hours between staff members and tasks to accomplish the overall objectives and requirements of the project.
Services are based on the attached Fee Schedule, Resource Allocation Schedule, which provides detail on the allocation of hours. Any extension of the schedule or services may result in additional fee, in good faith negotiation with the City.
APPROACH TO PROJECT SCHEDULE
This proposal assumes the following schedule as described in the communication with the City and as illustrated in the Resource Allocation Schedule attached:
1. Pre-Construction: November 2022 through January 2024 (15 Months)
2. Contractor Bidding: February 2024 through April 2024 (3 Months)

APPROACH TO STAFFING & PROJECT TEAM
To bring the highest level of efficiency and value to the City, Griffin Structures has assembled following team in accordance with the scope of work:
Jon hughes will serve as the Project Executive providing as-needed leadership for the team to deliver a successful project to the City. In this role Jon will bring his extensive experience in public safety and civic facilities, along with his proven experience with the City of Visalia. In this capacity, we have allocated 4 hours per month for the duration of the project for a total of 152 hours.
Tom ottenstein will serve as Construction Manager and will be the primary point of contact for the duration of the project. during preconstruction Tom will be deployed part time, averaging roughly 45 hours per month. once construction begins, Tom will reduce his hours to roughly 12 hours per month to maintain leadership and continuity for the duration of the project.
For this level of services, we have allocated 1,083 hours of Tom’s time. lance Solomon will serve as the on-site Construction Manager and proposed replacement for Tom should circumstances arise requiring such a change. In this role, lance will support Tom during preconstruction by performing constructability reviews at key stages of the project. once construction begins lance will then transition to a full-time deployment in the field to oversee all aspects of construction. For this level of service, we have allocated 3,550 hours of lance’s time.
Rob Carnes will serve as a Constructability Review Specialist. having served as the Construction Manager for the Visalia Emergency Communications Center project, Rob will support the constructability review process and provide key insights based on Rob’s in-depth understanding of the City and the Civic Center project site overall. For this level of service, we have allocated 30 hours of Rob’s time.
deryl Robinson will also serve as a Constructability Review Specialist. Given deryl’s extensive portfolio of public safety and civic center projects, deryl will provide invaluable insights to the constructability review process. For this level of service, we have allocated 30 hours of deryl’s time.
Add AlTERNATE: This proposal includes an add alternate for part time quality assurance inspection services during construction. Given the uncertainty of the project at this time, this add alternate assumes a part time deployment (4 hours per day) for the duration of construction for a total of 1634 hours at $205 per hour. At such a time when the scope is more clearly defined, Griffin will negotiate this add alternate in good faith with the City to bring the highest value to the project.
APPROACH TO STAFFING & PROJECT TEAM
1. hourly rates are valid through december 31, 2025 and will escalate by CPI annually thereafter.
2. Insurance costs are included as a reimbursable expense and will be billed monthly at the rate of $10 per $1,000.
3. on-site trailer rental, furniture, utilities, and sanitary facilities for our field staff (Construction Management team) are excluded. We assume that offices will be provided as part of the construction site trailer(s) being provided by the City’s contractor.
4. Costs for all permits required for the project are excluded. It is assumed that the City will pay for all permitting fees, assessments, easements, school fees, and other agency or governmental fees or costs to support the design and construction the project. We have not included any permit related fees within our fee proposal. Permits will be pulled by others.

6. Costs for surveying, construction staking, environmental and hazardous materials surveys, and all environmental and hazardous materials transportation and remediation costs are excluded.
7. Software licenses or user fees and all software training costs for specific project management software being required by either the City or their contractor(s) is excluded. For purposes of providing document Management services, this proposal assumes the use of “Submittal Exchange” (oracle) the cost for which is included in this proposal as a reimbursable expense.
8. Cost of bulk blueprinting for plans and specifications for use by the contractors and subcontractors is excluded. Funds included in reimbursable expenses are for Griffin printing costs alone.
9. Wage Compliance Program including Certified Payroll auditing, field interviews, or reporting is excluded. Based on State law SB 854, it is assumed that the dept. of Industrial Relations (dIR) will manage this effort at the State level. Griffin will enforce the Contractor registration requirements stipulated by the dIR.
10. Independent or third-party testing companies such as Roofing, Peer Reviews, lEEd, or other specialized third-party oversight services other than those listed herein are excluded.
11. Commissioning requirements required by Cal Green (Title 24) are excluded. Griffin will manage the commissioning process, but we have not included a commissioning agent, nor development of commissioning specifications.

14. Construction Manager will review all RFI’s, Submittals, and Substitutions only for completeness, approvals to be executed by the engineer of record.
15. 16. Construction Cost Estimates, when provided, are based on standard industry practice, professional experience, and knowledge of market conditions. Griffin has no control over material and labor costs, contractor’s methods of establishing prices or the market and bidding conditions at the time of bid. Therefore, Griffin does not guarantee that bids received will not vary from the cost estimate provided and Griffin is not liable for any costs, liabilities, or damages incurred by the City arising from Griffin’s opinion of cost, the actual project cost to the City, delays caused by events outside the control of Griffin, or any labor or material cost increases.
17. Griffin is not responsible for, and the City will hold Griffin harmless from, any schedule delays and/or any losses, damages, or liabilities resulting therefrom that are caused by (1) events or conditions that are outside of Griffin’s control or (2) the acts or omissions of parties for whom Griffin is not legally liable (collectively, “Non-Consultant delays”). The schedule for completion will be extended for any Non-Consultant delays. If Griffin incurs additional costs or expenses due to Non- Consultant delays, then Griffin’s fee compensation will be equitably adjusted to cover such additional costs or expenses, at then current rates.
18. CASp review and inspection services are excluded.

Adoption of Resolution 2022-63, the required biennial update of the list of City of Visalia designated employees and classifications for the purpose of compliance with Chapter 2.08 of the Ordinance Code of the City of Visalia specifying conflict of interest regulations. (Resolution 2022-63 required) Deadline for Action: 12/19/2022
Submitting Department: Administration
Contact Name and Phone Number: Michelle Nicholson, Chief Deputy City Clerk, 713-4512 Department Recommendation:
It is recommended that the Visalia City Council adopt Resolution 2022-63, the regularly scheduled biennial update of the list of designated employees who are responsible for significant amounts of purchasing or are primary decision-makers regarding purchasing. This list notes the people in the organization who will be required to complete conflict of interest reports detailing specific sources of income, gifts, and other sources of income.
Background Discussion:
The Fair Political Practices Commission (FPPC) has regulations regarding the establishment and maintenance of conflict-of-interest codes. Resolution 2022-63 reflects the changes that have occurred to the positions and position titles over the past two years. The City’s conflict of interest code ordinance complies with the requirements of state laws and provides for the periodic update of the list of designated employees by Council resolution.
The action before the Council tonight is the regular biennial update. The attached resolution reflects the positions that are currently in the City of Visalia organization, as well as adding/deleting titles because of changes in assigned responsibilities. In addition, some employees may now have greater purchasing authority and responsibility. Conflict of interest codes focus on those people in an organization who are responsible for significant amounts of purchasing or are the primary decision- makers regarding purchasing. These responsibilities exist at different levels in the various departments/divisions and therefore the resolution must be specific down to the level of the individual title, rather than the class (supervisor, manager, etc.) of the employees.
The City Clerk’s office coordinates the filing of VPPC statements and communicates to the employees on this list what is required of them. Members of the City Council and the primary appointed City officials (such as the City Manager and Chief Financial Officer) are covered by other sections of FPPC regulations and are included in the resolution for informational purposes only.
Actual reporting is an individual responsibility of each affected employee.

Department Recommendation:
Staff recommends that City Council authorize the filing of a Notice of Completion for Vista Del Sol subdivision.
Background Discussion:
All of the required improvements for this subdivision have been completed and are ready for acceptance by the City Engineer. The Vista Del Sol subdivision was developed by San Joaquin Valley Homes and contains 95 single-family residential lots.
The developer has submitted a maintenance bond in the amount of $301,746.02 as required by the Subdivision Map Act, to guarantee the improvements against defects for one year. Staff recommends that authorization be given to file the Notice of Completion.
The City Council authorized the recording of the final map for Vista Del Sol subdivision on February 22, 2022. All bonds and cash payments, as identified in the subdivision agreement, were received by the City at that time. As required by the subdivision ordinance, a maintenance bond valued at 10% of the cost of the public improvements has been submitted prior to recording of the Notice of Completion. The Maintenance Bond is held for one year after the recording and acts as a warranty for the public improvements installed per the subdivision agreement.
Fiscal Impact:
By authorizing this Notice of Completion, the City of Visalia will incorporate the identified public improvements into normal routine maintenance plans and procedures following the one-year maintenance period. This will have a nominal adverse effect on the fund that provides such maintenance.

Department Recommendation:
Staff recommends that City Council authorize the City Manager to execute the reimbursement agreement associated with phase one of the YS Industries Industrial Park project.
Summary:
All of the required improvements for phase one of the industrial park project, developed by YS Industries, have been completed and accepted by the City. Per the conditions of approval under Site Plan Review No. 19-213, the project was required to widen Riggin Avenue along its parcel frontage and install sanitary sewer infrastructure in accordance with the City’sCirculation Element and Sewer Master Plans. Riggin Avenue, an arterial roadway, is identified for funding in the City’s current Transportation Impact Fee (TIF) program and portions of the road widening improvements qualify for reimbursement. Additionally, a 12-inch sanitary sewer main was identified in Riggin Avenue per the City’s Sewer master plan and portions of the improvements qualify for reimbursement. The reimbursement total for this project is $329,486.87 for the excess in pavement, right-of-way, striping, sewer trunk line oversizing, and any other additional work beyond the typical developer responsibilities. Once the improvements have been completed and accepted by the City they are reimbursable to the developer in the form of impact fee credits and/or cash payments.
The City’s Development Reimbursement Review Committee (DRRC) has reviewed and recommended approval of the reimbursement agreement associated with phase one of the YS Industries Industrial Park project in a meeting held on November 9, 2022. Therefore, staff recommends that the City Council authorize the City Manager to execute the reimbursement agreement.
Background Discussion:
On November 20, 2019, the Site Plan Review Committee approved Site Plan Review (SPR) Visalia City Council Printed on 12/15/2022Page 1 of 3

On November 20, 2019, the Site Plan Review Committee approved Site Plan Review (SPR) application No. 19-213, titled “YSRiggin Industrial Park”,proposing to construct two concrete tilt-up industrial buildings in the Industrial (I) zone. The proposed development consisted of two buildings, each approximately 300,000 square feet in size on a 37-acre parcel site located on the south side of Riggin Avenue, approximately 600-lineal feet east of Kelsey Street. Per the project SPR conditions of approval, Riggin Avenue was required to be widened to its ultimate southerly right-of-way limits along the project’sparcel frontage. This required additional street pavement, striping, right-of-way, sewer trunk line extension, and other miscellaneous improvements that were outside the typical developer responsibilities. The offsite improvement plans were submitted and approved through the City’s building permit process, under Building Permit No. B196141. Construction of these improvements were completed, and the permit was finaled on April 30, 2021.
Reimbursement of sewer master planned trunk line installation and oversizing costs is allowed under the provisions of Title 13 of the Visalia Municipal Code (VMC). Additionally, under Resolution No. 2008-58 adopted by City Council on December 1, 2008, the City will reimburse the developer for a portion of improvements made to streets designated in the City of Visalia Circulation Element as arterial and collector streets. Under Ordinance 2013-01, approved by Council on April 15, 2013, amendments were made to the timing of reimbursement paid by the City for private construction of planned transportation facilities. Per the TIF program stipulations, the developer will be fully reimbursed through credit of the TIF due at the time of building permit issuance and any balance remaining to be paid in cash within specific time periods following final acceptance by the City.
The total amount to be reimbursed for phase one of the YS Industries Industrial Park project is $329,486.81. Because project costs for the roadway items were not available at the time of building permit issuance for the two industrial warehouses, impact fee credits were not applied to the permit.
Therefore, reimbursement would be due in the form of a cash payment to the developer. The projects were assessed and paid a grand total of $551,227.04 in transportation impact fees.
The reimbursement agreement for phase one of the YS Industries Industrial Park project was reviewed and recommended for approval by the DRRC. The DRRC is comprised of staff from the Community Development, Finance, and Public Works Departments. The DRRC reviewed the reimbursement to ensure that costs are reasonable compared to the City’scosts for comparable capital projects and to a unit cost schedule focused on Visalia’s construction market.
Fiscal Impact:
The reimbursement will be funded from budgeted capital projects designated to reimburse developers for infrastructure installed. Reimbursement will be from the Transportation Impact Fee fund (CP9130) in the amount of $309,672.87 and the Sanitary Sewer Trunk Line Fund (CP9318) in the amount of $22,814.00.
Prior Council Action: Not applicable.
Committee/Commission Review and Action:
On November 9, 2021, the Development Reimbursement Review Committee (DRRC) reviewed and recommended for approval the reimbursement associated with phase one of the YS Industries Industrial Park project.
Alternatives: None recommended.

Presentation on the Status of the Storm and Sewer Master Plan Updates and Introduction to the Nexus Study.
Deadline for Action: None.
Submitting Department: Administration - CIP Engineering Contact Name and Phone Number:
Katherine Woodhull-Fuget, Assistant Engineer, Katherine,[email protected], (559) 713- 4447
Frank Senteno, City Engineer, [email protected], (559)-713-4331 Nick Mascia, Assistant City Manager, [email protected], (559) 713-4323 Department Recommendation:
Staff recommends the City Council receive a presentation and status update on the Storm and Sewer Master Plans.
Background Discussion:
The City of Visalia entered a contract with Carollo Engineers, Inc to update the City’spublic facility master plans for storm sewer and sanitary sewer collection in September 2018. Please note throughout this report and the presentation ‘storm sewer’, ‘storm water’, or ‘storm drain’ are interchangeable. In an effort to not confuse sanitary sewer with these three, staff will reference the sanitary sewer as ‘sewer’and storm sewer as ‘stormwater’. However, please note when speaking about the specific funds the nomenclature of 'storm sewer’ will be used.
The main purpose of updating these master plans is to adequately size storm water and sewer system facilities for the future growth in accordance with the 2014 General Plan update. The 2014 General Plan update contains new policies and changes to land use types and land use densities that have a direct impact on the sizing of these facilities. The current master plans were updated in 1994 based on the 1990 General Plan. These master plan updates should track on the same cycle of updates that occur to the General Plan. These master plans provide necessary guidance to City staff for capital projects planning and to private developers for knowing the City’srequirements for storm water and sewer system facilities. Additionally, these master plans will include nexus studies that will provide an equitable distribution of development costs through updated development impacts fees for storm water and sanitary sewer collection. The storm nexus will also provide documentation on recommended updates to the storm sewer service charges for use in the Proposition 218 process.
See below for additional information regarding Storm sewer service charges Development Impact Fees
Under the California Mitigation Fee Act (AB 1600) cities and counties have the authority to implement development impact fees (DIF). DIFs allow cities to collect fees from new development projects to fund improvements that address those projects’impacts to the City’sinfrastructure. To impose DIFs, Visalia City Council Printed on 12/16/2022Page 1 of 4
powered by Legistar™
266
File #: 22-0412 Agenda Date: 12/19/2022 Agenda #: 1.
fund improvements that address those projects’impacts to the City’sinfrastructure. To impose DIFs, a jurisdiction must prepare a study showing that reasonable connection (nexus) exists between the impacts caused by new development and the capital improvements needed to address those impacts. This study must also calculate the proportional fee that can be assessed on each project that pays for that project’s share of the impact.
While DIFs are an important revenue source for capital infrastructure, there are several limits and restrictions on how these fees are spent, which means that DIFs alone cannot finance the City’s infrastructure needs. DIFs are considered restricted funds and are collected outside the City’s general fund. They are only eligible to pay for the initial capital costs of new infrastructure specifically identified in the nexus study and cannot be used for the operations or maintenance of that infrastructure. Additionally, DIF funds can only be used to address the proportional impact that new development has on infrastructure. They cannot be used to pay for an existing deficiency or shortfall in infrastructure spending. This means that the City must rely on other capital funding to build required improvements in combination with DIFs. Finally, impact fees are collected proportionally over time as new development occurs. This means that projects funded with DIFs are generally long- term projects that must be financed over time as development occurs and revenues are collected and set aside to construct improvements.
The City’scurrent storm and sewer impact fees are based on the 1994 master plans and nexus studies. These impact fees are adjusted annually by the Engineering News Record Construction Cost Index (ENRCCI). Impact fee funds are usable only for projects identified in the 1994 maser plans.
Visalia has grown significantly in the 28 years since the master plans were last updated, and some of the City’s infrastructure needs have shifted. For sewer, water conservation efforts and water efficiency innovations have altered the projected sewer demand. For storm, changes in water quality requirements from the State Water Resources Control Board has created a need to avoid new direct discharges into waterways which significantly changes the storm master plan. The updates to the storm and sewer master plans identify new projects based on the current infrastructure and projected needs. This new nexus study will update the impact fees to reflect the new identified projects.
Storm Service Charges
The City Council resolutions that implemented the 1994 Storm Water Master Plan Update included the funding program for capital improvement costs. This funding program established a revenue split of 75% assigned to storm drainage impact fees on new development and 25% assigned to a storm service charge on existing development. This storm service charge is charged monthly and has been broken down into the following components and fee amounts:

Cost of administering the City’sStorm water Quality Management Program (MS4 Program) will be included as part of the Operations & Maintenance fee component. The adoption of the storm service charges did not include an inflationary adjustment. The passage of Proposition 218 in 1996 has restricted the City’sability to adjust the service charges. The Master Plan Improvements, Correcting Existing Deficiencies, and Operations & Maintenance service charges were last updated by the adoption of a four-year rate increase in 2001 (resulting in a yearly increase until 2004) through the Prop 218 process.
Fiscal Impact:
This presentation will introduce the Nexus Study tied to the Update of the Storm and Sewer Facility Master Plans. The Nexus Study will result in adjustments to the impact fees and service charges that contribute to the following funds:
· 221 Storm Sewer Construction
· 222 Storm Sewer Deficiency
· 231 Wastewater Trunkline
· 481 Storm Sewer Maintenance
The Nexus Study will not be modifying funds 251 Waterway Acquisition/Maintenance, 223 Kaweah Lake Enlargement, or 431 Wastewater Treatment Plant.
Next Steps

Deadline for Action: 12/19/2022
Submitting Department: Administration
Contact Name and Phone Number: Mayor Brian Poochigian 713-4400 ext. 3313 Department Recommendation:
Review and consider the appointments of individuals to the various boards and committees that have Council representatives appointed to them.
Background Discussion:
The Visalia City Council appoints individuals to several Committees, Sub-Committees, Boards, and other organizations to represent the City Council, the City of Visalia organization, or the community of Visalia. In some instances, there are two members, in others there is a single representative and an alternate. The regular organizations include, but are not limited to, the Tulare County Association of Governments, the Visalia Water Management Committee, the Tulare Economic Development Corporation, and the Downtown Property Based Improvement District. A full list of the organizations and the Mayor’s recommendations for the appointments is attached.
The list of current organizations from the previous Council cycle was distributed as part of the special meeting agenda on December 7, 2022 and Councilmembers were asked to provide feedback to Mayor Poochigian on the organizations to which they are interested in serving. The Mayor reviewed the list and has provided the attached recommended appointments. The Council may adopt the list as recommended or may modify any or all the recommendations.
The Regional Conservation Investment Strategy Steering Committee (RCIS) has completed their assignment and can be removed from the list.
Fiscal Impact: None
Prior Council Action: September 7, 2021 the list of the appointments was distributed for Council review.
Alternatives: The City Council may choose to recommend other appointment choices, or to recommend other Committees/Sub-Committees that they believe would be beneficial to the Council.
