COOPERATIVE AGREEMENT

This Program Supplement (Program Supplement) is made and entered into on ________________, 2023 by and between the __City of Visalia ______________ (SPONSOR) and the Tulare County Association of Governments, acting as the Local Transportation Authority (AUTHORITY).
This Program Supplement herby incorporates the “Measure R Cooperative Agreement” for Measure R Expenditures which was entered into between the SPONSOR and AUTHORITY on June 04, 2007 and is subject to all terms and conditions thereof.
This Program Supplement is executed under authority by a vote of the City Council on December 4, 2023.
Project scope, costs and schedule are incorporated herein as Attachment “A” and agreed upon by Sponsor and Authority for Project: Goshen Ave. Trail Reconstruction Project from Giddings Avenue to Camp Drive.
This Supplemental Agreement supersedes the supplemental dated July 5, 2022 for CIP 8130, Goshen Trail Replacement – Giddings Ave. to Road 76, in the amount of $1,661,630.
Covenants of SPONSOR
By entering into this Program Supplement, SPONSOR agrees that it will only proceed with work authorized for specific phase(s) of the Project with written “Authorization to Proceed” or other AUTHORITY approval and will not proceed with future phase(s) of this Project(s) prior to receiving a written “Authorization to Proceed” or other AUTHORITY approval.
The SPONSOR will advertise, award, and administer the Project(s) in accordance with SPONSOR standards.
Contract award information shall be submitted by the SPONSOR to the AUTHORITY within 60 days after the Project contract award.
Failure to submit contract award information in accordance with section 1.3 will cause a delay (without interest or penalties) in AUTHORITY processing invoices for the construction phase of the Project.
If no costs have been invoiced for a six-month period, SPONSOR agrees to submit for each phase a written explanation of the absence of Project(s) activity along with target billing date and target billing amount.

Attachment A
Project Name: Goshen Ave. Trail Reconstruction Project from Giddings Avenue to Camp Drive Project Scope
Design for approximately 6 miles of 8’-10’ wide multi-use trail along the north side of Goshen Avenue, adjacent to the existing railroad. The project will include removal of the existing deteriorated trail paving and construction of a new asphalt concrete trail with drainage culverts. Design will include a quarter mile extension of the trail from American St. to Camp Drive, installation of curb and gutter, landscaping and irrigation, trail amenities, and intersection safety improvements. Project may include right-of way costs.
