Amendment to Agreement to Provide On-Site Medical Services Between City of Visalia and Elite Corporate Wellness
This amendment entered into this __________________ day of __________, 2026 by and between the City of Visalia, a Municipal Corporation and charter law city of the State of California (hereinafter “CITY”), and Elite Corporate Wellness (hereinafter “ECW”).
R E C I T A L S
WHEREAS, the CITY and ECW entered into an “Agreement To Provide On-Site Medical Services” dated June 13, 2012, for the administration and operation of the City of Visalia Health & Wellness Clinic (the “Agreement”); and WHEREAS, the Agreement has been amended from time to time by mutual agreement of the parties; and WHEREAS, the parties desire to extend the term of the Agreement through June 30, 2027, and to adjust the compensation payable under the Agreement; and WHEREAS, the purpose of this Amendment is to document the amended terms and conditions of the Agreement.
NOW, THEREFORE, based upon mutual covenants contained herein, the parties agree as follows:
The term of the Agreement is hereby extended through June 30, 2027.
The compensation payable under the Agreement shall be increased to $27,372.40 per month. Total compensation payable during the term of this Amendment shall not exceed Three Hundred Thirty Thousand Dollars ($330,000.00).
Except as expressly amended herein, all other provisions of the Agreement shall remain unchanged and in full force and effect.
