STATEMENT ON THE SUBJECT: The Moonlight Amphitheatre presents a highly acclaimed and popular summer season of Broadway musicals every summer and is scheduled to produce Kinky Boots from September 14, 2022, through October 1, 2022. The Moonlight strives to program a diverse season of the highest quality performances possible, and each production is unique, requiring experienced lessors of sets, props, and costumes.
Typically, each piece that makes up a show (sets, costumes, props, wigs, shoes, etc.) is contracted separately from various companies who can provide the highest quality product for the show. In this case, Kinky Boots LLC is the sole proprietor of the complete Broadway Package for Kinky Boots sets, costumes, props, wigs, and shoes.
In order to produce the show, staff recommends approving an agreement with Kinky Boots LLC in the amount of $81,050 for the complete set and costume package. The agreement includes a security deposit of $20,000 and staff anticipates the return of the security deposit upon show completion in October 2022.
Subject to City Council approval, this agreement will be authorized by Vista Municipal Code (VMC) Section 3.08.150 (N) and (R). VMC subsection N allows a sole source contract when the commodity or service can only be obtained by one vendor, and VMC subsection R requires a four-fifths vote of the City Council, finding the City’s interest will be served by waiving the standard bidding requirements.
FISCAL IMPACT: The cost of the agreement is $81,050. Sufficient funds are budgeted and available in the Fiscal Year 2022/23 Operating Budget in the Special Department Expense account (No. 0010560.531500.SH3). The $81,050 payment is broken down into the following categories:

A RESOLUTION OF THE CITY COUNCIL OF THE CHARTERED CITY OF
VISTA, CALIFORNIA, ADOPTING THE AGREEMENT BETWEEN THE CITY OF VISTA AND KINKY BOOTS LLC.
The City Council of the City of Vista does resolve as follows:
1.Findings. The City Council hereby finds and declares the following:
A.The Moonlight Amphitheatre presents a highly acclaimed summer season of Broadway musicals every summer and is scheduled to produce Kinky Boots from September 14, 2022 to October 1, 2022.
B.Kinky Boots LLC is the exclusive, proprietary vendor of the complete Broadway Package for Kinky Boots sets, costumes, props, wigs, and shoes.
2.Action.
A.The agreement between the City of Vista and Kinky Boots LLC is approved, and the Mayor is authorized to execute the agreement.
3.Adoption. PASSED AND ADOPTED at a meeting of the City Council of the City of Vista held on March 8, 2022, by the following vote:
