RECOMMENDATION: Adopt City Council Resolution No. 2024- , approving the first amendment to the agreement with Richard & Richard Construction Company for design/build services for the 986 Vista Village Drive Renovation for Vista Sheriff Substation Project (CIP No. 8351).
CORRELATION TO CITY COUNCIL GOALS: Routine operational item not directly corresponding to a specific City Council goal.
PRIOR ACTION: On June 28, 2022, adopted City Council Resolution No. 2022-108, approving the Six- Year Capital Improvement Program and FYs 2022/23 and 2023/24 Capital Project Budget and authorizing appropriations for Fiscal Years 2022/23 and 2023/24 Capital Projects (Vote: 4-0, Ritter absent (Ritter experienced technical difficulties)).
STATEMENT ON THE SUBJECT: 986 Vista Village Drive is an existing single-story building that sits at the intersection of Vista Village Drive and Hillside Terrace. The existing building requires significant renovation and improvements to the interior, exterior, and site. Relocation of the Sheriff’s substation from Luz Duran Park to this property will allow Sheriff’s deputies to be in closer proximity to high-trafficked community spaces, such as Brengle Terrace Park, Civic Center, and the historic downtown district. The relocation will also allow the existing building site at Luz Duran Park to be repurposed for the surrounding community.
First Amendment to the Design-Build Agreement. On October 6, 2023, staff issued a request for proposals (RFP) for Design-Build services for the Vista Sheriff Substation Project. The RFP was based on best value. The RFP was advertised on the City of Vista’s website and the City’s electronic procurement portal, OpenGov.com. The following firm responded to the RFP:

CONSTRUCTION COMPANY
(Richard and Richard) as the Design-Build Team (DBT). On January 24, 2024, the City Manager awarded the DBT of Richard & Richard the design portion of the project of $34,500. The DBT has completed the design, and staff has negotiated a Guaranteed Maximum Price (GMP) with the DBT and recommends approval of the first amendment to establish the GMP of $786,601. The proposed amendment to the agreement with Richard & Richard establishes the GMP and allows the DBT to begin Phase 2 construction services and Phase 3 operation/startup services as specified in Sections 6 and 7 of the original agreement (Exhibit 4).
FISCAL IMPACT: The cost of this amendment is $752,101 for a new contract ceiling of $786,601 for Richard & Richard to provide design-build services for the Design and Construction of the 986 Vista Village Drive Renovation for Vista Sheriff Substation Project Phase 2 and Phase 3. Sufficient funding is budgeted and available in the Fiscal Years 2022/23 and 2023/24 Capital Improvement Budgets in CIP No. 8351, the Sheriff’s Substation Project Source Appropriation Account (No. 1176208.578999.8351).

1. Findings. The City Council hereby finds and declares the following:
A. On January 24, 2024, the City entered into an agreement with Richard & Richard Construction Company for design / build services for the 986 Vista Village Drive Renovation for Vista Sheriff Substation Project (CIP No. 8351).
B. The City now desires to amend the agreement with Richard & Richard Construction Company to establish the Guaranteed Maximum Price (GMP) of $786,601.
2. Action.
A. The First Amendment to the agreement between the City of Vista and Richard & Richard Construction Company for design / build services for the 986 Vista Village Drive Renovation for Vista Sheriff Substation Project establishing the Guaranteed Maximum Price (GMP) of $786,601 is approved, and the Mayor is authorized to execute the amendment.

FIRST AMENDMENT TO THE CONTRACT BETWEEN THE CITY OF VISTA AND RICHARD & RICHARD CONSTRUCTION COMPANY, INC. FOR DESIGN / BUILD SERVICES FOR THE 986 VISTA VILLAGE DRIVE RENOVATION FOR VISTA SHERRIF SUBSTATION PROJECT (CIP NO. 8351)
THIS FIRST AMENDMENT (“First Amendment”) to the Contract between the City of Vista and Richard & Richard Construction Company, Inc., dated January 24, 2024 (“Contract”), is made and entered into as of _______________________ (“First Amendment Date”), by and between the City of Vista, a chartered municipal corporation (“City”), and Richard & Richard Construction Company, Inc., a California corporation (“Contractor”).
Recitals: City and Contractor now desire to enter into a First Amendment to the Contract by modifying the terms of the Contract.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows:
1.The Guaranteed Maximum Price (GMP) for construction of the 986 Vista Village Drive Renovation for Vista Sheriff Substation Project, is hereby established as $786,601, which includes $34,500 in preconstruction and design services, in accordance with Section 1.3 of the Contract. A breakdown of the GMP is included in Exhibit A.
2.The construction schedule is established as set forth in Exhibit B.
3.The City Engineer is directed to approve the 100% construction documents prior to Written Notice to Proceed with Construction Services pursuant to Vista Municipal Code Section 2.30.020.B
4.All other conditions of the Contract not specifically amended or superseded by the terms herein shall continue in full force and effect. [Text and signatures on following page.]
