PRIOR ACTION: On June 13, 2023, adopted City Council Resolution No. 2023-92, approving an agreement with Orion Construction Corporation for design/build services for the Monte Mar Storm Drain Improvements Project (CIP No. 8905) (Vote: 5-0).
On June 28, 2022, adopted City Council Resolution No. 2022-108, approving the Six-Year Capital Improvement Program and FYs 2022/23 and 2023/24 Capital Project Budget and authorizing appropriations for Fiscal Years 2022/23 and 2023/24 Capital Projects. (Vote: 4-0, Ritter absent (Ritter experienced technical difficulties))
STATEMENT ON THE SUBJECT: Capital Improvement Program (CIP) Project No. 8905, Monte Mar Storm Drain Improvements Project, will convert a portion of existing severely eroded open channel storm drain to closed channel by extending two reinforced concrete pipelines. The Project will improve pedestrian access on the north side of Monte Mar Road by installing approximately three hundred fifty feet of new sidewalk where sidewalk is non-contiguous, widen Monte Mar Road to the City’s standard, and install a trash capture device to support the City’s California Mandated Trash Cleanup Drainage Master Plan.
First Amendment to the Design-Build Agreement. On June 13, 2023, the City Council awarded the Design-Build Team (DBT) of Orion Construction Corporation (Orion) the design portion of the project. The DBT has completed the design, and staff has negotiated a Guaranteed Maximum Price (GMP) with the DBT and recommends approval of the first amendment to establish the GMP of $2,591,514.87. FISCAL IMPACT: The cost of this amendment is $2,053,533.86 for a new contract ceiling of $2,591,514.87 for Orion to provide design-build services for the Design and Construction of the Monte Mar Storm Drain Improvements Project Phase 2 and Phase 3. Approval of the staff recommendation will amend the Capital Projects Budget for Fiscal Years 2022/23 and 2023/24 by appropriating an additional $1,550,000 from General Fund Available Balance to the Monte Mar Storm Drain Improvements Project (CIP No. 8905)

The City Council of the City of Vista does resolve as follows:
1. Findings. The City Council hereby finds and declares the following:
A. On June 13, 2023, the City entered into an agreement with Orion Construction Corporation for design / build services for the Monte Mar Strom Drain Project (CIP No. 8905).
B. The City now desires to amend the agreement with Orion Construction Corporation to establish the Guaranteed Maximum Price (GMP) of $2,591,514.87.
2. Action.
A. The First Amendment to the agreement between the City of Vista and Orion Construction Corporation for design / build services for the Monte Mar Strom Drain Project establishing the Guaranteed Maximum Price (GMP) of $2,591,514.87 is approved, and the Mayor is authorized to execute the amendment.

AND ORION CONSTRUCTION CORPORATION FOR DESIGN / BUILD
SERVICES FOR THE MONTE MAR STORM DRAIN IMPROVEMENTS
PROJECT CIP NO. 8905
THIS FIRST AMENDMENT (“First Amendment”) to the Contract between the City of Vista and Orion Construction Corporation, dated June 13, 2023 (“Contract”), is made and entered into as of _______________________ (“First Amendment Date”), by and between the City of Vista, a chartered municipal corporation (“City”), and Orion Construction Corporation, a California corporation (“Contractor”).
Recitals: City and Contractor now desire to enter into a First Amendment to the Contract by modifying the terms of the Contract.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows:
1.The Guaranteed Maximum Price (GMP) for construction of the Monte Mar Storm Drain Improvements Project, is hereby established as $2,591,514.87, which includes $537,981.01 in preconstruction and design services, in accordance with Section 1.3 of the Contract. A breakdown of the GMP is included in Exhibit A.
2.The construction schedule is established as set forth in Exhibit B.
3.The City Engineer is directed to approve the 100% construction documents prior to Written Notice to Proceed with Construction Services pursuant to Vista Municipal Code Section 2.30.020.B
4.All other conditions of the Contract not specifically amended or superseded by the terms herein shall continue in full force and effect. [Text and signatures on page 2.]
