RECOMMENDATION: Adopt City Council Resolution No. 2024- , approving the first amendment to the agreement with Baker Electric & Renewables, LLC for design/build services for the Civic Center Solar Project (CIP No. 8334).
CORRELATION TO CITY COUNCIL GOALS: Climate and Environmental Responsibility PRIOR ACTION: On August 22, 2023, the City Council adopted Resolution No. 2023-154 approving an agreement with Baker Electric & Renewables, LLC for design/build services for the Civic Center Solar Project (CIP No. 8334) (Vote: 5-0).
On June 11, 2024, adopted City Council Resolution No. 2024-86, adopting a Capital Project Budget for Fiscal Years 2024/25 and 2025/26 (Vote: 5-0).
STATEMENT ON THE SUBJECT: Capital Improvement Program (CIP) Project No. 8334, Civic Center Solar Project, will produce 977,601 kilowatt hours of electric power annually, from a grid-tied solar photovoltaic system, with solar panels installed over the Alta Vista Drive parking lot located at 200 Civic Center Drive. The location of the solar canopies is due to the proximity of existing electrical infrastructure, and overall long-term value compared to installing solar panels on the existing building roof. The Civic Center’s electrical utility bill will decrease by almost half, and the project is expected to have a 6.7-year payback period. Additionally, this Project promotes the City’s Climate Action Plan and provides GHG- reducing co-benefits by increasing distributed solar generation.
The installation of solar canopies in the Alta Vista parking lot will result in the removal of 38 trees, which will be replaced on the Civic Center site as part of the project. The location of the solar canopies, and the resulting tree removals, were designed to retain the trees along the Civic Center Drive frontage. These trees were retained to avoid negatively impacting the view of the Civic Center from Civic Center Drive. The trees along the Alta Vista Drive frontage are also being retained but will be trimmed to work with the solar canopy that parallels Alta Vista Drive. The replacement trees include seven oaks and 31 Forest Pansy Eastern Redbud, which will primarily be located behind the Civic Center in the dry creek bed area.

First Amendment to the Design-Build Agreement. On August 22, 2023, City Council awarded the Design-Build Team (DBT) of Baker Electric & Renewables, LLC. (Baker Electric) the design portion of the project. The DBT has completed the design, and staff has negotiated a Guaranteed Maximum Price (GMP) with the DBT and recommends approval of the first amendment to establish the GMP of $2,505,353.21. The proposed amendment to the agreement with Baker Electric establishes the GMP and allows the DBT to begin Phase 2 construction services and Phase 3 operation/startup services as specified in Sections 6 and 7 of the original agreement (Exhibit 3).
FISCAL IMPACT: The cost of this amendment is $2,277,035.21 for a new contract ceiling of $2,505,353.21 for Baker Electric to provide design-build services for the Design and Construction of the Civic Center Solar Project Phase 2 and Phase 3. Sufficient funding is budgeted and available in the Fiscal Years 2024/25 and 2025/26 Capital Improvement Budgets in CIP No. 8334, the Civic Center Solar Project Source Appropriation Account (No. 1176208.578999.8334).

The City Council of the City of Vista does resolve as follows:
1. Findings. The City Council hereby finds and declares the following:
A. On August 22, 2023, the City of Vista entered into an agreement with Baker Electric & Renewables, LLC for design / build services for the Civic Center Solar Project (CIP No. 8334).
B. The City now desires to amend the agreement with Baker Electric & Renewables, LLC to establish the Guaranteed Maximum Price (GMP) of $2,505,353.21.
2. Action.
A. The First Amendment between the City of Vista and Baker Electric & Renewables, LLC for design / build services for the Civic Center Solar Project establishing the Guaranteed Maximum Price (GMP) of $2,505,353.21 is approved, and the Mayor is authorized to execute the amendment.

FIRST AMENDMENT TO THE CONTRACT BETWEEN THE CITY OF VISTA
AND BAKER ELECTRIC & RENEWABLES, LLC FOR DESIGN / BUILD SERVICES FOR THE CIVIC CENTER SOLAR PROJECT (CIP NO. 8334) THIS FIRST AMENDMENT (“First Amendment”) to the Contract between the City of Vista and Baker Electric & Renewables, LLC, dated August 22, 2023 (“Contract”), is made and entered into as of _______________________ (“First Amendment Date”), by and between the City of Vista, a chartered municipal corporation (“City”), and Baker Electric & Renewables, LLC, a California Limited Liability Company (“Contractor”).
Recitals: City and Contractor now desire to enter into a First Amendment to the Contract by modifying the terms of the Contract.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows:
1. The Guaranteed Maximum Price (GMP) for the Civic Center Solar Project is hereby established as $2,505,353.21, which includes $228,318.00 in preconstruction and design services, in accordance with Section 1.3 of the Contract. A breakdown of the GMP is included as Exhibit A.
2. The construction schedule is established as set forth in Exhibit B.
3. The City Engineering is directed to approve the 100% construction documents prior to Written Notice to Proceed with Construction Services pursuant to Vista Municipal Code Section 2.30.020B.
4. All other conditions of the Contract not specifically amended or superseded by the terms herein shall continue in full force and effect.
