RECOMMENDATION:
1.Adopt City Council Resolution No. 2024- , approving the first amendment to the contract with DDL Traffic, Inc., for the City of Vista GPS Opticom System (CIP No. 8367).
2.Adopt City Council Resolution No. 2024- , amending the Operating Budget for Fiscal Years 2023/24 and 2024/25, and amending the Capital Project Budget for Fiscal Years 2024/25 and 2025/26.
CORRELATION TO CITY COUNCIL GOALS: Public Safety, Fiscal Responsibility, and Traffic: Continue to improve the flow of traffic for all forms of travel, reduce congestion, and improve our roads and sidewalks.
PRIOR ACTION: On June 11, 2024, adopted City Council Resolution No. 2024-103, amending the Operating Budget for Fiscal Years 2023/24 and 2024/25 (Vote: 5-0).
On February 13, 2024, adopted City Council Resolution No. 2024-15, awarding a contract to DDL Traffic, Inc., for the City of Vista GPS Opticom System Project (Vote: 5-0).
On December 12, 2023, adopted City Council Resolution No. 2023-218, amending the Operating Budget for Fiscal Years 2023/24 and 2024/25, and amending the Capital Project Budget for Fiscal Years 2022/23 and 2023/24 (Vote: 5-0).
On June 27, 2023, adopted City Council Resolution No. 2023-117, approving the Operating Budget for Fiscal Years 2023/24 and 2024/25 (Vote: 5-0).
STATEMENT ON THE SUBJECT: The Vista Fire Department initiated the installation of a GPS Opticom System last year. DDL Traffic, Inc. installed the GPS preemption system on all the operating traffic signals located in the City of Vista and equipped Fire Department emergency vehicles with coded infrared (IR) transmitters to activate the traffic signals in an emergency. To complete the GPS Opticom System, sixteen major traffic signals require the GPS preemption hardware. The additional sites include ten traffic signals transecting the City of Vista at California State Highway 78 intersections, and six major traffic signals located in the Vista Fire Protection District.

SUBJECT: CIP NO. 8367 - CITY OF VISTA GPS OPTICOM SYSTEM - FIRST AMENDMENT TO THE CONTRACT FOR SERVICES WITH DDL TRAFFIC, INC.
The Fire Department recommends approval of the contract amendment to expand the scope of services by $152,079.23 which increases the contract ceiling to $1,325,836.78.
FISCAL IMPACT: The total cost of the additional work is $152,079.23 (Exhibit 3). CIP No. 8367 Opticom System Project account (no. 0026555.578999.8367) has available funding in the amount of $26,242.45. The staff recommendation will increase the project total by $125,836.78. This increase will be funded by transferring $68,807.07 from the Fire Suppression Capital Replacement account (0010260.562000.00160) and receiving reimbursement from the Vista Fire Protection District in the amount of $57,029.71 for the cost of the traffic signals located in the County of San Diego.

A. On February 13, 2024, the City entered into a contract with DDL Traffic, Inc., for the City of Vista GPS Opticom System Project (CIP No. 8367).
B. The City now desires to amend the contract with DDL Traffic, Inc., to increase the contract by $152,079.23 for a new contract ceiling to $1,325,836.78.
2. Action.
A. The First Amendment to the contract between the City of Vista and DDL Traffic, Inc., is approved, and the Mayor is authorized to execute the amendment.

FIRST AMENDMENT TO THE CONTRACT BETWEEN THE CITY OF VISTA AND DDL TRAFFIC, INC. FOR CONTRACT FOR SERVICES
THIS FIRST AMENDMENT (“First Amendment”) to the Contract between the City of Vista and DDL Traffic, Inc., dated February 13, 2024 (“Contract”), is made and entered into as of _______________________ (“First Amendment Date”), by and between the City of Vista, a chartered municipal corporation (“City”), and DDL Traffic, Inc., a California Stock Corporation (“Contractor”).
Recitals: City and Contractor now desire to enter into a First Amendment to the Contract by modifying the terms of the Contract.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows:
1. Section 2.1 of the Contract is amended to expand the scope of services by adding the additional services described in Contractor’s proposal dated August 23, 2024 and September 23, 2024 (Exhibit A).
2. Section 2.4 is amended increase the contract ceiling by $152,079.23 to a new total contract ceiling of $1,325,836.78, to compensate Contractor for the expanded scope of services.
3.All other conditions of the Contract not specifically amended or superseded by the terms herein shall continue in full force and effect.
