RECOMMENDATION: Adopt City Council Resolution No. 2025- , approving the second amendment to the Special Counsel Legal Services Agreement with Meyers Nave.

STATEMENT ON THE SUBJECT: On March 4, 2025, the City Attorney’s Office entered into a special counsel legal services agreement with Meyers Nave for advisory work related to the General Plan Update and related Programmatic EIR (PEIR) being completed by the Community Development Department. The City Attorney’s Office pursued this agreement in coordination with the Community Development Department because cities frequently face legal challenges on general plan updates and the City can mitigate that risk through specialized legal expertise during the preparation of its General Plan Update and PEIR. The original contract ceiling of $50,000 was subsequently amended to $150,000 on August 28, 2025. The City Attorney’s Office is now requesting to increase the contract ceiling to $250,000 to cover all anticipated special counsel services for this project.
FISCAL IMPACT: The cost of this amendment is $100,000 which brings the new contract ceiling to $250,000 for Meyers Nave to provide special counsel legal services for the General Plan Update and PEIR.
Sufficient funding is budgeted and available in the City Attorney’s Operational Budget (Account No. 0010141.521000.PLAN).

A RESOLUTION OF THE CITY COUNCIL OF THE CHARTERED CITY OF
VISTA, CALIFORNIA, APPROVING THE SECOND AMENDMENT TO THE
SPECIAL COUNSEL LEGAL SERVICES AGREEMENT WITH MEYERS NAVE The City Council of the City of Vista does resolve as follows:
1. Findings. The City Council hereby finds and declares the following:
A. On March 4, 2025, the City Attorney’s Office entered into a special counsel legal services agreement with Meyers Nave.
B. The original contract ceiling of $50,000 was subsequently amended to $150,000 on August 8, 2025.
C. The City Attorney’s Office now desires to amend the contract ceiling to $250,000 to cover additional legal expenses related to Meyers Nave’s legal work related to the City’s General Plan Update and related Programmatic Environmental Impact Report.
2. Action.
A. The second amendment to the Special Counsel Legal Services Agreement with Myers Nave is approved, and the Mayor is authorized to execute the amendment.
3. Adoption. PASSED AND ADOPTED at a meeting of the City Council of the City of Vista held on December 9, 2025, by the following vote:
