City Council Staff Report
Motion: Awarding Bid and Approving an Agreement with Lechowicz + Tseng Municipal Consultants in the Amount of $29,410 for a Water Rate and Fee Study and Authorizing the City Manager to Execute the Professional Services Agreement.
SUMMARY:
Awarding Bid and Approving an Agreement with Lechowicz + Tseng Municipal Consultants in the Amount of $29,410 for a Water Rate and Fee Study and authorizing the City Manager to execute the Professional Services Agreement.
ANALYSIS:
With the Council’s direction, the City of Waterford put out a Request for Proposal on May 1, 2025 for the purpose of conducting a “Water Rate and Fee Study.” The intent of the study is to independently assess and evaluate the City’s current water rates and create a simple, equitable, and legal new rate structure to meet the financial needs of the City’s water enterprise fund. It is staff’s intent for the proposed rate structure to adequately fund the utility’s operating and capital improvement needs.
The study is expected to be based on a comprehensive review of the City’s water enterprise funds, historical statements of revenue and expense, current year budgets, customer counts and classes, historical usage data, planned future growth, and any other information deemed important. The results of the study and the resulting proposed rate structure shall provide the foundation for water rates for the next five years. The rates and rate structures proposed must fully meet Proposition 218 and all other legal requirements.
The City of Waterford water system includes approximately 2,500 service connections, serving a population of nearly 9,300 people. Water demands include residential, a small downtown/commercial area, and landscape connections. The distribution system is comprised of 130,000 +/- linear feet of pipeline and varies in size from 4 inches to 16 inches. The lines are comprised of cast iron, steel and polyvinyl chloride pipe. All source water for the system is local groundwater supplied with potable water by eight (8) groundwater wells that provide a total production of approximately 4,000 gallons per minute. The pumped groundwater is disinfected by chlorine addition at each wellhead and then discharged directly into the distribution system. There is currently no storage capacity. The wells draw water from the underlying deep confined aquifer of the San Joaquin Valley, located in the Modesto Subbasin. A few of the pipelines have been replaced and upsized by the City of Modesto after acquiring the system from Del Este Water Company. The system was acquired by the City of Waterford in 2015.
The current water rate schedule was put in place in 2017. Currently, rates are mix of flat and consumption based on the type of service.
On July 1st, 2025 three (3) proposals were received by the City for the Water Rate and Fee Study.
Bid Summary:
COMPANY NAME BID AMOUNT
Bartle Wells Associates $43,125

City of Waterford

Waterford, CA 95386
Dear Tina,
Lechowicz & Tseng Municipal Consultants (L&T) is pleased to submit a proposal to the City of Waterford (City) for a Water Rate and Fee Study. We enjoyed working with the City on the 2019 and 2024 Sewer Rate Studies and appreciate the potential opportunity to work with you again. Firm principal Alison Lechowicz was born and raised in San Joaquin County and is fond of working with small local communities. We hope that our prior work with the City demonstrated our professionalism and expertise in utility ratemaking. Our approach to the Water Rate and Fee Study is as follows:
o Financial Analysis: L&T analyzes revenue streams to meet immediate cash flow needs as well as plan for debt repayment, future capital projects, deferred maintenance, and accumulation of appropriate reserves. In particular, we will provide options for funding the connection between the City’s service areas - potentially including new debt. We will provide the City with a dashboard of financial variables that clearly illustrate how various considerations will impact utility cash flows. L&T will also conduct a detailed review of the Water Fund’s outstanding debt, legal covenants, and coverage ratio. We will provide guidance regarding how to pay down debt while juggling capital project funding. Our final report will provide the City with a financial roadmap that fully documents the cost of service.
o Utility Rate Design: The City’s current rate structure includes fixed charges based on meter size plus a volume rate. This is a common rate structure that is easy for customers to understand and easy for the City to administer. Most likely, we will recommend cost increases to the rate components but not major structural changes. As part of our study, L&T will also provide a schedule of drought rates for water shortage emergencies and advise the City on potential cost passthroughs and/or automatic inflationary increases.
o Public Outreach: L&T’s proposal includes three public meetings. Our first meeting will be an information-only presentation to the City Council. We will present the Water Fund’s cash flow, funding needs, and overall cost of service. After receiving input from the City Council, we will finalize our recommendations and present our report at a second public meeting. Our final meeting will be the Proposition 218 hearing. L&T is happy to address concerns from the public and manage the process. Our proposal also includes printing and mailing of the Proposition 218 909 Marina Village Parkway #135

6 PROJECT UNDERSTANDING
The City last conducted a Water Rate Study in 2016 which included updates to the City’s fixed meter fees and volume rate. This type of rate structure is reasonable, commonly used, easy to bill, and easy to understand. Most likely, we will not recommend major changes except to add drought rates for use in a water shortage emergency. As part of the study, L&T will also review the customer counts and usage characteristics of the Hickman, River Pointe, and Waterford service areas.
L&T will focus on improving the Water Fund’s financial standing and providing options to fund the connection between Waterford, Hickman, and River Pointe. We will provide a range of options that potentially include a low cost loan from the State Revolving Fund or Infrastructure Bank and/or grant funding. This study will ensure that the rates reflect regulatory and financial changes such as deferred maintenance or capital projects, Sustainable Groundwater Management Act (SGMA) compliance, increased electricity, supplies, and material costs following the Covid 19 pandemic, new conservation requirements, and potentially growth in the number of accessory dwelling units across the state.
Having worked with the City before, we are well-qualified to lead public presentations and outreach. We have the City’s customer database that can be easily updated to develop the Proposition 218 mailing list. Our staff member Sophia Mills can translate our Frequently Asked Questions (FAQ) and notice of hearing to Spanish. Firm Principal Alison Lechowicz will lead public presentations and provide continuity of service from the prior two sewer rate studies.
CITY RESPONSIBILITIES
L&T understands that the rate study process can be burdensome for public agencies. Our goal is to take on as many administrative tasks as possible to streamline the study. L&T will be responsible for all project analysis and the preparation of meeting and presentation materials for project team and Council meetings. L&T will also draft the final rate study report as well as the Proposition 218 mailer and additional public outreach materials as requested by the City. Expected time commitment and information required from City staff can be estimated based on the following tasks:
o Respond to L&T’s data request consisting of items such as: budgets, audits, utility billing data, water supply data, and capital improvement plans
o Attend kickoff and progress meetings (agenda and materials will be provided in advance) o Review and comment upon draft and final reports
o Review from the City’s legal counsel on recommendations, reports, and procedures o Discuss any political sensitivities or issues that may hinder fee adoption o Coordinate and schedule meetings with the City Council and/or the public

L&T is a women-owned firm with a strong presence in the Central Valley. Firm Principal, Alison Lechowicz, is from Lodi, CA and enjoys working with local communities. L&T heavily focuses our consulting practice on serving smaller public agencies with populations of 30,000 or fewer, as shown below.
We understand the administrative burden that rate studies can place on City staff. We will be your partner throughout the process and take the lead for data gathering, rate analysis, educating City Council members, and conducting public outreach. L&T enjoyed working with the City over two prior sewer rate studies – we have existing knowledge of the City, its finances, service area, and City Council priorities. This will streamline our efforts for the Water Rate Study.

Provided below is our list of tasks to conduct the Water Rate Study. We agree to provide all services described in the City’s Request for Proposals.
Task 1: Project Kickoff & Data Gathering - Assemble the necessary data to complete the study. We will gather readily available information from the City’s website and submit a data needs list for remaining items. We will conduct a virtual kickoff meeting with the project team to review available information and resolve questions.
Task 2: Financial Plan - We will estimate future operating costs and capital funding options to determine annual revenue needs. L&T will evaluate and recommend targets for emergency reserves, rate stability reserves, long term capital reserves, or other categories as appropriate. L&T will also conduct detailed reviews of debt obligations and debt capacity, reviewing outstanding bonds and providing debt service coverage calculations. We will develop up to three draft cash flows illustrating the impacts of various funding options on rates over the next ten years.
Tasks 3 & 4: Cost Allocation & Rate Design - Review existing rate structures and provide alternatives as appropriate. We will evaluate water use and customer billing information. L&T will functionalize expenses by major operating activities such as meter capacity, average day demand, and peak demand.
L&T will review rate options and propose a 5-year plan of rate changes. This task will also include a survey comparing the proposed rates to the rates of other local agencies and proposing any new fee categories such as drought rates, irrigation rates, or fire service line rates.
Task 5: Reports & Model – L&T will provide the City with a comprehensive report that documents the cost of service and rate calculations. We will also provide our fully functional Excel model.
Task 6: Meetings & Proposition 218 – We will conduct two in-person meetings with City Council to review options and select a preferred alternative. L&T will also print and mail the Proposition 218 notice of public hearing as well as attend and conduct the Proposition 218 hearing during a Council meeting.

10 Calaveras Public Utility District
Water Rate Study
The Calaveras Public Utility District is located approximately 60 miles southeast of Sacramento and provides
water services to the communities of
Railroad Flat, Glencoe, Paloma,
Mokelumne Hill, and San Andreas,
California. Prior to L&T’s work, the District provided customers with a base allotment of water in the meter fee and had a declining 3-tiered rate structure. In June 2023, L&T completed a water rate study that eliminated the base allotment, transitioned to a uniform rate structure, and provided a schedule of drought rates. L&T also provided the printing and mailing of the Proposition 218 notice of public hearing and conducted two community outreach meetings. The goal of L&T’s rate update was to simplify and modernize the rates, raise revenues to cover debt and capital costs, and to assist with implementation.
City of Kingsburg
Water Rate Study
Kingsburg is a city of about 12,000 people
located in Fresno County about 20 miles
southwest of the City of Fresno. L&T
completed a solid waste rate study for
the City in 2022 and a water rate study in
2025. Prior to our work, the Water Fund was operating at a slight deficit as the last rate study did not include costs for higher levels of water treatment or recharge projects for Sustainable Groundwater Management Act (SGMA) compliance. L&T’s study provided funding for these items as well as deferred capital projects. We also updated the City’s rates to includes fees based on meter size and a volume rate that is better reflective of water supply costs. Our fee structure more fairly recovers costs from large commercial water users within the City. The City received few protests and held a successful Proposition 218 hearing in May 2025.

City Council Staff Report
Resolution: Adopting Resolution 2025-49, Authorizing Participation and Allocation of Funding for the Regional Early Action Planning Grants (REAP 2.0) Funds Awarded to Stanislaus County of Governments on Behalf of the Stanislaus Member Agencies ANALYSIS:
On November 7, 2019, the City Council adopted a Resolution authorizing staff to submit an application for Senate Bill 2 Grant Funds to promote housing production. The Council authorized two (2) projects:
1) Accessory Dwelling Unit (ADU) Zoning Code Amendments which were completed in September 2020; and 2) preparation of ADU Building Plans in participation with other jurisdictions in Stanislaus County. The City received approval from the Department of Housing and Community Development for $28,000 on May 28, 2020.
On July 16, 2020, the City Council adopted a Resolution authorizing staff to submit an application for the Local Early Action Planning (LEAP) Grant Program to promote housing production. The City Council authorized one (1) program: preparation of the 6th Cycle Housing Element. The City received approval from the Department of Housing and Community Development for $65,000 on November 19, 2020.
On November 4, 2021, the City Council adopted Resolution No. 2021-60 authorizing staff to submit an application for the Regional Early Action Planning (REAP) Grant Program. The City Council authorized one (1) Project: the Tim Bell Sewer and Water Project, which included the design of sewer and water infrastructure facilities from Yosemite Boulevard to Vineyard Road. The City entered into a Memorandum of Understanding (MOU) with the Stanislaus Council of Governments (StanCOG) to the Suballocation of REAP funds for the project (total of $35,000 of grant funds).
Recently, a similar Grant Funding opportunity has been made available to the City by StanCOG – REAP 2.0 Grants Program. The principal goal of REAP 2.0 is to make funding available to Metropolitan Planning Organizations (MPOs) and other regional entities for Transformative Planning and Implementation Activities that meet Housing and equity goals, reduce Vehicle Miles Traveled (VMT) Per Capita, and advance implementation of the region’s Sustainable Communities Strategy (SCS) or Alternative Planning Strategy, as applicable. StanCOG was awarded $7,091,933 and of that award, $3,100,000 is available for the Transformative Funding Suballocation Program for StanCOG’s member agencies.
The Suballocation based on StanCOG’s methodology is as follows:
As shown above, a total of $134,058 is available for the City of Waterford through the REAP 2.0 Grant.
No local match is required by this Grant. The StanCOG REAP 2.0 Transformative Suballocation Methodology is attached to this Staff Report as Attachment 6b.
Staff identified Engineering Design Costs associated with the construction of a 1.5-million-gallon storage tank and new well on the City owned parcel located at the northeast corner of Tim Bell Road and Vineyard Road.
FISCAL IMPACT:
There are potential positive fiscal impacts associated with the REAP 2.0 Grant Program as the City is requesting $134,058 for Engineering Design Costs associated with the construction of a 1.5-milliongallon storage tank and new well.
ENVIRONMENTAL REVIEW:
The actions recommended in this report are exempt from review under the California Environmental Quality Act (CEQA) in accordance with CEQA Guidelines Sections 15061(b)(3) (Common Sense Exemption). The action would initiate a design process and are not determinative of any specific outcome.
RECOMMENDATION
Approve a Resolution authorizing the City Manager to execute and submit for REAP 2.0 Grant Program Funds, appoint the City Manager, or designee, to execute a Memorandum of Understanding between the Stanislaus Council of Governments and the City of Waterford for Suballocation of REAP 2.0 Funds, and authorize amendments which may be necessary for completion of the aforementioned project and expenditure of funds.

1 STANCOG’S REAP 2.0 SUBALLOCATION METHODOLOGY/INSTRUCTIONS Introduction:
The evaluation criteria for suballocation uses of REAP 2.0 align with REAP 2.0 Program goals, objectives, and definitions. The proposed criteria prepared for use in the evaluation of suballocation applications we developed using the California Department of Housing and Community Development’s (HCD) Regional Early Action Planning Grant (REAP) 2.0 Guidelines.1 The evaluation criteria must be approved by the Department and State Collaborative Partners by March 31, 2023, unless an extension is granted by the Department.
Per Section 406 of the REAP 2.0 Guidelines, on Suballocations, the framework includes the following requirements. Proposed evaluation criteria for any suballocation uses are subject to review and approval by the Department and State Collaborative Partners during the application process, and must align with REAP 2.0 Program goals, objectives, and definitions. In addition, the amount of funds distributed through suballocations must be based on the applicants’ unique Housing, land use, transportation, climate change, equity, and other planning priorities. Additional factors include, but are not limited to, outreach and priority setting, maximization of Policy Outcomes consistent with REAP 2.0 Program goals and objectives, and timeliness of expenditures.
Suballocations must consider geographic equity, including rural and urban communities, transformative and collaborative approaches to planning and implementation, and the degree to which the suballocation furthers the REAP 2.0 objectives (i.e., accelerating Infill development that facilitates housing supply, choice, and affordability, reducing VMT, advancing the SCS or Alternative Planning Strategies, and Affirmatively Further Fair Housing (AFFH).
Metropolitan Planning Organizations (MPOs) may consider additional criteria tailored to its unique conditions and circumstances as well as planning priorities for the area. All additional criteria must demonstrably promote REAP 2.0 goals and objectives and be developed in consultation with the Department and the State Collaborative Partners’.
Suballocations must comply with REAP 2.0 Program requirements including but not limited to REAP 2.0 objectives (Section 202). MPOs must also award suballocations within 60 days of a complete application received from an applicant for a suballocation. An award is defined by an official notice (e.g., letter) to the grantee, such as cities and counties within an MPO, and does not include encumbrance or an executed Standard Agreement.
MPOs may propose suballocations as part of the application for the REAP 2.0 Program.
MPOs shall expeditiously act to execute the Standard Agreements and ensure 1 https://www.hcd.ca.gov/sites/default/files/docs/grants-and-funding/MPO-REAP-2-0-FinalGuidelines.pdf 2 expenditure deadlines are met throughout the implementation of the REAP 2.0 Program.
REAP 2.0 Goals
The goals of the REAP 2.0 program include investing in housing, planning, and infill housing-supportive infrastructure across the entire state in a manner that reduces VMT, increases housing affordability, and advances equity, consistent with the following:
1. Advancing the State Planning Priorities, as described in Section 65041.1 of the Government Code;
2. Affirmatively Furthering Fair Housing pursuant to Section 8899.50 of the a. Government Code;
3. Facilitating Housing Element compliance and progress for the sixth cycle Regional Housing Needs Assessment pursuant to Section 65302 of the Government Code prepared in accordance with Article 10.6 (commencing with Section 65580) of Chapter 3 of Division 1 of Title 7 of the Government Code; and
4. Advancing and implementing the region’s SCS, as described in paragraph (2) of subdivision (b) of Section 65080 of the Government Code, or Alternative Planning Strategy, as described in paragraph (2) of subdivision (b) of Section 65080 of the Government Code, as applicable to achieve climate goals.
REAP 2.0 Objectives
There are three REAP 2.0 Program objectives identified in HCD’s guidance that each project must satisfy. The evaluation of applications will be undertaken to identify the degree to which each respective project satisfies the objectives:
1. Accelerating Infill Development that Facilitates Housing Supply, Choice, and Affordability
2. Affirmatively Furthering Fair Housing
3. Reducing Vehicle Miles Traveled
The following criteria will be applied in the evaluation of the proposed uses to assess their alignment with the REAP 2.0 Program goals, objectives, and definitions. Specifically, the following definition of “infill” from the REAP 2.0 guidelines should be used when infill is used in the methodologies outlined below:
For the purposes of the REAP 2.0 Program, “Infill” means areas where all the following apply: (1) the area consists of unused or underutilized lands (2) within existing development patterns (3) that is or will be accessible to destinations and daily services 3 by transit, walking, or bicycling and located in either:
a. An urban center, urban corridor, or area with transit-supportive densities, or b. An established community that meets all the following criteria:
i. The area consists or previously consisted of qualified urban uses. ii. The area is predominantly surrounded (approximately 75 percent of the perimeter) by parcels that are developed or previously developed with qualified urban uses. In counting this, perimeters bordering navigable bodies of water and improved parks shall not be included, and iii. No parcel within or adjoining the area is classified as agricultural or natural and working lands.
Suballocation Distribution
This program provides an opportunity for StanCOG’s member agencies (nine cities and Stanislaus County) to apply for a suballocation of the REAP 2.0 funds allocated to StanCOG. These funds will be used by StanCOG’s member agencies on transformative, high-impact, and innovative projects that accelerate housing production and facilitate compliance with the 6th cycle of the Housing Element, including Regional Housing Needs Assessment and which support REAP 2.0 Guidelines. The program is structured such that the activities undertaken by StanCOG’s member agencies using the suballocated funds awarded to them will be transformative by seeking to construct new housing projects that meet the requirements of REAP 2.0 objectives with a reasonable timeframe (e.g., within 5 years of the expenditure deadline). Specifically, this program will provide a process for each of StanCOG’s member agencies to apply for funding to advance opportunities that are focused on the near-term implementation of RHNA, providing more affordable housing, and promoting access to housing for disadvantaged communities in accordance with the requirements of the REAP 2.0 guidelines.
StanCOG will provide $100,000 in base funding to all member agencies to support uses including, but not limited to, administrative, outreach, and other pre-planning activities.
In addition to an initial allocation of $100,000 for all member agencies, totaling $1.0 million across the 10 jurisdictions, an additional distribution totaling $1.8 million will be distributed based on each agency’s 6th Cycle RHNA allocation. This will bring the total allocation for this program to $2.8 million. Each agency will have to apply for the funding by outlining the intended use of the funds, and the expenditure of the funds will be tracked to ensure that they are spent in ways that are consistent with the goals outlined in REAP 2.0 and other existing plans including StanCOG’s 2022 RHNA Plan and SCS. Table 1 below outlines the potential total allocation of funding for each member agency. 4 Table 1 – Potential Total Allocation for StanCOG’s Member Agencies Jurisdiction RHNA Housing

Waterford 557 $100,000 $34,058 $134,058
Total 34,344 $1,000,000 $2,100,000 $3,100,000
• Uses under this suballocation will include, but not be limited to, projects, plans, and programs that are consistent with REAP 2.0 goals and objectives.
Recommended activities may include the following.
• Affordable Housing development programs
• Planning activities that lead to increased residential and/or mixeduse zoned capacity in areas identified as infill • Upgrading infrastructure for sewer, water, and dry utility systems • Affordable Housing unit production
• Accessible Housing unit production
• Increased transit services and access
• Enhanced pedestrian and bicycling safety measures
• Protected pedestrian and bicycling amenities, and/or
• Multimodal infrastructure connections with multimodal-mobility transportation systems
Please refer to Section 204 of HCD’s REAP 2.0 Guidelines for a more complete list of eligible uses.
If a member agency indicates they do not want to receive funding or applies for a suballocation amount that is less than the total available to that agency, the remaining funds may be distributed in two methods. The first method is to allocate funding towards a cooperative work effort between StanCOG’s member agencies for projects that cross 5 jurisdictional boundaries and that meet the requirements of this program. The second method is to allocate funding to all agencies that do apply for funds consistent with each agency’s 6th Cycle RHNA allocation. In both methods, StanCOG will continue to require each agency or group of agencies to apply for the additional funds, and the additional funds would be tracked in an identical way to the initial allocation of funds. This ensures that all $2.8 million set aside for suballocation will go towards funding activities that will support the REAP 2.0 Guidelines and that the funding will be tracked in a transparent manner.
Consistent with the REAP 2.0 Guidelines, StanCOG will award the suballocations within 60 days of receiving a completed application from its member agencies for a suballocation.
Successful local agency applicants who are identified to receive an award will enter into a standard agreement (e.g., Memorandum of Understanding (MOU)) with StanCOG for distribution of the funds.
Where a cooperative work effort is undertaken by more than one of StanCOG’s member agencies, the agencies will enter into an agreement identifying the roles and responsibilities of each agency and which agency will be responsible for meeting the reporting requirements.

The Contractor shall not cause any policies to be canceled or permit it to lapse, and all policies shall include a clause to the effect that the policy or certificate shall not be subject to cancellation or to a reduction in the required limits of liability or amounts of insurance until notice has been mailed to the City stating when, not less than ten (10) days thereafter, such cancellation or reduction shall be effective. All certificates of insurance, authenticated by the proper officer of the insurer, shall state in particular those insured, the extent of the insurance, the location and operations to which the insurance applies, the expiration date, and the above‐mentioned notice of cancellation clause.
The Contractor shall furnish to the City at the date of delivering the signed contracts and bonds, certificates or riders duly executed on behalf of the surety company, certifying as to the amounts of insurance carried, and providing for the coverage therein of the City, its officers, agents, and employees, within all risks arising out of the project.

24. Wage & Hours of Employment:
In the performance of this contract, eight (8) hours shall be the maximum hours of labor on any calendar day, and the minimum wages of compensation of persons performing labor in the execution of this Agreement shall be the current prevailing scale of wages determined by the U.S. Secretary of Labor for the community and on file with the City Engineer.
The Contractor shall forfeit as penalty to the City, Twenty‐Five Dollars ($25) to be paid to the City of Waterford for each workman employed in the execution of this Agreement by him or by any subcontractor, for each calendar day during which any workman is required or permitted to labor more than eight (8) hours, in violation of provisions of Article 3, Chapter 1, Part 7, a Division 2, of the Labor Code of the State of California, and all amendments thereto.
25. Emergency – Additional Time for Performance – Procurement of Materials:
If, because of war or other declared national emergency, the Federal or State Government restricts, regulates, or controls the procurement and allocation of labor or materials, or both, and if solely because of said restrictions, regulations or controls, contractor is through no fault of the contractor, unable to perform this Agreement, or the work is thereby suspended or delayed, any of the following steps may be taken. a. City may, pursuant to resolution of the Council, grant Contractor additional time for the performance of this Agreement, sufficient to compensate in time, for delay or suspension.
To qualify for such extension in time, Contractor within ten (10) days of Contractor's discovering such inability to perform, shall notify City Engineer in writing thereof, and give specific reasons therefore; City Engineer shall thereupon have sixty (60) days within which to procure such needed materials or labor as is specified in this Agreement, or permit substitution, or provide for changes in the work in accordance with other provisions of this Agreement. In such event, Contractor shall be compensated for all work executed upon a unit basis in proportion to the amount of the work completed, or upon a cost‐plus ten percent (10%) basis, whichever is the lesser. Materials on the ground, in process of fabrication or in route upon the date of notice of termination specially ordered for the project and which cannot be utilized by Contractor, shall be compensated for by City at cost, including freight, provided the Contractor shall take all steps possible to minimize this obligation; or c. City Council, by resolution, may suspend this Agreement until the cause of inability to perform is removed but for a period of not to exceed sixty (60) days.
If this Agreement is not canceled, and the inability of Contractor to perform continues without fault on Contractor's part, beyond the time during which the Agreement may have been suspended, as hereinabove provided, City Council may further suspend this Agreement, or either party hereto may, without incurring any liability, elect to declare this Agreement terminated upon the ground of impossibility of performance. In the event City declares this Agreement terminated, such declaration shall be authorized by the City Council by resolution, and Contractor shall be notified in writing thereof within 2025-07 – G Street Improvements

Such termination shall be authorized by resolution of the Council. Notice thereof shall be forthwith given in writing to Contractor, and this Agreement shall be terminated upon receipt by Contractor of such notice.
