Agenda Report CATEGORY: NEW BUSINESS
SUBJECT: Emergency Declaration and Authorization of Expenditures - Well 10 Rehabilitation
RECOMMENDED ACTION
Staff recommends that the City Council take the following actions:
• Adopt a Resolution declaring an emergency under Williams Municipal Code and applicable public contracting law regarding the rehabilitation of Municipal Well 10; • Ratify all prior expenditures and work authorizations issued to Commercial Pump & Mechanical, Inc. (CPM) related to the Well 10 rehabilitation project, totaling $31,785.75 to date;
• Authorize the City Manager to execute service agreement with CPM for the remaining scope of work necessary to return Well 10 to full operational service, in an amount not to exceed $173,214.25 (total authorized amount of $205,000.00, inclusive of a 10% contingency for unforeseen conditions, less $31,785.75 previously invoiced); and • Authorize budget amendment accordingly
BACKGROUND
Well 10 is a critical component of the City of Williams municipal water supply system. The well serves as a primary production source during summer peak demand periods and is essential to maintaining system pressure and adequate water availability for residents and businesses. With the high-demand season approaching, restoring Well 10 to service is a time-sensitive public necessity.
In December 2025, the Public Works Department engaged Commercial Pump & Mechanical, Inc. (CPM) of Chico, California, to investigate declining performance at Well 10 and perform pump repairs. The initial scope was limited to pump pull, inspection, and a well video survey — work within the City Manager's contractual spending authority. As the investigation proceeded, significant and previously unknown structural defects were identified in the well casing, requiring a substantial expansion of scope to address.
PROJECT CHRONOLOGY AND SCOPE ESCALATION
The following summarizes the sequence of work authorizations and findings that led to the current project scope:
Date Action / Document Description / Findings
Dec. 10, 2025 Estimate - Pump Repair CPM provided an initial estimate of $64,398.48 to pull the pump, perform repairs including replacement of shafts, bearings, bowl wear rings, and impeller balancing, and reinstall the pump. Scope was within administrative spending authority.
Jan. 21, 2026 Quote - Video & EMT- During pump pull, staff authorized a Well Video and EMT-24 24 Survey electromagnetic casing inspection survey at a quoted price of $8,732.00 to assess casing condition.
Jan. 26, 2026 Progress Invoice #25069- CPM invoiced $18,725.75 covering pump pull, well video, and EMT-24 1 casing inspection. Invoice issued based on verbal authorization by Public Works Water Chief Plant Operator Mike Mitchell.
Feb. 2026 EMT-24 Survey Results Pacific Surveys' EMT-24 pulse eddy current inspection revealed a structural bulge in the well casing at approximately 352.6 feet depth, indicating localized casing deformation.
Mar. 10, 2026 Quote - Swage Patch CPM quoted $13,060.00 to pre-swage and install a 5-foot stainless steel liner at 352.6 feet to patch the identified casing bulge, with a completion survey.
Mar. 18, 2026 Progress Invoice 25069 3499 to 3549) Cumulative invoiced am of the now 531, 18h. patch from 349.9' to 354.9'). Cumulative invoiced amount now $31,785.75.
Apr. 28, 2026 Estimate - Well Following the swage patch, additional analysis indicated comprehensive Rehabilitation rehabilitation including air lifting, casing brushing, SoniClean treatment, chlorination injection, and video survey. CM estimated this scope at $49,372.40.
May 11, 2026 Quote - Water Lube To address long-term reliability, CPM quoted a full water lube conversion Conversion with a new 7-stage Goulds bowl assembly, new column pipe and line shafts, and mechanical seal at $103,251.46.

PROCUREMENT CONSIDERATIONS
Williams Municipal Code (WMC) Section 3.28.130(a) expressly authorizes the City to dispense with competitive bidding, formal or informal, for public works projects in situations constituting an emergency, pursuant to Public Contract Code (PCC) Sections 22035 and 22050. Under WMC Section 3.28.130(a), the City Council has delegated to the City Administrator (City Manager) the authority to declare a public emergency and take directly related and immediate action up to a total of $125,000 without prior City Council approval. Emergency expenditures exceeding $125,000 require City Council approval. The City Manager's administrative spending authority threshold for emergency public works is therefore $125,000.
This project originated as a routine maintenance engagement within the City Manager's spending authority. The successive discoveries of casing deformation, the need for structural repair, and the advisability of a full water lube conversion represent conditions that were not and could not have been known at the time of initial engagement. Each phase of work was a direct and necessary response to conditions discovered during the prior phase.
The cumulative project scope has now exceeded the City Manager's $125,000 emergency spending authority, requiring City Council action. Staff notes that WMC Section 3.28.060(h) and Section 3.28.050(h) expressly prohibit bid splitting — separating a project into smaller work orders to avoid bidding thresholds. The phased escalation of this project was not a result of bid splitting, but rather the unavoidable consequence of conditions discovered progressively during remediation. Each phase was separately necessitated by findings from the prior phase and could not have been anticipated or bid as a single project at the outset. Given the critical nature of the well to the City's water system, the imminent onset of peak demand season, and the time required to conduct formal competitive procurement (typically 6-8 weeks minimum per WMC Chapter
3.28), staff has determined that competitive bidding is impracticable without jeopardizing public health, safety, and the welfare of City water customers.
Staff acknowledges that best procurement practices would ordinarily require formal bidding under WMC Section 3.28.060(c) for a maintenance services project exceeding $200,000, or informal bidding under WMC Section 3.28.060(b) for a project between $60,000 and $200,000. This staff report is intended to provide full transparency to the City Council regarding how this project evolved, to satisfy the reporting requirements of WMC Section 3.28.130(a) and PCC Section 22050, and to secure proper Council authorization for all current and future expenditures.
EMERGENCY JUSTIFICATION
The following conditions support a finding of emergency under applicable law:
• Well 10 is a critical municipal water production facility. Its continued out-of-service status during summer peak demand poses a direct risk to the City's ability to meet system demands and maintain required fire flow and pressure throughout the distribution system. • The structural casing defect (bulge at 352.6 feet) discovered during the EMT-24 inspection represents an imminent threat to the integrity of the well. Deferring repair risks catastrophic casing failure, which could result in permanent loss of the well asset. • The approaching peak demand season (June through September) significantly narrows the window within which remediation can be completed before the well is needed at full capacity.
• Soliciting competitive bids at this stage would require a minimum of 6-8 weeks, pushing project completion into peak season and potentially necessitating emergency water conservation measures or alternative supply arrangements at greater public cost. • Commercial Pump & Mechanical, Inc. is already mobilized and familiar with site conditions, well geometry, and project history. Re-procurement would result in a new contractor having to conduct duplicative site investigation work.
FISCAL IMPACT
The total estimated project cost is $184,409.61, plus a 10% contingency of $18,440.96 for unforeseen conditions, for a total authorized amount of $205,000.00. Of this amount, $31,785.75 has been invoiced and is subject to ratification. The remaining authorization requested is $173,214.25. Staff will confirm available funding in the Water Enterprise Fund and return with a budget amendment if required. No General Fund impact is anticipated.
ENVIRONMENTAL REVIEW
This action is categorically exempt from the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines Section 15301 (Existing Facilities) and Section 15269 (Emergency Projects). The project involves the repair and rehabilitation of an existing water supply well with no expansion of use or capacity.
EMERGENCY PURCHASE DOCUMENTATION
Pursuant to Williams Municipal Code Section 3.28.130(a) (public works components, incorporating PCC Sections 22035 and 22050) and WMC Section 3.28.140(a) (maintenance and general services components, applying the broader WMC Section 3.28.020(f) standard that competitive bidding be impractical or not in the best interests of the City, the following information is provided to support the emergency determination and maintain a complete procurement file as required by WMC Chapter 3.28 and applicable state law.
1. Description of the Emergency. Well 10, a primary municipal water production well for the City of Williams, was taken out of service in January 2026 for pump pull and inspection. During that process, an EMT-24 electromagnetic pulse eddy current casing inspection performed by Pacific Surveys revealed a structural deformation (outward bulge) in the steel well casing at approximately 352.6 feet depth. The bulge poses an imminent risk of casing collapse under normal pumping pressures. Additionally, the pump's oil-lubricated line shaft bearings were found to be in failed or near-failed condition, necessitating full replacement. Well 10 has remained offline since January 2026 and cannot be returned to service until the casing defect is repaired and a new pump assembly is installed
2. How the Situation Qualifies as an Emergency. This project involves two categories of work, each subject to a different emergency standard under WMC Section 3.28.020(f). For public works components (casing swage patch repair, structural liner installation), the emergency standard is that provided in PCC Sections 22035 and 22050: a sudden, unexpected occurrence requiring immediate action to prevent loss or impairment of essential public services. For maintenance and general services components (pump pull, bearing replacement, air lift rehabilitation, SoniClean, disinfection, pump reinstallation), the emergency standard is the broader WMC definition: a situation which makes competitive bidding, either formal or informal, impractical or not in the best interests of the City. Both standards are satisfied here for the following reasons: (a) the structural casing defect is an existing, imminent hazard that poses a risk of sudden catastrophic failure — not a deferred maintenance condition; (b) Well 10 is a critical production facility and its continued absence from service during peak demand season (June-September) threatens the City's ability to maintain adequate pressure, fire flow capacity, and system reliability for its customers; and (c) the full scope and cost of rehabilitation could not have been known at project inception - each phase of work was necessitated by conditions discovered during the prior phase, making pre- planned competitive bidding impossible.
3. Consequences of Normal Procurement. Formal competitive bidding under California Public Contract Code requires a minimum of six to eight weeks for advertising, receipt of bids, evaluation, award, and contract execution. Initiating that process now would push project completion into mid- to-late July 2026 at the earliest — well into peak demand season. During this period, the City's water system would operate without a critical production well, potentially requiring mandatory water conservation measures, increased reliance on remaining wells beyond their rated capacity, and possible regulatory scrutiny regarding system adequacy. The cost of these consequences to the public substantially exceeds any potential savings from competitive bidding.
4. Description of Purchase and Price. The scope of work consists of four sequential phases performed by Commercial Pump & Mechanical, Inc. (CPM), Chico, CA: (a) Phase 1 - Pump pull, well video survey, and EMT-24 casing inspection: $18,725.75 (invoiced); (b) Phase 2 - Swage patch, 5-foot stainless steel casing liner at 349.9'-354.9': $13,060.00 (invoiced); (c) Phase 3 - Well rehabilitation including air lift, casing brushing, SoniClean ultrasonic treatment, Sterilene disinfection injection, and completion video: $49,372.40 (estimated); (d) Phase 4 - Water lube pump conversion with new 7-stage Goulds 11CMC bowl assembly, water lube column pipe, bronze retainer bearings, mechanical seal, and installation: $103,251.46 (estimated). Total estimated project cost: $184,409.61, plus a 10% contingency of $18,440.96 for unforeseen field conditions, for a total authorized not-to-exceed amount of $205,000.00.
5. Suppliers Contacted and Quotations Received. Given the emergency nature of the work and the specialized expertise required for deep municipal well rehabilitation, including EMT-24 casing inspection support, casing swage patching, and water lube pump conversion, the City engaged Commercial Pump & Mechanical, Inc. (CPM) as the sole contractor for this project. CPM was selected on the basis of their demonstrated qualifications, existing knowledge of the well from prior service history, current mobilization, and availability to perform work on the required timeline. Written quotes and estimates from CPM for each phase of work are included as attachments to this report.
6. Director Approval. This emergency procurement has been reviewed and approved by the City Engineer, Public Works Supervisor, Water Treatment Plant Operator, and the Police Chief (Acting City Manager until February 19, 2026). The City Manager concurs with the emergency determination and has authorized staff to present this matter to the City Council for ratification of prior expenditures and authorization of the remaining project scope.
Legal Authority. Williams Municipal Code Section 3.28.020(f) Bidding, Contracting and Purchasing defines an emergency for public works projects by reference to PCC Sections 22035 and 22050. WMC Section 3.28.130(a) delegates emergency declaration authority to the City Administrator (Manager) up to $125,000; expenditures above that amount require City Council approval. For emergency projects exceeding $30,000, WMC Section 3.28.130(a) requires: (1) a report on the emergency and work performed at the next regular City Council meeting and at every meeting thereafter; (2) a four-fifths (4/5) vote of the City Council at each such meeting to continue the action without competitive bidding; and (3) termination of emergency action at the earliest date conditions warrant, so remaining work can be completed under a formal bidding procedure. WMC Section 3.28.060(j) and 3.28.050(h) further prohibit bid splitting to avoid threshold requirements.
Note also that Resolution No. 26-04, adopted February 18, 2026, establishes that the titles "City Manager" and "City Administrator" are interchangeable for all City administration and contracting purposes; references to either title in WMC Chapter 3.28 and this report shall be construed accordingly. This staff report and the accompanying Resolution constitute the City's compliance with the reporting, authorization, and documentation requirements of WMC Chapter 3.28 and PCC Section 22050.
RECOMMENDATION
Staff recommends the City Council adopt the attached Resolution declaring an emergency and authorizing the City Manager to ratify prior expenditures and execute agreements with Commercial Pump & Mechanical, Inc. to complete the Well 10 rehabilitation project, in a total authorized amount not to exceed $205,000.00, inclusive of a 10% contingency.

RESOLUTION NO. 26-15
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF WILLIAMS
DECLARING A LOCAL
EMERGENCY RELATED TO THE REHABILITATION OF MUNICIPAL WATER WELL 10;
RATIFYING PRIOR EXPENDITURES; AND AUTHORIZING ADDITIONAL
EXPENDITURES
FOR EMERGENCY PROCUREMENT WITHOUT COMPETITIVE BIDDING
WHEREAS, the City of Williams (City) owns and operates a municipal water supply system, of which Municipal Water Well 10 (Well 10) is a critical production component, particularly during summer peak demand periods; and
WHEREAS, in December 2025, the Public Works Department engaged Commercial Pump & Mechanical, Inc. (CPM), a qualified well service contractor, to investigate performance degradation at Well 10 and perform pump repairs. The initial scope of work was authorized within the City Manager's administrative spending authority; and WHEREAS, during the course of pump removal and inspection, the City directed CM to conduct a Well Video Survey and an EMT-24 electromagnetic pulse eddy current casing inspection survey, performed in January 2026 by Pacific Surveys, to assess the structural integrity of the well casing; and
WHEREAS, the EMT-24 casing inspection revealed a structural deformation (bulge) in the steel well casing at approximately 352.6 feet depth, representing an imminent threat to the mechanical integrity of the well that, if unaddressed, could result in casing collapse and permanent loss of the well as a water supply asset; and
WHEREAS, in response to these findings, CPM was authorized to perform a swage patch repair, consisting of the installation of a 5-foot stainless steel liner from 349.9' to 354.9' depth, completed in March 2026; and
WHEREAS, following the casing repair, further evaluation indicated that the well requires comprehensive rehabilitation, including air lifting, casing brushing, SoniClean ultrasonic treatment, and chemical disinfection, at an estimated cost of $49,372.40; and WHEREAS, staff further recommends conversion of the pump system to water lubrication, including installation of a new 7-stage Goulds 11CMC water lube bowl assembly and associated components, at an estimated cost of $103,251.46, to improve long-term reliability; and WHEREAS, Progress Invoice No. 25069-1 in the amount of $18,725.75 and Progress Invoice No. 25069-2 in the amount of $13,060.00 have been submitted by CPM for work completed to date, for a cumulative invoiced amount of $31,785.75, issued pursuant to verbal authorization by the Public Works Supervisor and Water Chief Operator; and WHEREAS, the total estimated cost of all phases of the Well 10 rehabilitation project is $184,409.61, plus a 10% contingency of $18,440.96 for unforeseen conditions, for a total authorized amount of $205,000.00, which exceeds the City Manager's administrative spending authority of $125,000 and would ordinarily require formal competitive bidding; and WHEREAS, formal competitive procurement requires a minimum of six to eight weeks, and the onset of peak water demand season in June 2026 makes it impracticable to complete a competitive bid process without leaving Well 10 out of service during the period of highest system demand, thereby threatening the City's ability to meet domestic water demand, maintain fire flow capacity, and comply with applicable regulatory requirements; and WHEREAS, the City Council finds that the conditions described herein constitute an emergency under Williams Municipal Code Section 3.28.020(f): (i) for public works components (structural casing repair), the emergency standard of PCC Sections 22035 and 22050 is satisfied - a sudden, unexpected condition requiring immediate action to prevent loss of an essential public service; and (ii) for maintenance and general services components (pump rehabilitation and reinstallation), the broader WMC Section 3.28.020(f) standard is satisfied — competitive bidding is impractical and not in the best interests of the City given the imminence of peak demand season.
The project further exceeds the $125,000 emergency spending authority delegated to the City Administrator under WMC Section 3.28.130(a), necessitating City Council approval; and WHEREAS, pursuant to Resolution No. 26-04, adopted February 18, 2026, the titles "City Manager" and "City Administrator" are deemed interchangeable for all City administration, signature authority, and contractual purposes, and references to either title in Williams Municipal Code Chapter 3.28 and this Resolution shall be construed accordingly; and NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Williams as follows:
SECTION 1. FINDINGS. The City Council hereby finds and determines that all of the facts and circumstances described in the recitals above are true and correct and are incorporated herein by reference. The City Council further finds that a public emergency exists with respect to the rehabilitation of Municipal Water Well 10 that will not permit the delay resulting from a competitive solicitation for bids, and that the action authorized herein is necessary to respond to the emergency and protect the public health, safety, and welfare of the residents and water customers of the City of Williams.
SECTION 2. DECLARATION OF EMERGENCY. Pursuant to Public Contract Code Section 22050 and applicable City ordinance, the City Council hereby declares an emergency related to the rehabilitation of Municipal Water Well 10. This emergency declaration is adopted by a four-fifths (4/5) vote of the City Council as required by Williams Municipal Code Section
3.28.130(a) and Public Contract Code Section 22050(b). The City Manager is authorized to take all actions necessary to procure the services and materials required to complete the Well 10 rehabilitation project without competitive bidding, consistent with this Resolution. Emergency expenditures authorized herein are made pursuant to WMC Section 3.28.130(a) (public works components) and WMC Section 3.28.140(a) (maintenance and general services components).
SECTION 3. RATIFICATION OF PRIOR EXPENDITURES. The City Council hereby ratifies and approves all prior work authorizations, expenditures, and progress payments made to Commercial Pump & Mechanical, Inc. in connection with the Well 10 rehabilitation project, including: (1) Progress Invoice No. 25069-1, dated January 26, 2026, in the amount of $18,725.75, for pump pull, well video survey, and EMT-24 casing inspection; and (2) Progress Invoice No. 25069-2, dated March 18, 2026, in the amount of $13,060.00, for swage patch installation of a 5- foot stainless steel casing liner at 349.9' to 354.9' depth. The cumulative amount ratified herein is $31,785.75.
SECTION 4. AUTHORIZATION OF ADDITIONAL EXPENDITURES. The City Manager is hereby authorized to execute any and all contracts, change orders, work authorizations, and payment approvals with Commercial Pump & Mechanical, Inc. for the remaining scope of work required to complete the Well 10 rehabilitation project, including well rehabilitation and water lube pump conversion, in a total authorized amount not to exceed $205,000.00, inclusive of a 10% contingency of $18,440.96 for unforeseen field conditions, which represents the estimated project cost of $184,409.61 plus contingency. Any expenditure beyond $205,000.00 shall require prior City Council approval.
SECTION 5. CEQA EXEMPTION. This action is exempt from the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines Sections 15301 (Existing Facilities) and 15269 (Emergency Projects). The City Council further finds that the phased escalation of this project does not constitute bid splitting prohibited by WMC Sections 3.28.050(h) and 3.28.060(j. Each phase of work was independently necessitated by conditions discovered during the prior phase: the casing bulge was unknown until the EMT-24 survey; the need for comprehensive rehabilitation was unknown until after the swage patch was complete; and the advisability of water lube conversion was confirmed only upon full assessment of pump condition.
No phase could have been anticipated or procured as part of a unified project at inception. The City Clerk is directed to file a Notice of Exemption with the County Clerk of Colusa County.
SECTION 6. ONGOING REVIEW. In accordance with Williams Municipal Code Section
3.28.130(a) and Public Contract Code Section 22050(b), this emergency declaration shall be reviewed by the City Council at each regularly scheduled City Council meeting following adoption.
At each such meeting, the City Council shall determine by a four-fifths (4/5) vote whether there is a need to continue emergency action without competitive bidding. The City Manager shall terminate emergency procurement at the earliest date conditions warrant, so that any remaining work may be completed pursuant to a formal bidding procedure as required by WMC Section
3.28.130(a). Staff shall provide a written status update at each such meeting.
SECTION 7. EFFECTIVE DATE. This Resolution shall take effect immediately upon adoption.
I HEREBY CERTIFY that the foregoing resolution was duly passed and adopted by the City Council of the City of Williams at a regular meeting thereof, held on the 21 day of May, 2026, by the following vote:
