• Councilmember Burton spoke in support of Rod Wilburn as the Interim City Manager.
• Mayor Allman questioned the concern of conflict of interest, with Mr.

Wilburn being the Interim City Manager, because the City engages with LACO to perform engineering services. City Attorney Lance responded that this is addressed in paragraph 3d of the contract:
 “WILBURN shall not engage in any activity, with LACO or otherwise, which is or may become a conflict of interest, prohibited contract, or which may create an incompatibility of office as the CITY’S Interim City Manager. LACO will cause WILBURN to complete all disclosure forms required by law. Further, during the term of this agreement and for a period of at least six (6) months following the term. Both LACO and WILBURN will not directly or indirectly bid on, participate in, or solicit any business from the CITY, its agencies or representatives, in connection with any contract awarded or to be awarded by the CITY.

This includes but is not limited to: (a) bidding on or participating in public works projects including contracts to provide the CITY with engineering, surveying, project management or other professional services; (b) consulting with any entity bidding on or participating in CITY projects; and (c) working for any entity that is a bidder or contractor with the CITY.”
Public Comment:
• Helen Simms asked who would provide oversight of the conditions of the agreement with LACO. City Attorney Lance responded that anytime the City solicits bids for contracts this comes to his attention then it will be on the Agenda for City Council to take action on. If LACO, contrary to the agreement, bid on a contract, they would be disqualified. • Madge Strong spoke in support of Rod Wilburn being the Interim City Manager and feels Mr. Wilburn will do a wonderful job.
• Saprina Rodriguez spoke in support of Rod Wilburn being the Interim City Manager. Ms. Rodriguez raised concerns about the process of choosing an Interim City Manager. Ms. Rodriguez states that the public would have liked to see a transition plan for the public to get some understanding of what the vision was. Ms. Rodriguez brought up concerns over the rate being paid to LACO for Interim City Manager Services and urged the City Council to slow down, to seek more public input and evaluate both the cost and consequences of this decision. Mayor Allman responded that the Interim City Manager position salary is less due to it being an unbenefited position.

Willits City Council Minutes of April 23, 2025 Page 3 of 7 Moved by Burton/Seconded by Gonzalez and carried unanimously to adopt Resolution No. 2025-16 appointing Rodney Wilburn as Interim City Manager and authorize the City to enter into an agreement with LACO Associates for Interim City Manager Services.

The County received the first phase, which was $3.6 million, to start the planning for the project, the entire project was $50 million.
• The County is putting out an RFP for the Roof of the Library. The Ukiah Library staff brought to the Board of Supervisors a proposal to build a new Library. The projected cost of a new library in Ukiah would be about $38 million. Direction to the Library staff was to work with the County CEO and come up with something that is more sustainable.
• Councilmember Burton asked how the County is getting along with the State Auditors. Mr. Haschak reported that the County is currently working with the State Auditors, the county is ready for them to start working within the next week or two.

Public Comment:
• Madge Strong added that at the Board of Supervisors meeting there were two other items on the Board of Supervisor Agenda. Ms. Rodriguez states that 2023 ended with a positive fund balance and all was done without using any of the Measure K funds. AGENDA SUMMARY REPORT
To: Honorable Mayor and Council Members
From: Jim Lance, City Attorney
Agenda Title: DISCUSSION AND POSSIBLE GRANT OF CITY CONSENT TO CAL FIRE’S PROPOSED

USE OF THE WILLITS RODEO GROUNDS AS AN INCIDENT BASE IN THE EVENT OF A FIRE EMERGENCY.

Type: Presentation Consent Regular Agenda Public Hearing Urgent Summary of Request: The City is in receipt of a draft agreement from the Mendocino Unit of the California Department of Forestry and Fire Protection (“Cal Fire”) in which Cal Fire proposes that it be allowed to use the 20-acre Willits Rodeo Grounds (“Grounds”) as an Incident Base in the event of a fire emergency.

Pursuant to the terms of the attached draft agreement, Cal Fire will pay the sum of $2,500 per day for each day of its use of the Grounds during any wildfire emergency event. The agreement term will expire March 31, 2026.

The City owns the Grounds and the Willits Frontier Days organization (WFD) occupies the Grounds pursuant to a long-term lease agreement with the City. On March 31 of this year the attorney for the WFD advised the City of the proposed agreement that WFD had received from Cal Fire and requested that the City provide any comments and the City’s consent to the proposed agreement. In this regard, the parties’ lease agreement provides that WFD will not sublet or assign the premises or allow its use by others without the prior written consent of the City, "which consent will not be unreasonably withheld.” Staff recommends that the proposed agreement with Cal Fire be approved on the condition that any state proceeds paid for the emergency use of the Grounds be shared equally between the City and WFD.

Recommended Action: Approve the attached resolution approving Cal Fire’s proposal to use the Willits Rodeo Grounds as an Incident Base in the event of a local emergency wildfire event on the condition that any payments made by Cal Fire for such use be shared equally between the City and the Willits Frontier Days organization.

Further, it is recommended that the Interim Manager (1) provide notice of such conditional approval to both Cal Fire and to WFD; (2) determine whether WFD is agreeable to share equally with the City any proceeds received from Cal Fire; and (3) take such other action as may be necessary to facilitate the Council’s approval.

Alternative(s): None recommended.

Fiscal Impact: Unknown
Personnel Impact: Minimal impact
Identified City Council Conflict of Interest: None.
2021 Adopted Goals: The Goals do not cover this topic.

California Environmental Quality Act: The proposed temporary use or lease of an existing facility to prevent or mitigate an emergency does not qualify as a project under CEQA per PRC 21080(b)(4) and is also categorically exempt.

AN INCIDENT BASE IN THE EVENT OF A FIRE EMERGENCY PURSUANT TO THE TERMS

OF AN EMERGENCY LAND USE AGREEMENT WITH THE WILLITS FRONTIER DAYS

ORGANIZATION
WHEREAS, the City of Willits (“CITY”) owns the Willits Rodeo Grounds (“GROUNDS”), consisting of approximately 20 acres including the carnival field and rodeo grounds located adjacent to Recreation Grove Park in the City of Willits and leases such premises to the Frontier Days Organization as lessee pursuant to a long-term lease made December 10, 2008 and later amended on October 12, 2017; and WHEREAS, CAL FIRE has requested that Willits Frontier Days (“WFD”) authorize it to occupy and use the GROUNDS as an Incident Base in the event of a local fire emergency pursuant to the terms of a draft “Agreement for Emergency Use of Facilities” dated March 31, 2025, which provides, among other things, that CAL FIRE shall pay to WFD the sum of $2,500 per day for each day or portion thereof that CAL FIRE occupies the GROUNDS; and WHEREAS, WFD is agreeable to authorize CAL FIRE’S proposed emergency use of the GROUNDS and has requested that the City Council provide its comments and its consent to CAL FIRE’S proposed use of the GROUNDS; and
WHEREAS, the CITY’S lease with WFD provides, in relevant part, that tenant shall not “sublet” or “permit the use of” the leased premises “without first obtaining the Landlord’s written consent, which consent shall not be unreasonably withheld;” and WHEREAS, the City Council finds that authorizing CAL FIRE to use and occupy the GROUNDS, if necessary, as an Incident Base during an emergency fire event serves a valuable public interest; and
WHEREAS, the Council further finds that any payments made by CAL FIRE for its use and occupancy of the GROUNDS should be fairly divided between the CITY and WFD to help offset the expenses incurred by both the CITY and WFD in the management, repair and upkeep of the GROUNDS;
NOW, THEREFORE, BE IT RESOLVED that the Willits City Council does hereby consent to CAL FIRE’S proposed agreement to occupy and use the Willits Rodeo Grounds as an incident Base in the event of a local fire emergency on the condition that any payments made by CAL FIRE for its use of the GROUNDS be shared equally between Willits Frontier Days and the City of Willits.

AGENDA SUMMARY REPORT
To: Honorable Mayor and Council Members
From: Dusty Duley, Community Development Director
Agenda Title: DISCUSSION OF FUTURE APPLICATIONS FOR FUNDING UNDER THE COMMUNITY DEVELOPMENT BLOCK GRANT PROGRAM.

Type: Presentation Consent Regular Agenda Public Hearing Urgent Time: 30 minutes.

Summary of Request: The purpose of this item is to give citizens an opportunity to make their comments known regarding what types of eligible activities the City of Willits should apply for in the next available opportunities under the State Community Development Block Grant (CDBG) program.

Background: The CDBG Program is designed to assist rural cities and counties in improving economic opportunities and meeting community revitalization needs. The CDBG program has been funded through the State since 1982 by the US Department of Housing and Urban Development (HUD) under the Housing and Community Development Act 1974, as amended (Title I). The CDBG program's primary objective is to develop viable communities by assisting in the provision of decent housing and quality living environments and expanding economic opportunities for persons of low and moderate-income. Only cities with populations under 50,000 and counties with populations under 200,000 are eligible for non-entitlement CDBG funds.

CDBG funds are provided as grants to non-entitlement jurisdictions and cannot be used to supplant general fund dollars. HUD envisions CDBG funds to be used as gap financing to add the final necessary funds for a project to be successful. Grants vary based on annual allocations and activity limits.

CDBG Project Criteria: Every project, program, or activity, including Program Income projects, that receives CDBG funds through HCD must meet two criteria: the project must meet a national objective, and it must also be an eligible activity.
• National objective: benefit to low-to moderate income persons, elimination of blight, urgent need. • Eligible activities: acquisition of real property, public facilities and improvements, code enforcement, clearance, rehabilitation, reconstruction and construction of buildings, architectural barrier removal, loss of rental income, disposition of real property, public services, payment of non-federal share, relocation, planning and capacity building, program administration, economic assistance to for profit businesses, housing services, microenterprise assistance, homeownership assistance, lead based paint hazard evaluation and reduction.

Any activity not explicitly authorized under CDBG statute or regulations is ineligible for CDBG funds. In addition, the statute specifically stipulates that the following activities may not be assisted with CDBG funds:
• Buildings for the general conduct of government, except to create accessibility for disabled population (e.g., city hall),
• General government expenses,
• Political activities,
• Purchase of equipment or furnishings for a property: this excludes certain types of manufacturing equipment connected with economic development activities and the purchase of fire trucks as firefighting equipment, • New housing construction and income payments (income payments are defined as direct payments to subsidize rent and/or utilities),
• Operating and maintenance expenses for public facilities, improvements, and services, • Lobbying activities.

Funding Cycles: The Community Development and Economic Development Allocations of the CDBG program publish a combined Notice of Funding Availability (NOFA) each program year. The State has informed us that we can expect the next NOFA sometime in June 2025. Last year, eligible cities and counties could submit up to three sub applications not to exceed $3,600,000. Economic Development or Housing programs or projects applications could not exceed $1,500,000 each. Eligible activities under the above allocations in the NOFA may consist of planning and technical assistance, (studies and strategies), public assistance programs, employment training, public facility improvements, and economic development programs or projects that create or retain jobs.

Program and Project Discussion: Staff have met with numerous business owners and is aware that many of our local businesses are struggling financially. Requests have been received by the business community to seek funding to reestablish a business loan program, like the City program established in 2021, whereby the City allocated $470,000 in grant funds to local businesses. A total of 13 businesses received loans ranging between $30,000 and $40,000 to support eligible expenses such as payroll, purchasing inventory and equipment, debt payment, and marketing All businesses met the job retention requirements pursuant to funding requirements and all loans were forgiven. The City may seek up to $1,500,000 in CDBG funding to establish a business loan program.

Staff has also received a request from Little Lake Grange to use CDBG funds to replace the Grange’s roof. Given that the Grange is a non-profit organization that leases space to other non-profits, supports start-up businesses, and hosts many community fundraising events for other non-profits, an application to seek funds for a new roof is expected to be competitive request of CDBG funds.

City staff and program consultants are in the process of gathering information to determine the design of the business loan program and the final costs for the roof repair should Council direct staff to move forward with completing both applications.
