2. Public Communications
 John Kvasnicka spoke on behalf of the Willits Chamber of Commerce. Mr.

Kvasnicka requested the ratification of a regulation developed by the previous City Council regarding Mobile Vending. Mr. Kvasnicka explained that it is critical that the Mobile Vending regulation be recorded as law to eliminate the ongoing confusion within the business community about what is legally enforceable and what is not.
 Debra Huddle requested to have Nicole Caldwell read a written statement for her to the Council. Statement is attached to the minutes.
 Cathrine Masiello read a statement to council responding to the Grand Jury Investigation. Ms. Masiello worked for the City of Willits starting in 2008 to 2019.

She would in the Finance Department, her duties included payroll, auditing and budgeting. She proceeds to describe a toxic environment while working for the City of Willits from the first day that she started.
 Dale Deer, resident of W. Valley Street, expressed concern over the No Parking zone on the street for the 4th of July Parade. Residents are expected to move their vehicles by 6:00 am in the morning or their vehicles would be towed. At 6:00 am tow trucks show up to tow any vehicles on the street. By 11:00 am others parked on the street, no one is towed, leaving no place for the residents to park.

He feels that residents should be able to park on W. Valley because the parade does not go in that direction. Mayor Allman requested that Mr. Deer contact the Council and City a month before the parade next year to have a meeting to discuss what can be done.

Willits City Council Minutes of July 23, 2025 Page 2 of 8  Karen Cavanaugh expressed concern over the lack of drain near the new PG&E sidewalk on E. Hill and Baechtel Roads. Ms. Cavanaugh performed a drain test, and all the water went into her yard. She asked that a drain be put in to keep her yard from flooding in the winter.
 Nicole Caldwell expressed concern over Social Media Posts that named her personally and one other staff member by the previous Mayor. Ms. Caldwell responded that she had nothing to do with the Grand Jury report that came out in July. Ms. Caldwell continued to express concern over previous Council Members stating that there are no issues at the City of Willits. Ms. Caldwell then stated if you want to know the truth, come and ask questions please. Everyone at the City of Willits have their own stories and they are not like Ms. Rodriguez keeps saying, that there were no issues.
 Jill Persico representing the Loose Caboose, expressed her support of having the Mobile Vendor issue resolved. Ms. Persico stated how important it is to have more clarification on the Mobile Vending subject.
 Karen Stevenson, previous City of Willits HR Manager, stated that she does not feel that the Grand Jury Report went far enough. Ms. Stevenson announced that she participated in the Grand Jury interviews. She did not know who else was interviewed because that is secretive but that based on a brief dialog with Ms.

Rodriguez on social media, Ms. Rodriguez seemed to know who was interviewed. Ms. Stevenson explained that the city has a toxic environment, but adds that it was toxic on both sides, leadership as well as top management. Ms.

Stevenson would like everyone to read the report and not think it was all a misunderstanding, because it clearly was not.
 Stephanie Stainbrook expressed concern over the transparency of the City. Ms.

Stainbrook inquired why certain staff members are not being held accountable.

She expressed concern over all the projects that have been pushed through. Ms.

Willits City Council Minutes of July 23, 2025 Page 3 of 8 Moved by Alaniz/Seconded by Gonzalez and carried unanimously to approve Consent Calendar item (aii).
b. Adoption of County of Mendocino Services Agreement for Animal Control Services within the City of Willits in an amount not to Exceed $24,732.00.  Councilmember Burton does not feel that the City should enter into an Agreement with the County of Mendocino for Animal Control Services until the City has an approved budget.
 Chief Fay explained the need for the services and explained the Willits Police Department did not have the staff or the facilities to take on Animal Control Services for the City. Animal Control provides a level of service that the Willits Police Department does not have, nor do they have the facilities for the service.
 Mayor Allman inquired if the City would need to provide Animal Control Services if they do not enter into an agreement for a service that was previously provided.
 Jim Lance, City Attorney responded yes, the City would need to Provide services.
 Councilmember Gonzalez added that Animal Control also deals with animals that may have rabies, and the shelter provides the housing for animals that Animal Control picks up.
 Vice Mayor Alaniz confirmed that Animal Control is a budgeted item in the previous year’s budget. Mr. Alaniz inquired if it will be included in the current year’s budget. Chief Fay responded that it would.

Public Comment:
 Stephanie Stainbrook inquired as to the type of services the City of Willits would receive from Animal Control. It is hard to reach Animal Control and when they are reached, they do not show up. Will Animal Control require the City of Willits to build a shelter to help with the overflow when the shelter in Ukiah is full.  Robin Leler thanked the City Council for starting up the Finance Committee Meetings again and she said that this would be what Measure K Funds are for.  Tamara Alaniz spoke in support of approving the agreement with Animal Control.  Cathrine Masiello, although she agrees with Councilmember Burton but feels that Animal Control services should continue, it is in the Willits Police Departments budget.

Moved by Gonzalez/Seconded by Alaniz and carried 4/1 with Burton dissenting to approve Consent Calendar item (b).
c. Adopt a Resolution Authorizing Continuation of Municipal Operations of Another Thirty (30) Days Based upon the Fiscal Year 2024-2025 Budget.  Vice Mayor Alaniz stated that Finance Director Orozco has provided the information that allows the Council to see the Cash Flow part of the budget and as well as the audits being slowly caught up is putting the current Council is the position to make sounder decisions. When the Council and Staff meets for the Budget Workshop on August, he feels that they should be able to reach Willits City Council Minutes of July 23, 2025 Page 4 of 8 a budget that will be successful for the City. Mr. Alaniz added that he trusts the process and that working with the Staff of the process.  Councilmember Burton said that he is not comfortable making a decision because he received the documents that were presented to the Finance Committee at 5:00 today.
 Councilmember Gonzalez agreed with Councilmember Burton that he was not comfortable with this as well but knows it is a legal requirement. Mr.

Gonzlez explained that he would like to have a date picked to have the Budget Workshop to avoid another extension in August.
 Rod Wilburn, Interim City Manager, stated that the City could push the expenses related to the Clean California Grant to next year so they would not be a burden on the General Fund until it recovers. Also, this assumes that the Rail with Trail project is billed against the Measure K Funds. The Cash Flow chart that was distributed represents barebones expenses in the General Fund, there are no projects, it is primarily payroll against the revenue. Mr.

Wilburn feels that there needs to be more clarification as to how it impacts the general services provided by the City and that the city management is working on this and may need to bring it back to a special meeting to go over the potential issues.
 Mayor Allman asked if the City was complying with the law by Authorizing the Continuation of Municipal Operations of another thirty days based upon the Fiscal Year 24-25 budget. City Attorney Lance responded yes.

Public Comment:
 Stephanie Stainbrook asked if the Measure K Funds that were supposed to be used for the Police Department would now be used for the Rail with Trail. Mayor Allman explained that the money would be used from Measure K and then reimbursed with the grant funds came in from the State.
 Helen Sims asked what is the one time increase under the public safety expenses in August in the amount of about $80,000.00. Finance Director Orozco responded that due to the payroll being biweekly there are three payrolls in August. This happens twice a year. There are twenty-six payrolls over a 12-month period.

Moved by Gonzalez/Seconded by Alaniz and carried 4/1 with Burton dissenting to approve Consent Calendar item (c).
d. Adopt a Resolution to Increase Appropriations for a Transfer of Measure K Funds to the General Fund, in the Amount of Two Million Dollars ($ 2,000,000), to Cover the Shortfall of General Fund Expenses.
 Mayor Allman informed the audience that the Measure K Committee met in June and has three oversight committee members. There was good discussion at the meeting, and the purpose of the Measure K Fund is to keep government running.
 Councilmember Gonzalez stated that he attended the Finance Committee meeting in July as an observer, he agreed with the Mayor, that Measure K is being used to fill the gap.
 Councilmember Burton expressed concern over the requests for transfers that have been made over the past two months and again there is a transfer Willits City Council Minutes of July 23, 2025 Page 5 of 8 request for this month. He questioned if another transfer would be requested next month. Finance Director Orozco responded no.

Public Comment:
 Stephanie Stainbrook asked if the hiring freeze would be discontinued. Mayor Allman responded that the hiring freeze is only for non-critical positions, and that if we have a potential Police Officer that is in the background portion of hiring and passes the City would hire the Officer.
 Madge Strong stated that the previous City Council did not receive adequate information about the extent of the financial problems facing the City, they were assured that things were looking fine, a budget was adopted on that basis. Ms.

Strong feels it is appropriate to use Measure K Funds to fill the gap to make the City able to function and she supports the $2,000,000 transfer based on the current circumstances.
 Karen Stevenson spoke in support of the hiring freeze not affecting the Police Department.
 Cathrine Masiello expressed her shock over the state of the City’s finances. Ms.

Masiello is against the transfer of the $2,000,000.

Moved by Gonzalez/Seconded by Stranske and carried unanimously to approve Consent Calendar item (d).
e. Adopt a Resolution for SHN Engineering Proposal for Construction Materials Testing and Geotechnical Engineering Services for the Rail with Trail Project 2021-03 for the Amount of $120,275.00.

Duley stated that they are not proposing Consultant time, and the project will use Caltrans fund for the project.

Public Comment:
 Stephanie Stainbrook expressed concern over there only being two entrances in the area of the newly proposed housing near the Morman church. Putting a round-about in the area may cause an issue with people slowing down to turn into the housing area.

Mayor Allman agreed he is on the right track.

TO: Mayors, Council Members, City Clerks, and City Managers RE: DESIGNATION OF VOTING DELEGATES AND ALTERNATES
League of California Cities Annual Conference and Expo, Sept. 20-22, 2023, Sacramento SAFE Credit Union Convention Center
Every year, the League of California Cities convenes a member-driven General Assembly at the Cal Cities Annual Conference and Expo. The General Assembly is an important opportunity where city officials can directly participate in the development of Cal Cities policy.

Taking place on Sept. 22, the General Assembly is comprised of voting delegates appointed by each member city; every city has one voting delegate. Your appointed voting delegate plays an important role during the General Assembly by representing your city and voting on resolutions.

To cast a vote during the General Assembly, your city must designate a voting delegate and up to two alternate voting delegates, one of whom may vote if the designated voting delegate is unable to serve in that capacity. Voting delegates may either be an elected or appointed official.

Please complete the attached voting delegate form and email it to Cal Cities office no later than Monday, August 28.

New this year, we will host a pre-conference information session for voting delegates to explain their role. Submitting your voting delegate form by the deadline will allow us time to establish voting delegate/alternate records prior to the conference and provide preconference communications with voting delegates.

Please view Cal Cities’ event and meeting policy in advance of the conference.

Action by Council Required. Consistent with Cal Cities bylaws, a city’s voting delegate and up to two alternates must be designated by the city council. When completing the attached Voting Delegate form, please attach either a copy of the council resolution that reflects the council action taken or have your city clerk or mayor sign the form affirming that the names provided are those selected by the city council.

Please note that designating the voting delegate and alternates must be done by city council action and cannot be accomplished by individual action of the mayor or city manager alone.

Council Action Advised by August 28, 2023
Conference Registration Required. The voting delegate and alternates must be registered to attend the conference. They need not register for the entire conference; they may register for Friday only. Conference registration is open on the Cal Cities website.

For a city to cast a vote, one voter must be present at the General Assembly and in possession of the voting delegate card and voting tool. Voting delegates and alternates need to pick up their conference badges before signing in and picking up the voting delegate card at the voting delegate desk. This will enable them to receive the special sticker on their name badges that will admit the voting delegate into the voting area during the General Assembly.

Transferring Voting Card to Non-Designated Individuals Not Allowed. The voting delegate card may be transferred freely between the voting delegate and alternates, but only between the voting delegate and alternates. If the voting delegate and alternates find themselves unable to attend the General Assembly, they may not transfer the voting card to another city official.

Seating Protocol during General Assembly. At the General Assembly, individuals with a voting card will sit in a designated area. Admission to the voting area will be limited to the individual in possession of the voting card and with a special sticker on their name badge identifying them as a voting delegate.

The voting delegate desk, located in the conference registration area of the SAFE Credit Union Convention Center in Sacramento, will be open at the following times:

Wednesday, Sept. 20, 8:00 a.m.- 6:00 p.m. and Thursday, Sept. 21, 7:30 a.m.- 4:00 p.m. On Friday, Sept. 22, the voting delegate desk will be open at the General Assembly, starting at 7:30 a.m., but will be closed during roll calls and voting.

The voting procedures that will be used at the conference are attached to this memo.

Please share these procedures and this memo with your council and especially with the individuals that your council designates as your city’s voting delegate and alternates.

Once again, thank you for completing the voting delegate and alternate form and returning it to Cal Cities office by Monday, Aug. 28. If you have questions, please contact Zach Seals at [email protected].

Sixty days before the
Annual Conference and
Expo, Cal Cities members
may submit policy
proposals on issues of
importance to cities. The
resolution must have the concurrence
of at least five additional member cities
or individual members.

How it works: Cal Cities
Resolutions and the General Assembly
General Assembly
General Resolutions
Policy Committees
Developing League of California Cities policy is a dynamic process that engages a wide range of members to ensure that we are representing California cities with one voice. These policies directly guide Cal Cities advocacy to promote local decision-making, and lobby against statewide policy that erodes local control.

The resolutions process and General Assembly is one way that city officials can directly participate in the development of Cal Cities policy. If a resolution is approved at the General Assembly, it becomes official Cal Cities policy. Here’s how Resolutions and the General Assembly works.

The petitioned resolution
is an alternate method
to introduce policy
proposals during the
annual conference. The
petition must be signed by
voting delegates from 10% of member
cities, and submitted to the Cal Cities
President at least 24 hours before the
beginning of the General Assembly.

Petitioned Resolutions
The Cal Cities President
assigns general resolutions
to policy committees where
members review, debate,
and recommend positions for
each policy proposal. Recommendations are
forwarded to the Resolutions Committee.

Who’s who
The Resolutions
Committee includes
representatives from
each Cal Cities diversity
caucus, regional
division, municipal
department, policy
committee, as well as
individuals appointed by
the Cal Cities president.

Voting delegates
are appointed by each
member city; every city
has one voting delegate.

The General Assembly
is a meeting of the
collective body of
all voting delegates —
one from every
member city.

Seven Policy
Committees meet
throughout the year to
review and recommend
positions to take on
bills and regulatory
proposals. Policy
committees include
members from each Cal
Cities diversity caucus,
regional division,
municipal department,
as well as individuals
appointed by the Cal
Cities president.

During the General Assembly, voting delegates
debate and consider general and petitioned
resolutions forwarded by the Resolutions Committee.

Potential Cal Cities bylaws amendments are also
considered at this meeting.

Cal Cities policy
development is a
member-informed
process, grounded
in the voices and
experiences of city
officials throughout
the state.

Resolutions Committee
The Resolutions Committee
considers all resolutions.

General Resolutions approved1
by either a policy committee
or the Resolutions Committee
are next considered by the General
Assembly. General resolutions not approved,
or referred for further study by both a policy
committee and the Resolutions Committee
do not go the General Assembly. All
Petitioned Resolutions are considered by the
General Assembly, unless disqualified.2
• Voting delegates will receive increased communications to prepare them for their role during the General Assembly.
• The General Assembly will take place earlier to allow more time for debate and discussion.
• Improvements to the General Assembly process will make it easier for voting delegates to discuss and debate resolutions.

What’s new in 2023?
During the Annual Conference and Expo
1 The Resolution Committee can amend a general resolution prior to sending it to the General Assembly. 2 Petitioned Resolutions may be disqualified by the Resolutions Committee according to Cal Cities Bylaws Article VI. Sec. 5(f).

Agenda Title: DISCUSSION TO MODIFY CHAPTER 2.40- AIRPORT, AMENDING WILLITS MUNICIPAL CODE ORDINANCE 2.40.030 AND 2.40.040, ENTITLED “REGULATIONS FOR USE AND CONDUCT-GENERALLY”.

Type: Presentation Consent Regular Agenda Public Hearing Urgent Time: 15 minutes.

Summary of Request: At the direction of the FAA through their determination of the Part 16 Complaint received on April 11th the City of Willits Municipal Airport – O28 was ordered to modify the existing Municipal Code in order to effectively enforce airport rules and regulations to address pedestrian and other unauthorized access to maintain compliance and safe flight operations. The Director proposed that Willits City Council adopt an ordinance prohibiting unauthorized use of O28 and making such use of O28 a misdemeanor.

Recommended Action: As the FAA has found the City in violation of Grant Assurance 19, staff recommends the Council adopt the proposed modification of the existing ordinance to maintain compliance and continue eligibility of grant funds by making trespassing and unauthorized use of the Airport a misdemeanor.

Alternative(s): Reject the modification to the ordinance and potentially forfeit grant funding pending further determination by the controlling agency.

Fiscal Impact: Additional signage and staff time allocations.

Personnel Impact: Increased staff time spent monitoring, documenting and enforcing.

Re: Paul Trexel v. City of Willits, CA (FAA Docket No. 16-23-07) Dear Ms. Moorehead:

On April 11, 2025, I issued a Director’s Determination finding the City of Willits, CA to be in violation of its federal obligations with respect to Grant Assurance 19, Operation and Maintenance. The City was directed to submit a Corrective Action Plan (CAP) for review and approval within 30 days from the issue date, which we received on May 9, 2025.

The Director’s Determination ordered that:

The plan shall explain in detail how the City, as a sponsor of O28, intends to return to compliance with its Federal grant obligations, including the following required actions:

1. Explain in detail how the City intends to return the Airport to compliance with its federal obligations concerning Grant Assurance 19, Operation and Maintenance, as described in Issue 2.

2. The CAP shall, at a minimum, describe the City’s plan and schedule to develop, implement, and enforce airport rules and regulations to address pedestrian and other unauthorized access to O28. The City’s plan should discuss efforts to appropriately staff, manage, and operate the airport in a manner that will ensure consistent, ongoing compliance with its federal obligations, as described in Issues 2 and 3.

My review of the proposed corrective actions is detailed below:

ISSUE 2
The Director’s Determination found:
2 The City is in violation of Grant Assurance 19, Operation and Maintenance by its longstanding failure to operate the airport in a safe and serviceable condition related to persistent, unmitigated pedestrian/unauthorized access to O28 (Issue 2).

CITY’S PROPOSED CORRECTIVE ACTION:

Regarding security improvement at O28, the City will:

1. Propose that the Willits City Council adopt an ordinance prohibiting unauthorized use of O28 and making such use of O28 and making such use as a misdemeanor. Staff expects to place this item on the City Council’s agenda for its July/August meeting.

2. Evaluate the need to install additional signage to warn people that pedestrians and vehicles may not access or use O28 except for aeronautical purposes or as expressly permitted by the City.

3. Strictly enforce current rules prohibiting airport tenants from sharing gate access codes or otherwise allowing unauthorized non-aeronautical users to access O28.

4. Regularly inspect the gate and fencing to ensure they are operating and in good repair.

5. Evaluate whether additional rules or ordinances are warranted as part of a comprehensive process to develop Rules and Regulations and Minimum Standards for O28.

Regarding Airport Rules and Staffing, the City will:

1. Request City Council approval to issue a Request for Proposal (RFP) for professional services to update existing ordinances and establish Rules, Regulations, and Minimum Standards for the Airport, and to conduct a Rate Study and Airport Assessment. Staff expects to place this item on the City Council’s agenda for its July/August meeting.

2. [The RFP will] Specify a goal of improving security at the airport and the imposition of penalties and other enforcement mechanisms designed to reduce incidents of unauthorized public access to the airport and runway.

3. Enter a formal contract with the selected candidate with a clearly defined scope of work and deliverables. A projected date of completion will also be established in the contract term. The City is targeting 6 months from the City Council approval date to one year for documents to be completed. In researching the typical industry timeline, a Rate Study and Airport Assessment can normally be completed within 6 months, and Rules and Regulations is normally predicted to take up to one year. 3 4. Assign a staff maintenance technician to the Airport who will continue to make scheduled visits to the Airport to inspect the security camera system and control room to ensure it is functioning correctly, inspect all gates, fences, and access points to make sure they are secure and there is no evidence of tampering. The Airport Manager and Operations Supervisor also make weekly and weekend visits, talk with tenants, and review the grounds. The Willits Police Department will continue to patrol the Airport as often as possible to monitor compliance and address any issues.

DIRECTOR’S RESPONSE
I reviewed the proposed corrective actions and observed the proposed CAP addresses the issues in two distinct parts. For the first part, I agree the City can and should, in good faith, take immediate steps to enhance airfield safety and security prior to the July/August City Council meeting, including but not limited to:

Security: Evaluate the need to install additional signage to warn people that pedestrians and vehicles may not access or use O28 except for aeronautical purposes or as expressly permitted by the City.

Strictly enforce current rules prohibiting airport tenants from sharing gate access codes or otherwise allowing unauthorized non-aeronautical users to access O28.

Regularly inspect the gate and fencing to ensure they are operating and in good repair.

Evaluate whether additional rules/ordinances are warranted as part of a comprehensive process to develop Rules and Regulations and Minimum Standards for O28. And, Airport Rules and Staffing:

Assign a staff maintenance technician to the Airport who will continue to make scheduled visits to the Airport to inspect the security camera system and control room to ensure it is functioning correctly, inspect all gates, fences, and access points to make sure they are secure and there is no evidence of tampering. The Airport Manager and Operations Supervisor also make weekly and weekend visits, talk with tenants, and review the grounds. The Willits Police Department will continue to patrol the Airport as often as possible to monitor compliance and address any issues.

For the second part, the CAP proposes more formal (and time-consuming) actions requiring City Council approval. We do not object but note the City’s prior defense of the allegations in this proceeding made multiple references to a Professional Services Agreement (PSA) entered into with a consultant (FAA Exhibit 1, Item 8, Exhibit J) to help improve the Airport in various ways.

This includes but is not limited to, actions such as:
4 Assist City staff in developing, reviewing, and updating standard operating procedures (SOP) for the airport-related works (Determination, p. 13).

Design and install security and fencing improvements: including but not limited to fencing, security cameras, gates, and signage. (Determination, pp. 12-13).

Airport operational and management support (Determination, p. 13).

By all appearances – and in defense of the allegations against it – the City was already well positioned to leverage the services of a consultant.1 However, nothing in the record or the CAP suggests that individual Task Orders were executed to perform services related to the PSA regarding airport rules, safety, security, or any other issue related to the Grant Assurance 19 findings. We would have expected the City to have shown progress on these consultant-related tasks. Now, the City proposes to pursue a new RFP for similar professional services (perhaps with a different consultant) with the deliverables being potentially completed within 6 months to a year of the approved RFP, contingent on City Council approval. While consultant service procurement is a discretion reserved to the City, as the Director, I am concerned the City’s previous defenses indicated a consultant relationship already existed to address these issues and, to a certain degree, actions already underway. I am now concerned that, yet another procurement delay is required for the City to effectuate certain corrective actions.

Nonetheless, while the FAA recognizes the City’s administrative and legislative processes, specifically the July/August City Council meeting, are necessary and could result in approvals for certain corrective actions, we are unable to approve this part of the City’s proposed corrective action plan until the City provides the outcome of the City Council vote(s), a detailed plan of action the City will undertake resulting from the Council approvals, product deliverables, and the timeframe for which the actions will be developed and implemented. Upon receipt, we will assess the plan, provide input, and outline necessary steps for monitoring the City’s actions and mitigations before we can satisfactorily close out the CAP phase of this proceeding.

Black= existing language in Willits Muni Code
Yellow = what the FAA director quoted from the Mendocino County Muni Code regarding their policy on trespassing that he wanted us to use (page 17 in his determination letter.) 2 Red= what I included in the ordinance from Ukiah and Healdsburg Muni Code or Lochner For reference here is what the FAA Director determination included regarding the City’s obligation to modify the existing ordinance :
“mitigations are reactionary and largely due to complaints from Trexel. The City has not been adequately proactive in the manner expected of a federally obligated airport sponsor with a continuing obligation to operate the airport safely. For example, broken, unlocked, or wide-open gates resulting in unfettered access to the airfield movement areas require a proactive response by the City to expeditiously mitigate the safety risk. Yet for months during 2023, for example, an apparently unsafe situation was allowed to persist because of alleged parts availability and procurement delay. (FAA Exhibit 1, Item 10).

This example and others are relevant because the City was well aware of ongoing tenant and community interest in accessing the airport for pedestrian uses. Neither protracted city procurement processes, understaffing, nor lack of time and resources to adequately manage the airport constitutes a valid justification for not mitigating unauthorized and potentially unsafe airfield access. An airport sponsor cannot be merely a casual observer or leave safety monitoring or responsibility in substantial measure or degree to airport tenants and users. Rather, an airport sponsor must exercise its full proprietary rights, responsibilities, and obligations to identify and expeditiously extinguish unsafe activity on a federally obligated airport, such as O28.

Notably absent from the record is any reference to the City’s established or published Airport Rules, Regulations, or Minimum Standards.

A search of the City’s airport website (https://cityofwillits.org/135/Airport) did not result in any type of airport regulatory or standards document.

A search of the City’s municipal code identified Chapter 2.40 – Airport as establishing an airport commission and duties, general airport use and conduct regulations, airport rates and regulation authorities, and penalties for violation of use and conduct regulations. (https://library.municode.com/ca/willits/codes/code_of_ordinances).

A review of the municipal code finds that none of the regulations address the topic of pedestrians or other unauthorized non-aeronautical use of the airport or provide penalties for such.
3 In contrast, Mendocino County, CA13 – where the City of Willits and O28 are located – owns and operates two federally obligated airports and specifically denotes in county ordinance Section 8.64.050 – General, paragraph (d), Use of Roads and Walks, that under threat of penalty:

No person shall operate any vehicle or travel on an airport in any manner except on roads, walks, paths, and areas provided for the particular means of travel. No obstructions shall be permitted on any road, walk, or path without written approval of the County.

Even the City’s ordinances that are, ostensibly, applicable to O28 contain an apparent reference that cuts against the City’s arguments. Namely, City municipal code refers to an Airport
The City’s apparent contract with Armstrong Consultants, Inc. is intended to advise the City on a broad range of matters pertaining to the Airport’s management and operations.

The City asserts that the Airport Manager consults with Armstrong regularly to improve the Airport’s operation and management in a grant-compliance manner. (FAA Exhibit 1, Item 4, p. 8). However, nothing in record demonstrates substantial contractor involvement.

The Director is not suggesting that one-for-one airport comparison is necessarily appropriate. However, at the very least, it is not uncommon to have airport regulations particular to the topic of trespass situations. Recognizing the potential importance and relevance of such regulations, the City represented in 2023 that it was developing regulations specific to airport safety and pedestrian access. (FAA Exhibit 1, Item 10, Exhibit 6). The record does not contain evidence on the status of that regulation drafting effort.”

FAA DETERMINATION
1 SUGGESTED CHANGES
Kenan,
WMC 2.40.030 presently has subsections A through L regulating use and conduct at the airport generally. Did you intend to add a new section 2.40.040, and not make changes to

2.40.030?
If so, I suggest we rename it something like Regulations for use and conduct re Airport security.

2.40.030 – (Becomes 2.40.040) Regulations for use and conduct—Airport Security The following rules and regulations for the use and conduct of Willits municipal airport are adopted:

A. No person shall operate any vehicle or travel on the airport property by any manner except on roads, paths, walks, and areas provided for that particular means of travel. No obstructions shall be permitted on any road, path, or walk without permission from the Airport Manager or their designee. No person shall enter upon the paved runway of the Willits Municipal Airport, except when engaged in lawful business in the operation of aircraft or in assistance to operators of aircraft. (HEALDSBURG) Willits Municipal Airport shall be conducted as a terminal facility for the promotion and accommodation of air commerce and shall be operated as a public terminal.

B. It shall be unlawful to enter and remain on the Airport property except for transient pilots, airport tenants and their guests or families under their direct supervision, personnel conducting aeronautical activities, maintenance personnel, or contractors without prior permission from the Airport Manager or City Manager. (UKIAH) C. It shall be unlawful for airport tenants to share airport gate access codes or keys with non-tenants or to otherwise allow or facilitate unauthorized and unsupervised access and use of the Airport property for any purpose.

D. Tampering with, damaging, or altering without express written authorization from the Airport Manager of Airport property, equipment, or infrastructure is unlawful and will be a violation and subject to the penalties set forth in section 2.40.130.

The airport shall be open for aeronautical use during daylight hours until otherwise directed by the airport manager and subject to such restrictions due to inclement weather, the 2 conditions of the landing area, the presentation of special events and like causes as may be determined by the Airport Manager.

PENALTIES
Any person, firm, or corporation who shall violate or refuse to abide by any provision of this chapter or any of the rules and regulations set forth in this article or any of the provisions or law provided therein or herein, shall be guilty of a misdemeanor and, upon any conviction thereof, shall be punishable by a fine not exceeding one thousand dollars ($1,000) or by imprisonment not exceeding six (6) months, or by both such fine and imprisonment. (ORD #) (UKIAH)
(Kenan, a misdemeanor conviction for trespassing in now punishable by a fine not exceeding one thousand dollars ($1,000) o 6 months in jail or both.) WMC 240.130 presently has the following two paragraphs stating the applicable penalties for violating the regulations in this chapter. The first paragraph provides for removal or eviction of persons who violate the regulations. I suggest adding “airport tenant” to the first sentence to apply to tenants who share gate codes. The second paragraph is very similar to the Ukiah penalty language. Perhaps what we should do is amend the ordinance by (1) adding new section 2.40.040 adding the language you have proposed; (2) and making some changes to the penalty provisions at 2.40.130 to specifically discourage sharing of gate codes, etc.,. I don’t think we want penalty provisions at both of these sections.

2.40.130 - Violation-Penalties.

A.

Any airport tenant or person operating or handling aircraft in violation of the regulations set forth in this chapter, commencing with Section 2.40.030 and any regulations promulgated hereunder, including those provided at Section 2.40.040, or refusing to comply therewith, may be removed or evicted from the airport or may be temporarily grounded by or under the authority of the airport manager; and upon the order of the city council may be deprived of the further use of the airport and its facilities for such length of time as may be deemed necessary to insure safeguarding of the same and the public and its interest therein.

B.
3 Any person, firm or corporation who violates or refuses to abide by any provisions set forth in Section 2.40.030, Section 2.40.040, or any of the rules and regulations set forth herein, or pursuant hereto, or any of the provisions or law provided therein, is guilty of a misdemeanor and upon conviction thereof shall be punishable by a fine not exceeding one thousand dollars, or by imprisonment not exceeding six months, or by both such fine and imprisonment.

AGENDA SUMMARY REPORT
To: Honorable Mayor Tom Allman and Council Members
From: Rod Wilburn, Interim City Manager
Agenda Title: UPDATE ON THE RAIL WITH TRAIL PROJECT WITH RECOMMENDATION TO ALLOCATE MEASURE K FUNDS IN THE AMOUNT OF $417,145.50 TO COVER THE CONSTRUCTION AND PROFESSIONAL SERVICES COST UP TO $9,428,235.50.

Type: Presentation Consent Regular Agenda Public Hearing Urgent Time: 15 minutes.

Summary of Request:

This agenda summary report provides the Willits City Council with a clear and up-to-date overview of the Rail with Trail Project’s construction budget, funding sources, and recommended financial actions to ensure successful project delivery. It outlines the secured grant funding as of February 13, 2025, and details all major project cost components—including construction contract status, anticipated amendments, and professional services required for project completion.

Additionally, this report recommends reducing the construction contract contingency to 5% of the base bid, with any remaining funding gap covered by Measure K revenue, thus aligning City funding practices with industry standards for public works budgeting. The information presented will support Council decision-making and maintain fiscal transparency by clarifying appropriate use of grant funds and local resources, and by listing all relevant contract and management costs associated with the project.

Agenda Summary Report – Revisions
Original Request (as presented)
• Budget Base: The staff report and recommendation referenced the Engineer’s Probable Cost Estimate of $8,233,390 as the baseline for the project budget, proposing to award the construction contract to Bouthillier’s Construction Inc. in an amount not to exceed $8,979,271.90. • Budget Shortfall: The difference ($745,881.90) between the contract award and the Engineer’s Estimate was described as an overage due to higher than anticipated costs and calculation corrections, with staff directed to seek additional funds or consider reducing the project scope if funds could not be secured. • Contingency: The original fiscal impact did not specify the contingency funding required to properly cover potential change orders, rather only noted authorization for construction change orders up to 10% of the contract amount.
• Recommendation: The staff recommended that the City Council approve the contract award, authorize the contract execution, and approve change orders up to 10% cumulatively, but pending the identification and approval of funds to cover costs that exceeded the Engineer’s Estimate.

Revised Request (reflecting actual secured construction funding) • Budget Base: With the completion of the bidding process, the Engineer’s Estimate no longer represents a valid or actionable budget figure; per standard municipal best practice, it should not be used for fiscal appropriations once competitive bids are received and the low responsive bid is confirmed.

All budget actions should now be based on the actual low bid plus contingency. • Secured Construction Funding: The City has secured grant and eligible construction funding totaling $9,011,090. This includes sources such as the Caltrans ATP Construction Grant, SCC grant (net of prior expenditures), Caltrans ATP Non-Infrastructure funds, and recently administratively approved SCC funds. • The total available construction budget available at time of award of construction contract (February 13, 2025) for the project at bid award was $9,011,090, comprised of the following:

Grant Source Amount Notes
Caltrans ATP Grant (Construction) $5,423,000 Construction contract costs SCC Grant (Construction + Mitigation + State
Permits) $3,588,090 Total award $3,813,000
Total After SCC Expenses Deducted $9,011,090 February 13, 2025 construction budget • Actual Project Cost: The construction contract to be awarded is $8,979,271.90. For responsible fiscal management, a 5% contingency ($448,963.60) should be budgeted, yielding a total construction appropriation needed of $9,428,235.50.
• Budget Request:
o Authorize the allocation of the additional $417,145.50 in Measure K local sales tax funds to ensure full coverage of the contract and contingency.
o Do not use or reference the Engineer's Estimate for budget actions, as it is replaced by the actual low bid and contingency requirements.

Key Clarifications
• Engineer’s Estimate: The Engineer’s Probable Cost Estimate served as a planning tool prior to bid opening. Once competitive bids are received and a contract award is pending, the Engineer’s Estimate has no legal or budgetary value for project appropriation purposes. All post-bid actions must be based on the confirmed low bid.
• New Budget Standard:
o Low Bid + Contingency = $9,428,235.50 (true fiscal requirement for contract and prudent risk management).
o Secured Grant Funds: $9,011,090
o Measure K Requested: $417,145.50 (to close the funding gap and cover contingency) • Fiscal Responsibility: This approach ensures that anticipated and unforeseen project costs are covered up to $9,428,235.50, minimizing the need for subsequent budget actions or project delays. If the project costs exceed that amount, future budget actions will be brought back to the City Council.

Current Construction Contract & Project Budget Items
As of August 2025, the current construction contract with Bouthillier’s Construction Inc. is $8,787,444.54 (including amendments to date). A pending contract amendment of $225,000 is anticipated, which would bring the total contract amount to $9,012,445.

In addition to the construction contract, the following project support costs are included in the budget:

Grant Coverage and Next Steps
• Secured grant funds ($9,011,090) cover the majority of project construction and management costs. • Pending contract amendment and additional support services require full appropriation of secured grants.

Any cost exceeding grant funds will require allocation of local resources (such as Measure K or General Fund) or additional grant acquisition.
• SCC Climate Funds and administrative funds may further supplement project financing as approved and available.

Implementation of this action will:
• Ensure the project remains funded and on track for construction, • Maintain essential oversight and testing/inspection capacity, • Use Measure K revenue strategically and efficiently,
• Reduce the contingency related to construction cost to ensure City Council is notified should project costs exceed $
City staff will monitor expenditures and return to Council for further approvals if additional costs or savings are identified over the course of construction.

Item Amount Description
Bouthillier’s Construction Contract (current,
w/amendments) $8,787,444.54 Executed contract and approved amendments.

2. Measure K Ordinance
Recommended Action:

To ensure financial stewardship and appropriate use of available funding, staff recommend the following actions:

1. Reduce the construction contract contingency associated with the Rail with Trail Project (Project No. 2021-03) to 5% of the base construction bid.
o With a base bid of $8,979,271.90, a 5% contingency will be $448,963.60 for a total project cost post construction bid award of $9,428,235.50.
o This provides some flexibility for unforeseen changes while allowing use of grant and local funds.

2. Use Measure K tax revenue to cover the balance of project costs not met by secured grant funds. o Secured construction-related grant funds as of February 13, 2025, total $9,011,090. o Projected total construction project costs, including awarded contract, anticipated amendments, construction management, materials testing, inspections, cultural monitoring, resident engineer services, and contingency, are $9,198,640, plus additional GHD construction engineering charges as payable by the City.
o The difference between available grant funds and total project costs should be funded by Measure K revenue (estimated at approximately $187,550, plus any direct GHD charges).

3. Approve a corresponding budget amendment reallocating Measure K general tax revenue to cover the unfunded balance of project expenditures (including the reduced contingency), ensuring the project can be completed as scoped and on schedule without jeopardizing essential quality or compliance oversight.

The use of Measure K funding to cover the balance of the Rail with Trail Project costs is consistent with the intent of the tax measure and the Measure K ordinance adopted by the City of Willits. Measure K, enacted through Ordinance No. 2020-03, imposes a three-quarter cent general transaction and use tax to fund vital city infrastructure, including road maintenance, parks, public safety, and other essential facilities and services.

Specifically, Chapter 3.32 of the Willits Municipal Code, established by Ordinance No. 2020-03, authorizes the allocation of Measure K revenues “to be used to fund general revenue purposes” relating to the maintenance and improvement of local infrastructure within the City (Sec. 3.32.030). The ordinance further requires citizen oversight and annual audits (Sec. 3.32.140) to ensure transparent and proper usage of these funds.

Utilizing Measure K revenues to fund the local share of the Rail with Trail Project aligns directly with these authorized purposes—supporting transportation-related capital improvements, pedestrian and bicycle facilities, and enhancing the quality of life for Willits residents. Therefore, appropriating Measure K funds to supplement the project’s grant funding is fully consistent with both the voter-approved measure and the City’s governing ordinance.

Alternative(s): None recommended
Fiscal Impact: Impact to the Masure K tax revenue fund that totals approximately 32% of the annual revenue generated by the 0.75% tax levied on local purchases.

Personnel Impact: Added responsibilities for staff from Services and Facilities and Community Development to manage the construction project and budget changes to keep the project cost below $9,428,235.

Identified City Council Conflict of Interest: None.
2025 Adopted Goals: N/A

Agenda Title: ADOPT A RESOLUTION TO REJECT A BID PROTEST BY ARGONAUT

CONSTRUCTORS, AND AWARD THE CONSTRUCTION CONTRACT OF THE RAIL WITH TRAIL (PROJECT NO. 2021-03) TO BOUTHILLIERS CONSTRUCTION INC. IN AN AMOUNT NOT TO EXCEED $8,979,271.90. THE CONTRACT AWARD REQUIRES THE REJECTION BY THE CITY COUNCIL OF A BID PROTEST BY ARGONAUT CONSTRUCTORS. AUTHORIZE THE CITY MANAGER TO EXECUTE

THE CONTRACT AND APPROVE CONSTRUCTION CHANGE ORDERS UP TO A CUMULATIVE TOTAL OF 10-PERCENT OF THE TOTAL CONTRACT AMOUNT. A SUBSEQUENT BUDGET AMENDMENT IS NECESSARY TO COVER HIGHER THAN ANTICIPATED COSTS.

Type: Presentation Consent Regular Agenda Public Hearing Urgent Time: 20 min Summary of Request: The Rail with Trail Project No. 2021-03 was advertised for two weeks over 68 days and had over sixteen contractors participated in the mandatory site review. On January 14, 2025, bids were publicly opened. The City of Willits received nine bids:
1 Bouthillier’s Construction Inc. $8,979,271.90
2 Argonaut Constructors Inc. $9,323,171.00
3 Ghilotti Bros. $9,417,456.99
4 Stacy & Witbeck Inc. $9,426,800.00
5 Rege Construction $9,781,380.00
6 Gordon N. Ball Inc. $10,401,209.00
7 Granite Construction Company $10,436,121.20
8 Ghilotti Construction Company $10,928,807.75
9 GR Sundberg Inc. $12,075,489.35
Staff conducted a comprehensive evaluation of all bids. However, before a recommendation could be made to award the contract, Argonaut Constructors filed a bid protest against the apparent low bidder, Bouthillier Construction. Staff, along with the City Attorney and Sally Riley of Riley Compliance, thoroughly reviewed the bid protest, carefully assessing its merits. After this review, it was determined that Bouthillier Construction Inc. submitted the lowest responsive and responsible bid. Please refer to the City Attorney’s memo for findings to sustain the rejection.

Staff recommends that the City Council award a construction contract to Bouthillier’s Construction Inc. for the not to exceed amount of $8,979,271.90. The difference of $745,881.90 is due to higher than anticipated costs and calculation errors on the submitted bid.

The Engineer’s Probable Cost Estimate was $8,233,390.00 as approved by the City Council.

This project is budgeted in the Capital Improvement Program in FY 2025. The project is scheduled to tentatively begin April 2025, and last for 290 working days.

Attached are the Bid Summary, Resolution and City Attorney Memo.

Informational Purposes
Recommended Action: By Resolution, award a contract to Bouthillier Construction Inc. in an amount not to exceed $8,979,271.90 for the construction of the Rail with Trail Project (Project No. 2021-03), and authorize the City Manager to execute the contract. This recommendation requires staff to secure additional funding to cover higher projected project costs. Once secured, staff will present the funds to the City Council as part of a budget amendment. Additionally, authorize the City Manager to approve construction change orders up to a cumulative total of 10-percent of the total contract amount.

Alternatives:
1) Reject the bid and rebid at a later date, which would result in the inability to start and complete the project within the next two years. There is a high likelihood that future bids will be significantly higher due to escalating material and construction costs. Additionally, the delay could jeopardize available funding. 2) Approve additional funds of $745,881.90 to cover the full cost of the bid. This amount represents the difference between the total project cost of $8,979,271.90 and the Engineer’s Estimate of $8,233,390.

Fiscal Impact: The estimated construction cost is $8,979,271.90, compared to the Engineer’s Estimate of $8,233,390. Staff is actively seeking external funding to cover the additional expenses. If additional funding is not secured, staff will need to modify the project to align with the available funds.

Personnel Impact: Staff from Services & Facilities and Community Development will provide technical and administrative oversight.

Identified City Council Conflict of Interest: Vice Mayor Alaniz and Member Gonzalez own real property within 500 feet of the project.
2021 Adopted Goals: This item meets Goal #1 for Services & Facilities…Maintain and improve infrastructure systems of water, wastewater, public facilities, and streets capable of managing future growth while responding to current City needs.

California Environmental Quality Act: Project construction will be subject to CEQA.

Dear Ms. Sanderson,
Argonaut Constructors, Inc. is hereby submitting a protest letter regarding Bouthillier’s Construction Inc.’s apparent low bid for the City of Willits Rail with Trail Project No. 2021-03 regarding the following bid package omission and violation of California Subcontractor Listing Laws that deem their bid non-responsive:

1. Bid Package Omission: Pursuant to General Provisions Section 3.8 Project Schedule a. “As part of the Proposal Packet, the Contractor must submit a schedule showing each task of Work, the sequence of each task, the number of days required to complete each task, and the critical path controlling the completion of the entire Work.” Upon examination of Bouthillier’s submitted bid package, they did not include a Project Schedule.

2. Public Contract Code §4104 expressly provides: “. . . any person making a bid or offer to perform the work, shall, in his or her bid or offer, set forth:
“(a) (1) The name and the location of the place of business of each subcontractor who will perform work or labor or render service to the prime contractor . . . in an amount in excess of one-half of 1 percent of the prime contractor's total bid or, in the case of bids or offers for the construction of streets or highways, including bridges, in excess of one-half of 1 percent of the prime contractor's total bid or ten thousand dollars ($10,000), whichever is greater.” Bouthillier’s did not list a Landscaping Subcontractor for Bid Items 19-27; 62-63; and 84. All other bidders listed a Landscaping Subcontractor for this work. Bouthillier’s also did not list an Electrical Subcontractor for Bid Item 81, Pedestrian Trail Lighting.

Awarding the contract to Bouthillier’s Construction thus gives Bouthillier’s a competitive advantage for its Subcontractor Listing Law violation by allowing only Bouthillier’s to decide whether to use or not use a subcontractor which every other bidder had to list and commit to.

1. The irregularity in a bid gives that bidder an unfair advantage over other bids or if it gives that bidder a last look at the other bids after the bid closing date in deciding whether to honor the bid; or

2. Waiving the irregularity would constitute favoritism to the non-responsive bidder. See, Valley Crest Landscape, Inc. v. City Council, (1996) 41 Cal.App.4th 1432; MCM Constr. v. City & County of San Francisco, (1998) 66 Cal.App.4th 359; Ghilotti Constr. Co. v. City of Richmond, (1996) 45 Cal.App.4th 897; Monterey Mechanical Co. v. Sacramento Reg'l County Sanitation Dist., (1996) 44 Cal.App.4th 1391.

If Bouthillier’s is awarded the contract in violation of §4104, Bouthillier’s would be the only contractor allowed to determine if a subcontractor or its own forces could perform a scope of work cheaper, which yields a competitive advantage to Bouthillier’s over each of the other bidders by allowing Bouthillier’s to add to its margin by shopping the landscaping and electrical scope of work to itself.

Based upon the above information, Bouthillier’s bid is overtly non-responsive and Bouthillier’s bid should be disqualified. Argonaut Constructors, Inc. is willing, able, and prepared to complete the work included in the Contract as the lowest responsive bidder.
