AGENDA SUMMARY REPORT
To: Honorable Mayor and Council Members
From: James Conner, Interim City Manager, and Jim Lance, City Attorney.

Agenda Title: APPROVE AMENDMENT TO SETTLEMENT AGREEMENT TO LITIGATION BETWEEN

BROOKTRAILS TOWNSHIP COMMUNITY SERVICES DISTRICT AND THE CITY OF WILLITS FOR

DISPOSAL OF WASTEWATER INTO THE CITY WASTEWATER TREATMENT AND DISPOSAL FACILITIES.

Type: Presentation Consent Regular Agenda Public Hearing Urgent Time: 15 minutes.

Summary of Request: Background
In 2015, the City of Willits (“City”) and the Township of Brooktrails (“Brooktrails”) entered into a Settlement Agreement to resolve matters remaining from prior litigation. The Settlement Agreement required the parties to conduct specified studies and accounting analyses for the purpose of establishing a revised annual rate for the disposal of wastewater at the City’s wastewater treatment and disposal facilities and prescribed related terms and conditions. In 2020, the parties amended the Settlement Agreement to extend its term through June 2025. Although the Settlement Agreement and the 2020 amendment contemplated the parties’ joint participation in a rate study, no such study was ever undertaken.

Current Payment Status
Following expiration of the 2020 amendment, Brooktrails has continued to remit monthly usage payments in accordance with the payment provisions set forth in the proposed Second Amendment to the Settlement Agreement, which the City has accepted.

Proposed Second Amendment
The proposed Second Amendment memorializes the settlement terms negotiated by the executive management of Brooktrails and the City after the ad hoc committee contemplated by the First Amended Agreement was not empaneled. The proposed Second Amendment establishes:
• an equitable annual rate based upon applicable operating costs; • the terms and conditions governing payment; and
• the annual escalation rate applicable during the proposed three-year term.

Recommended Action: Approve the attached agreement.

Alternative(s): None recommended.

Fiscal Impact: None.

Personnel Impact: None.

Identified City Council Conflict of Interest: None.

California Environmental Quality Act: Does not apply.

SECOND AMENDMENT TO THE SETTLEMENT AGREEMENT TO LITIGATION BETWEEN

BROOKTRAILS TOWNSHIP COMMUNITY SERVICES DISTRICT AND THE CITY OF WILLITS

FOR DISPOSAL OF WASTEWATER INTO THE CITY WASTEWATER TREATMENT AND

DISPOSAL FACILITIES
This amendment (the “Second Amendment”) is made by and between the Brooktrails Township Community Services District (“Brooktrails”) and the City of Willits (the “City”) this ___ day of October 2026 and made effective the ____ day of ____, 2026, the “Effective Date” of the proposed amendment terms.

Section 1. The Second Amendment. This Second Amendment is to a Settlement Agreement dated April 6, 2015 (the “Settlement Agreement”), ending litigation between the City and Brooktrails, and amending the four times amended original agreement (“Original Agreement”) for disposal of wastewater into the City wastewater treatment and disposal facilities. The terms of this Amendment amend the Settlement Agreement, its First Amendment, and the Original Agreement between the City of Willits and Brooktrails Township Community Services District for the Disposal of Brooktrails Sewage, as amended with supplementary terms which will govern when inconsistent with either the Settlement Agreement or the Original Agreement.

Section 2. Initial Term. This Second Amendment establishes an agreed-upon flat monthly rate payable from Brooktrails to the City as its share of the wastewater plant operational and maintenance expenses pursuant to the Settlement Agreement, for a set period of time retroactively commencing July 1, 2025 and ending June 30, 2028 (the “Second Amendment Term”). Brooktrails will continue to receive real-time SCADA or equivalently monitored data for planning purposes from meters operated by the City.

Section 3. Determination of Monthly Operating and Maintenance Costs to Brooktrails. As of the Effective Date, Section 4 of the Settlement Agreement and Section 16 of the November 21, 1975 Amendment are amended to apportion annual operating costs through a monthly rate to be effective as of July 1, 2025.
(A) On or before the last day of each month, Brooktrails shall pay the monthly rate of Thirty-Three Thousand, Two Hundred, Fifty-Five Dollars and Twenty-Two Cents ($33,255.22) per month for the remaining portion of the fiscal year ending June 30, 2025. (B) Each fiscal year that follows 2025-26, the monthly rate will be adjusted at the beginning of the new fiscal year, beginning July 1, by an inflation factor reasonably determined to be 3.2%, using the US Department of Energy Water and Wastewater Annual Price Escalation Rates (March 2023).

The following table illustrates the monthly rate adjustments through Fiscal Year 2027-2028 (the Second Amendment Term) at a 3.2% escalation rate:

FY 2025-26 $34,319.39
FY 2026-27 $35,417.61
FY 2027-28 $36,550.97
(C) The parties continue to release each other as provided herein for any past or other claims for overpayment or underpayment of sewer treatment plant operations prior to the Effective Date and pursuant to the terms of the General Release set forth in the Settlement Agreement as amended.

Section 4. Capital Replacement Payments By Brooktrails to the City. The parties agree that the Original Agreement between the City of Willits and Brooktrails Township Community Services District for the Disposal of Brooktrails Sewage and the 2015 Settlement Agreement, as amended, address notification of Brooktrails on capital replacement projects and expenses. As both parties are subject to audit requirements for justifying expenses, invoices or other reasonable documentation shall be provided by the City prior to requesting payment from Brooktrails on capital replacement costs.

Instances that require a City Council decision for wastewater capital expenses shall be provided to Brooktrails in advance of the public meeting where the decision will be considered. The City shall notify Brooktrails in advance of contracting for or purchasing equipment, machinery, or facilities necessary because of breakage, ordinary use and wear, or obsolescence. Expenses that are reasonably assessed as operating and maintenance costs shall not be included in capital replacement billings to Brooktrails. Any grant revenues obtained by the City for the purpose of paying for wastewater capital replacement costs shall be deducted from the total project amount before the 36% of capital replacement costs payable by Brooktrails is calculated.

Section 5. Continued Ad Hoc Focus on Agreement Terms. In the interim of the adoption of this Second Amendment, an ad hoc committee between the City and Brooktrails will continue to meet periodically. Meetings of this ad hoc committee will be an opportunity to address capital and replacement costs, ongoing operational strategies or changes, flow measurement, shared cost responsibilities, and other topics not included in this Amendment, which may be relevant to the terms of the contract, findings, or conclusions.

AGENDA SUMMARY REPORT
To: Honorable Mayor and Council Members
From: Joseph Park, Administrative Services Manager
Agenda Title: DISPOSITION OF CITY OWNED SHARES OF PRINCIPAL FINANCIAL GROUP, INC.,

COMMON STOCK
Type: Presentation Consent Regular Agenda Public Hearing Urgent Time: 15 minutes.

Summary of Request:

Background: In summer 2026, City staff became aware that the City of Willits owns 328 shares of common stock in Principal Financial Group, Inc. (NASDAQ: PFG). Research indicates the shares were acquired in December 2001 as a result of the demutualization of Principal Mutual Life Insurance Company, which became effective on October 26, 2001. Demutualization is the process of converting a mutual life insurance company, which is owned by its policyholders, into a publicly traded stock company owned by shareholders, pursuant to a plan of conversion approved by policyholders and government regulators.

Under the approved conversion plan, eligible policyholders received compensation in the form of stock, cash, or policy credits in exchange for their ownership interest in the mutual insurance company.

Based on the timing of the issuance and the number of shares received, it is likely that the City held a qualifying insurance policy, annuity, pension contract, or employee-benefit arrangement with Principal Mutual Life Insurance Company and received the shares as part of the demutualization process rather than through a direct market purchase.

The stock holding appears to have remained in the City's name for approximately twenty-five years without active management or oversight. While the shares were acquired as a consequence of the demutualization rather than through an affirmative investment decision by the City, ownership of individual corporate stock is generally inconsistent with traditional municipal investment practices, which prioritize safety, liquidity, and preservation of public funds.

As of October 2026, Principal Financial Group, Inc. common stock was trading at approximately $107.79 per share, resulting in an estimated market value of $35,355.12 for the City's 328-share holding. Actual proceeds will vary depending upon the market price at the time of sale and any transaction-related costs.

Staff has identified no municipal purpose for continued ownership of the individual stock and believes liquidation of the asset is appropriate.

Recommended Action: Staff recommends that the City Council authorize the liquidation of the City's 328 shares of common stock in Principal Financial Group, Inc. (NASDAQ: PFG) and direct that the net proceeds from the sale be deposited into the General Fund.

Alternative(s): Direct Staff to liquidate 328 shares of Principal Financial Group, Inc. common stock and invest the proceeds in the Local Agency Investment Fund (LAIF) account.

Fiscal Impact: Brokerage fee of approximately $65 to perform the sale transaction. As of 10/08/26, the value of the 328 shares is $35,355.

Personnel Impact: None.

Identified City Council Conflict of Interest: None.

AGENDA SUMMARY REPORT
To: Honorable Mayor and Council Members
From: Davey Bowles, Building & Public Works Director
Agenda Title: COUNCIL DISCUSSION: SOLAR ARRAY CAPITAL EXPENSE AND COST RECOVERY OPTIONS.

Type: Presentation Consent Regular Agenda Public Hearing Urgent-Time: 15 minutes.

Summary of Request:

Background: In June 2024, the City of Willits contracted the development of a solar power generation project intended to offset a portion of the electrical costs associated with the operation of the City's wastewater treatment plant. Construction of the project was completed in May 2026, and the system is currently operational. The project was funded entirely by the City.

The solar generation system is connected to a dedicated electrical meter that records the amount of electricity produced by the solar array and delivered to the electrical grid. The electricity generated by the system is converted into utility bill credits, which are applied against the electrical energy costs incurred for operation of the wastewater treatment plant. As a result, the project reduces the plant's net electrical operating costs through generation-based energy credits.

Cost: The Total Cost of the Project was $5,281,106.15, as described below:

Syserco Contract $5,032,493.00
PGE interconnect fee $231,498.15
SHN Geotech/Special inspections $17,115.00
It is anticipated that the City will receive 40% of the project cost in the form of a refundable tax credit in spring 2027. The expected credit is $2,112,442.

After receipt of the rebate, the net project cost would be $3,168,664.

Potential Cost Sharing: The City has a Capital Expense Sharing Agreement with the Brooktrails Township Community Services District under which Brooktrails is responsible for 36 percent of eligible capital expenses associated with specified wastewater treatment plant improvements and repairs. The applicability of the agreement to the proposed solar project has not yet been determined. If the project is determined to qualify as an eligible capital improvement under the agreement, Brooktrails would be responsible for 36 percent of the net project cost, after application of available credits and rebates. Based on current cost estimates, Brooktrails' share would be approximately $1,140,719, reducing the City's net project cost to approximately $2,027,945.

However, Brooktrails was not consulted prior to the project being undertaken, and to date has not agreed that the project is a cost subject to the cost-sharing agreement. If Brooktrails does not share the cost of the solar array project, the entire cost benefit of the power consumption offset can be redirected to other City expenses. It is estimated the project will generate between $200,000 and $400,000 in annual savings.

Recommended Action: Council discussion. Staff requests that the City Council appoint an ad hoc committee to evaluate potential cost-sharing options for the City's solar array project, engage in discussions with the Brooktrails Township Community Services District, and return to the City Council with findings and recommendations consistent with the terms of the Second Amended Agreement to the Settlement Agreement.

Alternative(s): None recommended.

Fiscal Impact: Informational Item.
