B. Action: Adoption of Resolution: Approve 3-Month Conditional Use Permit Extension for the Uncle Green Cannabis Business to Allow Verax Business Group to Bring the Business Into Compliance with City Cannabis Regulations Community Development Director Llamas reported the following: For a Cannabis business to maintain their City issued regulatory permit, it must abide by Woodlake Municipal Code Chapter 5.48 Cannabis Businesses. Specifically, Section

5.48.140 Suspension and Revocation of Regulatory Permit or Employee Permit outlines the requirements to avoid suspension or revocation of the regulatory permit.

The cannabis business regulatory permit may be suspended or revoked by City Council if any of the following occur.

1. The Cannabis Operation is conducted in violation of any provision of this section, State Law, or any other applicable State law.

2. The Cannabis Operation is conducted in such a manner as to create a public or private nuisance.

3. A failure to pay the Regulatory Fee or Revenue Raising Fee required by this section.

4. A failure to take reasonable measures to control patron conduct, where applicable, resulting in disturbances, vandalism, or crowd control problems occurring inside of or outside the Premises, traffic control problems, or obstruction of the operation of another business.

5. A failure to comply with the terms and conditions of the Regulatory Permit or any conditional use permit issued in connection therewith.

6. Any act which would be considered grounds for denial of the Regulatory Permit in the first instance.
(See, Woodlake Municipal Code section 17.74.080).

For Cannabis businesses, in order to maintain a CUP in good standing the business must also not fail to pay their regulatory fees and cannabis taxes in a timely manner, as stated in Woodlake Municipal Code Chapter 5.48 – Suspension and Revocation of Regulatory Permit or Employee Permit.

Uncle Green had a conditional use permit issued to the cannabis business originally on November 26, 2018. The CUP has renewed and extended multiple times to allow the business to work towards getting their business established in the market, and to allow the business time to complete the following conditions:

CUPs 18-001 Cultivation, 18-002 Manufacturing, 18-003 Distribution, and 21-006 Non-Storefront Retail - Uncle Green. Meet all City Development Standards and State Building Code Requirements. Meet all State Requirements, laws, and regulations for cannabis businesses in the State of California.

Construct curb, gutters, sidewalks, streetlights on Naranjo (SR-216) and Road 196 need to be installed to meet design standards established by the City. All sidewalk areas and parking shall have ADA access and meet the design 2 standards established by the City. Construction and install landscaping and irrigation in compliance with City’s design standards.

During November 2024 Uncle Green’s cannabis business license was no longer in good standing in accordance with Woodlake Municipal Code Chapter 5.48 Cannabis Businesses, as the City cannabis taxes and regulatory fees were outstanding, with cannabis taxes and regulatory fees being three quarters delinquent. Due to Uncle Green’s taxes and regulatory fees outstanding balance, their conditional use permit extension request at the November 2024 Planning Commission meeting was denied by the Planning Commission.

Uncle Green appealed the denied extension from the Planning Commission, and the extension request was considered at the January 13, 2025, City Council Meeting. City Council at the January 13, 2025, meeting agreed to extend the CUP for 3 months, and once again agreed to a 3-month extension at the April 14, 2025, Council Meeting.

These extensions were granted due to Uncle Green making some progress payments on their outstanding balances, and due to the incidents, which caused hardship for Uncle Green during the Spring of 2025.

The City was prepared to recommend that the City Council deny any CUP extensions at the November 24, 2025, City Council meeting, and to suspend and revoke the cannabis regulatory permits. On November 24, 2025, the City was made aware, via email, by Ryan Baker, the CEO and President of Verax Business Group that he was appointed by the Superior Court of California as Receiver over Uncle Green and Mogul Investments. A copy of the signed and filed court order by the Superior Court of Tulare County was sent to the City via email by Mr. Baker.

The City staff spoke with Mr. Baker via phone call on November 24, 2025 and were assured that his intent is to follow the court order’s requirement of the receivership to maintain any licenses and permits for the business operation, engage in completing the off-site improvements as outlined in the conditional use permit to maintain the CUP, and to pay any fees or taxes outstanding to remain compliant with the City Cannabis Business Regulations.

Mr. Baker also joined the November 24, 2025, City Council meeting to introduce himself and his firm to the staff, public and Council, and to confirm their team plans to make the Uncle Green business and property compliant with city regulations and permits.

ON A MOTION BY MARTINEZ SECOND BY ORTIZ IT WAS VOTED TO

ADOPT THE RESOLUTION AND APPROVE THE CUP EXTENSION FOR

UNCLE GREEN AND ALLOW VERAX BUSINESS TO BRING THE
BUSINESS INTO COMPLIANCE. APPROVED UNANIMOUSLY BY ROLL
CALL VOTE.

C. Action: Adoption of Resolution: Award the Construction of the City of Woodlake Civic Center Project to 4C Global, Inc., dba 4Creeks Build City Administrator Lara reported the following: The City of Woodlake currently operates all City Administrative and Police services out of a single building. The entire Police Department currently operates in approximately 2,500 sqft of floor space including lobby, interview rooms, evidence rooms, storage, dispatch, holding areas, IT closets and office space. The City had to move evidence out of the Police Department and into storage units due to the lack of space. As the City of Woodlake continues to grow, we expect foot traffic and requests for services to continue to increase at a rapid pace, putting more strain on an already at-capacity building. The current layout of City Hall and the Police Station also presents occupational hazards and privacy concerns.

In-person requests for police assistance are made in a shared lobby with City Hall where others may hear their conversations. Filing a report requires victims to enter the lobby in the presence of people conducting 3 regular City business (paying bills, signing up for services, etc.) and may deter the victim from filing the report.

The City of Woodlake worked with Senator Hurtado to address the current space needs for both the Woodlake Police Department and City Hall. The Senator was able to help procure seven million dollars for the design and construction of a new Civic Center in the City of Woodlake. The City is proposing to develop a ~10,000 sqft Civic Center that would serve three functions:

1. Police Department Administration

2. City Hall Administration

3. Citizen Service Center (CSC).

The Citizen Service Center would be available to the public for community meetings, used as a heating/cooling center throughout the year and would be equipped with technology that will allow it to function as a base of operations for emergency services.

The City opened bids for the construction of the Civic Center Project on November 25, 2025. The City received seven bids for the project as shown in Attachment No. 2. The lowest responsible bidder for the project was 4C Global, Inc. dba 4Creeks Build in the amount of $6,018,000.00.

ON A MOTION BY ORTIZ, SECOND BY WALLACE IT WAS VOTED

TO ADOPT THE RESOLUTION AND AWARD THE CONSTRUCTION
OF THE CITY OF WOODLAKE CIVIC CENTER PROJECT TO 4C
GLOBAL, INC. DBA 4CREEKS BUILD. APPROVED UNANIMOUSLY
BY ROLL CALL VOTE.

TO: THE HONORABLE MAYOR AND CITY COUNCIL
FROM: RAMON LARA, CITY ADMINISTRATOR
PREPARED BY: EMMANUEL LLAMAS, COMMUNITY DEVELOPMENT DIRECTOR DATE: December, 22, 2025
SUBJECT: PUBLIC HEARING TO DISCUSS SUBMITTAL OF A 2025

COMMUNITY DEVELOPMENT BLOCK GRANT APPLICATION

BACKGROUND
CDBG Program regulations require that the City of Woodlake (City) conduct a public hearing on all CDBG-related matters to provide for and encourage citizen participation, particularly by low-and-moderate income persons who reside in areas in which CDBG funds are used. Therefore, when the public hearing is opened, the public will be invited to comment on the City’s proposed submittal of a 2025 CDBG Grant application and to make their comments known on the proposed activities.

A public notice was published in the December 10th 2025, issue of the Foothill SunGazette notifying the public of this public hearing.

On September 30, 2025, HCD released a NOFA announcing the availability of CDBG Program funds of approximately $27 million from the 2025 NOFA. On December 15, 2025 a revised NOFA was released with an amended timeline.

Eligible activities predominantly benefit low- and moderate-income Californians and include: Housing Assistance Programs (Single-Family Homeownership Assistance, and Single-Family Housing Rehabilitation); Public Facility and Public Improvements projects (including Public Improvements in Support of New Housing Construction); Public Service programs, Planning Studies, Economic Development Business Assistance and Microenterprise activities. Under the 2025 NOFA, the City will submit an application requesting $3,000,000 for Public Improvements and an application requesting $600,000 for Housing Programs (Homebuyer Assistance and Owner-Occupied Rehabilitation).

DISCUSSION
The City proposes to apply for CDBG funds to complete the Kaweah Street storm drain improvements and provide support for Homeownership Assistance and Housing Rehabilitation. Citizens are encouraged to ask questions and/or comment on the proposed activities/application or on any aspect of the CDBG Program. Citizens are also invited to submit written comments to the City or to review information on the City’s CDBG 55 2
Program at City Hall, 350 N. Valencia Blvd., Woodlake, CA 93286. Write or contact Emmanuel Llamas, at the same address.

RECOMMENDED ACTION

1. Open the public hearing to accept comments on the City’s proposed submittal of an application in response to the 2025 State Community Development Block Grant (CDBG) Notice of Funding Availability (NOFA), and to solicit citizen input.

2. Adopt Resolution No. 25-xx and thereby:
a. Review and approve two applications for up to $3,600,000 under the NOFA for the following eligible activities:

Public Improvements – Kaweah Street Dorm
Drain Improvement

General Administration (7%)
$19,626
Housing Program – Owner-Occupied Housing
Rehabilitation
$280,374
Housing Program – Owner-Occupied Housing
Rehabilitation General Assistance (7%)
$19,626
TOTAL $3,600,000
b. Approve the use of CDBG Program Income in an amount not to exceed $250,000 for Kaweah Street Storm Drain Improvement project costs. c. Determine that federal Citizen Participation requirements were met during the development of the application.
d. Authorize and direct the City Mayor to enter into and sign the grant agreement and any subsequent amendments with the State of California for the purposes of the grant.
e. If the application is approved, authorize the City Manager or Community Services Manager, or designees, to transfer or modify budget amounts and activities as necessary to fully expend CDBG Program funds and to execute loan documents, Funds Requests, and other required reporting forms.

AGENDA ITEM V-B
December 22, 2025
Prepared by Ramon Lara, City Staff
SUBJECT:

Action: Adoption of Resolution: Approve the Third Note Modification Agreement and Allonge for the Kaweah View Subdivision
BACKGROUND:

Over the last few years, the City has acquired properties and marketed them to potential developers. The property, APN No. 060-020-081-000 was acquired by the City of Woodlake to attract future development on the North Side of the City. The property sits north of the City of Woodlake on Kaweah Ave. and Valencia Blvd.

After acquiring the property and developing conceptual maps, the property was marketed for future housing development. The City received interest from multiple developers on the property. Efrain Yanez from Yanez Construction worked with City staff on a mutual concept where both staff and the developer agree with the final product of the development. The development will offer much-needed single-family housing in the City of Woodlake.

The City entered into a Purchase and Sale Agreement with Efrain Yanez for the sale of the property. The overall sale price of the property was five hundred thousand dollars ($500,000.00). As noted in the Purchase and Sale Agreement and the attached Promissory Note, the City temporarily carried a portion of sale price in the amount of ($450,000.00) four hundred and fifty thousand dollars that was due and payable January 1, 2024.

DISCUSSION:

The maker of the note Efrain Yanez requested to modify the current Note Modification Agreement and Allonge through the attached Third Note Modification Agreement and Allonge. The maturity date on loan would be extended to January 1, 2027, for all unpaid principal and accrued interest. The developer would pay the City 1/25th of the note plus accrued interest each time that a lot was sold. The remainder of the note and interest for any unsold lots would be due and payable January 1, 2027. As of this date the developer has closed seven homes at the development and has reimbursed the City for those lots. The current balance of the note is $324,000.00 plus interest.
59 RECCOMENDATIONS:

Staff recommends that Council approve the third modification to the current Promissory Note through the attached Second Note Modification Agreement and Allonge and authorize the City Administrator to execute all necessary documentation.

FISCAL IMPACT:

The extension allows the City to collect further interest in the outstanding note. The interest is equal or better to the rate that the City would receive if the note’s principal was invested in the City’s investment pool.

1. Resolution: Approve the Third Note Modification Agreement and Allonge for the Kaweah View Subdivision

Third Note Modificaon Agreement and Allonge
This Third Note Modification Agreement and Allonge (the “Third Modification”) is made and entered into on _______________________between Kaweah View, LLC, (“Maker”) and City of Woodlake, (“Payee”).

Recitals

1. Maker has executed a Promissory Note dated April 22, 2021, in favor of Payee in the original principal amount of four hundred and fifty thousand dollars ($450,000), the “Note”.

2. Maker and Payee previously execute a Note Modification Agreement dated January 22, 2024 (“First Note Modification”).

3. Maker and Payee previously execute a Note Modification Agreement dated February 11, 2025 (“Second Note Modification”).

4. Maker and Payee desire to further modify the Note as provided herein.

Modification
For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Maker and Payee hereby agree and amend and modify the Note as follows:

1. Attachment to Note. An original of this Third Modification shall be attached to the original Note as an allonge to the Note and made a part of the Note, as well as to the First and Second Note Modification, provided, however, that failure to attach an original of this Third Modification shall not impact the effectiveness of this Third Modification and this Third Modification shall nonetheless be valid, binding and enforceable.

2. Third Modification of Note. The Note is hereby modified as follows:
a. The Maturity Date of the Loan is extended to January 1, 2027. All unpaid principal and accrued interest shall be due and payable in full on that date. b. The Note shall bear five percent (5.0%) interest to be charged starting from the original note due date of January 1, 2024.
c. As Maker starts homes in the subdivision, Maker shall pay to Payee, 1/25th of the note amount secured on each lot ($18,000), plus accrued interest, that Maker intends to offer as security for its construction financing, and Payee shall, in exchange for such payment, execute a subordination with respect to those lots so that Maker’s construction loans shall be in first position on each lot under construction. Payee shall be required to subordinate the Deed of Trust only with respect to those lots for which Payee receives the payment described in the preceding sentence. Upon the sale of each completed home, the Payee (City) shall receive net proceeds, that shall be the sales price, minus the construction loan payoff and closing costs. Upon receipt of a net proceeds payment attributable to a lot, Payee shall partially reconvey the Deed of Trust as to that lot. This shall continue until the secured amount is paid in full. Should Maker pay the 70

Note’s principal and accrued interest in full prior to the sale of the last lot, Payee shall reconvey the Deed of Trust to Maker, thereby releasing Payee’s security interest in the remaining lots.

3. Note Remains in Full Force and Effect. Except as expressly modified by this Second Modification, the Note and all Loan Documents remain in full force and effect. All Collateral securing the Note shall continue to secure the Note as modified.

4. Third Modified Note Becomes a Loan Document. The Note and the First and Second Note Modification, as modified by this Third Modification, shall be a Loan Document and all references in the Loan Documents to the Note shall refer to the Note as modified by this Third Modification.

5. Integrated Agreement; Amendment. This Third Modification constitutes the entire agreement between Maker and Payee concerning modification of the Note and may not be altered or amended except by written agreement signed by Maker and Payee.

AGENDA ITEM V-C
December 22, 2025
Prepared by Ramon Lara, City Staff
SUBJECT:

Action: Adoption of Resolution: Approval of the City of Woodlake’s Fee Schedule Effective January 1, 2026
BACKGROUND:

City of Woodlake currently collects fees for services provided to the public, such as:
administration, utilities, planning, building, development, airport and police. Some of the fees are out of date, and do not provide sufficient revenues for the City to recover the cost of providing services to the public. The fee schedule is reviewed annually to assure that appropriate revenues are being collected to cover the expenditures associated with services provided to the public.

DISCUSSION:

The purpose of developing a uniform fee schedule is to provide the public with a better understanding of the current fee structure and to update those fees that are not providing enough revenues for services delivered by the City of Woodlake. The goal of developing an updated fee schedule is not to create a profit for the City, but to ensure that the City is covering its expenditures for services provided.

Please note that not all fees on the attached City of Woodlake Fee Schedule are being amended.

The only fees being amended are those for services provided.

Summary of Changes:

1. Update Refuse fees to reflect previous Council actions.

2. Update Police Service Fees.

3. Update Community Center Fees.

RECOMMENDATIONS:

Staff recommends that the City of Woodlake Fee Schedule be approved. The new fee schedule will allow the City to recover its costs of providing services and provide the public with a clear understanding of City fees.

FISCAL IMPACT:

The amended fees will allow the City of Woodlake to recover its costs of providing services to the public. A fee study will be done annually to maintain an updated fee schedule. 72 ATTACHMENTS:

1. Resolution: Approval of the City of Woodlake’s Fee Schedule Effective January 1, 2026

AGENDA ITEM V-D
December 22, 2025
Prepared by Ramon Lara, City Staff
SUBJECT:

Action: Adoption of Resolution: Approve the Updated Cannabis Business Tax Apportionment for Cannabis Distribution
BACKGROUND:

The City of Woodlake Fee Schedule as approved by the Woodlake City Council currently charges commercial cannabis distributors a 1% tax on gross receipts. Currently the City has one commercial distribution business in the City. The business is Nabis which is in the City of Woodlake’s Industrial Park and became operational in January of 2023. Per the attached letter (Attachment No. 2) from Nabis, they are currently requesting that the City revisit its current cannabis business tax apportionment that was previously negotiated with Nabis when they first became operational in the City of Woodlake.

DISCUSSION:

The original cannabis business tax apportionment that was negotiated with Nabis was based on their apportionments with other cities and the City of Woodlake’s investment into its Industrial Park for businesses such as Nabis. The City’s goal was to implement a rate that allowed the City to be competitive while recovering its investments in the Industrial Park. The City collected $56,364 in 2023, $87,045 in 2024 and $80,025 to date from Nabis for 2025 in commercial cannabis distribution taxes.

Attachment No. 1 shows a comparison of how Nabis is currently being taxed and how they propose to be taxed based on a revised cannabis business tax apportionment. The current apportionment has an emphasis on products that are shipped from their warehouse in the City of Woodlake while their proposed apportionment would put more of an emphasis on the seller being from Woodlake and the product being delivered in Woodlake. For comparison Attachment No. 1 shows that for 2025 Nabis has paid the City of Woodlake $80,025 in taxes through three quarters. Their revised apportionment formula if approved would reduce that amount to $26,821 for the same time if approved.

Currently Nabis operates in two other cities in the State. Below are the current tax rates that Nabis is charged by the three cities that they operate in the State.

Current Tax Rates:

City of Woodlake 1%
City of Los Angeles 2%
City of Oakland 0.12% to 4%
110

City staff requested from Nabis the cannabis tax amounts that it had paid to other cities in the State for cannabis taxes related to cannabis distribution. Below are the current amounts that have been paid to the three cities that Nabis operates in. Also below is the proposed amount the City of Woodlake would receive from Nabis if its proposed tax apportionment was approved.

Current Tax Payments in 2025 by Jurisdiction:

City of Woodlake $80,025
City of Los Angeles $37,060
City of Oakland $34,702
City of Woodlake Proposed $26,821
The City always understood that the Nabis facility in the City of Woodlake would serve different logistical purposes than other sites operated by Nabis. The Woodlake facility is a centralized location to the rest of the State that allows for statewide distribution. The City has a good working relationship with Nabis and appreciates its contributions to the Industrial Park with its addition of employment opportunities. Nabis currently employs 173 people at their Woodlake facility and 22 of them are from Woodlake.

RECOMMENDATIONS:

Council has the following options it may consider:

1. Deny the request from Nabis and keep the apportionment as first negotiated.

2. Accept the apportionment as presented by Nabis.

3. Continue to work with Nabis on a revised apportionment formula.

FISCAL IMPACT:

The current City of Woodlake budget for Fiscal Year 2025/2026 is based on the current tax apportionment that was originally negotiated. Any changes to the apportionment will require a budget amendment to account for the loss of revenues.

Re: Request for Adjustment to Cannabis Business Tax Apportionment Formula Dear City of Woodlake,
I hope this message finds you well. On behalf of Nabis, I am writing to formally request that the City of Woodlake reconsider the current cannabis business tax apportionment formula as it applies to our operations, with the goal of achieving a more economically accurate and equitable representation of taxable activity within the city.

We’re proud to operate in the City of Woodlake and remain committed to being a strong partner in its continued growth and vitality. Beyond our cannabis tax contributions, our operations bring meaningful economic activity to the city—through local hiring, ongoing spending with nearby businesses and vendors, and community support initiatives.

In 2025, we expect to pay approximately $5.1 million in wages to our Woodlake employees, many of whom reside in the area and directly contribute to the local economy and tax base. We also recently donated $5,000 to the Woodlake Fire Department to support essential city services.

We’re happy to pay our fair share to support the services and infrastructure that make Woodlake a great place to work and live. At the same time, as a business, we want to ensure our tax obligations align with the scope of our actual operations in the city.

Currently, the apportionment model places a 45% weight on whether the product is shipped from Woodlake, while only 15% weight is assigned to deliveries made within the city and 0% to whether the seller is based in Woodlake. While we recognize that our warehouse facility contributes meaningfully to our statewide logistics network, the heavily origin-based weighting does not align with where our revenue is generated and differs significantly from the more balanced approaches used by other California jurisdictions.

To illustrate the impact: from January through March 2025, we calculated and paid $25,808.71 in cannabis tax under the current model. However, our actual revenue from deliveries made within Woodlake during that period was $102,616. If this revenue were taxed directly at the 1% distributor 114
rate, the tax would be only $1,026.16—highlighting the disparity between the current formula and actual in-city activity.

We respectfully propose the following revised apportionment weighting to better reflect economic substance and maintain alignment with other California municipalities:

Apportionment Category
Current
Weight
Proposed
Weight
Rationale
Buyer located in
Woodlake
15% 15% No change.

Seller based in Woodlake 0% 15% Updated to reflect that we now service Woodlake manufacturers.

Product delivered in
Woodlake
15% 30%
Aligns with other CA apportionment
methodologies to better reflect where
economic value is realized.

Product shipped from
Woodlake
45% 15%
Reduces overweighting of logistics-based
activity; recognizes warehouse as a routing
hub.

Billing/Accounting
processed in Woodlake
10% 10% No change.

Payment collected in
Woodlake
15% 15% No change.

This revised structure would continue to acknowledge our local operational presence and infrastructure use while more accurately allocating tax liability to the jurisdictions where the underlying economic benefit occurs. It is consistent with the apportionment frameworks used by cities such as Oakland, where the destination of delivery receives the greatest weighting.

Importantly, this proposal would not reduce our liability to the 1% of actual revenue generated in the city noted above, but rather to a point between the current assessment and the true in-city amount—striking a reasonable and economically representative balance.

We want to emphasize that Nabis deeply values its relationship with the City of Woodlake. We are proud to operate here and remain committed to full compliance and transparency. Woodlake has been an excellent partner, and we look forward to expanding our facility and growing our footprint in the city in the coming years.
