Counci( and staff discussion included: history of appointing members out of district, cancellation of meetings due to Lack of quorum or no agenda items; comparison of other municipalities' appointment process; the process of using the rule of necessity if several members have to recuse themselves and there isn't a quorum; at large or by-district appointment process; public comments in previous meetings Town Council Meeting Minutes September 12, 2023 Page 3
asked Council to have by-district representation.

The Public Comment Period opened at 8:24 p.m.

Steve Lubin stated: he was appointed as a Planning Commissioner both in district and out of district; it is good to have flexibility and have all districts represented; he likes the proposal of appointing one member from each district and two at large.

Daron Evans stated: support for Option 4 which is appointing one member from each district.

Kim Hansen stated: when this topic was brought up before, the public desire was to keep the Planning Commission at seven and that district representation was important; Option 2 to have seven members would help with attendance and representation.

The Public Comment Period closed at 8:28 p.m.

Council comments included: aligning Planning Commission appointments with the Town Council districts; by-district versus at large representation; streamlining the planning process for projects; smaller quorum with five members instead of seven; decisions of the Planning Commission are reviewed by the Town Council; direction to staff to amend the ordinance to five members with by-district representation; succession process will be discussed when the draft ordinance is on a future agenda.

C, Study Session: Architectural and Site Review Board Membership.

Mr. Bryant presented the staff report.

Council and staff discussion included: how many Planning Commission meetings are held to review Architectural and Site Review Board decisions; process for Planning Commission/staff review of projects if the ASRB is disbanded; if additional staff would be necessary to review projects; could work be given to a consultant or panel of consultants; new/future regulations from the state and how those would impact projects; legislation regarding hybrid meetings; time and cost for projects to be reviewed by the ASRB; reviewing the types of projects that are brought to the ASRB for review; problems with meeting the quorum requirements to hold meetings; possibly changing the meeting time.

The Public Comment Period opened at 9:22 p.m.

Steve Lubin stated: there is a lack of respect for architects; the Town's ordinances require an architect to serve on the ASRB.

Thalia Lubin stated: the complexion of Woodside has changed dramatically; having five members like the Planning Commission and Council makes sense; maybe having meetings once a month and changing the time might attract applicants.

Daron Evans stated: he conducted a poll of his neighborhood group in the Glens; five voted to disband the ASRB and have staff review projects, and one voted to disband and have a consultant review projects; it seems Like an onerous process that adds thousands of dollars to projects.

Frank Rosenblum stated: he has served on the ASRB for the last five years; two members chose not to come back to meet in person after the pandemic; the ASRB is valuable to the Town; Woodside is very unique in its rural design standards; the ASRB allows the public to have a little more say in what goes into their community; he is against disbanding the ASRB; he doesn't Like the idea of hiring outside professionals; there should be five members, not three; the day and meeting time should be reviewed since it is difficult to attend a meeting at 4:30 on a Monday; the appointment term of four years should be reviewed and maybe set to two years.

David Mittelman stated: a Later start time with a shorter term should be reviewed by the Council; he has a project that has gone through the ASRB and he found the feedback valuable; the review process and requirements could be evaluated to see if the process can be streamlined.

The Public Comment Period closed at 9:35 p.m.

Council comments and questions included: bringing back a further study of the options for disbanding the ASRB and having staff review projects or folding the duties into the Planning Commission; streamlining the project review process and possibly amending the Woodside Municipal Code; bringing back options to improve the ASRB by reviewing the meeting day/time and length of terms; issues with meeting quorum; conduct a poll of past/present ASRB members for suggestions on how to improve the ASRB; bring back proposed Options A and D from the staff report for further study session.
