A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF YOUNTVILLE
AUTHORIZING A PROFESSIONAL SERVICES AGREEMENT WITH PLACEWORKS TO
PREPARE CALIFORNIA ENVIRONMENTAL QUALITY ACT ANALYSIS AND
DOCUMENTATION FOR THE YOUNTVILLE COMMONS PROJECT, IN A NOT TO EXCEED AMOUNT OF $183,138 AND AUTHORIZING THE TOWN MANAGER TO EXECUTE THE
AGREEMENT UP TO THE BUDGETED AMOUNT ALONG WITH ANY SUBSEQUENT AMENDMENTS.

A. On April 22, 2024, the Town purchased the former Yountville Elementary School site.
B. From August 2024 to February 2025, the Town engaged in numerous public engagement opportunities.
C. On March 4, 2025, the Town Council adopted Resolution No. 25-4344 directing the Town Manager to proceed with preparing further designs, plans, entitlements and studies based on the conceptual site plan for potential development of the Yountville Commons site.
D. Discretionary actions associated with approval of project plans and entitlements require review and documentation pursuant to the California Environmental Quality Act (CEQA).
E. Municipal Code 3.32.520 states that “The Town Manager may approve professional services contracts up to and including $45,000, while contracts exceeding this amount require Town Council approval.”
Now, therefore, the Town Council of the Town of Yountville does resolve as follows:
1. Adopt Resolution Number 25-4349 authorizing a Professional Services Agreement with PlaceWorks to prepare California Environmental Quality Act (CEQA) analysis and documentation for the Yountville Commons Project, in a not to exceed amount of $183,138.
2. Authorize the Town Manager to execute the agreement up to the budgeted amount and any subsequent amendments.
3. The Resolution is hereby adopted and becomes effective and in full force immediately upon adoption.
