A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF YOUNTVILLE AUTHORIZING TOWN MANAGER TO EXECUTE AN AGREEMENT FOR AS-NEEDED ONCALL PROFESSIONAL DESIGN SERVICES WITH KELLY+MORGAN ARCHITECTS IN THE MAXIMUM AMOUNT OF $600,000 FOR A THREE-YEAR PERIOD WITH NO
OBLIGATION FOR THE TOWN TO AWARD A WORK ORDER AND ENCUMBER FUNDS WITHIN THE TERM OF THE CONTRACT.

A. The Town Manager and Town Departments are responsible for delivering the vision of Town Council specific to the Yountville Commons site. As the Town focuses its efforts on the redevelopment of that important site in the heart of the Town, there is a need to enlist consultants to assist with the mission.
B. At the May 6, 2025, Town Council meeting Town Council approved Resolution 25-4357 which authorized the Town Manager to execute a series of On-Call Agreements with various design and consultant disciplines for efforts related to the Yountville Commons site. Now as the Yountville Commons design effort evolves and the current lead architect contract with Kelly+Morgan Architects it is proposed to enter into an On-Call Agreement with them to further their role in the design development of the Yountville Commons project.
C. Each On-Call Contract contains a “scope of services” and rate sheet for that design consultant and the On-Call Contract itself does not obligate nor encumber the dollar amounts shown in each Contract. With the On-Call Contract in place the town manager may enlist a specific consultant for a specific “scope of work” to be performed at an agreed upon dollar amount and executed via a task order.
D. This Resolution will authorize the Town Manager to execute the On-Call Agreement/scope attached to this Resolution for the work up to $600,000 will include, but not limited to the following categories: Programming and Project Understanding, Conceptual Site Design and Building Layout, Performance Specifications and Design Criteria, RFQ/RFP Support, and Post-Award and Transition to Design-Builder.
E. Agreements for the following support design disciplines:
• Civil Engineering
• Landscape Architecture
• Urban Planning
• Mobility/Transportation Engineering
• Structural Engineering
• Narrative Design
• Geotechnical Engineering
F. This On-Call Contract will be for a three-year term with general scopes of services for each consultant listed on Exhibit A of the Contract attached to this Resolution.
G. Adoption of this Resolution is exempt from CEQA per Section 15061(b)(3).
Now, therefore, the Town Council of the Town of Yountville does resolve as follows:
1. Authorizing Town Manager to execute an Agreement for as-needed On-Call Professional Design Services with Kelly+Morgan Architects in the maximum amount of $600,000 for a three-year period with no obligation for the Town to award a work order and encumber funds within the term of the contract.
2. The Town standard Professional Services Agreement for Design Professionals contract template to be populated to with Kelly+Morgan specifics and the Kelly+Morgan Scope of Services and Design Criteria Scope/Timeline is included in this Resolution.
PASSED AND ADOPTED at a regular meeting of the Town Council of the Town of Yountville, State of California, held on this 15th day of July 2025 by the following vote:
