A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF YOUNTVILLE APPROVING AMENDMENT NO. 2 TO THE PROFESSIONAL SERVICES AGREEMENT WITH OPENGOV INC. TO INCREASE THE TOTAL AMOUNT BY $35,707.55 FOR THE REMAINING TWO

YEARS OF THE AGREEMENT BASED ON AN UPDATED COST OF SERVICES,

AUTHORIZING THE TOWN MANAGER TO EXECUTE THE AMENDMENT, AND APPROVING THE USE OF $16,711 OF FISCAL YEAR 2025/2026 BUDGET CONTINGENCY TO COVER THE CURRENT FISCAL YEAR INCREASE.

Recitals
A. The Town of Yountville has contracted with OpenGov Inc. since April 2022 for use of their Budgeting and Planning module, and Online Permitting and Licensing Portal.

B. Expanded use of the software has triggered additional fees in the amount of $35,707.55 for the remaining two years of the agreement. Staff recommend approval of Amendment #2 of the agreement so that Yountville can continue to offer these online services to customers.

C. Approval of the amendment will increase the costs of services in Fiscal Year 2025/2026 by $16,711. Staff seek Town Council approval to use General Fund Assigned for Budget Contingency Fund Balance to cover these costs.

Now therefore, the Town Council of the Town of Yountville does resolve as follows:

1. Approves Amendment No. 2 to the Professional Services Agreement with OpenGov Inc. which is attached to this resolution as Exhibit A.

2. Authorizes the Town Manager to execute the Amendment.

3. Approves usage of the General Fund Assigned for Budget Contingency fund Balance in Fiscal Year 2025/2026 in the amount of $16,711 to cover the costs related to this Amendment.

4. The Resolution is hereby adopted and becomes effective and in full force immediately upon adoption.

OpenGov Software Services Agreement
with the Town of Yountville, CA
This Amendment 2 (“Amendment 2”) is effective as of July 1, 2025 (“Amendment 2 Effective Date”) and is made to amend that OpenGov Software Services Agreement by and between OpenGov, Inc. (“OpenGov”) and the Town of Yountville, CA (“Customer”) dated June 17, 2020, as amended (“Agreement”).

1. Definitions. Capitalized words and terms used but not defined in this Amendment 2, shall have the meanings ascribed to them in the Agreement..

2. Amendments. The Agreement is hereby amended as follows:

3. Legal Effect. The modifications set forth in this Amendment 2 are effective as of the Amendment 2 Effective Date. Except as expressly amended or modified by this Amendment 2 all other terms of the Agreement shall remain unchanged and in full force in effect.

4. Conflict. In the event of any conflict between the main body of the Agreement and this Amendment 2, this Amendment 2 will control.

5. Counterparts. This Amendment 2 may be signed in any number of counterparts (which may be transmitted by facsimile, PDF, or like method of transmission), each of which when executed and delivered shall be deemed to be an original but all of which taken together shall constitute one and the same agreement.
