RECOMMENDATION
Approve Resolution Number 25-4372 authorizing Town Manager to execute an Agreement for as-needed OnCall Professional Design Services with Kelly+Morgan Architects in the maximum amount of $600,000 for a threeyear period with no obligation for the Town to award a work order and encumber funds within the term of the contract.
DISCUSSION/BACKGROUND
The Town Manager and Town Departments are responsible for delivering the vision of Town Council in the form of high-quality municipal programs, services and infrastructure and being fiscally responsible and ensuring compliance with state and local codes. One such example is the Yountville Commons site. As the Town focuses its efforts on the redevelopment of that important site in the heart of the Town, there is a need to enlist consultants to assist with the mission.
At the May 6, 2025 Town Council meeting Town Council approved Resolution 25-4357 which authorized the Town Manager to execute a series of On-Call Agreements with various design and consultant disciplines for efforts related to the Yountville Commons site. That group of Agreements did not include an On-Call Contract at that time for the lead architect because the firm was working under a prior Contract. Now as the Yountville Commons design effort evolves and the prior Contract is nearing completion, it is proposed to enter into an OnCall Agreement With Kelly-Morgan Architects to allow them to further their role in the design development of the Yountville Commons project.
As Town Council is aware, the team of Kelly+Morgan Architects has been instrumental to the Town’s development of the Yountville Commons site to date, both for the interim civic-oriented uses as well as long term conceptual design alternatives. In addition to their design expertise, Kelly+Morgan has been a leader in the public outreach process including hosting weekly office hours, community dinner events and presentation to the Town’s various Boards and Commissions.
This work has been occurring via a Professional Services Agreement for Design Professionals by which Kelly+Morgan is providing a design professional scope of services. Now, as the project conceptual design phases continue to evolve to the specific design alternatives, construction phasing, design documents and entitlement coordination it is imperative to continue to enlist the leadership of Kelly+Morgan Architects via an On-Call Agreement.
The on-call scope attached to this Staff Report for the work up to $600,000 will include, but not limited to the following categories:
Programming and Project Understanding
Conceptual Site Design and Building Layout
Performance Specifications and Design Criteria
RFQ/RFP Support
Post-Award and Transition to Design-Builder
Attached to this Staff Report is the Professional Services Agreement for Design Professional contracts template to be populated to with Kelly+Morgan specifics. The Kelly+Morgan Scope of Services and Design Criteria Scope/Timeline is also attached and will become Exhibit A to the On-Call Contract.
Town staff respectfully requests Town Council approve Resolution 25-4372 authorizing Town Manager to execute an Agreement for as-needed On-Call Professional Design Services with Kelly+Morgan Architects in the maximum amount of $600,000 for a three-year period with no obligation for the Town to award a work order and encumber funds within the term of the contract.

Briefly Explain Relationship to Strategic Plan Goal and Objective. Approving this on-call contract will augment Town Staff's ability to deliver the Yountville Commons mission as defined by the goals of Town Council allow Kelly+Morgan to continue to have a role the future phases of the project. Town Council approval for the execution of the proposed resolution is responsible fiscal policy as guided by the Town's procurement processes.
