A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF YOUNTVILLE APPROVING
AN AMENDMENT TO THE EXISTING PROFESSIONAL SERVICES AGREEMENT (PSA) WITH CAROLLO ENGINEERING INC., INCREASING THE AGREEMENT’S MAXIMUM AMOUNT FROM $327,167 T0 $429,167 AND AUTHORIZING THE TOWN MANAGER TO EXECUTE THE AMENDMENT.

A. On May 6, 2025, the Town entered into a Professional Services Agreement (PSA) with Carollo Engineers Inc. for engineering services as part of the Water Reclamation Facility Master Plan.
B. The initial contract was approved by the town council for $327,167. As the assessment by Carollo began their initial feedback determined the optional scopes of work would be highly beneficial for the master plan.
C. The optional tasks are as follows: Corrosion assessment with condition assessment to review the level of corrosion in various equipment. This will require the consultant to use a drone to enter confined space and obtain footage. Instrumentation controls assessment will provide an in-depth review of existing SCADA controls and generators. Replacement Program will have the consultant assign the remaining useful life on each asset then map out a 20-year plan for rehabilitation and replacement of the equipment. Total change order amount for the three items listed is $102,000
D. Town Council approve the increase in the contract amount and authorize the Town Manager to sign the contract amendment increasing the maximum amount by $102,000 to a new maximum amount of $429,167.
E. Staff is requesting the council approval of the reallocation of the savings from FY 24/25 project fund balance WW-0034 Water Reclamation Facility Master Plan of $72,833 reallocate the remaining +/- $30,000 required amount from the Wastewater Utility Treatment Capital Recovery Fund, Unreserved Fund balance which exceeds $800,000 at this time.
Now, therefore, the Town Council of the Town of Yountville does resolve as follows:
1. Authorize reallocating funds from FY 24/25 project WW-0034 fund balance and from the Wastewater Utility Treatment Capital Recovery Fund, Unreserved Fund balance.
2. Authorize an Amendment to Professional Services Agreement #2025-974 Carollo Engineers Inc., increasing the maximum amount to $429,167.
3. Authorize the Town Manager to execute the amendment.
4. The Resolution is hereby adopted and becomes effective and in full force immediately upon adoption.
