A RESOLUTION OF THE TOWN COUNCIL OF THE TOWN OF YOUNTVILLE APPROVING
AN AMENDMENT TO THE EXISTING PROFESSIONAL SERVICES AGREEMENT (PSA) WITH LYSTEK INTERNATIONAL LIMITED, INCREASING THE AGREEMENT’S MAXIMUM AMOUNT FROM $45,000 T0 $68,000 AND AUTHORIZING THE TOWN MANAGER TO EXECUTE THE AMENDMENT.

A. In October of 2024, the Town entered into a Maintenance Agreement (MA) with Lystek International Limited for biosolids management solution.
B. The initial contract was approved by the Town Manager for $45,000. As the assessment by Carollo began, their initial feedback determined the optional scopes of work would be highly beneficial for the master plan.
C. The contract specified an estimated cost for biosolids removal and set an hourly rate for any additional work beyond that estimate. Because the actual weight of biosolids was higher than anticipated, costs increased. To address this variability, staff will refine future estimates to better reflect potential changes in biosolids weights.
D. Town Council approves the increase in the contract amount and authorizse the Town Manager to sign the contract Amendment increasing the maximum amount from $45,000 to a new maximum amount of $68,000.
E. Staff are requesting the Town Council approval of Amendment Number 1 and utilizing existing funds in budget 62-4515-4210 to cover the additional cost.
Now, therefore, the Town Council of the Town of Yountville does resolve as follows:
1. Authorize an Amendment to Maintenance Agreement Number 2024-398 with Lystek International Limited, increasing the maximum amount to $68,000 and utilize existing funds in budget 62-4515-4210 to cover the additional cost.
2. Authorize the Town Manager to execute the Amendment.
3. The Resolution is hereby adopted and becomes effective and in full force immediately upon adoption.
